2011-27799 Reso RESOLUTION NO. 2011-27799 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATION OF THE CITY MANAGER RELATIVE TO THE RANKING OF PROPOSERS, PURSUANT TO REQUEST FOR PROPOSALS (RFP) NO. 32-10/11 FOR MOBILE APPLICATION DEVELOPERS FOR MUNICIPAL PARKING, TRANSPORTATION, PARKS AND RECREATION,SPECIAL EVENTS,AND OTHER CITY SERVICES;AUTHORIZING THE ADMINISTRATION TO ENTER INTO NEGOTIATIONS WITHTHE TOP-RANKED FIRM OF PARKING IN MOTION, LLC,AND SHOULD THE ADMINISTRATION NOT BE ABLE TO NEGOTIATE AN AGREEMENT WITH THE TOP-RANKED FIRM, AUTHORIZING THE ADMINISTRATION TO NEGOTIATE WITH THE SECOND-RANKED FIRM OF STREETLINE, INC.; AND FURTHER AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN AGREEMENT UPON THE COMPLETION OF SUCCESSFUL NEGOTIATIONS BY THE ADMINISTRATION. WHEREAS, the City of Miami Beach Parking Department ("Parking") is dedicated to providing state-of-the-art parking technology and services for its users; and WHEREAS, the Mayor and City Commission at its May 11, 2011 meeting authorized the Administration to issue an RFP for mobile applications developers for municipal parking, transportation, parks and recreation, special events, and other City services; and WHEREAS, RFP No. 32-10/11 was issued on May 27, 2011 and the Procurement Division e-mailed,as well as uploaded the RFP to BidSync.com and Bidnet,sending notifications to over 250 firms, resulting in the receipt of proposals from Etisbew Technology Group; Fujitsu America, Inc.; Itera Consulting; Parkfast; Parking in Motion; SMX Services&Consulting, Inc.; Streetline, Inc.;and Vodafone International Services; and WHEREAS,in performing due diligence, Etisbew Technology Group, Itera Consulting and Vodafone International Services were determined to be non-responsive for not providing the required, signed documents in their submissions; and WHEREAS,on September 16,2011,the City Manager via Letter to Commission No.231- 2011 appointed an Evaluation Committee (the"Committee"), consisting of the following individuals: Scott Diffenderer, Transportation and Parking Committee; Rocio Alba, Finance Manager, Parking Department, CMB; Francine Madera, Neighborhood Leadership Academy Graduate; Max Sklar, Director of Tourism and Cultural Development, CMB; Nannette Rodriguez, Public Information Officer, Community Relations, CMB; Julio Magrisso, Assistant Director, Parks and Recreation Department, CMB; Robert Biles, Applications System Manager, Information Technology, CMB; Alternates: J.P. Morgan, Transportation and Parking Committee; Leigha Taber, Neighborhood Leadership Academy Graduate; and WHEREAS, the Committee convened on November 1, 2011 and was provided with an overview of the project, information relative to the City's Cone of Silence Ordinance, and recent changes to the Government in the Sunshine Law, discussed the scope of services and the five (5) proposals, and due to the complexity of the scope of services, and unknown specifications for the non-parking applications,the Committee requested the opportunity to interview the proposers;and WHEREAS, the Committee reconvened on November 15, 2011, and listened to presentations and participated in question and answer sessions with each of the five(5)proposers, and discussed and evaluated the proposals based on the evaluation criteria as outlined in the RFP; and WHEREAS,the Committee ranked Parking in Motion, LLC as the top-ranked firm, Fujitsu America, Inc., as the second-ranked firm, and Streetline, Inc. as the third-ranked firm; and WHEREAS,after reviewing the Committee's recommendation,and considering the ranking of proposals,the City Manager exercised his due diligence,and is recommending to the Mayor and City Commission that Fujitsu not be recommended as the second-ranked firm due to the proposed fees, and instead, the City Manager deems it to be in the best interest of the City to rank Streetline, Inc. as the second-ranked firm and not consider Fujitsu further due to the potential financial impact to the City. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND THE CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA,that the Mayor and City Commission hereby accept the recommendation of the City Manager pertaining to the ranking of proposals pursuant to Request for Proposals (RFP) No. 32-10/11, for Mobile Application Developers for Municipal Parking,Transportation, Parks and Recreation, Special Events,and Other City Services; authorize the Administration to enter into negotiations with the top-ranked firm of Parking in Motion, LLC; and should the Administration not be able to negotiate with the top-ranked firm, authorize the Administration to negotiate with the second-ranked firm, Streetline, Inc., further authorizing the Mayor and City Clerk to execute an agreement upon conclusion of successful negotiations by the Administration. Item Summary/Recommendation: The City's goals and objectives are to disseminate and promote its transportation and parking services in an easy, convenient, and reliable format. A mobile application is the preferred method to provide this information to the maximum number of people in the most cost-efficient manner. The Mayor and City Commission at its May 11,2011 meeting authorized the Administration to issue an RFP for mobile applications developers for municipal parking, transportation, parks and recreation, special events,and other City services. The Parking and IT Departments compiled a Scope and Specifications for the issuance of an RFP for the development of a mobile application for municipal parking and transportation, and other City services. RFP No. 32-10/11 was issued and sent to over 250 firms. Proposals were received from Etisbew Technology Group; Fujitsu America, Inc; Itera Consulting;Parkfast; Parking in Motion; SMX Services&Consulting, Inc.;Streetline, Inc.;and Vodafone International Services. The proposals from Etisbew, Itera,and Vodafone were deemed non-responsive by Procurement for lacking any signatures, in addition to other several required documents. An Evaluation Committee appointed by the City Manager reviewed,listened to presentations,participated in Q&A with the five (5) remaining Proposers, scored and ranked the proposals. Based on the published evaluation criteria,the Committee ranked Parking in Motion as the top-ranked firm; Fujitsu as the second- ranked firm; and Streetline as the third-ranked firm. KEY INTENDED OUTCOME SUPPORTED Improve process through information technology BACKGROUND The City of Miami Beach Parking Department("Parking") is dedicated to providing state-of- the-art parking technology and services for its users. This is evident by the enhancements implemented over the last decade, such as: on-street and off-street pay stations with multiple payment options (coins, bills, credit cards); pay on foot stations at its municipal garages; iPark, an in-car parking device; and a number of online services. In the United States alone, many major cities have developed mobile applications for their transportation and parking systems, including New York, Seattle, Las Vegas, Orlando; and San Francisco, to name a few. In today's world of mobile technology,the next logical step in parking services is to develop a mobile application for all of the City's parking inventory, including garages,surface parking lots, and on-street parking areas. Additional parking information such as rates; payment options; hours of enforcement; prohibited parking areas; restricted residential parking zones; disabled parking, bike sharing stations, SBL(South Beach Local)bus stops;and many other facts and/or tips may be included in the application. At the January 19,2011 meeting,the Commission discussed that the Administration should pursue the implementation of a "parking application"available on the internet and/or smart phones for residents,tourists,and/or visitors who are looking for a parking space,to be able to identify municipal parking facilities, including available parking spaces. The City Manager subsequently agreed and advised that the Administration would draft an RFP Proposals for said service. The Mayor and Commission referred the item to the Finance and Citywide Projects Committee for further discussion. This initiative was discussed and endorsed by the Transportation and Parking Committee at its meeting on March 7, 2011. In addition to Parking and Transportation, proposals should address system expansion for mobile applications for other City venues and services, including but not limited to Parks and Recreational facilities; Special Events, and other venues/services. The Mayor and City Commission at its May 11, 2011 meeting authorized the Administration to issue an RFP for mobile applications developers for municipal parking, transportation, parks and recreation, special events, and other City services. The term of the Agreement with the selected Provider will be for a one (1) year term, with three (3)additional one-year renewal options, at the discretion of the City. RFP PROCESS RFP No. 32-10/11 was issued on May 27, 2011 and the Procurement Division e-mailed, as well as uploaded the RFP to BidSync.com and Bidnet, sending notifications to over 250 firms. A non-mandatory pre-proposal meeting to provide information and respond to questions from prospective proposers was held on June 3, 2011. By the due date of September 6, 2011, eight (8) proposals were received from the following firms: • Etisbew Technology Group • Fujitsu America, Inc. • Itera Consulting • Parkfast • Parking in Motion • SMX Services & Consulting, Inc. • Streetline, Inc. • Vodafone International Services In performing due diligence, Etisbew Technology Group, Itera Consulting and Vodafone International Services were determined to be non-responsive for not providing the required, signed documents in their submissions. The Committee reconvened on November 15, 2011, and listened to presentations and participated in question and answer sessions with each of the five (5) proposers. PIM is based in Santa Monica, California and is a leading provider of dynamic and real time parking data, as well as a developer of smart phone applications. PIM's database offers complete coverage of the United States, Canada, and Europe with over 26,000 public parking lots enhanced with rates, hours of operation, entrance points, and occupancy information. PIM's proposal does not require any fees from the City for the existing parking application,or a"White Label"version that is the same application, but customized for the City. PIM is also proposing a 50/50 revenue share of "White Labeled" application sales and in-application ads. The Committee ranked Fujitsu America, Inc. (Fujitsu)as the second-ranked firm, due to the technically advanced experience of the firm, their methodology and approach, and the proposed applications for the City. Fujitsu is located in Sunnyvale, California and provides a complete portfolio of business technology services, computing platforms, and industry solutions. Following is a summary of the development fees proposed by Fujitsu: $772,773 for the Parking Application in Year 1 $367,600 for the Parking Application in Year 2 $367,600 for the Parking Application in Year 3 Fujitsu's proposal also provides for per click and advertisement revenue to the City of $787,500 per year. The Committee found this to be an aggressive goal and not very realistic. The Committee ranked Streetline, Inc. as the third-ranked firm. Streetline, based near San Francisco, California, has real-time parking guidance systems throughout cities in California, Massachusetts, Texas, and Utah, and has recorded over 30 million parking sessions. ParkerTM is Streetline's real time mobile parking platform that includes parking information and guidance as well as capacity and availability for on-street and off-street parking. ParkerTM also provides motorists with current rates, payment options, time limits and hours of operation of parking locations. In September, 2011, IBM partnered with Streetline to develop a system that tracks parking patterns in an effort to help municipalities improve congestion. In October, 2011, Streetline received 2011 The Wall Street Journal Technology Innovations Award, being recognized for its smartphone application ParkerTM. Streetline proposed an annual subscription fee of$28,100 based on seven(7)garages, and is all inclusive for on-street, mobile and web application, hosting, maintenance and new releases. CITY MANAGER'S DUE DILIGENCE After reviewing the Committee's recommendation, and considering the ranking of proposals, the City Manager exercised his due diligence, and is recommending to the Mayor and City Commission that Fujitsu not be recommended as the second-ranked firm due to the proposed fees. Instead, the City Manager deems it to be in the best interest of the City to rank Streetline, Inc. as the second-ranked firm and not consider Fujitsu further due to the potential financial impact to the City. Commission Memorandum RFP No. 32-10/11 Mobile Application Developers December 14, 2011 Page 5 of 5 CONCLUSION The Administration recommends that the Mayor and City Commission approve the attached resolution, accepting the recommendation of the City Manager relative to the ranking of proposers, pursuant to Request for Proposals (RFP) No. 32-10/11, for Mobile Application Developers for Municipal Parking, Transportation, Parks and Recreation, Special Events, and Other City Services; and authorizing the Administration to enter into negotiations with the top-ranked firm of Parking in Motion, and should the Administration not be able to negotiate an agreement with the top-ranked firm,authorizing the Administration to enter into negotiations with Streetline, Inc;and further authorizing the Mayor and City Clerk to execute an Agreement upon completion of successful negotiations by the Administration. T:\AGENDA\2011\12-14-11\Mobile Application Developers Memo.doc I ' AGREEMENT Between City of Miami Beach And ParkMe, INC THIS AGREEMENT is entered into as of this 11,Aday of 7#4e, 2013 (the "Effective Date") between THE CITY OF MIAMI BEACH (hereinafter referred to as "CITY'), and PARKME, INC. a Delaware Corporation (hereinafter referred to as "DEVELOPER"). WHEREAS, CITY issued Request for Proposals (RFP) No. 32-10/11 for Mobile Applications Developers For Municipal Parking, Transportation, Park And Recreation, Special Events, and Other City Services; WHEREAS, DEVELOPER responded to RFP NO 32-10/11 and was deemed qualified to provide services under this RFP; WHEREAS, DEVELOPER and CITY, through mutual negotiation, have agreed upon a scope of services and fees for mobile applications development; and WHEREAS, DEVELOPER is willing and able to perform these services for CITY within the basic terms and conditions set forth in this Agreement(the "Agreement"); and WHEREAS, CITY desires to engage DEVELOPER to perform the services specified herein under the terms and conditions of this Agreement. NOW THEREFORE, in consideration of the mutual covenants and conditions hereinafter provided, CITY and DEVELOPER agree as follows: SECTION 1. SCOPE OF WORK 1.1 The services to be rendered by DEVELOPER (the "Services") shall commence upon execution of this Agreement, as referenced in the Effective Date on page 1 hereof. 1.2 DEVELOPER shall perform all Services, as further described in the Statement of Work, attached as Exhibit "A" hereto, in the following two phases: (a) Phase 1 branding customization of the mobile application ("Mobile App") in accordance with the specifications set forth in Exhibit "A" (the "App Specification"); and (b) Phase 2, development of enhancements to the Mobile App, as described in Exhibit "A" (such enhancements, (the "Phase 2 Enhancements"), and ongoing hosting and support of the Mobile App (collectively, "Support Services"). The timeline of both the Phase 1 and Phase 2 deployments will be determined in good faith between the Parties and shall be attached, when determined, as Exhibit "B" hereto ("Project Schedule"). The Statement of Work may be amended (including, without limitation, adding additional services to or changing the scope of the Services) from time to time, but only by mutual written agreement of the parties. 1.3 DEVELOPER shall Perform the Services in accordance with the Project Schedule set forth in Exhibit "B". 1 1.4 Warranties and Guarantees: DEVELOPER represents to CITY, with full knowledge that CITY is relying upon these representations when entering into this Agreement with DEVELOPER, that DEVELOPER has the professional expertise, experience and manpower to perform the Services to be provided by DEVELOPER pursuant to the terms of this Agreement. As CITY's sole and exclusive remedy and DEVELOPER's sole obligation for any breach of the foregoing warranty, DEVELOPER will correct any non-conformities of the Mobile App with the App Specification that CITY identifies and reports to DEVELOPER during a one (1) year period following DEVELOPER's completion, and City's acceptance, of the Mobile App. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE MOBILE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DEVELOPER DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.. 1.5 Responsibilities of CITY. CITY will perform CITY's duties and tasks describe in the Statement of Work and such other duties and tasks as may be reasonably required to permit DEVELOPER to perform the Services. Without limiting the generality of the foregoing, CITY will make available to DEVELOPER, at CITY's sole expense, any and all data required for the proper operation of the Mobile App, as further described in the Statement of Work (the "CITY-provided Data"). 1.6 Additional Products and Services. DEVELOPER may offer additional services and deliverables to CITY by giving written notification to CITY via a mutually agreed upon change order form (a "Change Order Form"), which, at a minimum, shall include a description of the proposed services, schedule for performing such services, and applicable fees. If CITY desires for DEVELOPER to perform the additional services described in a Change Order Form, then such additional services will be deemed "Services" for all purposes of this Agreement; the parties will either execute an amendment to an existing Statement of Work or execute a new Statement of Work; and, upon the execution thereof, DEVELOPER will perform such additional services in accordance with the terms and conditions of this Agreement. The parties acknowledge and agree that the performance of additional services described in a Change Order Form may cause a delay on DEVELOPER's ability to perform Services in accordance with the Project Schedule set forth in an existing Statement of Work. In such case, the parties will discuss in good faith and implement a reasonable mutually agreed upon adjustment to the schedule in such existing Statement of Work to enable Developer to continue to perform Services without breaching the terms of an existing Statement of Work.. SECTION 2. COMPENSATION AND REVENUE 2.1 For DEVELOPER's performance of Services, CITY will pay DEVELOPER a fixed fee, in the amount of $30,000 (thirty thousand dollars). Such fee will be due and payable in two installments; (a) $15,000 (fifteen thousand dollars) upon the Effective Date; and (b) $15,000 (fifteen thousand dollars) upon completion of the PHASE II Enhancements. CITY, in its sole and absolute discretion, shall provide Developer with a written notice to proceed (the NTP) for the commencement of PHASE II Enhancements; which NTP may be countersigned by DEVELOPER. Following receipt of the NTP, the DEVLOPER and City shall mutually agree on the commencement and completion date and shall mutually agree if whether or not to commence on Phase II. Should either DEVELOPER or City decide not to commence on PHASE II, this decision shall not impact or alter either party's rights and obligations under this contract, 2 nor shall it constitute a breach of said contract. DEVELOPER will have no obligation to commence with PHASE II Enhancements unless and until such NTP is received. 2.2 In addition to the fee in Section 2.1 hereto, CITY will pay DEVELOPER an annual fee of three thousand dollars ($3000) for the Support Services provided by DEVELOPER as part of Phase II Services. Payment of the annual fee for the first twelve (12) month term during which DEVELOPER will perform Support Services (a "Support Term") will be due and payable upon the first day of the first Support Term. Payment of the annual fee for subsequent Support Terms will be due and payable on or prior to the first day of each such subsequent Support Term. The Support Term shall commence one (1) year after the Effective Date. 2.3 Payment will be made to DEVELOPER at: ParkMe 1334 3rd Street Promenade Suite 208 Santa Monica, CA 90401 2.4 DEVELOPER shall turn over to CITY all work products (including but not limited to finished or unfinished documents, data, studies, surveys and reports prepared by DEVELOPER) that are expressly identified in the Statement of Work as deliverables to be turned over to CITY, if any, and for which payment by the CITY has been requested, at the time of final payment by CITY. SECTION 3. TERM AND TERMINATION 3.1 TERM OF AGREEMENT - This Agreement shall commence on the date that it is fully executed by all parties (the Effective Date) and shall continue in full force and effect for a term of three (3) years or terminated sooner as provided below (the "Term"). The Support Term shall commence one (1) year after the Effective Date and run concurrent with the Agreement. 3.2 TERMINATION - For Cause- This Agreement may be terminated by either party upon written notice to the other if the other party breaches any material term of this Agreement and fails to cure such breach within thirty(30) calendar days following receipt of written notice of such breach from the non-breaching party, 3.3 Each party may take advantage of each and every remedy specifically existing at law or in equity. Each and every remedy shall be in addition to every other remedy specifically given or otherwise existing and may be exercised from time to time as often and in such order as may be deemed expedient by a party to this Agreement. The exercise or the beginning of the exercise of one remedy shall not be deemed to be a waiver of the right to exercise any other remedy. Each party's rights and remedies as set forth in this Agreement are not exclusive and are in addition to any other rights and remedies available to each party in law or in equity. This Section 3.3 shall not, however, be construed as diminishing the effect of any disclaimers, limitations of liability, or express limitations of rights or remedies set forth in this Agreement. SECTION 4. PUBLICITY The parties will work cooperatively and in good faith to develop and conduct activities directed at marketing and promoting the Mobile App. With respect to CITY, such activities will include, without limitation, advertising and promoting the Mobile App on or through CITY's primary website. In addition, the parties will issue a mutually acceptable joint press release announcing the relationship described in this Agreement. 3 SECTION 5. SURVIVAL OF PROVISIONS The rights and obligations of the parties under Sections 2, 3.3, 9 and 12 through 25 shall survive the expiration or termination of this Agreement. SECTION 6. POLICY OF NON-DISCRIMINATION DEVELOPER shall not discriminate against any person in its operations, activities or delivery of services under this Agreement. DEVELOPER shall affirmatively comply with all applicable provisions of federal, state and local equal employment laws and shall not engage in or commit any discriminatory practice against any person based on race, age, religion, color, gender, sexual orientation, national origin, marital status, physical or mental disability, political affiliation or any other factor which cannot be lawfully used as a basis for service delivery. SECTION 7. INDEPENDENT CONTRACTOR DEVELOPER is an independent contractor under this Agreement. Personal services provided by DEVELOPER shall be by employees or subcontractors of DEVELOPER and subject to supervision by DEVELOPER, and not as officers, employees, or agents of CITY. Personnel policies, tax responsibilities, social security and health insurance, employee benefits, purchasing policies and other similar administrative procedures applicable to services rendered under this Agreement shall be those of DEVELOPER. SECTION 8. ASSIGNMENT This Agreement, or any interest herein, shall not be assigned, transferred or otherwise encumbered, under any circumstances, by DEVELOPER, without the prior written consent of CITY. Notwithstanding the foregoing, DEVELOPER may assign this Agreement, without CITY's consent, to a third party in connection with: (i) a merger or acquisition of DEVELOPER by or into such third party; (ii) a sale by DEVELOPER of all or substantially all of its assets; (iii) a sale of DEVELOPER's line of business to which this Agreement relates. SECTION 9. ENTIRE AGREEMENT 9.1 This Agreement and its attachments constitute the entire agreement between DEVELOPER and CITY with respect to its subject matter, and all prior negotiations, agreements and understandings between the parties with respect to its subject matter are merged herein. 9.2 No modification, amendment, alteration or waiver of any of the terms or conditions of this Agreement shall be effective unless contained in a written document executed with the same formality as this Agreement. SECTION 10. INDEMNIFICATION 10.1 DEVELOPER shall indemnify, defend and hold harmless CITY, its officials, agents, employees, and volunteers from and against any and all liability, suits, actions, damages, costs, losses and expenses, including reasonable attorneys' fees, demands and claims for personal injury, bodily injury, sickness, diseases or death or damage or destruction of tangible property or loss of use resulting therefrom, arising out of any errors, omissions, misconduct or negligent acts of DEVELOPER, its officials, agents, employees or subcontractors in the performance of the services of DEVELOPER under this Agreement. 10.2 DEVELOPER shall indemnify CITY for all damage, expense or liability including, without limitation, court costs and reasonable attorneys' fees incurred by CITY to the extent 4 resulting from a third party claim that the Mobile App infringes any patent, trademark, copyright, trade secret or other proprietary right of such third party. DEVELOPER will defend and/or settle at its own expense any such third party claim. DEVELOPER will have no obligations or liability under this Section, however, with respect to any alleged infringement that pertains to: (a) the combination or use of the Mobile App with any data, services, products, systems, or other elements not furnished by DEVELOPER; (b) features or functionalities specifically requested or required by CITY; or (c) modifications made to the Mobile App by anyone other than DEVELOPER. Furthermore, if the Mobile App becomes or in the reasonable opinion of DEVELOPER may become the subject of any infringement claim, DEVELOPER may direct CITY to cease using, distributing, marketing, or otherwise exploiting the Mobile App, and thereupon grant to the CITY a pro-rated refund (amortized on a straight-line basis over a 5-year period) of the fees paid to DEVELOPER under this Agreement, in which case DEVELOPER will have no obligations or liability under this Section with respect to any subsequent infringement. 10.3 As a condition of DEVELOPER's obligations under Sections 10.1 and 10.2, CITY will: (a) promptly notify DEVELOPER of any claim for which CITY seeks indemnity; (b) promptly tender to DEVELOPER sole control and authority over the defense and settlement of any such claim; and (c) provide DEVELOPER, at DEVELOPER's request and expense, with all reasonably necessary information, cooperation, and assistance in such defense and settlement. SECTION 11. INSURANCE 11.1 DEVELOPER shall obtain, provide and maintain during the term of the contract the following types and amounts of insurance, which shall be maintained with insurers licensed to sell insurance in the State of Florida and have a B+ VI or higher rating in the latest edition of AM Best's Insurance Guide. Said policies of insurance shall be primary to and contributing with any other insurance maintained by DEVELOPER or CITY, and shall name the CITY, as an additional insured. No policy can be canceled without thirty (30) days prior written notice to the CITY. DEVELOPER shall file and maintain certificates of all insurance policies with the CITY's Risk Management Department showing said policies to be in full force and effect at all times during the course of the contract. Such insurance shall be obtained from brokers of carriers authorized to transact insurance business in Florida and satisfactory to CITY. Evidence of such insurance shall be submitted to and approved by CITY prior to commencement of any work or tenancy under the AGREEMENT. If any of the required insurance coverages contain aggregate limits, or apply to other operations or tenancies of DEVELOPER outside the proposed contract, DEVELOPER shall give CITY prompt written notice of any incident, occurrence, claim settlement or judgment against such insurance which may diminish the protection such insurance affords the CITY. DEVELOPER shall further take immediate steps to restore such aggregate limits or shall provide other insurance protection for such aggregate limits. 11.2 FAILURE TO PROCURE INSURANCE: DEVELOPER's failure to procure or maintain the required insurance program shall constitute a material breach of the contract by which CITY may immediately terminate same. 11.3 INSURANCE CHECK LIST 5 1. Workers' Compensation and Employer's Liability per the statutory limits of the State of Florida. 2. Comprehensive General Liability(occurrence form), limits of liability $1,000,000 per occurrence for bodily injury property damage to include Premises/ Operations; Products, Completed Operations and Contractual Liability. Contractual Liability and Contractual Indemnity (Hold harmless endorsement exactly as written in "insurance requirements" of specifications). 3. Automobile Liability - $1,000,000 each occurrence - owned/non-owned/hired automobiles included. 4. The CITY must be named as and additional insured on the liability policies; and it must be stated on the certificate. 5. Thirty(30) days written cancellation notice required. 6. Best's guide rating B+:VI or better, latest edition. 7. The certificate must state the RFP number and title. SECTION 12. LIMITATION OF LIABILITY IN NO EVENT WILL EITHER PARTY TO THIS AGREEMENT BE LIABLE TO THE OTHER OR TO ANY THIRD PARTY(IES) FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS), ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE PARTY'S TOTAL LIABILITY TO CITYTHE OTHER, OR TO A THIRD PARTY(IES), FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY, WILL BE LIMITED TO AND WILL NOT EXCEED THE AMOUNTS PAID (OR, IN THE CASE OF CITY'S LIABILITY, PAYABLE) TO DEVELOPER BY CITY UNDER THIS AGREEMENT. SECTION 13. REPRESENTATIVE OF CITY AND DEVELOPER It is recognized that questions in the day-to-day conduct of this Agreement will arise. CITY designates the Parking Director or his designee, as the person to whom all communications pertaining to the day-to-day conduct of this Agreement shall be addressed. DEVELOPER designates ALEXANDER ISRAEL as the representative of DEVELOPER to whom all communications pertaining to the day-to-day action of this Agreement shall be addressed. SECTION 14. COSTS AND ATTORNEY'S FEES If either CITY or DEVELOPER is required to enforce the terms of this Agreement by court proceedings or otherwise, whether or not formal legal action is required, the prevailing party shall be entitled to recover from the other party all such costs and expenses, including but not limited to, costs and reasonable attorney's fees. SECTION 15. NOTICES 6 Whenever either party desires to give notice to the other, it must be given by written notice, sent by certified United States mail, with return receipt requested, hand delivered or by facsimile transmission with proof of receipt, addressed to the party for whom it is intended, at the place last specified, and the place for giving of notice in compliance with the provisions of this paragraph. SECTION 16. RIGHTS IN DATA, COPYRIGHTS, DISCLOSURE a) Definition. The term "data" as used in this Agreement includes written reports, studies, drawings, or other graphic, electronic, chemical or mechanical representation. "Data" excludes the Mobile App, any information content that may be accessed through the Mobile App, and the App Specification. b) Rights in Data. Drawings, specifications, designs, models, photographs, computer CADD discs, reports, surveys and other data developed for and provided specifically and uniquely to CITY in connection with this Agreement shall be the property of CITY and CITY shall have the full right to use such data for any official purpose permitted under Florida Statutes, including making it available to the general public. Such use shall be without any additional payment to or approval by DEVELOPER. CITY shall have unrestricted authority to publish, disclose distribute and otherwise use, in whole or in part, any data developed for and provided specifically and uniquely to CITY under this Agreement. C) Copyrights. No data developed for and provided specifically and uniquely to CITY under this Agreement shall be subject to copyright in the United States of America or other country. DEVELOPER shall not include in such data any copyrighted matter unless DEVELOPER obtains the written approval of the Parking Director and provides said Parking Director with written permission of the copyright owner for DEVELOPER to use such copyrighted matter in the manner provided herein. 7 d) All right title and interest, including but not limited to all copyrights and other intellectual property rights, in and to the Mobile App and the App Specification, and any copies thereof, including and any new features to the Mobile App developed by DEVELOPER in the performance of Phase 2 Services, are owned exclusively by DEVELOPER. All title and intellectual property rights in and to the content which may be accessed through use of the Mobile App is the property of DEVELOPER or the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. CITY acknowledges that DEVELOPER's provision of the Mobile App and associated content and/or services will be subject to DEVELOPER's then-current applicable end-user terms and conditions, and end-users (including CITY as applicable) will be required to agree to and comply with such terms and conditions in order to access or use such Mobile App and associated content and/or services. (e) Without limiting the generality of subsection (b) above, as between CITY and DEVELOPER, CITY owns the CITY-provided Data. CITY hereby grants to DEVELOPER and agrees to grant to DEVELOPER, a non-exclusive, perpetual, royalty-free license, with rights to sublicense, to use, reproduce, modify, aggregate with other data, transmit and otherwise make available CITY-provided Data in connection with marketing, promoting, selling, licensing, providing, hosting and other exploitation of the Mobile App and other parking-related information products and services (including services provided via mobile applications, automotive applications, websites, and other channels). SECTION 17. SUBCONTRACTORS If DEVELOPER engages any subcontractors to perform any Services under this Agreement, DEVELOPER shall be fully responsible to CITY for all errors and omissions of any such subcontractors. SECTION 18. COMPLIANCE WITH LAWS DEVELOPER shall fully obey and comply with all laws, ordinances and administrative regulations duly made in accordance therewith, which are or shall become applicable to the services performed under the terms of this Agreement. SECTION 19. TRUTH-IN-NEGOTIATION CERTIFICATE Signature of this Agreement by DEVELOPER shall act as the execution of a truth-in- negotiation certificate stating that wage rates and other factual unit costs supporting the compensation of this Agreement are accurate, complete, and current at the time of contracting. SECTION 20. AUDIT AND INSPECTION RIGHTS a) CITY may, at reasonable times, and for a period of up to three (3) years following the date of final performance of Services by DEVELOPER under this Agreement, audit, or cause to be audited, those books and records of DEVELOPER which are related to DEVELOPER'S performance under this Agreement. DEVELOPER agrees to maintain all such books and records at its principal place of business for a period of three (3) years after final payment is made under this Agreement. b) CITY may, at reasonable times during the term hereof, inspect DEVELOPER'S facilities and perform such inspections, as CITY deems reasonably necessary, to determine whether the services required to be provided by DEVELOPER under this Agreement conform to 8 i the terms of this Agreement. DEVELOPER shall make available to CITY all reasonable facilities and assistance to facilitate the performance of inspections by CITY's representatives. c) CITY will at all times honor and preserve the confidentiality of all non-public information that it obtains or has access to in connection with its activities under this Section 20. SECTION 21. CONFLICTS Neither DEVELOPER nor its employees shall have or hold any continuing or frequently recurring employment or contractual relationship that is substantially antagonistic or incompatible with DEVELOPER'S loyal and conscientious exercise of judgment related to its performance under this Agreement. In the event DEVELOPER utilizes subcontractors to perform any services required by this Agreement, DEVELOPER agrees to prohibit such subcontractors, by written contract, from having any conflicts as within the meaning of this section. SECTION 22. GOVERNING LAWIVENUE This Agreement shall be construed in accordance with, and governed by, the laws of the State of Florida. Venue shall be in Miami-Dade County. SECTION 23. SEVERABILITY If any provision of this Agreement or the application thereof to any person or situation shall to any extent, be held invalid or unenforceable, the remainder of this Agreement, and the application of such provisions to persons or situations other than those as to which it shall have been held invalid or unenforceable shall not be affected thereby, and shall continue in full force and effect, and be enforced to the fullest extent permitted by law. SECTION 24. BINDING AUTHORITY Each person signing this Agreement on behalf of either party individually warrants that he or she has full legal power to execute this Agreement on behalf of the party for whom he or she is signing, and to bind and obligate such party with respect to all provisions contained in this Agreement. SECTION 25. WAIVER The waiver by either party of any failure on the part of the other party to perform in accordance with any of the terms or conditions of this Agreement shall not be construed as a waiver of any future or continuing similar or dissimilar failure. SECTION 26. FORCE MAJEURE Neither party will be responsible for any failure or delay in its performance under this Agreement (except for the payment of money) due to causes beyond its reasonable control, including, but not limited to, labor disputes, strikes, lockouts, shortages of or inability to obtain labor, energy, raw materials or supplies, war, acts of terror, riot, acts of God or governmental action. 9 SECTION 27. PROPOSAL DOCUMENTS. Notwithstanding the description of Park Me's services and without limitation, Park Me shall provide any and all work and services as set forth in, and in accordance to the requirements of, the Proposal Documents (which are attached as Exhibit "D" hereto and are hereby deemed incorporated by reference as if fully set forth herein). If any conflicts between this Agreement and the Proposal Documents arise, the Agreement shall govern. SECTION 28. INTRODUCTION / BACKGROUND The City of Miami Beach Parking Department ("Parking") is dedicated to providing state-of-the-art parking technology and services for its users. This is evident by the enhancements implemented over the last decade, such as: on-street and off-street pay stations with multiple payment options (coins, bills, credit cards); pay on foot stations at its municipal garages; iPark, an in-car parking device; and a number of online services. In the United States alone, many major cities have developed mobile applications for their transportation and parking systems, including New York, Seattle, Las Vegas, Orlando; and San Francisco, to name a few. In today's world of mobile technology, the next logical step in parking services is to develop a mobile application for all of the City's parking inventory, including garages, surface parking lots, and on-street parking areas. Additional parking information such as rates; payment options; hours of enforcement; prohibited parking areas; restricted residential parking zones; disabled parking, bike sharing stations, SBL (South Beach Local) bus stops; and many other facts and/or tips may be included in the application. The City's goal and objective is to disseminate and promote its transportation and parking services in an easy, convenient, and reliable format. A mobile application is the preferred method to provide this information to the maximum number of people in the most cost-efficient manner. At the January 19, 2011 meeting, the Commission discussed that the Administration should pursue the implementation of a "parking application" available on the internet and/or on smart phones for residents, tourists, and/or visitors who are looking for a parking space, to be able to identify municipal parking facilities, including available parking spaces. The City Manager subsequently agreed and advised that the Administration would draft a Request for Proposals (RFP) for said service. The Mayor and Commission referred the item to the Finance and Citywide Projects Committee for further discussion. This initiative was discussed and endorsed by the Transportation and Parking Committee at its meeting on March 7, 2011. B. MODIFICATIONIWITHDRAWALS OF PROPOSALS A Proposer may submit a modified Proposal to replace all or any portion of a previously submitted Proposal up until the Proposal due date and time. Modifications received after the Proposal due date and time will not be considered. Proposals shall be irrevocable until contract award unless withdrawn in writing prior to the Proposal due date or after expiration of 120 calendar days from the opening of Proposals without a contract award. Letters of withdrawal received after the Proposal due date and before said expiration date and letters of withdrawal received after contract award will not be considered. G. RFP POSTPONEMENT/CANCELLATION/REJECTION The City may, at its sole and absolute discretion, reject any and all, or parts of any and all, Proposals; re-advertise this RFP; postpone or cancel, at any time, this RFP process; or waive any irregularities in this RFP, or in any Proposals received as a result of this RFP. H. COSTS INCURRED BY PROPOSERS All expenses involved with the preparation and submission of Proposals to the City, or any work performed in connection therewith, shall be the sole responsibility of the Proposer and shall not be reimbursed by the City. I. EXCEPTIONS TO RFP Proposers must clearly indicate any exceptions they wish to take to any of the terms in this RFP, and outline what alternative is being offered; which exceptions and alternatives shall be included and clearly delineated in Proposer's submittal response. The City, at its sole and absolute discretion, may accept or reject any or all exceptions. In cases in which exceptions are rejected, the City shall require the Proposer to comply with the particular term and/or condition of the RFP which Proposer takes exception to (as said term and/or condition was originally set forth on the RFP). J. SUNSHINE LAW Proposers are hereby notified that all Proposals including, without limitation, any and all information and documentation submitted therewith, will be available for public inspection after opening of Proposals, in compliance with Chapter 286, Florida Statutes (the Florida "Government in the Sunshine Law"). K. NEGOTIATIONS The City reserves the right to enter into further negotiations with the top-ranked Proposer, and/or successful Proposer (following authorization of negotiations by the City). Notwithstanding the preceding, the City is in no way obligated to enter into a contract with the top-ranked and/or successful Proposer in the event the parties are unable to negotiate a contract. It is also understood and acknowledged by Proposer's that by submitting a Proposal, no property interest or legal right of any kind shall be created at any time until and unless a contract has been agreed to and executed by the parties. L. PROTEST PROCEDURE Proposers that are not selected may protest any recommendation for selection of award in accordance with the proceedings established pursuant to the City's bid protest procedures RFP No.32-10/11 City of Miami Beach Page 8 of 29 Mobile Applications May 27,2011 I (Ordinance No. 2002-3344), as codified in Sections 2-370 and 2-371 of the City Code. Protest(s) not timely made pursuant to the requirements of Ordinance No. 2002-3344 shall be barred. M. OBSERVANCE OF LAWS Proposers are expected to be familiar with, and comply with, all Federal, State, County, and City laws, ordinances, codes, rules and regulations, and all orders and decrees of bodies or tribunals having jurisdiction or authority which, in any manner, may affect the services and/or project contemplated by this RFP (including, without limitation, the Americans with Disabilities Act, Title VII of the Civil Rights Act, the EEOC Uniform Guidelines, and all EEO regulations and guidelines). Ignorance of the law(s) on the part of the Proposer will in no way relieve it from responsibility for compliance. N. DEFAULT Failure or refusal of the successful Proposer to execute a contract following award by the City Commission, or untimely withdrawal of a Proposal before such award is made and approved, may result in forfeiture of that portion of any surety required as liquidated damages to the City. Where surety is not required, such failure may result in a claim for damages by the City and may be grounds for removing the Proposer from the City's vendor list. O. CONFLICT OF INTEREST All Proposers must disclose, within their Proposal, the name(s) of any officer, director, agent, or immediate family member(spouse, parent, sibling, and child) who is also an employee of the City of Miami Beach. Further, all Proposers must disclose the name of any City employee who owns, either directly or indirectly, an interest of ten (10%) percent or more in the Proposer entity or any of its affiliates. P. COMPLIANCE WITH THE CITY'S LOBBYIST LAWS This RFP is subject to, and all Proposers are expected to be or become familiar with, all City lobbyist laws, as amended from time to time. Proposers shall ensure that all City lobbyist laws are complied with, and shall be subject to any and all sanctions, as prescribed therein, including, without limitation, disqualification of their Proposals, in the event of such non-compliance. Q. PROPOSER'S RESPONSIBILITY Before submitting a Proposal, each Proposer shall be solely responsible for making any and all investigations and examinations, as it deems necessary, to ascertain all conditions and requirements affecting the full performance of the contract. Ignorance of such conditions and requirements, and/or failure to make such investigations and examinations, will not relieve the Proposer from any obligation to comply with every detail and with all provisions and requirements of the contract, and will not be accepted as a basis for any subsequent claim whatsoever for any monetary consideration on the part of the Proposer. R. RELATIONSHIP TO THE CITY It is the intent of the City, and Proposers hereby acknowledge and agree, that the successful Proposer is considered to be an independent contractor and that neither the Proposer, nor the Proposer's employees, agents, and/or contractors, shall, under any circumstances, be considered employees or agents of the City. PUBLIC ENTITY CRIME A person or affiliate who has been placed on the convicted vendor list following a conviction for public entity crimes may not submit a bid on a contract to provide any goods or services to a public entity, may not submit a bid on a contract with a public entity for the construction or repair of a public building or public work, may not submit bids on leases of real property to public entity, may not be awarded or perform work as a contractor, supplier, sub-contractor, or consultant under a contract with a public entity , and may not transact business with any public entity in excess of the threshold amount provided in Sec. 287.017, for CATEGORY TWO for a period of 36 months from the date of being placed on the convicted vendor list. T. CONE OF SILENCE Proposers are hereby advised that this RFP is subject to the City's Cone of Silence requirements, as set forth in Section 2-486 of the City Code. U. DEBARMENT ORDINANCE Proposers are hereby advised that this RFP is subject to the City's Debarment Ordinance (Ordinance No. 200-3234), as codified in Section 2-397 through 2-406 of the City Code. V. COMPLIANCE WITH THE CITY'S CAMPAIGN FINANCE REFORM LAWS This RFP is subject to, and all Proposers are expected to be or become familiar with, the City's Campaign Finance Reform laws, as codified in Sections 2-487 through 2-490 of the City Code, as amended from time to time. Proposers shall insure that all applicable provisions of the City's Campaign Finance Reform laws are complied with, and shall be subject to any and all sanctions, as prescribed therein, including disqualification of their Proposals, in the event of such non- compliance. W. CODE OF BUSINESS ETHICS Pursuant to City Resolution No.2000-23879 each person or entity that seeks to do business with the City shall adopt a Code of Business Ethics ("Code") and submit that Code to the Procurement Division with its bid/response or within five (5) days upon receipt of request. The Code shall, at a minimum, require the Proposer, to comply with all applicable governmental rules and regulations including, among others, the conflict of interest, lobbying and ethics provision of the City of Miami Beach and Miami Dade County. ACCEPTANCE OF GIFTS, FAVORS, SERVICES Proposers shall not offer any gratuities, favors, or anything of monetary value to any official, employee, or agent of the City, for the purpose of influencing consideration of this Proposal. Pursuant to Sec. 2-449 of the City Code, no officer or employee of the City shall accept any gift, favor or service that might reasonably tend improperly to influence him in the discharge of his official duties. RFP No.32-10/11 City of Miami Beach Page 10 of 29 Mobile Applications May 27,2011 SECTION II -- SCOPE OF SERVICES The Parking Department and the Information Technology (IT) Department have compiled the following Scope and Specifications for the issuance of an RFP for the development of a "mobile application" for municipal parking and transportation. Development should include testing and any corrections that are needed from the Beta version of the application. Additionally, the application should include an easy to modify web based content management system to allow non-technical personnel to enter information. Training should also be included. Firms that provide mobile applications should propose a business model that is advantageous to both users and the City. The City will provide: (1) all pertinent information necessary regarding parking inventory and transportation services; (2) endorse the use of the mobile application; and (3) advertise and market the mobile application. Specifications: The application should provide Miami Beach public parking facilities information as well as routing (driving directions) from a default" location to a selected parking location using mapping capabilities. The following are some examples: • Sleepless Night Event- The application should include the ability to find event information; allow users to develop their own itinerary with a map; link to event sponsors; schedule of performances; shuttle routes and stops; and a brief biography of each event and performer. • Parks and Recreation — The application should include the ability to find facilities with amenities; hours of operation; tied to our map with route directions ability; program schedules by age and facility; facility rental information; links to our webpage, etc. ADD ALTERNATE: "PUSH" (WAP) -TEXT MESSAGES The City wishes to include the availability of "Push" WAP (Wireless Application Protocol) Text Messages as an optional feature to the mobile application. This should be submitted as an "add- alternate" to your proposal. Push messages are specially formatted SMS text messages that display an alert (advertising) on a mobile device. It must provide the option of connecting directly to a website via the mobile device's WAP browser, rather than having to type in a web address (URL). WAP Push text messages are referred to by different names on certain types of mobile devices. The most common names for WAP Push messages are: Nokia "Service Message" Sharp- "WAP Alert" Samsung -"Push Message" Motorola - "Browser Message" Sony Ericsson - "[name of site/page]WAP" Sagem - "WAP Push" Panasonic-"WAP Message" Third party providers will send a WAP - Push text message to a mobile device in response to a request for a web page, such as a text message request. At the same time, it will send an SMS text message to the mobile device. The SMS message will contain the URL of the website you requested. "PUSH" (WAP) Technical Requirements All data related to "Push" WAP Text Messages must reside outside of the City's domain. The service provider/third party should account for storing and maintaining all related data at an external site. "PUSH" (WAP)Advertisements The City acknowledges that limited commercial advertising material will be displayed on mobile devices through the sale by the Service Provider to third party providers. The advertisement component is described below and subject to all applicable laws and regulations. Any Advertisements displayed via WAP by the service provider/third party providers shall comply with all Federal, State, Miami-Dade County, and City of Miami Beach laws, rules, regulations, RFP No.32-10/11 City of Miami Beach Page 12 of 29 Mobile Applications May 27,2011 I ordinances, and codes, including, but not limited to, those pertaining to and/or related to billboards, outdoor advertisements, and signage, as applicable. In addition, the graphics, materials, content and appearance of any Advertisements to be transmitted must be allowable and, if allowed, shall comply with such other and future requirements as Federal, State, County, and City authorities may from time to time impose, including, but not limited to, public safety and aesthetic requirements. Accordingly, any unauthorized Advertisements transmitted via WAP, or any Advertisements failing to comply with any applicable Federal, State, County, and City provisions shall and must be removed by the service provider/third party provider, at its sole cost and expense, within forty- eight (48) hours from receipt of written notice from the City Manager or his designee. In the event such Advertisements are not removed within said time period, the City may, at its sole option and discretion, terminate the Agreement for cause, without further notice to the service provider/third party provider, and without liability to the City. The service provider/third party provider acknowledges that the City reserves the right to impose such additional requirements for the distribution and/or transmittal of the Advertisements, at any time, at its sole option and discretion; provided that the City Manager or his designee shall provide the service provider/third party provider with written notice of such additional requirements and such requirements do not frustrate the purpose and intent of this Agreement. The permissible content of Advertisements shall not include firearms, alcohol or tobacco products, or be of a sexually offensive nature. MINIMUM REQUIREMENTS/QUALIFICATIONS: • The successful Proposer must have a verifiable proven track record of providing comparable mobile applications to those outlined herein • The successful Proposer must provide evidence of sufficient financial stability to provide the mobile applications to meet the City's needs. • The successful Proposer must demonstrate a level of expertise, technical knowledge, innovation, and overall capacity to provide the services PUBLIC RECORDS LAW Florida has a very broad public records law. To the extent that the Public Records Act (Chapter 120 of Florida Statutes) applies to vendors and/or agents of the City, information contained in any mobile application utilized by the City and its employees and elected officials, are public records available to the public and media upon request unless specifically exempted under the Public Records Act. Request for Proposals issued. 2. Receipt of Proposals. 3. Opening of Proposals and determination if they meet the minimum standards of responsiveness. 4. An Evaluation Committee, appointed by the City Manager, will meet to evaluate each Proposal in accordance with the requirements of this RFP. Said policies of insurance shall be primary to and contributing with any other insurance maintained by Proposer or City, and shall name the City of Miami Beach, as an additional insured. No policy can be canceled without thirty (30) days prior written notice to the City. The successful Proposer shall file and maintain certificates of all insurance policies with the City's Risk Management Department showing said policies to be in full force and effect at all times during the course of the contract. Such insurance shall be obtained from brokers of carriers authorized to transact insurance business in Florida and satisfactory to City. Evidence of such insurance shall be submitted to and approved by City prior to commencement of any work or tenancy under the proposed contract. If any of the required insurance coverages contain aggregate limits, or apply to other operations or tenancies of Proposer outside the proposed contract, Proposer shall give City prompt written notice of any incident, occurrence, claim settlement or judgment against such insurance which may diminish the protection such insurance affords the City. Proposer shall further take immediate steps to restore such aggregate limits or shall provide other insurance protection for such aggregate limits. The Administration is in the process of formulating responses to these questions. Questions and Answers: Q1) It was mentioned in the pre-proposal conference the desire to generate revenue from the App. Does the City of Miami Beach have any revenue targets in mind? Al) No targets in mind. Q2) Please define "Financial return to the City"? - what is the meaning of this term specifically? If the City looking to subsidize cost, make a profit or completely fund this initiative from an advertisement based application? The RFP is very unclear here yet 25% of the bid award is based on this very unclear term. A2) Proposer should include the business model that is most beneficial to the City. Q3) Do you also expect us to head hunt this marketing avenues for the City? A3) Proposers should handle everything. Q4) How will up-to-date parking information be provided? Will it be a web service or static files? A4) Both Q5) Parking location information: What application is currently used to store parking location information? Recommend this requirement be dropped and one stating a desire for geolocation based advertisement be added and not specify the technology to be used. Q22) On page 11 of the RFP, it is stated that the App will need to provide directions from a default(default") location. Please establish what this default location will be. A22) Default location is the trip starting point. Q23) Could you please give explain in more details term "driving direction"? (Page 11 paragraph 3 of RFP) A23) Driving directions from the device (GPS location)to the selected parking area. Q24) In the introduction, you state that many major cities have developed similar apps. Have you reviewed and or used any of these apps? If so, can you share your likes and dislikes with each? Q25) Are you looking for a company that has a solution in place which needs to be tailored to you requirements? A25) It can be either an off the shelf solution with minor customization or a custom solution; whichever is most cost effective. Q26) The RFP states "real time" parking space availability. Recommend you change this to "near real time" as real time would require a significant capital investment by the city to accomplish. This is also likely to be limited to your garage facilities. Please clarify. A26) Limited to the garages. Q27) Does the City have specific time schedule for start and end dates? A27) No. Q28) Section II — Scope of Services — Can the City of Miami Beach provide a preferred format for the Business model that is to be included in the response to detail the advantages to both the City and the Mobile App Users? Is the City of Miami Beach expecting that the vendor incurs the cost of development for the mobile application and the vendor will recover the development costs in advertising within the mobile application? A30) Proposers should outline the cost of developing the application and any potential revenue from advertising. Q31) In the RFP it is mentioned that the application should support Municipal Parking, Transportation, Parks And Recreation, Special Events. The scope of work for Parking is provided along with sample examples of other city services? Should we limit our estimation for the Parking and Other city services/venues only? Please clarify. A31) The APP is intended to subsequently provide information for a number of City services. Q32) Regarding the mention on page 2 and on page 12 of system expansion for mobile applications for other City venues and services, please clarify the expectation of the City for this point in our proposals. Is a discussion of our firm's technical expertise relating to this technology and the capability for expansion of our proposed solution sufficient? If not, please provide more detail on the City's requirement for this. Instead of presenting a partial list of regular rates, leaving the user with the nearly impossible task of finding the most desirable destination by: (a) clicking on a facility to view its rates, (b) mentally calculating the correct rate for the user's intended stay, (c) recording this rate, (d) clicking on the next facility and repeating this process. A calculation engine may be developed (the calculation for each facility considers all relevant special and regular rates, overnight parking rules, etc. A34) Yes Q35) Should system be able to display route on the map from current position to selected parking or social event? Should surveys be completed only by clients for whom we have completed work relevant to the content of this RFP? Al) Respondents should submit proposals that include a revenue-sharing model that fairly and reasonably compensates the City. Q2) Please define "Financial return to the City"? - what is the meaning of this term specifically? If the City looking to subsidize cost, make a profit or completely fund this initiative from an advertisement based application? The RFP is very unclear here yet 25% of the bid award is based on this very unclear term. A2) Proposer should include the business model that is most beneficial to the City. This would include any proposal that allows the City to cover/recover some or all costs of implementing or maintaining this program, in addition to generating revenues. Q3) Do you also expect us to headhunt this marketing avenues for the City? A3) Proposers would handle all aspects of the implementation of the program, including marketing the program and advertising sales. Q4) As part of driving revenue within the app, does the city want banners underneath or on top of the application? A4) Respondents should recommend the model that best provides a positive user experience, while generating revenues. Q5) Assuming the city wishes to either fully subsidize this effort or turn a profit what is the minimum time period that return? 3 years? 5 years? What is the city's expectation here? A5) The City will look favorably on proposals that provide revenues to the City following program implementation, such as a minimum guaranteed return beginning with the first year of the agreement. Q15) For cost competitiveness, can we propose resource teams based outside of the US to develop the application(s)? In addition, the specific operating system version, and model number of each phone desired needs to be included. For example, a native app for iPhone and Android version 2.2 and above is relatively easy to do. A native app for Blackberry's RIM OS is very difficult with a long lead time for approval (sometimes exceeding one year). However, all three could support a mobile web browser, except for Blackberry's older than version 8 of RIM. Their older mobile browsers don't support JavaScript or Flash making the costs of supporting them much higher and far less capable. In addition, are there desired application stores you wish to support if the desire is for the app to be native? Please clarify. A16) Downloadable (local to the device).
