MEMORANDUMOFUNDERSTANDING
BETWEENTHECITY OFMIAMIBEACH, FLORIDAAND
THE LINCOLNROADPROPERTYOWNERSASSOCIATION, INC.
ThisMemorandum of
Understanding ("MOU") is hereby enteredintothis 2- dayof
May, 2015, by and between theLincolnRoad Property OwnersAssociation, Inc., a
Florida nonprofit corporation
withofficesat801Arthur Godfrey Road, Suite600, Miami
Beach, FL33140 ("LRPOA"), andthe City ofMiamiBeach, aFlorida municipal
corporationwithofficesat1700ConventionCenterDrive, MiamiBeach, Florida33139
City") (collectively, the "Parties").
RECITALS
WHEREAS, LRPOAis aFlorida nonprofit corporation,
whichistaxexempt
undersection
501(c)(6) of
theInternalRevenueCode, and representsagroupof
propertyownersofrealestateinthevicinityof, abutting, orlocatedonLincolnRoad;
WHEREAS, onApril15, 2015,
theMayorandCityCommissionof4heCityof
MiamiBeach adoptedResolutionNo. 2015-28992, whichcreated, pursuant!toChapter
170, FloridaStatutes, andsubjecttotheapprovalofamajorityoftheaffectedproperty
owners, aspecialassessmentdistricttobeknown astheLincoln
RoadBusiness
ImprovementDistrict (the "District"), for aterm often (10) years, tostabilizeandimprove
theLincolnRoadretailbusinessdistrict, whichislocatedwithinanationallyrecognized
historicdistrict, through promotion, management, marketing, andothersimilarservices;
WHEREAS, theDistrictisbounded onthe west
by AltonRoad; ontheeastby
WashingtonAvenue; onthe north
by 17thStreet; andonthesouthbyLincolnLane
South; provided,
however, thatthefollowingpropertiesshallbeexcludedandexempted
from suchDistrict: (1) residentialproperties; (2) propertiesownedoroccupiedbya
religiousinstitution andused
asaplaceof worship oreducation (asdefinedinSection
170.201(2), FloridaStatutes); and (3) commonareasowned
by condominium
associations;
WHEREAS,
aspecialmailballotelectionshallbeheldtodeterminewhether,
pursuanttoChapter170, FloridaStatutes, a majority (50% plusone) oftheaffected
property ownersapprovethe creationoftheDistrict (the "Election"); and
WHEREAS, theCity andLRPOA hereby agreetotheterms ofthis
MOU, which
shallsetforththeobligationsofthePartieswithrespecttotheElection.
NOW, THEREFORE, inconsiderationoftheforegoing, thepartiesagreeasfollows:
1. RECITALS
Therecitalsaretrueandcorrectandherebyincorporatedintoandmadeapartofthis
MOU.
2. SCOPEOFDUTIES
TheCity, throughtheOffice oftheCity Clerk and
Office oftheCity Attorney, shall
providethefollowingservicesrelativetotheElection:
A.
ConducttheElection,
pursuanttotheSpecialMailBallotElectionProcedures,
attachedheretoandincorporatedhereinasExhibit "A."
B.
PrepareanddisseminateanydocumentsnecessarytoeffectuatetheElection,
including the officialballot, instruction sheet, and form affidavitaffirmingthe
voter'sauthoritytovoteonbehalfofapropertyowner, aswellasanynoticesand
advertisementsrequiredbylaw.
C. CommunicatewiththeMayorandCityCommissionregardingtheprogressoftheY Y99P9
Election.
3. TERMANDEXPIRATIONDATE
This MOU andtheParties' obligationshereunder shall commenceuponthefull
executionofthisMOU,
andshallterminateupontheCityClerk'scertificationofthe
resultsoftheElectiontotheCityCommission.
4. COMPENSATION
LRPOA shall pay for allcosts necessary to conducttheElection, includingtheCity's
staffcosts, aswellasthe costofpostage, printing, advertising, andtranslation (the
Fee"), assetforthin the proposedbudget, attachedhereto asExhibit "B."
ThetotalFee
due to theCity shallnotexceed $20,000, unless mutually agreedto and approved, in
writing, by theParties. For purposes of
this Section4, theCityManagershallbe
authorizedtoactonbehalfoftheCity.
THEREMAINDEROFTHISPAGEIS INTENTIONALLYLEFTBLANK.
INWITNESSWHEREOF, the partieshave affixedtheir signatures, effectiveon
thedatefirstwrittenabove.
