HomeMy WebLinkAboutResolution 2026-34225RESOLUTION NO. 2026-34225 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATIONS OF THE PUBLIC SAFETY AND NEIGHBORHOOD QUALITY OF LIFE COMMITTEE AT ITS MARCH 25, 2026 MEETING, AND THE FINANCE AND ECONOMIC RESILIENCY COMMITTEE AT ITS APRIL 1, 2026 MEETING; APPROVING THE NEGOTIATION OF A LONG-TERM LICENSE AGREEMENT WITH INFORMA MARKETS ART, LLC FOR USE OF THE LUMMUS PARK BEACHFRONT BETWEEN 10 AND 121/2 STREETS FOR THE UNTITLED ART FAIR DURING THE ANNUAL ART WEEK MIAMI BEACH; REQUIRING THAT THE FINAL NEGOTIATED LICENSE AGREEMENT SHALL BE SUBJECT TO THE PRIOR APPROVAL OF THE MAYOR AND CITY COMMISSION; AND FURTHER, DIRECTING THE ADMINISTRATION TO DISCUSS THE POSSIBILITY OF ENTERING INTO A SIMILAR LONG-TERM LICENSE AGREEMENT WITH THE PRODUCERS OF THE SCOPE ART FAIR. WHEREAS, at the December 15, 2025, Commission meeting, the Mayor and City Commission approved a dual referral item to the Public Safety and Neighborhood Quality of Life Committee ("PSNQL") and the Finance and Economic Resiliency Committee ("FERC") to discuss the feasibility of a long-term license agreement for the Untitled Art Fair; and WHEREAS, the referral sought to explore the feasibility and potential terms of a long-term license agreement between the City and Informa Markets Art, LLC ("Informa Markets"), with considerations including agreement duration and structure, community benefits, financial terms, operational logistics, and alignment with the City's cultural and neighborhood quality -of -life goals; and WHEREAS, on March 25, 2025, PSNQLC discussed the referral item and gave a favorable recommendation supporting a long-term license agreement with Informa Markets for the Untitled Art Fair to utilize the Lummus Park beachfront during Art Week Miami Beach; and WHEREAS, on April 1, 2025, FERC heard the referral and gave a favorable recommendation supporting a long-term license agreement with Informa Markets for the Untitled Art Fair, and further recommended that the Administration engage with the producers of the Scope Art Fair to explore a similar long-term agreement; and WHEREAS, the Administration conducted preliminary discussions with representatives of the Scope Art Fair, who expressed interest in pursuing a long-term license agreement and committed to providing the City with a final determination following internal review; and WHEREAS, the Untitled Art Fair has become a significant cultural event in Miami Beach, contributing to the City's standing as an international arts destination and advancing cultural tourism, creative placemaking, and local economic activity; and WHEREAS, the Untitled Art Fair historically occupies the Lummus Park beachfront between 10 and 12'/2 Streets and a back -of -house area on the Lummus Park spoil between 11th and 12th Streets, totaling approximately 191,650 square feet of beachfront use and 12,000 square feet of spoil for a period of approximately 40 days; and WHEREAS, consistent with the City's special event permitting requirements, the Untitled Art Fair provides a resident benefit each year through discounted ticket pricing for Miami Beach residents; and WHEREAS, the City currently maintains only two long-term event license agreements for areas outside the Miami Beach Convention Center, one with Design Miami and the other with Miami International Boat and Yacht Show, both of which were approved by the Mayor and City Commission through formal resolutions; and WHEREAS, Informa Markets has submitted proposed high-level business terms for a potential long-term license agreement, including a five-year initial term with a five-year renewal option, annual license fees, public benefit contributions, and operational provisions related to site use, sponsorships, scheduling, and termination; and WHEREAS, despite the longstanding presence of the Untitled Art Fair and favorable recommendations from both PSNQLC and FERC, the Administration has expressed reservations regarding long-term license agreements for the beachfront, but notes that if directed to negotiate, any agreement should incorporate fair -market fees, shorter terms, traffic -mitigation contributions, and clear performance benchmarks; and WHEREAS, the Administration is currently negotiating an agreement with Art Basel Miami Beach ("ABMB"), the City's flagship art fair, and recommends that any long-term license agreement during Art Week be considered only after the ABMB agreement is finalized. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby accept the recommendations of the Public Safety and Neighborhood Quality of Life Committee at its March 25, 2026 meeting, and the Finance and Economic Resiliency Committee at its April 1, 2026 meeting; approve the negotiation of a long-term license agreement with Informa Markets Art, LLC for use of the Lummus Park beachfront between 10 and 12'/2 streets for the Untitled Art Fair during the annual Art Week Miami Beach; require that the final negotiated license agreement shall be subject to the prior approval of the Mayor and City Commission; and further, direct the Administration to discuss the possibility of entering into a similar long-term license agreement with the producers of the Scope Art Fair. BACKGROUND/HISTORY On December 15, 2025, at the request of Commissioner Dominguez, a dual referral item (C4 AJ) was referred to the Public Safety and Neighborhood Quality of Life Committee (PSNQLC) and Finance and Economic Resiliency Committee (FERC) to discuss the feasibility of a long-term license agreement with the Untitled Art Fair. The referral seeks to explore the feasibility and potential terms of a long-term license agreement between the City and Untitled Art Fair. A longer - term arrangement could provide some degree of operational certainty for the event organizers and reinforce the City's commitment to supporting high -quality cultural programming. Key discussion points may include: • The appropriate duration and structure of a long-term license agreement. • Public benefits and community engagement opportunities associated with the event. • Financial terms, including license fees, in -kind services, and potential revenue impacts. • Operational considerations such as site usage, permitting, and coordination with City departments. • Alignment with the City's cultural, economic, and neighborhood quality of life goals. 685 of 2461 On March 25, 2025, PSNQLC discussed the referral item and made a favorable recommendation to the City Commission for a long-term license agreement with Informa Markets for the Untitled Art Fair to utilize the beachfront during Art Week Miami Beach. On April 1, 2025, the Finance and Economic Resiliency Committee (FERC) discussed the referral item and made a favorable recommendation to the City Commission for a long-term license agreement with Informa Markets for the Untitled Art Fair to utilize the beachfront during Art Week Miami Beach and for the Administration to enter into discussions with the Scope Art Fair to contemplate the possibility of negotiating a similar long-term license agreement for that fair. The Administration conducted high-level discussions with the owner of the Scope Art Fair, and they showed interest in the potential of having a long-term license agreement. Scope Art Fair will discuss internally and provide a response to Staff regarding their decision to initiate negotiations for a long-term agreement. ANALYSIS Founded in 2012, Untitled Art Fair has become a signature cultural event in Miami Beach, drawing international attention and contributing significantly to the City's reputation as a global arts destination. The event supports local economic activity, enhances cultural tourism, and aligns with the City's broader goals of promoting public art and creative placemaking. On February 16, 2024, Informa Markets (Informa), who also owns the Miami International Boat and Yacht Show, through its subsidiary South Florida Ventures, acquired the Untitled Art Fair to expand its luxury art portfolio. The acquisition of Untitled Art Fair, added to Informa's existing art events, including Art Miami, CONTEXT, Palm Beach Modern and Contemporary, Art Wynwood and the Miami Beach based Aqua Art Fair. The Untitled Fair is entering its fifteenth (15) year in Miami Beach and has stated their investment over the years is approximately $29 million including six thousand (6,000) annual hotel room nights and supporting more than four hundred (400) jobs during Art Week Miami Beach. Event Details: The Untitled Art Fair historically takes place at the Lummus Park Beachfront from 10 to 12 '/2 street, with a back of house location in the Lummus Park spoil area from 11 to 12 street. The event occupies 191,650 square feet on the beachfront and 12,000 square feet of the spoil for approximately 40 days. The Administration works with the event organizers every year during their special event permitting process for a successful activation. As part of the special event permitting process, all special events on public property require a resident benefit, defined as a quantitative, tangible benefit to the residents and local community. The Untitled Art Fair offers discounted tickets to Miami Beach residents each year for their Resident Benefit. History of Current License Agreements: Currently the City only has two (2) license agreements related to special events outside of the Miami Beach Convention Center, which include Miami International Boat and Yacht Show and Design Miami. On October 26, 2017, the Mayor and City Commission adopted Resolution No. 2017-30052, approving a Long -Term License Agreement between the City and Design Miami to occupy Pride Park in connection with the Design Miami Show, for a period of six (6) years from 2018- 2023 with the renewal option. On September 23, 2023, the Mayor and City Commission adopted Resolution No. 2023-32741 approving Amendment No. 1 to the Long -Term License Agreement for an additional five (5) year term inclusive of five (5) consecutive annual shows from 2024-2028. 686 of 2461 On February 3, 2025, the Mayor and City Commission adopted Resolution No. 2025-33468 approving a Long -Term License Agreement between the City and Yachting Promotions, Inc. for the Miami International Boat and Yacht Show to re-establish a portion of the annual Miami International Boat Show on the Indian Creek Waterway, for a period of five years from 2026- 2030. Informa/Untitled Art Fair proposed high-level license agreement business terms as listed below: • Parties: City of Miami Beach (Licensor) and Informa Markets Art, LLC (Licensee), the organizer of Untitled Art. • Premises: Use of the beachfront and adjacent areas east of Ocean Drive between 10th and 13th Streets, as in prior years. • Term: Initial five-year license, with an option to renew for an additional five years. • License Period: Up to 45 consecutive days per year (including set-up and breakdown), generally between early November and late December. • License Fee: Annual fee (initial amount TBD) subject to standard increases, with no extraordinary concessions requested. • Public Benefit: Annual contribution for improvements in Lummus Park or the surrounding area, with community input. • Security Deposit: Licensee to provide a security deposit (amount TBD) before each event period, refundable if all obligations are met. • Food & Beverage: Licensee must honor the City's exclusive sponsorships (e.g., PepsiCo, Red Bull) but otherwise has exclusive rights to provide concessions during the event. • Competing Events: The city will not license the premises for other art shows 30 days before or after Untitled Art (including load-in/out). • Termination: Either party may terminate the agreement without cause before the end of the initial term, with written notice by September 1 prior to the last scheduled show; provisions for refunds and cost reimbursements apply. • City Sponsorship: Recognition as a Show Partner sponsor, with complimentary passes and discounted tickets for residents. Despite the longstanding positive presence of Untitled Art Fair during Art Week Miami Beach and the recommendations of both the PSNQLC and FERC, the Administration continues to have significant reservations regarding long-term license agreements for the beachfront for any events. However, if there is approval from the City Commission to negotiate an agreement, the Administration would recommend terms such as a fair -market license fee based on square footage, a shorter duration, contributions toward traffic mitigation (often considered the largest challenge during Art Week), and very clear benchmarks for continuation of the agreement. Lastly, the Administration is currently in negotiations with Art Basel (ABMB) and strongly recommends that the pending agreement with ABMB be executed before any license agreement is entered into during Art Week. Art Basel, the flagship art fair in Miami Beach and in the City of Miami, held at the Miami Beach Convention Center, creates significant opportunities for the other satellite fairs during that time.
