The term of this Agreement shall commence upon the date of the last Party to execute this Agreement: which shall be referenced as the "Effective Date" on page 1 (above) of this Agreement, and shall expire upon the earlier of (a)one (1)year from th� �ffective Date;(b)issuance by the City's Building Deparimenl of a certificate of completion for the Project, or(c)upon tivritten notification from Ucensee that use of the Staging Site s no longer be necessary, whichever occurs first. B. Termmation for Cause. If Licensee shall fail to fulfill in a timely manner, or otherwise violates, any of the covenants, agreements,or stipulations material to this Agreement, the Gity, thro�gh its City Manager, shall thereupon have the right to terminate this Agreemeni for cause after the expiration of the below notice and cure peripd. Prior to exerclsing its option to terminate for cause, the City shall notify Licensee of its violation of!he particular term(s) of this Agreement and shall grant Licensee thirty (30) days to cure such default. In the event that a default is not reasonably susceptible ro being cured within the thirty (30)day cure period, the Licensee shall not be considered in default if it shall, within such period, commence with due diligence and dispatch to cure such default and thereafter completes with dispatch and due diligence the curing of such default. Except with respect to remediations which may be required under Section 11{B), which may reasonably require an extended cure period, all other cure periods shaH not exceed one hiandred twenty (120)days from the date of written notice thereof In the event Licensee cures any default pursuant to this subsection, it shail promptly provide the City Manager's designee with written notice of same. If such default remains uncured at the end of the cure period, the City may terminate this Agreement upon delivering written notice of termination to Licensee. Upon termination, the Parties shall be fulfy discharged from any and all liabilities, duhes, and terms arising out of, or by virtue of, this Agreement, except those that expressly survive termination hereof including, without limitation, Seccions 7, 11(B) and 13. Notwithstand�ng the above, Licensee shall not be relieved of liability to the City for damages sustained by the City by any breach of the Agreement by Licensee. The Ciry, at its soie opt�on and discretion, shaN be entitled to bring any and all legal and/or equitable actions that it deems to be in its best interest in order *o enforce the City's rights and remedies against Ucensee. The City shali be entitled to recover ali costs of such actions, including reasonaqle attomeys' fees; provided, however, Licensee shail not be liabie for specia;, punitive, or consequential damages. 6. Performance Bond or Alternate Security. Prior to commencing using the Staging Site, Licensee shall furnish to the City Manager or Ciry Manager's designee a payment and performance bond, in the sum of Fifty Thousand and 00/i00 ($50,000.00) Dollars, for which Licensee shall bind �tself for the faithful performance of the terms and conditions of this Agreement. A cash deposit, irrevocable letter of credit, or cercificate of deposit may also suffice, as determined by the City Manager or City Manager's designee, in his/her sole and reasonable discretion. The form of the performance bond or alternate security shall be reasonably approved by the City's Chief Financial Qf'icer. In the event that a certificate of deposit is approved, it shall be a Fifty Thousand and 00/100($�0,000.00)Dollar one-year certificate of deposit in favor of the City, which shall be automaticafiy renewed, the original of which shall be held by the City's Chief Financiat �fficer. Licensee shall be required to ma�ntain said performance bond or alternate 2 security in full force and �ffect threughou; ti�e tern� of th�s Agreemer.t. L�censee snall have ar affirmative duty to notify the City Manager or City Manager's designee, in�uritin�, in the event said perfarmance oond or alternate security lapses or otnerwise expires. All interest that accrues �n connection with any financial instruirent o�siam of rnoney referenced ak�ove shall be the property of Licensee, except in an event of default, in which case thc City sh�li be entitled to all interest that accrues after the date of default. 7. Indemnification. Licensee shal{ ;ndemn fy hold 'narrniess and defend the City, and its off�ciais, directors, members, empioyees,contraetors,agents,and servarits from and against any and all actions(whether at law or inequity},claims, liabilities, losses,and expenses, including: but not limited to, attorneys' fees and costs, for personal, economic or bodily injury, wrongful death, loss of or damage to property, which may arise or be alleged to have arisen from L.icensee's performance of its activitiss under this Agreement or use of the 5taging Site. To that extent, Licensee shall pay all such claims or losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such c�aims and losses, and shall pay all costs anci attorneys'fees expended by the Cily in the defense of such claims and fosses, including appeals; provided, howPver, Licensee shall not be liable for special, punitive, or consequential damages. This Section 7 shall survive the�erminatlon or earlier expiration of this Agreement. 8. Insurance. Licensee shali not commence use of the Staging Site under this Agreement until al:• insurance required under this section 11as been obtained and such insurance has been approved by the City's Risk Manager. Licensee shall carry and maintain the following insurance coverages during the term of this Agreement: A. Worker's Compensation Insurance as required by Florida, with Statutory limits and Employer's Liability insurance limit of no less than$1,000.000 per accident for bodily injury or disease. B. Commercial General Liability Insurance on an occurrence basis, including products and completed operations, contractual liability, property damage, bodily injury and personal& advertising inj�ry for vehicles while in the Licensee's care, custody and control with limits no less than$1,000,000 per occurrence,and$2,000,000 general aggregate. City of Miami Beach must be shown as an additional insured with respect to this coverage. C. Automobile Liabili?y Insurance covering all owned, non-owned and hired vehicles used in connection with the work, in an amount not less than �1,600,OOQ combined single limit per occurrence for bodily injury and property damage. Additional Insured Status The City of Miami Beach must be covered as an additional insured with respect to liability arising out of work or operations performed by or on behalf of the Licensee. �Vaiver of Subro�ation Licensee hereby grants to the City of Nliami Beach a waiver of any right to subrogation which any insurer of the Licensee may acquire against the City of Miami Beach by virtue of the payment of any loss under such insurance. Licensee agrees to obtain any endorsement that may be necessary to affect this waiver of subrogation, but this provisian applies regardiess of whether or not the City of Miami Beach has rece�ved a waiver of subrogation endorsement from the insurer. Acceptability of Insurers The insurance musf be(urnished by insurarlce companies authorired to da business in the State of Florid�. Ail insurance policies must be issucd by companies rat�d no (ess than "A-" as to management and no ;ess than "Class VI" as to strength by the latest edition 3 of Best�s Insurance Gt�ide, publish�d by A.M. All certificates of insurance ancl endorsements are ta be received prior to any work commencirg. F{owever, failur�e to obtain ihe reG�:ired covera�e priar to the work beginning shail nc>t waive the Licer�see's oblig�tivn to provide fhem. Timely renewa; certificates will be provided to the City as coverage renews. Licensee's insurance shaN be primary arid rtot contributory for direct claims arising out of the AgreemeM under the Commercial General Liability policy. In the event of an alleged ciaim under this l�greemenT, the City reserves the right, upon reasonable notice to Licensee, to examine the originai or true copies ot al! insurance policies, including endorsements required by these specifications. Licensee agrees to permit such inspection at the offices of Licensee. Special Risks or Circumstances The City of Ntiami Beach reserves The right to modify these requirements, u�cluding Iimits, �ased on the nature of the risk, pr;or experience, insurer, coverage, or other special circumstances. Inspection. The City shali have the right to inspect the Staging Site (including, without limitation, Licensee's Praperty thereon) at any time by the City Manager's designee or by any other municipal, Gounty, State officer, or officers of any other agency(ies) having respons+bility and/or jurisdiction for inspections of such operations Upon at least*wenty-four hours prior written notiee, except in the evenY of an emergency Licensee hereby waives all claims against the City for compensation Eor loss or damage sustainet! by reason of any interference with Licensee's operations as a resul; of inspection by any aublic agency{ies) or officials, (including, without limitatian, by reason of any such public agency or official in enforcing any laws, ord'+nances, or regulations as a result thereof}, unless caus�C by the City's gross negligence or intentional misconduct. 10. Licensee agrees not to use or permit the stor�ge ancllor use of gasoline, fuel oiis, dresel, illumir,atinq oils, oil lamps, combustible powered electricity producing generatars, turpentine, b�nzene, naphtha, propane, natura� gas, or other similar substar,ces, combustible materiais, or expios�ves of any kir.d, or any substance or thing prohibited in the standard polici�s of fire insurance comp�nies in the State of i=lorida, on or�nrithin the Staging Site, or an any City property and(or right o?way. Notwithstanding the foregoing, �icensee shal{ be permitted to store construction equipment, construction vehicles, and constructian matcri�ais, indudiny pvc pip�s in connectior. with the Project at the Staging Site. Further, for purpases of this Agreement, materials in the process of being prepared and laid out far installation, andlor equipment actively �Norking or in the process being readied for installation of Licensee's improvemenfs shaii not be consid�red storage. E3. Licensee shall indemnify and hald the City harmless from any (oss, damage, cost, or expense of the City, including, without limitation, reasonable attomey's fees, incurred as a result of, arising from, or connected with the placement by Licensee of any"hazardous substance"or"petroleum products"on, under, ir or upon the Staging Site as those terms are defir;ed by applicable Federal ar,d State StatUte, or any environmental rules and environmental regulations promul,yated tl�ereunder; provided, iiowever, Licensee shall have no liability in the even� of the wilifuf misconduct or gross negligence of the City, its agents, servants or ernp{oyees. The provisions of this Section 11.8 shall survive the termination or earlier expiration af this Agreement. 12. Storm V�later Pollution Prevention Plan. Liccnsee shali submit a Storm-water PoNution Prevention Plan for the Stagirc� 5ite within sixty (60} days of the Effecfive (�ate. The purpose of this Plan is to reduce the potentia! of sediments and construction debris from entering the City's storm water system from the Licensee's constructior staging activities: A. The Licensee shauld dascribe and provide indication on a site map of ali erosior� and sediment contrals and storm water best management practices to reduce erosion, sedirnentation, and storm water pol{ution. Tt�ese controls may include silt fences, entrance/exi; controls, storm drain inlet protection: ard re!nforced soil retaining systems. 7he Licensee should establish a maintenance �lan for ail structural ancl r�on-structural cantrols ta assure that they remain in good ar�d effec:ive operating conditian. B. The �icensee should impiamert good hpuselceeping :echniques to reduce contamir,ation of storm water runoff. The Licensee should describe in detail controls for the followinc� p�tentiai pollutants: (i,l waste disposa{, this may include;construction debris, chei�icals, litter, and sanitary waste; (ii) offsite vehicle tracking from cons�ruction entrances/exits; and {iii} the storage, applicat:on, generation anci migration of ail toxic substances. � C. Tne Licensee should implement gooci housel<eeping techniques to elimina[e contamination of site from machinery oi! and fluici, ;emporary constructioii bathroom fac�lity, contaminated so�l or any other contamin�ted material. 13. Surrender �f Sta iq nG Area/Licensee's Obliqation_for �estoration, Prior ta expiration, or earlier termination of this Agreement, Licensee shall immediate(y surrender the Staging Site, rernove Licensee's property froir, the Staging Site, and restore the Staging Site to the same condition as existed immediately prior to the Effective Date of this Agreement. Licensee's obligation to observe or �erform this covenant shall survive the expiration or earlier termination of this Agreement. Coniinued occupancy of the Staging Site after expiration, or early termination, of the Agreement shali constitute trespass by the Licensee, and may be prosecuted as such. Additionaliy, the Use Fee shall continue to accrue until such time as Licensee has completely surrendered the Staging Site, removed ali of Licensee's property and restored the Staging Site. 14. Constructian of Aqreement. The Parties to this Agreement have substantially contributed to the drafting and negotiation of this Agreement,and this Agreement shall not, solely as a matter of;udiciai construction, be construed more severely against one of the F arties than any other. The Parties acknowledge that they have thoroughly read this Agreement, including all exhibits and attachments hereto, and have sought and received what�ver competent legal advice and counsel was necessary for them to form a fu!! and complete understanding of �II r;ghts and obligations herein 15. NOW, THEREFORE, and in consideration of the mutuai promises, covenanis, agreements. terms and conditions, herein contained,and other good and valuabie consideration the recelpt and adequacy of which are hereby acknowledger., the Parties hereto do agree as foliows: 1. City �,�lanaqer's Designee. For purposes of administering tnis Agreement on behalf of the Ciry, the City ti-lanager s Designee shall be the Pub(ic Works Department Director 2. Permitted Uses. Licensor hereby grants to Licensee a license to occupy and use that certain portion of the City's croperty as more particularly described in the sketch and legal descriptio^ attached hereto as Exhibit "A" and incorporated herein by th�s reference ("Staging SiEe"), subject to all of the terms anC conditions hereof. Licensee may occupy and use the Staging Sites solely for the purpose of staging construction equipment, parking constr�ction vehicles and storage of construction materials, including pvc pipes and cable reels, m connection w�th the utility undergrounding work being undertaken by the Licensee along Michigan Avenue with the Staging Site being located along the South perimeter of the Miami Beach Golf Club property, wh�ch Is the sub�ect of City of Miami Beach permit numher RWP0525-13355 (hereinafter referred to as the "ProjecY'). As a condition precedent to using the Stagmg Site, Licensee shali be required to instali an at least six (61 foot high construction fence with windscreen around the Staging Site. Licensee shall be respansible for securing any required governmental approvals/perm:ts from the City's Building Department m connection with lhe installation of the fence and the approved uses During the term of this Agreement Licensee shall be responsible for maintaining, repairing and repiacing, as needed, the windscreen and fence in order to keep it in good repair Licensee shall onfy be permitted to access the Staging Site from the public right-of-way, through an area mutually agreed upon oy the parties and reflected on Exhibit `A' If at the time the parties execute this Agreement the access point has not been determined, Exhibit "A" shall t�e amended to include the access point once determi�ed. 3. No improper Use Licensee will not use, nor suffer or permit any person to use, in any manner whatsoever. the Staging Site for any iliegal use or for any otner purpose in violation of any Federal, State, County; or municipal ordinance, rule. order or regulation, or of any governmental rule or regulation now .n effect or hereafter enacted or adopted Licensee wiii protect, indemrnfy, and forever save and keep harmless the City, its officials,employees,contractors, and agents from and against damage, penalty, fne, judgment, expense or charge suffered, imposed, assessed or incurred for any violation, or breach of any iaw, ordinance, rule, arder or regulation occasioned by any act, ne^ylect or omission of Licensee, or any official director. agent, contractor, or servant of Licensee arising out of Licensee's use of the Staging Site, provided, however. Licensee sha�l not be liable for special, punitive, or consequential damages. In the event of any violation of the terms of this Section 3 of the Agreement by Licensee, the City shall have the right to suspend the use of the Staging Site should Licensee fail to correci any such violation within seventy-two (721 hours following written notice of the nature and extent of such violation Such suspension shall continue until the violation is cured. 4. Use Fee. Licensee shall pay the City a "Use Fee" in the amount of $18,000.00 per year. The Use Fee shall be payable in advance,on a monihly basis, in the amount of$1,500.00 per 1 rnonth, due on the `irst oay of eacn month �luring tn� tFrrn of t171s Agreement I he Use Fec rur any partial month s�all be prorated, oased upon the number of days in the given i7ionth. 5 Term/Termination A. 7erm. The ferm of this Agreement shall corr�rnence upon the date of the last Party to execute this Ayreemert, which shall be referenced as the "Effective Da#e" on page i (above)of this Agreement, and snall exp�re upon the earlier of: (a)one (1) year flom the Effective Qate;(b)issuance by the City's Duildiny Department of a certificate of completion for the Project; or(c) upon written notificatioii from Licensee tt�at us� of the Staging Site is na longer be necessary, whichever occ,urs flrst. B. Termination for Cause. if Licensee shai; fail to tulfill in a timely manner, or othen�vise violates, any of the covenants, agreements,o�stipulatians rr�aterial to tY�is Agreement,tlie City, through its City Manager, shall thereupon have the right to terminate this Agreement for cause after the expiration of the below notice and cure period. Prior to exercising its option to terminate for cause, the City shall natify 1_icensee of its violation of the partic�dar term(s) of thls Agreement and shall grant Licensee thirty (301 days to cure such default. In the event !hat a default is not reasona�ly susceptible to bemg cured within the thirty (30)day cure period, the Licensee shall nat be considered in default if it shall,within such period, commence with due diligence and dispatch to cure such defauit and thereafter completes+Nith dispatch and due diligence the curing of such default. Except with respect to remediations vvhlch may be required under Section 11(B), which may reasonabiy require an extended c,ure period, all other cure periods shall not exceed one hundred twenty(120)days from the date of written notice thereof. ir the event Licensee cures any default pursuant to this subsection, it shall prornptiy provide the City Manager's designee with written notice of same. If such default remains uncured at the end of the cure period, the City rr�ay terminate this Agreement u�or. delivering written notice of termination to Licensee. Upon termination, the Parties shall be fully discharged from any and ali liabilities, duties, and terms arising out of, or by virtue of, this Agreement, exce�t those that expressly survive terrnination hereof including, without limitation, Sections 7, 11(B) and i3. Notwithstanding tne above, Licensee shall not be relieved of liabiiity ta the City for damages sustained by the City by any breach of the /�greement by Licensee. The City. at its sole option and discretion,shall be entitled ta bring any and all legal and/or equitable actions that it deems to be in its best interest in order to enforce the City's rights and remedies against Licensee The City shafl be entitled to recover al� costs of such actions, including reasonable attorneys' fees; provided, however L.icensee shall �ot be liable `or special, punitive, or consequential darnages 6. Per�ormance Bond oe Alternate Securi�. Prior to cornmencing using the Staging Site, Licensee shall furnish to the �ity Ulanager or City Manager's designee a payment ana performance bond, in the sum o# Fifty Thousand and 001100 ($50,UOO.UO) Dollars, for which Licensee shall binC itself for the faithful pe�form�nce of the terms and conditions of th�s Agreement. A cash deposit, irrevocable letter of credit, or certificate of d�posit may also suffice, as determined by the City Manager or City Manager's designee, in h�s/her sole and reasonable discretion. The form of the perfo•�mance bond or aiternate secunty shail be �easonably appraved by tt�e City's Chief Financial Officer. In the evert that a certificate of deposit is approved, i:shall be a Fifty Thousand and 00/10C ($50,000.00)Doilar one-year certificate of deposit in favor of the Gity, which shall be autornaticafly renewed, the original of which shall be held by the City's Chief Financial Officer. Licensee shall be required to maintain said perforiY�ance bond or alternate security in full force and effect throughout tne term of this Agreement. Licensee shall have an 2 affirmative duty to notify the Cir,�ibtanager o,City P,1anager's tlesiynee,in w�liing, in the e�venl sa�cl performance bond or alternate security lapses or otherwise expires. Licensee shali inderr�nify, hold harmless and defend the C�ty, and its officiaVs, directors, members,employees, contractors,agents,and servants from and agaii�st any and all actions(whether at law or inequity}, daims, liabilities, losses, and expenses, including, but not limited to, attorneys' fees and costs, for personal, economic or bodily injury wrongful death, loss of or damage to property, which may arise or be alleged to have arisen from Licensee's performance of its activities under this Agreement or use of the Staging Site. To that extent, Licensee shall pay �11 such claims ar losses and shall pay al! such costs and judgments which may issue from any lawsuit arising from such claims and losses, and shall pay ail costs and attorneys'fees expended Qy the Gity in the defense of such claims and losses, inciuding appeals, provided, however, Licensee shali not bc liable for special, punitive, or consequential damagcs. This Section 7 shalV survive the ter,mination or eariier expiration of this Agreement. 8. fr,surance. l.icensee shall not commence use of the Staging Site under this Agreement until all insurance required under this section has been obtained and such insurance has been a�proved by the City's Risk Manager Licensee shall carry and maintain the following insurance coverages during the term of this Agreement: A. Worker's Compensation Insurance as required by Florid�, with Statutory limits and Employer's Liability Insurance limit of no less than$1,000,000 per accident for bodily in;ury or disease. B. Commercial General Liability Insurance on an occurrence basis, including products and completed operations, contractual liability, property damage, bodily injury and personal& advertising injury for vehicles while in the Licensee's care, custody and control witn limits no less than$1,000,000 per cccurrence, and$2,000,000 general aggregate. City c�Miami Beach must be shown as an additional insured with respect te this coverage. C. Automobile Liability Insurance covering all owned, non-owned and hired vehicles used in connection with the work,in an amount not less than$1,000,000 combined single limit per occurrence for bodily injury and property darnage. Additionai Insured StatGs The City of Miami Beach must be covered as an additional insured with respect to liability arising ouf of work or operations perf'ormed by or on behalf of the Licerisee. �I+laiver of Subro�,ation Licensee hereby grants to the City of Miami Beach a waiver of any right to subrogation which any insurer of the Licer�see may acquire against the City of Miami Beach by virtue of the payment of any loss under such insurance. Licensee agrees to obtain ar�y endorsement that may oe necessary to affect this waiver of subrogation, but this provisior applies regardless of whether or not the City of Miami Beach has received a svaiver of subrogation endorsement from the insurer. Acceptability of Insurers. The insurance must be furnished by insurance companies authorized 'to do business in the State of Florida. The Gity shail have the right to inspect the Staging Site (including, without limitatior, Licensee's Property thereon} at any timP by the City Manager's designee or by any other muricipal, County, State officer, or officers of any other agency(ies) having responsibility and/or jurisdiction for inspections of such operations upon at least twenty-four hours prior written notice, except in the event of an emergency Licensee hereby waives ali claims agair!st the City for compensation for loss or damage sustained by reason of any interference with L.icensee's operations as a ��esuit of inspection by any public agency(ies! or officials, (including, without limitation, by reason oi any such public agency or official in enforcing any iaws, ordinances, or regulations as a resuit thereof). unless c�used by the City's gross negligence or 'ntentional misconduct. 10. Licensee agrees not to use or permit th�storaye�ndior use of gasoline, fuel oiis, diesef, illuminating oi(s oil lamps, combustible powered electricity producing generators, turpentine, benzera, naphtha, propane, natural gas, or oi(ier similar substances, comb�stible materials, �r exptosives of any kind o�� any substance or thing prohibited in tr�e stand�rd pclic�es af fire insurar��ce compariies ,n the State of Florid�,, on or within the Staging Site, or on any City pr�perCy andfor right of way. Licensee shall submit a Storm-water pollution Preventian Plan for the Staging Site within sixty (6G) days of the Fffective Date. The purpose of ihis Plan is to reduce t(-�e patential of sedimenfs and construction debris frorn entering the City's storm v�rater system from the Licensee's construction sfaging�ctivities: � The t_icensee should describe and �rovidc indication on a site rnap of all erosion and sediment conirols and storm water best management pr�actices to reduce erosion, settimerztation, and storm water pollution. These controls r�zay incl��de sil2 fences, entrancetexit controls, storm drain inlet protection, and reinforceci soil retaining systems. The Licensee should estabiish a maintPnance plan for ail strucfi�ra'. and non-structural cantrols to assure that they remain in good and effective operating conditipn. 8. 1'he Licensee stiould implement good housekeeping techniques io reducP cantamination of storm water runoff. The Lic�:nsee shoufd describe ir� detail controis for the following potential pollutar�ts: (i} waste disposai, this may include c�nstruetion debris,chemicals, litter, and sanitary waste; (ii} offsite vehicle tracking fr�m construction entrances!exits, and (iii� the storage, application, generahon and migration of all toxic substances C.
