WHEREAS, at the February 3, 2025 meeting of the City Commission, an agenda item was referred to the Finance and Economic Resiliency Committee ("FERC") to evaluate a potential intergovernmental agreement between the City of Miami Beach ("City") and North Bay Village ("NBV") to enhance transit connectivity between the two municipalities; and WHEREAS, on March 26, 2025, the FERC considered the item and recommended that the City Administration ("Administration") proceed with a pilot shuttle service operating during the monthly Culture Crawl events to provide connectivity between North Beach and NBV; and WHEREAS, the Culture Crawl is a recurring monthly event held on the third Thursday of each month, providing free public access to cultural institutions and programming throughout Miami Beach; and WHEREAS, the Administration implemented a shuttle pilot program beginning in May 2025, consisting of three (3) trolley vehicles operating approximately four (4) hours per event, designed to provide a direct connection between key destinations in North Beach and NBV; and WHEREAS, the pilot program has demonstrated moderate but consistent ridership, with average utilization exceeding 150 passengers per event, and has provided valuable operational and demand data; and WHEREAS, on October 24, 2025, NBV provided a Letter of Intent confirming its participation in the pilot program and its commitment to contribute $960 per Culture Crawl event for the program period spanning May 2025 through July 2026; and WHEREAS, the proposed MOU formalizes the roles, responsibilities, and financial participation of NBV, including funding for thirteen (13) Culture Crawl events, totaling $12,480; and WHEREAS, the Administration has negotiated the MOU, attached to the City Commission Memorandum as Exhibit A, in accordance with the direction provided by the FERC, establishing a clear framework for continuation of the pilot program through the 2025-2026 Culture Crawl season. RECOMMENDATION The City Administration ("Administration") recommends that the Mayor and City Commission ("City Commission") adopt the Resolution approving, in substantial form, the Memorandum of Understanding ("MOU") between the City of Miami Beach ("City") and North Bay Village for North Bay Village's participation in the Culture Crawl Trolley Program, and authorizing the City Manager to execute the final MOU. BACKGROUND/HISTORY At the February 3, 2025 City Commission meeting, at the request of Commissioner David Suarez, the City Commission referred an agenda item (C4 AY) to the Finance and Economic Resiliency Committee ("FERC") to discuss a potential intergovernmental agreement between the City and North Bay Village to extend transit connectivity between the two municipalities. At the March 26, 2025 FERC meeting, the Administration presented two (2) potential pilot program options. Following the discussion, the FERC recommended that the Administration proceed with Option 2 consisting of a shuttle service pilot program operating during monthly Culture Crawl events to provide connectivity between North Beach and North Bay Village (the "Culture Crawl Trolley Program"). Culture Crawl is a recurring monthly event held on the third Thursday of each month from October through July of each year, providing free public access to cultural institutions, programming, and activities throughout Miami Beach. The pilot program leverages this existing activation to test a transit connection between the two jurisdictions in a cost-effective and operationally feasible manner. Following the FERC meeting, the Administration coordinated with North Bay Village to formalize North Bay Village's financial participation in the Culture Crawl Trolley Program. On October 24, 2025, North Bay Village, through its Village Manager, provided a Letter of Intent confirming its intent to fund the Culture Crawl Trolley Program for the Culture Crawl season spanning from May 2025 through July 2026 (Attachment A). Pursuant to North Bay Village's commitment letter, the Administration has negotiated an MOU with North Bay Village to establish the roles, 897 of 1709 responsibilities, and North Bay Village's financial participation for the Culture Crawl Trolley Program from May 2025 through July 2026. ANALYSIS The Administration initiated the Culture Crawl Trolley Program in May 2025 as a pilot program. The pilot program operates on the third Thursday of each month in conjunction with Culture Crawl events and consists of three (3) dedicated shuttles operating for four (4) hours per event (6:00 p.m. to 10:00 p.m.), with average headways of approximately 15 minutes. The service is designed as a focused, point-to-point connection between key destinations in North Beach and North Bay Village. The route includes several strategically located stops within North Bay Village (e.g., Harbor Island Drive, Adventure Avenue, East Treasure Drive, and City Hall) and in North Beach (e.g., 71 Street, Normandy Fountain, and the Bandshell), providing direct access to cultural programming and community activations in the area. From a financial perspective, the Culture Crawl Trolley Program is fully -funded by North Bay Village at a rate of $960 per event, covering the operation of three (3) shuttles at $80 per service hour per vehicle, for a four (4)-hour period. Based on observed performance to date, the service has demonstrated moderate but consistent utilization, with average ridership generally exceeding 150 passengers per event. Operationally, the Culture Crawl Trolley Program has proven to be efficient and scalable. Additionally, the pilot has provided valuable real -world data on passenger demand, which is critical for evaluating the effectiveness of the pilot program and the feasibility of any future permanent service expansion. The proposed MOU formalizes North Bay Village's financial participation and establishes a clear framework for continuation of the Culture Crawl Trolley Program through the 2025-2026 Culture Crawl season. Continued monitoring of ridership, operational performance, and community feedback will inform any future consideration of a potential long-term transit connection between Miami Beach and North Bay Village. FISCAL IMPACT STATEMENT The Culture Crawl Trolley Program is fully funded by North Bay Village. The cost is $960 per event, which covers the cost of operating three (3) shuttles for the duration of each Culture Crawl event. The MOU includes a total of thirteen (13) Culture Crawl events (from May 2025 through July 2025 and from October 2025 through July 2026), resulting in a total anticipated financial contribution of $12,480 from North Bay Village. As part of our ongoing efforts to improve public transportation access and connectivity in our region, I would like the Committee to explore the possibility of expanding the Miami Beach Trolley Route to include North Bay Village. This extension would provide an additional transportation option for residents, visitors, and workers traveling between Miami Beach and North Bay Village, enhancing both the accessibility and convenience of public transit in the area. To facilitate this discussion, I recommend that the Administration engage in preliminary talks with North Bay Village staff to identify potential trolley stop locations, as well as to gather an estimate of the costs associated with expanding the route. Additionally, the Administration should work with both the City of Miami Beach and North Bay Village to explore feasible cost -sharing arrangements for this expansion. Other relevant factors such as operational logistics, ridership estimates, and any additional considerations that could impact this project should also be reviewed. WITNESSETH WHEREAS, the City operates a recurring monthly "Culture Crawl," a cultural engagement initiative providing free evening access to cultural institutions, venues, and public programming throughout Miami Beach; WHEREAS, the City provides trolley services as part of the Culture Crawl to facilitate public access to program locations; WHEREAS, NBV began participating in the Culture Crawl program in 2025, providing financial support for Culture Crawl events held in May, June, July, and October 2025; WHEREAS, NBV previously committed to funding Culture Crawl events held in May, June, July, and October 2025; WHEREAS, NBV has expressed its intent to continue participation in the Culture Crawl Trolley Program for the upcoming season spanning October 2025 through July 2026; WHEREAS, NBV has committed to contributing $960 per Culture Crawl event, representing the cost of three trolleys provided by CMB at a rate of $80 per hour per trolley for a four-hour period; WHEREAS, NBV's participation supports the regional cultural ecosystem and expands access for NBV residents to Miami Beach cultural offerings; and WHEREAS, the parties desire to memorialize their mutual commitments and responsibilities as related to the Culture Crawl Trolley Program. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows: 1. Purpose. The purpose of this MOU is to establish the responsibilities and financial commitments of CMB and NBV regarding NBV's participation in the Culture Crawl Trolley Program for the period of May 2025 through July 2026. 2. Term. This MOU shall cover the following Culture Crawl periods: • May 2025 — July 2025 (3 events) • October 2025 — July 2026 (10 events) 902 of 1709 The MOU shall begin on the Effective Date and shall remain in effect through July 31, 2026, unless earlier terminated or extended in writing by both Parties. This MOU may be extended upon written agreement of both Parties. Any extension must be documented via a written amendment signed by both Parties. 3. NBV Monetary Contributions. Per -Event Contribution: NBV shall contribute $960 per Culture Crawl event, representing NBV's share for trolley operations during each monthly Culture Crawl. Total Contribution: For the 13 Culture Crawl events described herein, the anticipated total contribution from NBV is: $960 x 13 events = $12,480 NBV shall make payment to the City within ten (10) days of execution of this MOU, unless otherwise agreed to in writing. 4. NBV Nonmonetary Contributions. NBV shall: • Provide timely payment as described in Section 3. • Promote the Culture Crawl to NBV residents through its communication channels. • Coordinate any NBV-specific logistics or participation items as mutually agreed. 5. CMB Contributions. CMB shall: • Provide three trolleys for each Culture Crawl event attended by NBV residents. • Operate the trolleys for a four-hour duration per event. • Coordinate the Culture Crawl programming, routing, marketing, and operations. • Provide NBV with an annual summary of event activity upon request. 6. Termination for Convenience. Either Party may terminate this MOU with thirty (30) days written notice, for any reason or no reason. If the MOU is terminated for convenience by NBV, NBV shall pay the City for any services performed up to the date of termination. 7. Termination for Cause. If NBV shall fail to timely pay the City as required hereunder, the City, through its City Manager, shall have the right to terminate this MOU for cause. Prior to exercising its option to terminate for cause, the City shall notify NBV of its violation of the particular term(s) of this MOU and shall grant NBV five (5) days to cure such violation. If NBV fails to cure such default within the cure period provided, the City may terminate this MOU without further notice to NBV. Upon termination, the City shall be fully discharged from any and all liabilities, duties, and terms arising out of, or by virtue of, this MOU. However, NBV shall not be relieved of liability to the City for damages sustained by the City for any breach of this MOU by NBV. 8. Records. NBV agrees to keep and maintain separate and independent records, in accordance with generally accepted accounting principles, devoted exclusively to its obligations and activities under this MOU. The City or its authorized agent shall have 903 of 1709 the right to audit and inspect such records from time to time during the term of this MOU, upon reasonable notice to NBV. 9. OIG. Section 2-378 of the City of Miami Beach City Code is hereby incorporated herein by reference. 10. Entire Agreement. This document constitutes the entire agreement between the parties regarding NBV's participation in the Culture Crawl Trolley Program, and supersedes all prior negotiations, correspondence, conversations, agreements or understandings applicable to the matters contained herein, and there are no commitments, agreement or understandings concerning the subject matter of this MOU that are not contained in this document. Title and paragraph headings are for convenient reference and are not intended to confer any rights or obligations upon the parties to this MOU. 11. Public Records. The City and NBV are subject to Chapter 119 of the Florida Statutes (the "Public Records Law"). This MOU and any related documents and/or correspondence shall become a public record subject to the Public Records Law. The parties shall maintain their own respective records and documents associated with this MOU in accordance with the requirements for records retention set forth in the Public Records Law. Each party shall be responsible for compliance with any public records requests served upon it in accordance with the Public Records Law. 12. Compliance with Laws. Each party shall comply with all applicable federal and state laws, codes, rules and regulations in performing its duties, responsibilities and obligations pursuant to this MOU. 13. Governing Law and Venue. This MOU shall be construed in accordance with the Laws of the State of Florida. The venue for any dispute with respect to this MOU shall be in Miami -Dade County, Florida. CMB and NBV shall be responsible for their respective attorney's fees and costs incurred as a result of any action or proceeding under this MOU. 14. No Waiver of Sovereign Immunity. Notwithstanding any other term in this MOU, nothing herein shall be deemed a waiver of the City's or NBV's sovereign immunity, sovereign rights, or limitations of liability as provided by Section 768.28, Florida Statutes, as may be amended from time to time. 15. Preparation of Agreement. The parties acknowledge that they have sought and obtained whatever competent advice and counsel as was necessary for them to form a full and complete understanding of all rights and obligations herein and that the preparation of this MOU has been their joint effort. The language agreed to herein expresses their mutual intent and this resulting MOU shall not, solely as a matter of judicial construction, be construed more severely against one of the parties than the other. 16. Amendments. No modification, amendment, or alteration in the terms or conditions contained herein shall be effective unless contained in a written document prepared with the same formality as this MOU and executed by each party hereto. The City Manager of the City of Miami Beach, Florida, on behalf of CMB, shall be authorized to 904 of 1709 execute any amendment or extension of this MOU. The City Manager of North Bay Village, Florida, on behalf of NBV, shall be authorized to execute any amendment or extension of this MOU. 17. Waiver. There shall be no waiver of the right of any party to demand performance of any of the provisions, terms and covenants of this MOU nor shall there be a waiver of any breach, default or nonperformance hereof by any party, unless such waiver is explicitly made in writing by the such party. 18. Force Maieure. No fault, delay, or failure to perform on the part of any party to this MOU shall be considered a default, delay or failure to perform, if such a default, delay or failure to perform is due to causes beyond the parry's reasonable control (e.g., hurricane and other acts of God, war, terrorist attacks). In the event of such default, delay, or failure to perform, the performance of the provisions contained herein may be extended upon mutual agreement of all parties. 19. Notice. Any notices given hereunder shall be in writing and shall be deemed to have been given if sent by . The parties designate the following for notice purposes: For the City: For NBV: 20. Authority. Each party warrants and represents that the person signing this MOU on its behalf has full legal power to execute this MOU on behalf of the party for whom he or she is signing and to bind and obligate such party with respect to all provisions contained in this MOU.
