Florida 33139 ('CMB"), The School Board of Miami -Dade County, a body corporate and political subdivision of the State of Florida, having its principal place of business at 1450 NE 2nd Avenue Miami, Florida ("M- OCPS"), and Barry Un"mity, Inc., a Florida not-for-profl corporation, whose principal place of business is 11300 N.E. Second Avenue, Miami Florida 33161 (-Sarry') (CMB, M-DCPS and Barry may ba individuallyy referred to as a parry or collectively as parties), is entered into this day offi/10/2026111:OB, ryIQBDT ('Effective Date'): WHEREAS, on July 1, 2025, Barry and M-DCPS entered into that certain Dual Enrollment Articulatim Agreement (as may be amended from time to time. the 'Articulation Agreement') incorporated herein by reference, to promote educational oppoduni0se through the dual enrollment program in Miami - Dade County: and WHEREAS, on May 21, 2025. the Mayor and Ciry, Commission adopted Resolution No. 2025- 33653, approving an agreement between CMB, M-DCPS and Barry for the addition of Barry as a partner to provide dual enrollment courses at Miami Beach Senior High School: and WHEREAS, on January 20.2026, me CMB, M-DCPS, and Barry executed the Agreement outlining each party's obligations in connection with providing dual enrollment courses for college credit to students allwding Miami Beach Senior High School. NOW,THEREFORE, in consideration of me mutual promises and conditions contained herein, and other good and valuable consideretien, the sufficiency of which is hereby acknowledged M-DCPS, CMB and Barry agree to emend the Agreement as follows: 1. ABOVE RECITALS. The above recitals are true and conect and are incorporated as part of this Amendment. 2. The principal of the applicable School shall be responsible for proposing prospective teachers for the crederdialing process. D. Policies and Procedures atthe Schoolfs). Venue and Waiver of Jury Trial, This Agreement shall be construed in accordance with the laws of the State of Florida. This Agreement shall be enforceable in Miami - Dade County, Florida, and if legal action is necessary by either party with respect to the enforcement of any or all of the terms or conditions herein, exclusive venue for the enforcement of same shall lie in Miami -Dade County, Florida. By entering into this Agreement. the parties expressly waive any rights either party may have to a trial by jury of any civil litigation related to or arising out of this Agreement.
