HomeMy WebLinkAboutAmendment No. 1 to the PSA btween the CMB & Blue Iguana Pest Control, Inc., d/b/a Iguana Control Pursuant to RFQ 2023-007-WGDocusgn Envelope ID: EC9893C0-3E3941C7M004AEED58C6046C 2-0 S-- 33c+a '-e DO ign Enmgo ID: 9D2F7467.M6B 98B-8051479F0B6C494 AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND BLUE IGUANA PEST CONTROL, INC, d/b/a IGUANA CONTROL PURSUANT TO RFQ-2023-007-WG FOR IGUANA REMEDIATION SERVICES 7120/2026I 9:57 EDT This Amendment No.1 ("Amendment') to the Agreement, dated December 24, 2024. by and between the CITY OF MIAMI BEACH, FLORIDA (the "City"), a municipal corporation organized and existing under the laws of the State of Florida, having its principal place of business at 1700 Convention Center Drive, Miami Beach, Florida 33139, and BLUE IGUANA PEST CONTROL, INC, d/b/a IGUANA CONTROL, a Florida corporation, having its principal place of business at 1440 Coral Ridge Drive, Suite 460, Coral Springs, Florida, 33071 (the "Contractor'), is entered into this _ day of , 2026 and is retroactively effective as of October 1, 2025 ("Effective Date") and hereby amends the Agreement as follows: RECITALS WHEREAS, on June 28, 2023, the Mayor and City Commission adopted Resolution No. 2023-32622, pursuant to Request for Qualifications ("RFQ") No. 2023-D07-WG for Iguana Remediation Services, authorizing the City Administration to enter into negotiations with Contractor, the lop -ranked proposer, to serve as the primary contractor; WHEREAS, on December 24, 2024, the City and Contractor executed the Professional Services Agreement for Iguana Remediation Services Pursuant to RFQ No. 2023-007-WG (the "Agreement"); WHEREAS, the Contractor was awarded as the primary contractor for all locations; WHEREAS, the Contractor provided fixed pricing in a monthly lump sum per location; WHEREAS, during the FY26 budgeting process, the budget allocated for iguana remediation services was reduced by half; WHEREAS, to complete the City's iguana remediallon efforts and to continue using the Agreement as intended, it is necessary to amend the Agreement to convert the monthly and annual fees into hourly rates; WHEREAS, the Contractors original monthly negotiated rate for each "Active' and "Additional" location has been divided by the estimated hours allocated to each location, and the resulting hourly rate is the new negotiated rate for each location; WHEREAS, the hourly rates are reflected in the Revised Exhibit B, Fees for Active Locations, attached hereto and incorporated herein by reference; WHEREAS, the hourly rates have been used by the Contractor and the City to accommodate the budget reduction for the services and to provide the City with the flexibility to increase or decrease services per location since the budget reduction; and WHEREAS, therefore, this Amendment is retroactively effective as of the Effective Date. ABOVE RECITALS. The above recitals are true and correct and are incorporated as parl of this Amendment. 2. MODIFICATIONS The Agreement is hereby modified (deleted items sNaskNxeugh and inserted items underlined) as follows: (a) The following Sections 10.11 and 10.12 are hereby added to the Agreement: 10.11 PROHIBITION ON CONTRACTING WITH A BUSINESS ENGAGING IN A BOYCOTT (b) Exhibit B. Fees for Active Locations, is deleted in its entirety and replaced with the attached Revised Exhibit B, Fees for Active Locations. 3. RATIFICATION. Except as amended herein, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect. In the event there is a conflict between the provisions of this Amendment and the Agreement, the provisions of this Amendment shall govern. On December 24, 2024, the City and Contractor executed the Professional Services Agreement for Iguana Remediation Services Pursuant to RFQ No. 2023-007-WG (the "Agreement"); During the H26 budgeting process, the budge allocated for iguana remediation services was reduced from $435,000 to $250,000. As such, to continue the Ob/s iguana remediation efforts, It is necessary to amend the monthly negotiated rates. Amendment No. 1 converts the monthly and annual fees into hourly rates. The Contractors original monthly negotiated rate for each "Active' and "Additional" location has been divided by the estimated hours allocated to that location, yielding the new negotiated hourly rate for each location. The resulting hourly rates now serve as the negotiated compensation structure and provides the City with needed flexibility to increase or decrease services at each location based on available budget. The hourly rates are reflected in the Revised Exhibit B, Fees for Active locations. The Amendment is retroactively effective as of October 1, 2025. Since this amendment does not add any new rates and simply converts the existing monthly and annual fees into corresponding hourly rates, there is no monetary increase associated with this action. Accordingly, pursuant to Section 12.1, 'Changes and Additions; this item seeks the City Managers approval of Amendment No. 1 to the Agreement.
