Internet companies and hedge funds.

Corporate/Business Law Group of a 150 lawyer firm.
2009 - 2012 EVOTER, INC., Hollywood, Florida. CEO, Co-Founder and Director of eVoter.com, a voter
information website, which provided comprehensive voter information within a web 2.0
interface. Raised over $2.7 million in private capital, built an advisory board with top
figures in the Democratic and Republican parties, and entered into strategic partnerships
with Yahoo! and NBCUniversal.
2000 - 2005 SPARK NETWORKS, INC. (formerly MatchNet plc), London, England and Los Angeles,
California. Executive Director and General Counsel of the Frankfurt Stock Exchange listed
(market cap: €170 million at time of exit, now NYSE:LOV) owner and operator of some of
the world’s largest online dating websites, including JDate.com and AmericanSingles.com.
I was responsible for all legal and administrative affairs, including Corporate, M&A, and
Securities Law, of a company with revenues of $65 million and 200 employees, offices in
the US, UK, Germany and Israel, as well as having principal administrative and strategic
responsibility for Spark’s International offices and websites. In 2004, I sold my equity in the
company to The Capital Group.
1997 - 2000 ZELLERMAYER, PELOSSOF & SCHIFFER, London, England. Consulting lawyer to the London
office of a leading Tel Aviv , Israel, law firm. I advised a variety of clients in multi-national
transactional work (such as the purchase of a major hotel chain in Columbia for a French
investor and the financing of a Romanian shopping center for an Austrian bank), served as
lead counsel on several small-cap IPOs in both the UK and Germany, and served as a non-
executive director for several companies on behalf of clients. My areas of practice
included Corporate Finance, M&A, and Securities Law (including public offerings and
private placements).
1996-1997 MISHCON DE REYA, London, England. American and English Corporate Finance, Banking
and Company Lawyer (Assistant Solicitor). I handled my own case load including advising
clients on investments in US publicly traded companies. Advised firm clients on US
securities and corporate law, including handling all US filings for a fully quoted UK
company with a US (NASDAQ) listing and advising a UK company on its purchase of the
minority interest of a US subsidiary.

President of Administration for a NASDAQ listed company (revenues: $35 million) in the
prepared foods industry. Responsible for all legal affairs, including negotiation of
acquisitions of two major companies; breakup and sale of a subsidiary; preparation and
filing of all reports and registration statements with the US Securities and Exchange
Commission under US Securities Law; negotiating and documenting over $27m in capital
funding through the placement of equity and debt; all corporate secretarial work; and

later advising president on all legal matters; and drafted numerous SEC filings of public
companies, including acting for Appletree (above). Also acted for clients in general
