Nagarro, Inc. (the “Consultant”) has submitted to the City an application, pursuant to the above
referenced ITB, to be prequalified to provide services for a number of Microsoft competencies as
outlined in the ITB. This letter shall serve as official notice that on February 21, 2020 the City Manager,
pursuant to Resolution 2019-31092, has approved Nagarro, Inc. to be prequalified for the following
competencies:
•Application Development
•Collaboration & Content
•Cloud Platform
•Messaging
The ITB stipulates and this letter shall confirm that the City Manager shall constitute a binding Contract
between the City and the Consultant. It is important to note that work will be awarded pursuant to the
roadmap established in Section 5 of the ITB and no services may be performed until such time as the
City has issued a Purchase Order for the desired scope of work.

Why is requested action necessary?
On December 11, 2019, the City of Miami Beach, Florida ("City") adopted Resolution No. 2019-31092 (attached) for
the establishment of a pool of Microsoft certified service providers for future information technology projects involving
Microsoft services. The Resolution delegates to the City Manager the authority to add service providers to the pool,
provided such vendors meet the requirements of the 1TB for their respective competency(ies) established in 1TB
2019-246-DF.
The Procurement Department has received an additional seven (7) responsive and responsible applications
pursuant to the 1TB from: 1) Catapult Systems, LLC; 2) California Creative Solutions Inc. (d/b/a CCS Global Tech);
3) Digital Mobile Innovations, LLC; 4) Internet Vision Development, LLC (d/bla INVID); 5) Nagarro Inc.; 6)Softchoice
Corporation; and, 7)TechHouse: Integrated Information System Solutions, Inc. The Information Technology (IT) and
Procurement departments have determined that the additional seven (7) pre-qualified vendors are qualified and
meet the requirements established in the 1TB.
The Administration recommends that the City Manager approve the above listed seven (7) responsive and
res onsible vendors that have met the re uirements of the 1TB, ursuant to Resolution 2019-31092.

FURTHER, AUTHORIZING THE CITY MANAGER TO KEEP THE 1TB
OPEN FOR THE PURPOSE OF PREQUALIFYING ADDITIONAL
MICROSOFT CERTIFIED SERVICE PROVIDERS, AND DELEGATING TO
THE CITY MANAGER THE AUTHORITY TO ADD SERVICE PROVIDERS
TO THE POOL, PROVIDED SUCH VENDORS MEET THE
REQUIREMENTS OF THE 1TB FOR THEIR RESPECTIVE COMPETENCY;
AND FURTHER PROVIDING THAT ANY SERVICE ORDER IN EXCESS OF
$100,000 FOR ANY PROJECT SHALL BE SUBJECT TO THE PRIOR
APPROVAL OF THE CITY COMMISSION.
WHEREAS, the Information Technology (IT) Department routinely utilizes a number
of Microsoft services for various City IT needs; and
WHEREAS, in accordance with Microsoft's service delivery model, the required
services are typically acquired through service providers certified by Microsoft in one or
more of the following competencies: application development; application integration; cloud
business application; cloud customer relationship management (CRM); cloud platform;
cloud productivity; collaboration and content; communication; data analytics; data platform;
data center; development and operations (DevOps); enterprise resource planning; learning;
messaging; project and portfolio management; small and midmarket cloud solutions; and
windows and devices; and
WHEREAS, because some of the needs of the IT Department are unplanned and
require a rapid response, it is in the City's best interest to have a pool of prequalified
Microsoft service providers from which the IT Department can seek proposals and quickly
deploy a service provider to address the identified needs; and
WHEREAS, based on the foregoing needs, the Administration issued Invitation to
Bid (ITB) 2019-246-DF, seeking applications from qualified firms interested in participating
in the pool of prequalified Microsoft certified service providers; and
WHEREAS, the 1TB was issued on August 30, 2019, with bid opening date of
September 17, 2019; and
WH E RE A S, the Procurement Department issued bid notices to 41,914 companies
utilizing www.publicpurchase.com and www.BidSync.com websites, which resulted in the
receipt of responses from the following fourteen (14) firms for various competencies, as
indicated more fully in Exhibit "A" to the Commission Memorandum accompanying this
Resolution: Centric Consulting, LLC; Persepta, LLC; Axtegrity Consulting; Smartek21 LLC;
Tallan, Inc.; Forsyte IT Solutions; DGR Systems LLC; Cloud Navigator, Inc.; eMazzanti
Technologies; Computer Solutions East, Inc.; C2S Technologies Inc.; Netwise USA, Inc.;
Daruma Tech; and Powersolv Inc.; and
WHEREAS, the Administration has verified that each of the firms that responded to
the 1TB are responsive and meet the requirements of the 1TB; and
WHEREAS, although eMazzanti Technologies submitted a response for various
categories, the firm is only certified by Microsoft in the cloud platform competency;
accordingly, its submission for the other competencies had to be rejected, because the firm
is not certified by Microsoft for those competencies, as required by the 1TB;
WHEREAS, when a need arises, the IT Department will seek proposals from all
prequalified firms for one or more of the applicable competencies as stated in Attachment
A; and
WHEREAS, for service orders up to $100,000, the approval of the City Manager or
designee will be required in accordance with the City Manager's existing delegated
procurement authority under the City Code; service orders exceeding $100,000_will be
submitted to the City Commission for its consideration; and
WHEREAS, to maximize competition among the prequalified firms, the
Administration is recommending that the ITB remain open, to permit the City Manager to
prequalify additional firms as part of the pool, provided that such firms meet all of the
requirements of the 1TB.
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission hereby accept the recommendation of the City Manager, pursuant to Invitation
to Bid (1TB) 2019-246-DF, to establish a pool of Microsoft certified service providers to
expedite the selection of vendors for future Information Technology Projects involving
Microsoft services, and approving the various Microsoft-designated competencies, and the
initial pool of qualified service providers, as set forth in Exhibit "A" to the Commission
Memorandum accompanying this Resolution; further, authorizing the City Manager to keep
the 1TB open for the purpose of prequalifying additional Microsoft certified service
providers, and delegating to the City Manager the authority to add service providers to the
pool, provided such vendors meet the requirements of the 1TB for their respective
competency; and further providing that any Service Order in excess of $100,000 for any
Project shall be subject to the prior approval of the City Commission.

The Information Technology (IT) Department routinely utilizes a number of Microsoft services
that support and develop many of the City's software programs, including the City's Intranet. In
accordance with Microsoft's service delivery model, the required services are typically acquired
through Microsoft certified service providers. Microsoft groups service offerings into categories
it refers to as competencies. The services most often required by the City, or potentially
required in the future, fall into one of the following competencies: application development;
application integration; cloud business application; cloud customer relationship management
(CRM); cloud platform; cloud productivity; collaboration and content; communication; data
analytics; data platform; data center; development and operations (DevOps); enterprise
resource planning; learning; messaging; project and portfolio management; small and midmarket

cloud solutions; and, wi ndows and devices. For each serv ice category, M icrosoft certifies third-
p arty serv ice provide rs as either silver or gold certified. Silver partner certification requires
d e m onstrating the hig hest and m ost specialized abili ty and com m itm ent in a specific business
solu tion area. M icro soft recognizes co m panies aw arde d the Silver Com petency fo r offering the
b est solutions to custom ers and fo r undertaki ng a rigo rous and auditable approval process. A
b u siness wh ich has earn ed a S ilver C o m petency is am ong the top 5% of M icro soft partners
worldwi de . G old part ner certifi cation is awarded to com panies that have dem onstrated a very
high level of expertise and a proven and specialized skill set in a particular technology or serv ice
area. G o ld C o m petency is the highest M icro soft certification. M icro soft Partners wi th a G old
C om petency are recognized fo r their com m itm e nt to solidifying custom er relationships by
off eri n g innovative and eff ective business so lutions to their custom ers . A business wh ich has
earn ed a G old C o m petency is am o ng the top 1% of M icrosoft P artners worldwi de. M icrosoft's
cert ificatio n process for part ner com panies is rigo ro us and requires regular auditing to ensure
th a t part ner com panies are m aintaining and delivering a high degree of skill, pro ficiency, and
e xp e rience to their custom e rs. T he C ity's IT D epartm ent requires that the servi ce pro viders it
u tili zes have attained gold certifi ed status because of their deep technical acum en, highly trained
a nd cert ifi ed M icro soft so lutions engineers and rigo ro usly vetted qualifications by M icro soft.
O ften, th e C ity wi ll require that a M icrosoft certified partner be available to provide serv ices
exp editio usly for a wi de variety of needs, including but not lim ited to: A pplication Developm ent,

m ore of the applicable com petencies . Fo r serv ice orde rs up to $100,000, the approval of the
C ity M an ager, or designee , wi ll be required. S e rv ice orders exceeding $100,000 wi ll be
sub mi tt ed to th e C ity C om mi s si o n for its consid erat ion and appro val . To m axim i z e com p etition
a m o ng the certified firm s, the A dm inistration is recom m ending that firm s be allowed to subm it
p re qualifi catio n applicatio ns throughout the term of the contract. T he City M anager, after
d eem ing that a firm is qualified to pe rf orm the work , would appro ve the addition of the newl y
qu a lified firm into the pool(s) fo r one or m o re of the applicable com petencies.
ANALYSIS
To a ch i eve th e desired goals stated abo ve, the A dm inistration issued Invitation to Bid (1T B )
2019-246-DF for the establishm e nt of pools of pre-qualified contractors fo r each of the
fo llowi ng M icrosoft com petencies ide ntified above.
T he purp ose of the 1T B is to establish a contract, by m eans of sealed applications, wi th
qua lifi ed firm (s) fo r the establishm e nt of pre-qualified pools of M icro soft professional serv ice
p ro vide rs. T he pre-qualified pools established shall effectively create a source of viable firm (s)
fro m wh ich the Inform atio n Technolo gy (IT ) D epartm ent m ay issue Invitation-to-Q uotes (IT Q s)
fo r vario us C ity ad hoc M icro soft-related pro jects during the term of the contract.

The qualified firm(s) would be added to one, or any number, of the available 19 competencies
(Application Development, Application Integration, Cloud Business Application (PC Only),
Cloud Customer Relationship Management (CRM), Cloud Platform, Cloud Productivity,
Collaboration and Content, Communication, Data Analytics, Data Platform, Data Center, Dev
Ops, Enterprise Resource Planning, Leaming, Messaging, Project and Portfolio Management,
Small and Midmarket Cloud Solutions, and Windows and Devices) offered for certification
within the Microsoft Partner Network (the "Network") for which the firm shows evidence of
holding Gold certified status within the Network. Further, at any time, the City, through the
approval of the City Manager, may accept applications and add additional or remove firms to the
list of prequalified firms during the term of the contract.
1TB PROCESS
The 1TB was issued on August 30, 2019, with bid opening date of September 17, 2019. The
Procurement Department issued bid notices to 41,914 companies utilizing
www.publicpurchase.com and www.BidSync.com websites. 182 prospective bidders accessed
the advertised solicitation. The notices resulted in the receipt of fourteen (14) responses from:
Centric Consulting, LLC, Persepta, LLC, Axtegrity Consulting, Smartek21 LLC, Tallan, Inc.,
Forsyte IT Solutions, DGR Systems LLC, Cloud Navigator, Inc., eMazzanti Technologies,
Computer Solutions East, Inc., C2S Technologies Inc., Netwise USA, Inc., Daruma Tech, and
Powersolv I ne. The Microsoft competency for which each firm has submitted a proposal is
included in Attachment A.
Staff has confirmed compliance with the requirements of the 1TB by each of the firms
submitting a response. eMazzanti Technologies submitted a response for Data Center, Small
and Midmarket Cloud Solutions, Cloud Productivity, and Cloud Platform categories; however,
with the exception of the Cloud Platform competency, the, responses for the other
competencies had to be rejected because the firm is not certified by Microsoft for those
competencies as required at this by the ITB. '
FINANCIAL INFORMATION
The costs of the related services are subject to funds availability approved through the City's
budgeting process. Grant funding will not be utilized for this project.
CONCLUSION
I concur with staff that it is in the best interest of the City to have a pool of pre-qualified Microsoft
gold-certified service providers from which proposals can be sought to quickly deploy a service
provider to address an identified technology need of the City. Otherwise, redundant and time-
consuming efforts would be required to seek proposals and qualify firms each time a need was
identified. In order to continue to maximize competition by continuing to add firms to each of the
Microsoft identified competencies, I recommend that the period for submitting applications be
extended to be consistent with the term of the contract. New applicants that meet the I TB
requirements will be added to the pool for which it is certified. Firms that lose certification or do
not perform well will be removed from the pool. Further, any service order exceeding the City
Manager's authority of $100,000 will be submitted to the City Commission for approval.
Therefore, I recommend that the Mayor and City Commission of the City of Miami Beach,
Florida approve the Resolution accepting the recommendation of the City Manager, pursuant to
Invitation to Bid (I TB) 2019-246-DF, to establish a pool of Microsoft certified service providers

Prequalification Application Instructions
Section 1, General. The purpose of this Prequalification Application is to establish a pool of pre-
qualified bidders for current and future Microsoft Professional Services related projects, which shall
ensure that the Information Technology Department have access to qualified vendors to ensure that
projects are awarded in a competitive manner that maximizes available funds.
Section 2, Submittal Instructions. The Consultant Prequalification Application will not be considered
until it has been submitted completed and executed by a principal of the applicant. Incomplete
applications cannot be processed. If requested information is not applicable, please indicate ''N/A'' or
''None. '' If answers to questions are lengthier than the spaces that are provided in the application, the
answers may be provided on additional pages, which must be attached to the application. All
requested documents must also be attached to the application. Failure to attach all requested
documents will delay review and approval of the application.

SECTION 0100: GENERAL INFORMATION & SCOPE OF WORK
1. PURPOSE. The City of Miami Beach, Florida (the “City”) is seeking to prequalify firms that have
been certified by Microsoft as Gold Certified Partners, to provide to the City services in one or more of
the following categories:

Bidders that are not certified by Microsoft as Gold Partners in one of the above referenced categories
will not be considered. When the City departments require assistance with any of the categories of
services identified above, proposals may be solicited from the prequalified firms. Firms interested in
being included in the pool of prequalified firms, must submit a Consultant Prequalification Application
(attached as “Appendix A”) in accordance with Section 0200. When services are required, the City will
issue an Invitation to Quote to all firms, in good standing with the City, who have been prequalified for
a particular category.
The City utilizes BidSync (www.bidsync.com) for automatic notification of solicitation opportunities and
document fulfillment, including the issuance of any addendum to this ITB. Any prospective bidder who
has received this ITB by any means other than through BidSync is solely responsible for registering
immediately with Bidsync to assure it receives any addendum issued to this ITB. Additionally, prior to
submittal of the bid, bidder shall verify that it has received and complied with all addenda issued.
Failure to receive an addendum, or comply with an addendum requirement, may result in
disqualification of bid submitted.

2. OVERVIEW OF PREQUALIFICATION PROCESS. The figure below is a general overview of the
process that the City will utilize to award work pursuant to the prequalification process.

3. APPROVAL OF PREQUALIFIED STATUS. Following the review of applications, the responsive,
responsible bidder(s) meeting all terms and conditions of the ITB will be recommended for award, as
deemed in the best interest of the City, to the City Manager for his consideration. After considering the
staff recommendation for award, the City Manager shall exercise his due diligence and recommend to
the Mayor and City Commission the bid that the City Manager deems to be in the best interest of the
City. The City Commission shall consider the City Manager’s recommendation(s) and, may approve or
reject the City Manager’s recommendation(s). The City Commission may also reject all bids
received. In addition to the criteria established in the application, pursuant to Section 2-369 of the City
Code, the City may consider the following:

The ability, capacity and skill of the bidder or applicant to perform the Contract.
Whether the bidder or applicant can perform the Contract within the time specified,
without delay or interference.
The character, integrity, reputation, judgment, experience and efficiency of the bidder
or applicant.
The quality of performance of previous contracts.
The previous and existing compliance by the bidder or applicant with laws and
ordinances relating to the Contract.
PREQUALIFIED STATUS IS VALID FOR THREE (3) YEARS FROM DATE OF THE NOTICE OF
PREQUALIFICATION ISSUED BY THE CITY, OR AS OTHERWISE APPROVED BY THE CITY
MANAGER.
3.1 RENEWAL TERMS. The City Manager, at his sole discretion, may approve up to two (2),
one (1) year renewal terms, providing that the required certification is still valid.
4. ADDITIONAL PREQUALIFIED FIRMS TO BE ADDED TO POOL. At any time, the City, through
the approval of the City Manager, may accept applications and add additional firms to the list of
prequalified firms.
5. AWARDING WORK. When the need for services arises, prequalified consultants, for the applicable
category, that are in good standing may be invited to submit statements of work (SOW) and costs
based on an Invitation to Quote (ITQ) issued by the City. Each SOW prepared by the consultant shall
include a clear description of the work to be performed (with specific and timed deliverables) and the
related costs by deliverable. The City will select the prequalified consultant that offers the best
combination of services and cost, solely at the discretion of the City.

6. SERVICE DELIVERY EXPECTATIONS. The City places an emphasis on excellent customer
service delivery and expects the prequalified bidder to provide the best possible customer service to
any and all awarded projects throughout the term of the contract. The prequalified bidder’s project
manager is responsible for monitoring the customer service provided to City by prequalified bidder’s
staff, sales and support teams, and employing, as necessary, corrective measures, to ensure that the
prequalified bidder will provide and maintain the highest quality of customer service possible during
completion of the project(s). Project-specific deliverables and expectations shall be defined on a
project-by-project basis, as specified in each ITQ.
At a minimum, the prequalified bidder(s) must provide the following levels of support for all awarded
projects: (i) Microsoft’s standard software warranty; (ii) Corrective support required to assist in the
resolution of identifiable and reproducible software problems; and, (iii) Provide access to software
patches, a symptom solution database, software licenses, maintenance and services descriptions,
specifications, technical literature, etc. Normal working hours are considered to be Monday thru
Friday, 8am-5pm.
7. VOLUME OF WORK TO BE RECEIVED BY BIDDER. No promise of work is given, or should
be understood, as a result of a pre-qualification. The City reserves the right to purchase any
goods and/or services awarded from any resulting agreement, or another governmental contract, or
on an as-needed basis through the City’s spot market purchase provisions.
8. WARRANTY. The Microsoft standard warranty shall cover all software, and the awarded bidders’
warranty shall cover Value-added services provided under this the Contract. The Microsoft standard
warranty is required to provide coverage against defective software, workmanship, and failure to
perform in accordance with the specifications and required performance criteria. The Microsoft and
awarded bidders’ warranty coverage must be identical to or exceed the most inclusive of those
normally provided for the commodities and contractual services specified herein that are sold to the
City. Should the Microsoft or awarded bidders’ warranty conflict with any requirements, specifications,
terms, or conditions of the Contract, the Contract terms and conditions shall prevail.
9. INTELLECTUAL PROPERTY. The parties do not anticipate that any Intellectual Property will be
developed or created as a result of the Contract. However, in such case as it is developed or created,
any Intellectual Property developed or created as a result of the Contract will belong to and be the
sole property of the City. This provision will survive the termination or expiration of the Contract.
10. DOCUMENTATION FOR LICENSES. Upon request, the prequalified bidder is to provide to the
City, at the prequalified bidder’s expense, access to electronic copies of license documentation
including, but not limited to, City license confirmation certifications. Access to this documentation is
not to require a user ID or password and must be available for the City to share with their employees,
for business purposes, as appropriate.
11. STANDARD TERMS AND CONDITIONS. The City’s Standard Terms and Conditions for Service
Contracts (available at https://www.miamibeachfl.gov/city- hall/procurement/standard-terms-and-
conditions/) are referenced and incorporated herein

12. INSURANCE REQUIREMENT. Prior to the issuance of a work order, the successful firm shall
furnish and maintain for the duration of the engagement, the following insurance requirements. The
maintenance of proper insurance coverage is a material element of the contract and failure to
maintain or renew coverage may be treated as a material breach of the contract, which could result in
withholding of payments or termination of the contract.
A. Worker’s Compensation Insurance for all employees of the vendor as
required by Florida Statute 440, and Employer Liability Insurance for bodily
injury or disease.
B. Commercial General Liability Insurance on an occurrence basis, including
products and completed operations, property damage, bodily injury and
personal & advertising injury with limits no less than $1,000,000 per
occurrence, and $2,000,000 general aggregate.
C. Automobile Liability Insurance covering any automobile, if vendor has no
owned automobiles, then coverage for hired and non-owned automobiles,
with limit no less than $1,000,000 combined per accident for bodily injury and
property damage.
12.1 Additional Insured - City of Miami Beach must be included by endorsement as an
additional insured with respect to all liability policies (except Professional Liability and
Workers’ Compensation) arising out of work or operations performed on behalf of the
Consultant including materials, parts, or equipment furnished in connection with such work or
operations and automobiles owned, leased, hired or borrowed in the form of an endorsement
to the Consultant’s insurance.
12.2 Notice of Cancellation - Each insurance policy required above shall provide that
coverage shall not be cancelled, except with notice to the City of Miami Beach c/o EXIGIS
Insurance Compliance Services.
12.3 Acceptability of Insurers – Insurance must be placed with insurers with a current A.M.
Best rating of A:VII or higher. If not rated, exceptions may be made for members of the
Florida Insurance Funds (i.e. FWCIGA, FAJUA). Carriers may also be considered if they are
licensed and authorized to do insurance business in the State of Florida.
12.4 Verification of Coverage – Consultant shall furnish the City with original certificates and
amendatory endorsements, or copies of the applicable insurance language, effecting
coverage required by this contract. All certificates and endorsements are to be received and
approved by the City before work commences. However, failure to obtain the required
documents prior to the work beginning shall not waive the Consultant’s obligation to provide
them. The City reserves the right to require complete, certified copies of all required
insurance policies, including endorsements, required by these specifications, at any time.

12.5 Special Risks or Circumstances - The City of Miami Beach reserves the right to modify
these requirements, including limits, based on the nature of the risk, prior experience, insurer,
coverage, or other special circumstances. Compliance with the foregoing requirements shall
not relieve the vendor of his liability and obligation under this section or under any other
section of this agreement.
13. BINDING AGREEMENT. By virtue of submitting an application for the City’s consideration, the
applicant agrees that the applications shall be considered an offer on the part of the bidder or
applicant, which offer shall be deemed accepted upon approval of applicant’s prequalification status
by City Manager or City Commission. Further, applicant agrees that, upon approval of the applicant or
bidder’s application by the City Manager or City Commission’s approval, a binding Agreement shall be
established between the City and the approved bidder. The Agreement shall be comprised of the
following documents, and in the following order:
First, the Purchase Order issued by the City; then,
Second, the Consultant Service Order signed by the City Manager; then,
Third, the Invitation to Quote (ITQ) awarded to the vendor; then,
Fourth the ITB, including all documents released in connection with the ITB,
including all appendixes and addenda, whether included herein or released
under separate cover.
In case of default on the part of the Successful Bidder, after said award, the City may take such action
as it deems appropriate, including legal action, for damages or specific performance.

Prequalification Application Instructions
Section 1, General. The purpose of this Prequalification Application is to establish a pool of pre-
qualified bidders for current and future Microsoft Professional Services related projects, which shall
ensure that the Information Technology Department have access to qualified vendors to ensure that
projects are awarded in a competitive manner that maximizes available funds.
Section 2, Submittal Instructions. The Consultant Prequalification Application will not be considered
until it has been submitted completed and executed by a principal of the applicant. Incomplete
applications cannot be processed. If requested information is not applicable, please indicate ''N/A'' or
''None. '' If answers to questions are lengthier than the spaces that are provided in the application, the
answers may be provided on additional pages, which must be attached to the application. All
requested documents must also be attached to the application. Failure to attach all requested
documents will delay review and approval of the application.

Prequalification Application Instructions
Section 1, General. The purpose of this Prequalification Application is to establish a pool of pre-
qualified bidders for current and future Microsoft Professional Services related projects, which shall
ensure that the Information Technology Department have access to qualified vendors to ensure that
projects are awarded in a competitive manner that maximizes available funds.
Section 2, Submittal Instructions. The Consultant Prequalification Application will not be considered
until it has been submitted completed and executed by a principal of the applicant. Incomplete
applications cannot be processed. If requested information is not applicable, please indicate ''N/A'' or
''None. '' If answers to questions are lengthier than the spaces that are provided in the application, the
answers may be provided on additional pages, which must be attached to the application. All
requested documents must also be attached to the application. Failure to attach all requested
documents will delay review and approval of the application.
Submit one (1) signed original and one (1) electronic copy (e.g., flash drive, CD-ROM) of the

The City reserves the right to request clarifications or additional information as deemed necessary to
evaluate an applicant’s qualifications. When clarifications or additional information is requested by the
City, Applicants will have seven (7) business days to provide, in full, all the requested information.
Failure to provide the information within the prescribed time will delay the review process and may
result in denial of prequalification.
Section 3, Deadline For Submittal. There is no deadline for the submittal of applications. However,
the initial review of applications shall begin 15 days after issuance of this ITB. Applications submitted
after this date will be reviewed periodically on an on-going basis. The City will endeavor to complete
the review of each application within 60 days of receipt.

1 DECLARATION
1.1 I understand that this document describes the common code of conduct that applies to all Nagarro
employees and individual contractors (together “Nagarrians”) around the world.
1.2 I understand that this document is in addition to other agreements and does not limit any rights
created by any other contracts or laws.
1.3 Beyond this common code of conduct, other applicable policies and procedures are defined
continually by each country’s HR, the leadership of different functional departments, the leadership
of different project teams based on client requirements, etc. I agree to stay in compliance with,
new/local/updated policies and procedures that apply to me as may be informed to me from time
to time.
1.4 Most importantly, I understand and agree that Nagarro and all Nagarrians are expected to comply
with all laws and governmental regulations that may apply to us. We adhere to legal prohibitions
at all times, even if this involves business disadvantages or difficulties for Nagarro or its partners or
for us as individuals! Nagarro is especially serious about complying with all labor laws (including laws
on child labor, forced labor, minimum pay and maximum working hours), visa and immigration
regulations, data privacy laws, tax regulation, money laundering laws, terrorism funding laws and
export control regulation in each jurisdiction in which it operates.
1.5 If any Nagarro policy conflicts with any local law, for that particular jurisdiction the portion that is in
conflict will be interpreted as though with the amendments that would achieve compliance while
preserving the original intent to the extent possible, while the remainder of the policy shall remain
unaffected. This roughly translates as, “each Nagarro policy will apply to the maximum extent the
local laws permit”.
1.6 I understand that breach of any Nagarro policy may lead to disciplinary and/or legal action
depending on the severity of the breach and the potential damages to Nagarro or its affiliates and
business partners.
1.7 I also agree to bring to the notice of the company (via HRfiles@nagarro.com) any observed breach
of this code of conduct by any other Nagarrian or by any Nagarro partner. The failure to report a
known violation is in itself a violation.
1.8 I understand and agree that this document does not create any rights to employment with Nagarro.
1.9 I acknowledge that I have been given ample time to read this entire document and to seek my own
counsel to understand its contents.

2 SENSITIVE INFORMATION & NON-DISCLOSURE
2.1 I will not disclose the terms and conditions of my employment or other contract with Nagarro
except to authorized colleagues or government authorities. The disclosure of salary and other
remuneration information to unauthorized colleagues or non-governmental third parties will attract
disciplinary action, regardless of whether such disclosure is made verbally or otherwise.
2.2 From time to time, I may have concrete information about facts and circumstances not known to
the public which, if it were made public, would be suitable to significantly influence the stock market
price of financial instruments in the Allgeier Group. I shall strictly protect this inside information
from disclosure and shall not buy or sell shares or other financial instruments of the Allgeier
Group based on this.
2.3 I will treat as absolutely secret and never divulge to anyone outside Nagarro or use for my own
benefit or for the benefit of any third party any confidential information relating to Nagarro or its
affiliates or its clients or other business partners, except when ordered to do so by a court of law
with competent jurisdiction and then only to the extent ordered.
2.3.1 Confidential information may be in written, oral or other forms and includes, among other
things, information about clients, software, processes, know-how, pricing, staffing, mergers,
acquisitions, contracts, transactions, proposed transactions, strategies, finances, forecasts,
personnel records, compensation records, correspondence, and the like. All information shared
with me at Nagarro is deemed confidential unless it has been officially published by the
company in the public domain.
2.3.2 On cessation of employment or contract with Nagarro, I shall return all confidential information
in my possession or control to the company and shall not retain any copies.
2.4 I agree to take all reasonable precautions to protect confidential information from access and
inspection by unauthorized colleagues and other third parties. These precautions include but are
not limited to:
2.4.1 Never sharing any client names or project information with anyone outside the company or on
the Internet (e.g. on LinkedIn or Xing).
2.4.2 Never sharing any project code snippets or questions on technical forums that reveal project
details.
2.4.3 Never leaving my work-related devices unlocked or confidential papers lying around.
2.4.4 Never opening e-mail attachments from unknown sources, being vigilant against possible
phishing attacks, never downloading any software of doubtful provenance on my work devices,
not subscribing to dubious chain mails and newsletters.
2.4.5 Shutting down a device and contacting IT immediately if a virus infection is suspected.
2.4.6 Using sufficiently complex passwords (combinations of letters, numbers and symbols),
maintaining the secrecy of passwords, changing each password periodically or whenever there is
a chance someone may have discovered it.

2.4.7 Following all recommendations of the Nagarro IT policy, including on topics such as applying the
latest patches, avoiding putting servers outside the company firewall, etc.
2.4.8 Reporting any suspected information security incident immediately to the Security Council at
securitycouncil@nagarro.com
3 PERSONAL DATA & PRIVACY
3.1 I am aware that personal data, including the personal information of colleagues, may only be
collected or processed with the recorded consent of the person concerned and to the extent and
under the conditions permitted by law. I will participate in the collection or processing of personal
data from any source only when this is necessary to perform work-related tasks or when required by
law. In any case, I will make sure that Nagarro’s Security Council (securitycouncil@nagarro.com) is
informed of such activity.
3.2 I will take all reasonable precautions that all personal data is adequately protected, and not shared
either deliberately or by accident with unapproved personnel within the company or with third
parties, or used by anyone for any kind of unapproved purposes.
3.3 I will avoid sharing personal data in email attachments. When I need to share personal data, I shall
wherever possible use access controlled, self-destructing shared folders on approved servers.
3.4 I understand that while Nagarro respects my need to control my personal data, it needs to collect
and process certain elements of it for regulatory and business requirements. This data may include
residence and contact information, forms of identification (including tax IDs), my curriculum vitae,
my skills information, my salary information, my participation in company events and forums, and
my activities using devices and software belonging to the company/the client.
3.5 I understand that devices, email accounts and software systems provided by Nagarro/the client are
meant exclusively for business information. I will not store any personal information on these or
information that I desire to keep private.
3.6 I will not access information stored on devices, email accounts or software systems provided by
Nagarro/the client to fellow Nagarrians without either their consent or explicit role-based/situation-
based authorization by the central legal team (legal@nagarro.com). In any case, I will only use the
information thus collected for legitimate, approved purposes and nothing else.

4 INTELLECTUAL PROPERTY OWNERSHIP
4.1 I agree that all work performed in the course of my employment or contract with Nagarro and all
work performed by me using any Nagarro resources (including but not limited to offices, devices,
software, time, processes, training and know-how) is exclusively for the benefit of Nagarro and the
product of such work shall be “works-made-for-hire”. Nagarro shall own all rights including
intellectual property rights to such work and may make any use or non-use of, or assignments of
rights to, such works without further payment or obligation to me.
4.2 Nagarro typically assigns the intellectual property rights generated by the work we do exclusively to
the client who is paying for the work. I understand that the code I wrote for one client may not be
used for another client without specific permission. I understand that it is a serious mistake to
violate this rule.
4.3 I shall make no claim on or assume/demand any interest in any of the information provided to me
during the course of my employment with Nagarro.
5 CONFLICTS OF INTEREST
5.1 A “conflict of interest” is a situation in which a person is in a position to derive direct or indirect
personal benefit from actions or decisions made in their official capacity. I shall avoid any conflicts
of interest with my personal matters or other business or non-business activities, including those
of relatives or other related parties. I will make business decisions exclusively in the best interest of
Nagarro.
5.2 I will openly and transparently disclose to my operating superior (Operating Guide in Nagarro
parlance) and to the leaders of the affected Nagarro functions all actual, potential or likely
perceived conflicts of interest, such as relationships with suppliers, customers, candidates for
recruitment, current employees including teammates, business partners or partners in corporate
citizenship activities. I shall seek the necessary approval of the Operating Guide and the leaders of
the affected Nagarro functions to proceed despite the conflict.
5.3 Regardless of approvals, I will report all potential or actual conflicts of interest to
conflictsregister@nagarro.com.
5.4 In any case, I will not be involved in or seek to influence the hiring, engagement, appraisal or
compensation-setting of “very closely related persons”, which group comprises my spouse, siblings,
children, parents, people with whom I have or have had a romantic relationship, or those living in
the same household as me, nor shall I be involved in Nagarro’s dealings with entities where any of
them owns a substantial stake or exercises significant control.

5.5 I understand that Nagarro expressly forbids Nagarrians from colluding among themselves to
circumvent conflict of interest rules through “you scratch my back, I’ll scratch yours” arrangements.
5.6 Nagarro discourages Nagarrians from freelancing for direct or indirect profit. It is expected that each
Nagarrian already has enough work and excitement and satisfaction across his/her job at Nagarro
and personal life!
5.6.1 In any case, I will engage in no such freelancing or other external activity that relates to or
competes with products or services that Nagarro provides to its clients, or with products or
services that its clients or partners provide. This rules out most services related to software
development.
5.6.2 Further, I will not knowingly own more than a 5% stake in any business that competes with
Nagarro in any form.
6 NON-COMPETE & NON-SOLICITATION
6.1 I acknowledge that in my employment at Nagarro, I might be exposed to a significant amount of
confidential information that might be retained in my memory and that the need to protect
Nagarro’s exclusive rights to such confidential information justifies some restriction on my activities
after termination of employment.
6.1.1 If I cease to be an employee or contractor of Nagarro, I shall not for a period of one year from
the date of such cessation provide, directly or indirectly, services to any client I interacted
with or provided services to on behalf of Nagarro. Any exception must be approved by
Nagarro.
6.1.2 For the same period, I shall not attempt to directly or indirectly solicit, divert or initiate any
contact with any client, contractor or employee of Nagarro for any commercial reason
whatsoever. In particular, during this period I shall not cause or attempt to cause any employee
of Nagarro to terminate his/her employment relationship with Nagarro for the purposes of
entering into any employment or other relationship with me or with any other business, firm or
entity.
6.1.3 I agree that my breach of this Non-Compete & Non-Solicitation section will result in direct and
foreseeable loss of business and damages to Nagarro, hence in the event of such breach I shall
be liable to pay Nagarro as liquidated damages an amount equal to 35% of my annual
compensation, which will be in addition to and not in lieu of other rights and remedies available
to Nagarro.

7 DISCRIMINATION & HARASSMENT
7.1 I understand that Nagarro is an equal opportunity workplace. I shall not discriminate against any
person on the basis of race, color, national origin, gender, marital status, pregnancy status, religion,
ancestry, age, sexual orientation, world view, medical condition, union affiliation, disability or
military veteran status.
7.1.1 Non-essential and non-justifiable requirements or conditions may not be added to any job
description for hiring or for project staffing to disproportionately exclude any particular group.
This includes conditions expressed verbally.
7.1.2 In particular, no woman may be released from a project out of turn as a result of knowing she is
pregnant.
7.1.3 No individual will be given less favorable treatment than others in the same circumstances
merely because he or she has made or supported allegations or complaints of discrimination.
7.2 I am aware that Nagarro is extremely strict regarding sexual harassment, defined as unwelcome
sexual advances, visual, verbal or physical conduct of a sexual nature.
7.2.1 Complaints of sexual harassment can be reported to sexualharassment@nagarro.com. These
will be investigated discreetly and promptly by a committee including senior Nagarro leaders.
7.2.2 Anyone found guilty of sexual harassment shall be subject to severe disciplinary action.
However, given the serious repercussions of sexual harassment allegations, the company
reserves the right to also take appropriate lawful disciplinary action against anyone who makes
a demonstrably false or mischievous claim of sexual harassment.
2.1 I am aware that no form of verbal, written or physical abuse or hostile behavior or public
humiliation is tolerated at Nagarro, whether by local colleagues, colleagues in other regions, or
external parties we do business with. I will report all such incidents to HRfiles@nagarro.com. I will
demonstrate courtesy, respect and professionalism in all my interactions with other people.
8 UNFAIR COMPETITION & CORRUPTION
8.1 I understand that Nagarro is committed to honest and fair competition, even if that means
forgoing a contract or failing to meet internal goals. We have zero tolerance towards any form of
corruption or cartel agreements.
8.2 I will not compromise Nagarro by making it a party to any scheme that involves corruption or cartel
agreements, whether it is for my benefit or for the intended benefit of the company or any of its
employees or its customers or its suppliers or any other person. I will not give expensive personal
gifts or rewards or bribes for work done in an official capacity to anyone, and I will similarly not

accept any such personal gifts or rewards or bribes from anyone. I will not be complicit in schemes
to avoid the payment of taxes or for money laundering.
8.3 In this context, I will report all suspicious transactions, especially unusual transactions involving cash
that may signify corruption or money laundering, to legal@nagarro.com.
9 CARE FOR COMPANY IMAGE & RESOURCES
9.1 Whether at the workplace or while representing Nagarro elsewhere, I will conduct myself in a
manner that does not damage the reputation of the company or hurt its business.
9.1.1 Only senior management and designated colleagues are allowed to communicate to the press or
on social media on behalf of the company.
9.1.2 Nagarro respects the right to free speech and the protection of personal rights and privacy.
However, if I wish to express any charged, controversial and divisive personal opinion, I will take
care to de-link it from my function/work in the company.
9.1.3 I will not involve Nagarro in making any financial contributions to political parties in any country,
organizations related or similar to parties, individual office incumbents or candidates for
political offices.
9.1.4 I will not involve Nagarro in any political lobbying except in an open, transparent and fair way
through major industry associations.
9.2 I will not use the working hours or the company’s or client’s property or funds for purposes other
than my work for Nagarro. A device allocated to me may be used for personal communication and
storage as long as this use does not contravene any project or client restrictions and creates no
vulnerability or liability of any nature for Nagarro. In any case, I may not use Nagarro or client
resources for political, religious, obscene, offensive, malicious, illegal or unauthorized commercial
purposes. Nagarro and the client reserves the right to monitor and actively constrain the use of its
resources allocated to me.
9.3 I will only use my Nagarro or client email account for Nagarro’s business. I will not use the name of
the company or the name of any of its clients for personal profit.
9.4 I will make sure all the company’s internal and external records, reports and documents I am
responsible for are truthful to the best of my knowledge.
9.5 I will take all reasonable steps to safeguard Nagarro’s property from damage, loss, theft and misuse.
I am aware that damage to company property caused willfully or through my gross negligence may
be charged back to me.

9.6 When representing Nagarro in the drafting, negotiation or execution of contracts with employees or
third parties, I will take care not to burden it with unusual or unnecessary commitments and
liabilities.
9.7 When on a business trip, I shall comply with the Travel Policy and remain mindful of the time and
cost incurred. I am aware that any extra spend over what the Travel Policy allows may be charged
back to me.
9.8 Nagarro may sometimes have to decide on which person to make certain investments, for example,
for major training or for immigrant visas. Subject to applicable law, I allow Nagarro to request a
special undertaking by me as a condition to making these investments on me.
9.9 Only designated people have the authority to sign for the company or to commit the company to
any expenditure or liability. This list will be maintained centrally and kept up-to-date.
9.10 In order to balance the need for agility in the company with the need for transparency and
certitude, I will follow and promote the “4-eyes principle” (“Two-Together principle” in Nagarro
parlance) for all major business decisions. That is, I will make sure to receive and record the
approval of another Nagarrian of equal or senior designation (as per the Nagarro Organization
System, not necessarily in the same legal entity) for any major decision.
9.10.1 In this context, a major business decision can be taken to be one that will incur a cost to Nagarro
or its affiliates or partners of more than 10% of my annual compensation (increased to 75% of
my annual compensation for hiring decisions) or has a significant likelihood to create an
equivalent amount of liability for Nagarro. A group of closely related or similar decisions that
add up to this amount would also each be considered a major decision.
9.10.2 I am now aware that I can record major decisions and the participants in that discussion by
sending an email with the facts to twotogether@nagarro.com and copying the participants.
9.11 All client contracts involving the setting of prices or potentially giving rise to liabilities for
Nagarro must be sent to the central legal team at legal@nagarro.com or in a designated system for
approval before signing. An absence of response for 3 working days may be considered de-facto
approval.

10 MISSION, VISION, CORE VALUES & ORGANIZATIONAL DESIGN
10.1 I will take the time to understand and appreciate the company’s Mission Statement and Vision
Statement, I will be guided by its Core Values, and I will act in accordance with its explicit
Organizational Design.
10.2 Nagarro’s Mission Statement is “To make distance irrelevant between intelligent people”. This
indicates that people who are intelligent will use trust and understanding to bridge the distance
between themselves. I will do my bit to have this happen routinely and effectively – within the
company and with external partners.
10.3 Nagarro’s Vision Statement is “To be a global giant-killer tech services company (a household
name that will outlive us) that is distinguished by its superior technical wizardry, innovation, quality,
customer-centricity and, in particular, agility.” We want to be a billion-dollar company that is also
the epitome of a true modern, 21st century organization.
10.4 Nagarro’s core values are summed up in one word: “CARING”.
10.4.1 CARING:
On one hand, this denotes a humanistic, human-first way of thinking and nurturing. On the
other hand, it implies an emphasis on ethics.
10.4.2 C is for Client-centric:
We think breakthroughs for our clients. We start with the client’s strategic goals and apply tech
to achieving them. We never forget that the client’s business pays our bills. We do not subscribe
to a perpetually defensive way of working with clients. Instead we want to work with them in a
positive partnership. When a project has an issue, we don’t reflexively point fingers at the client.
In a project crisis, we lean towards fixing problems first and negotiate financials later.
10.4.3 A is for Agile:
We are responsive, we move fast. We like PoCs, hackathons and MVPs. Agile doesn’t mean
absence of process. We trust process, but we prefer crisp, analytics-driven, automated
processes. Within the constraints of law and individual contracts, Nagarro reserves the right to
vary the work, the location of work or the working hours to demonstrate agility to our clients.
10.4.4 R is for Responsible:
We do not act as guests in Nagarro, we act as though we are responsible for it. We own the
outcomes of the work we are doing, and we also own our dependencies. When something fails,
we introspect, we look for what we should have done better. When we are planning to take
time off, we inform our colleagues as far as possible in advance and share our contact
information for emergencies. We keep the company updated about our skills and experience via
the tools the company provides for the purpose.
10.4.5 I is for Intelligent:
Intelligent is Latin for “inter” and “ligare”, or “between” and “links”. The ideal Nagarrian has
what we call “Bridge-shaped skills” – deep skills and expertise in a few select areas but also an
ability to link and engage with diverse topics. (Which makes it also an “I for Interesting”.) We

dive into technical problems with enthusiasm and confidence. We ask probing questions (like
“Why would you say that? What does it mean exactly? What can we do with it?”). We enjoy
problem-solving.
10.4.6 N is for Non-hierarchical:
For us, data wins arguments, not designations. We eschew unnecessary signs of hierarchy, while
recognizing that some roles have greater scope or power than others. We do not use “sir” or
“madam” for seniors. We do not reserve special offices or parking spaces for senior
designations.
10.4.7 G is for Global:
We are not a “front-end, back-end” company. On each project, we work as a global team. We
know that remote working requires trust and understanding. We are watchful for
misunderstandings caused by distance. We are interculturally elastic and deliberately
amorphous. We are not a US/German/Indian/whatever company – we are global. We constantly
de-emphasize the importance of the various legal entities and emphasize the importance of
Nagarro as a whole. We are open-minded, not territorial. We don’t declare any headquarters
unless we have to, and if we are forced to, we say we are headquartered in Munich where our
parent company is headquartered, even if we have more clients or colleagues or history in some
other city.
10.5 I understand that the Nagarro Organizational Design is a virtual layer of teams and processes
that cuts across the numerous Nagarro legal entities. All of us, and especially officers of the legal
entities, will support and promote this Nagarro Organizational Design. The most important entities
in the virtual Nagarro Organizational Design are its Global Business Units, Global Centers of
Excellence, Sales and Marketing Geos (not necessary at country level), Service Locations (each linked
to a city in which we operate), and Global Shared Services departments (with nodes at legal
entity/country/regional level depending on the department). The rules of interaction between these
are carefully designed to balance our various competing requirements. The Nagarro Organizational
Design is not just background infrastructure, it is a significant part of our competitive edge.
10.6 We are out to build “One Nagarro”. I will put the interests of the company over the interests
of my department or function or cohort.

11 SPECIAL RESPONSIBILITY OF MANAGEMEN T
11.1 The senior management, including the management of the individual companies, shall ensure
compliance to Nagarro’s policies and work towards the necessary alignment and harmonization of
processes and structures.
11.2 In their special capacity as role models, senior management has a particular responsibility to
ensure that their actions measure up to the code of conduct. They are the first point of contact for
questions on understanding the rules and must ensure that all employees know and understand the
code of conduct. They shall prevent unacceptable conduct as part of their management duties and
take suitable measures to avoid infringements of rules in their area of responsibility.
