FK'S OFF ICE \" , j" - CFN 2004R0202177 OR Bk 22148 P9S 4855 - 4859; (5P9S) RECORDED 03/25/2004 08:11:08 DEED DOC TAX 0.60 SURTAX 0.45 HARVEY RUVIN, CLERK OF COURT MIAMI-DADE COUNTY, FLORIDA BOARD OF TRUSTEES OF THE INTERNAL IMPROVEMENT TRUST FUND OF THE STATE OF FLORIDA QUITCLAIM DEED Quitclaim Deed Number 31178 KNOW ALL MEN BY THESE PRESENTS: That WHEREAS, the BOARD OF TRUSTEES OF THE INTERNAL IMPROVEMENT TRUST FUND OF THE STATE OF FLORIDA is by Section 253.03, Florida Statutes, authorized and empowered to convey certain lands under the terms and conditions set forth herein; and, WHEREAS, said BOARD OF TRUSTEES OF THE INTERNAL IMPROVEMENT TRUST FUND OF THE STATE OF FLORIDA did approve this transfer on the 26th day of August, 2003. NOW, THEREFORE, the undersigned BOARD OF TRUSTEES OF THE INTERNAL IMPROVEMENT TRUS'r FUND OF THE STATE OF FLORIDA, as "Grantor", under authority of Section 253.03, Florida Statutes, for and in consideration of Ten Dollars ($10.00) to it in hand paid by the City of Miami Beach, a Florida municipal corporation, 1700 Convention Center Drive, Miami Beach, Florida 33139, as "Grantee," has remised, released, conveyed and quitclaimed, and by these presents does remise, release, convey and quitclaim unto Grantee, its successors and assigns forever, all the right, title, interest, claim and demand which Grantor may have in and to the following described lands in Miami-Dade County, Florida (the "Property"), to-wit: See Exhibit "A" The Property is conveyed subject to the following restrictive covenants hereby imposed by GRANTOR and accepted by GRANTEE, its successors and assigns: " 1. The Property shall only be used for conservation or public recreation purposes. "~ ..J - 2. GRANTEE may not sell or transfer title to all or any portion of the Property to any private party for a period of 10 years from the date of this quitclaim deed. 3. If at any time GRANTEE decides to transfer or sell all or any portion of the Property, GRANTEE shall first allow GRANTOR to reacquire such lands for Ten Dollars ($10.00) which is the price at which GRANTOR sold such lands to GRANTEE. 4. Except for a sale or transfer of the Property back to GRANTOR as provided for in paragragh 3. above, GRANTEE may not sell, exchange, or lease all or any portion of the Property without first obtaining Department of Environmental Protection bond counsel review and approval of the proposed sale, exchange or lease. Any sale, exchange or lease of all or any portion of the Property for non-governmental uses must be at arm's length and fair market value. These restrictive covenants shall be deemed covenants running with the land and shall be binding upon GRANTEE and its successors and assigns, and shall inure to the benefit of the public and shall be enforceable by the GRANTOR, by and ~:h.cough its agent, the Division of State Lands, Department of Environmental Protection. If GRANTEE fails to comply with any of the restrictive covenants, then all right, title and interest in and to the Property shall automatically and immediately revert to GRANTOR, its successors and assigns without notice to GRANTEE or its successors and assigns and GRANTEE, its successors and assigns shall forfeit all right, title and interest in and to the Property. TO HAVE AND TO HOLD the above-described lands subject to all outstanding easements, reservations and otner inter'~sts.
