CLERK OF CDURT MIAMI-DADE COUNTY, FLORIDA , QUIT-CLAIM ASSIGNMENT AND ASSUMPTION OF LEASE (" ASSIGNMENT") For good and valuable consideration, the receipt of which is hereby acknowledged, MIAMI BEACH REDEVELOPMENT AGENCY, a public body corporate and politic ("Assignor") hereby irrevocably assigns, transfers and sets over to Royal Palm Hotel Property, LLC, a Delaware limited liability company ("Assignee") all of Assignor's right, title and interest (without representations or warranties of any kind) in and to that certain Agreement of Lease by and between Assignor, as Owner and landlord, and RDP Royal Palm Hotel Limited Partnership, as Tenant, dated as of May 28, 1998, recorded in the public records of Miami-Dade County, Florida at O.R. Book 18170, at Page 893 (the "Lease") reserving unto Assignor all of its right, title and interest in those Lease provisions which survive the termination of the Lease, Assignee hereby assumes and agrees to perform or observe all of the covenants and obligations of the Assignor, as Owner and landlord under the Lease, which first arise and first accrue on or after the date hereof excluding, without limitation, any obligations that result from any default or other failure of Assignor, prior to the date hereof, to perform or observe any covenant or obligation of the Owner and landlord under the Lease. All terms of this Assignment shall be binding upon, inure to the benefit of and be enforceable by the parties hereto and their respective legal representatives, successors and assigns. No modification, waiver, amendment, discharge, change or termination of this Assignment shall be valid unless the same is in writing and signed by the party against which the enforcement of such modification, waiver, amendment, discharge, change or termination is or may be sought. This Assignment shall be construed and enforced in accordance with the laws of the State of Florida.
