Agreement 2/23/51
THIS AGREEHENT, Hade and entered into this 2Jrd day
of February, A. D. 1951, by and between U. S. HOLDING CORPffiATION,
a Florida Corporation, Party of the first part, hereinafter referred
to as the "Seller" and CITY OF HIAHI BEACH, a municipal corporation
of Florida, Party of the Second Part, hereinafter referred to as
the "Purchaser",
WIT N E SSE T H :
For and in consideration of the Slm of One ($1.00) Dollar,
heretofore paid to the Seller by the Purchaser, receipt of which is
hereby acknowledged, and in consideration of the covenants hereinafter
set forth, the parties hereto agree as follows:
1. The Seller will sell and convey and the Purchaser will
purchase that certain parcel of land situate, lying and being in
Miami Beach, Dade County, Florida, described as follows, to-wit:
Lot Three (3), Block Twenty-eight (28),
OCEAN BEACH ADDITION NO. TIfO (#2), accord-
ing to the Plat thereof, recorded in Plat
Book 2, at page 56, of the Public Records
of Dade County, Florida.
2. The Seller will, within Twenty (20) days from the date
hereof, furnish to the Purchaser an Abstract of Title showing Seller's
title to be good and marketable.
3. The Seller will convey the said land to the Purchaser
by good and sufficient warranty deed, free and clear of all encum-
brances except restrictions and limitations of record common to the
neighborhood; zoning ordinances of the City of Miami Beach, Florida;
pending City of Miami Beach liens; taxes for the year 1951 which
are to be pro-rated as of the date of closing the transaction con-
templated by this agreement.
4. The Purchaser agrees to pay to the Seller as the full
purchase price for said land, the sum of Thirty-five Thousand and
no/lOO ($35,000.00) Dollars cash at the time of closing the transaction
contemplated hereby.

5. The transaction contemplated hereby shall be closed
within Forty-five (1;.5) days from the date of this agreement.
6. This agreement shall be binding upon both parties,
the Seller and the Purchaser, their successors and assigns.
IN I/JITNESSvlHEREOF, the Parties hereto have caused these
presents to be signed in their corporate names by their duly authorized
officers, the seals to be affixed, attested by ~he Secretary and
City Clerk, respectively, the day and year first above written.

Florida corporation; that said persons so appearing before me are the
individuals and the officers afore named of said corporation described
in and who executed the foregoing deed; and that then and there said
individuals as said officers acknowledged before me that the seal af-
fixed to said agreement is the seal of said corporation, that their
names officially are by them respectively subscribed thereto, that said
deed was signed, sealed and delivered by said corporation in the pre-
sence of two subscribing witnesses pursuant to law, and that the same
is the free act and deed of said corporation.
