GROSS HEBREW ACADEMY OF GREATER MIAMI, a Florida non-profit corporation whose post office address is 2400 Pine Tree Drive, Miami Beach, Florida 33140, hereinafter called the Grantor, to CITY OF MIAMI BEACH, a Florida municipal corporation, whose address is City Hall, 1700 Convention Center Drive, Miami Beach, Florida 33139, hereinafter called the Grantee. (Wherever used herein the terms "Grantor" and "Grantee" include all the parties to this instrument and the heirs, legal representatives and assigns of individuals, and the successors and assigns of corporations.) WITNESSETH: That the Grantor, for and in consideration of the sum of Ten ($10.00) Dollars and other good and valuable considerations, receipt whereof is hereby acknowledged, hereby grants, bargains, sells, aliens, remises, releases, conveys and confirms unto the Grantee, the following described land, situate, lying and being in the County of Dade, State of Florida, to-wit: SEE EXHIBTT "A" ATTACHED HERETO AND MADE A PART HEREOF. SUBJECT TO: 1. Taxes and assessments for the year 2000 and subsequent years. 2. Conditions, restrictions, limitations and easements of record, if any, but this provision shall not operate to reimpose the same. TOGETHER with all the tenements, hereditaments and appurtenances thereto belonging or in anywise appertaining. TO HAVE AND TO HOLD, the same in fee simple forever. AND the Grantor hereby covenants with said Grantee that the Grantor is lawfully seized of said land in fee simple; that the Grantor has good right and lawful authority to sell and convey said land; that the Grantor hereby fully warrants the title to said land and will defend the same against the lawful claims of all persons claiming by, through or under Grantor. NOTE: GRANTOR AND GRANTEE REPRESENT THAT THIS DEED IS THE CONSEQUENCE OF A LITIGATION SETTLEMENT RESULTING IN RECONVEYANCE OF A PORTION OF THE LANDS PREVIOUSLY CONVEYED BY THE CITY OF MIAMI BEACH TO THE GREATER MIAMI HEBREW ACADEMY. ACCORDINGLY, NO FLORIDA DOCLN>~iV"1'ARY STAIVIF TAX OR SURTAX IS tIUE ON THIS CONVEYANCE AND A PORTION OF SUCH TAXES PREVIOUSLY PAID IN CONNECTION WITH THE ORIGINAL CONVEYANCE SHALL BE REIMBURSED TO THE GRANTOR HEREIN, THE PARTIES AGREE TO COOPERATE WITH ONE ANOTHER IN THIS REGARD UPON REQUEST.
