2001-24467 RESO RESOLUTION NO. 2001-24467 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, AUTHORIZING THE ADMINISTRATION TO ISSUE A REQUEST FOR PROPOSALS (RFP) TO PROVIDE COMPREHENSIVE PROFESSIONAL TENNIS MANAGEMENT AND OPERATIONS SERVICES AT THE CITY'S FLAMINGO PARK AND/ OR NORTH SHORE PARK TENNIS CENTERS. WHEREAS, on February 17, 1976, the Administration issued Bid No. 37-76, for the management and operations of the City's North Shore Park and Flamingo Park Tennis Centers; and WHEREAS, the reason for the issuance of this bid was because at that time the then current tennis professionals, as City employees, received compensation from the City ($21,523 per year) and additional income from sales and tennis lessons; and WHEREAS, there were seventy-three specification packages mailed out resulting in no responses being submitted; and WHEREAS, due to no responses, the Administration recommended the bid be canceled and that it be authorized to commence negotiations with the existing tennis center professionals with the objective of establishing a negotiated contact for the operation of the Tennis Centers; and that the resultant preliminary agreement, if any, be presented to the City Commission for approval within thirty (30) days; and WHEREAS, per a memorandum dated April 24, 1986, from Ron Rumbaugh, Director of Parks and Recreation to Assistant City Manager Richard L. Fosmoen, the present managers / pros have been operating under the stated regulations attached as Exhibit "A" hereto; and WHEREAS, on June 19, 1996, the Mayor and City Commission approved the General Obligation (GO) Bond Parks Master Plan for the restoration of the City's Parks System, and on November 2,1999, the citizens of Miami Beach approved the 1999 GO Bond Program, which included enhancements for both the North Shore Park and Flamingo Park Tennis Centers; and WHEREAS, recently, a group of resident tennis patrons inquired as to the current management structure for the Tennis Centers and recommended that, since it had been several years since the 1976 bid for the Tennis Center management was issued, and in light of the impending substantial improvements to the Tennis Centers, it was time to issue a new competitive solicitation, in this case a Request for Proposals; and WHEREAS, this recommendation was discussed by the members of the Parks and Recreational Facilities Board at its March 7, 2001, meeting and they concurred with this recommendation; and WHEREAS, the Administration has drafted a Request for Proposals (RFP) to solicit proposals from qualified and experienced tennis center management firms or individuals to respond; and WHEREAS, at the April 18, 2001, City Commission meeting the issuance ofthis Request for Proposal (RFP) was presented and it was the direction of the Mayor and City Commission to refer the item for further discussion to a joint meeting of the Community Affairs Committee and the Finance and Citywide Projects Committee; and WHEREAS, this joint meeting was held on May 14, 2001, resulting in the joint Committees again recommending the issuance of a Request for Proposals; and WHEREAS, this recommendation was accepted by the City Commission on May 16, 2001. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby authorize the Administration to issue a Request for Proposals (RFP) to provide comprehensive professional tennis management and operations at the City's Flamingo Park and! or North Shore Park Tennis Centers. FOR EXECUTION ,y3f-o I Date SECTION 2.0 - SCOPE OF SERVICES 2.1 INTENT The City is seeking proposals from experienced, adequately financed and qualified tennis center management firms and/ or individuals to provide tennis instruction, maintenance and management at the City's two (2) tennis centers located at Flamingo Park 11th Street and Jefferson A venue and North Shore Park located at 350 73'd Street. Proposers must be a certified Tennis Professional by USPTA, and/or USPTR, and must demonstrate knowledge and experience in tennis instruction and related activities, facility management, tennis court maintenance and related activities, as well as, knowledge of the legal requirements that are involved in this type of operation. Additionally, proposers must have a minimum of five (5) years of experience within the last ten (10) years in the management and/or operations of a similarly operated tennis center, professional tennis instructor in a similarly operated facility, or other experiences further delineated in Section III, sub-section B of the RFP. 2.2 REOUlREMENTS AND SERVICES TO BE PROVIDED The selected Proposer is expected to provide the public with tennis services at the Tennis Center facilities. The selected Proposer may provide related services as approved by the City. All services and incidental goods provided, together with their price, and hours of operation, must have the prior approval of the City. Such services, fees and charges may be modified only by written request of the selected Proposer to the City and approval by the City Manager. Such approval shall be in writing at least 30 days prior to implementation of the modification. The responsibility for securing and providing security for any equipment, supplies or resale items, including office decorations, and displays, will rest with the selected Proposer and the City of Miami Beach will not accept any responsibility for the Proposer's equipment or supplies or resale items. TENNIS INSTRUCTION AND RELATED SERVICES: Furnish good, prompt and efficient service, adequate to meet all reasonable demands, including established minimum schedule and hours of operation for tennis patrons, subject to the approval of the City. Minimum service levels will be: Provide an operation that will be safe, customer oriented with prompt service, complaint resolution, effective employee performance and training and timely initiation and completion of all work. Require background investigation for all pros, assistants and staff. Provide, promote and instruct lessons in the game of tennis by certified tennis professionals to individuals, groups and clinics. Said service shall offer the tennis patron a choice of instructor level and hourly fee commensurate with the instructor's level. Said fee and instructor levels will be negotiated and agreed upon between the City and the selected proposer. Such instruction will be defined at minimum as: . Individual lesson - shall be shared with up to 3 tennis patrons. . Group lesson - shall be shared with up to 5 tennis patrons. . Clinics - shall be groups of no less than 4 and no more that 8 tennis patrons per instructor. Fees for the various levels and types of instruction to be conducted will either be for a fee or free of charge, depending on mutual advance agreement of the Tennis Pro and the City. Coach existing tennis teams and/or team sanctioned and approved by the City. Such services may be provided for a coaching fee or free, depending on mutual advance agreement of the City. Offer demonstrations of aspects of the game oftennis in promotion of the Center. Such instruction will be defined as a demonstration. Such demonstrations may be either for a fee or free of charge, depending on mutual advance agreement of the City. Establishment, operation and tabulation of tournaments as requested by the City or facility tennis patrons, including participation in establishing specific needs for individual tournaments. Promote junior tennis by establishing a junior tennis team at each center, teams will play in a league with other Miami Beach or Miami Dade County Tennis Facilities. Provide advice to the City of changes, regarding the tennis industry in general, tennis rules and regulations, equipment and promotional methods associated with the operation of public tennis facilities. Advise the City of schedules of clinics, tournaments, and seminars on tennis, tennis merchandising, tennis management and other professional information. Provide Seasonal (six to eight classes, each fall, winter, spring, and summer) group clinics at low cost (a per lesson fee for six to eight lessons to be negotiated and approved in advance by the City) to the community. The selected Proposer and employees shall be distinctively uniformed or appropriately attired so as to be distinguishable as the Proposer. The selected proposer shall take good care of facilities and shall use the same in a careful manner and shall at its own cost and expense repair City property and facilities damaged by its operations under this Agreement. In addition to professional tennis instructions the scope of services required of the proposer under terms of the agreement will also include but not necessarily be limited to: 1. Overall Tennis Centers Management in accordance with City policy, directives and established policies. a. Tennis court reservation services b. Facility / court monitoring c. Tennis lessons reservations d. Food and beverage service (if applicable) e. Pro shop operations f. Courts Igrounds/ buildings maintenance to City specifications g. Booking oflocal, regional and state tennis tournaments h. Marketing, promotion and advertising of the City's Tennis Centers to residents, day guests and Miami Beach hotels. 1. Must provide summer and specialty camps based on full day Recreational Division Camp format. J. Must adhere to all City of Miami Beach established tennis center rules (to be jointly developed by the City and selected proposer.) k. Tennis professionals must posses and maintain an occupational license. 2. Collection and accounting of all revenues. 3. Payment and accounting of all expenses in a timely manner. 4. Formulation and implementation of operating programs, business plans, and budgets. 5. Handling of personnel including employment, (including certified background investigations), training, and terminations. 6. Preparation of monthly and annual financial operating statements in a format acceptable to the City. 7. Operate the facility in accordance with a City of Miami Beach Tennis Centers Policy Manual to be jointly prepared by the selected proposer and the City. 8. At minimum comply with the existing facility and courts maintenance standards as delineated in the attached Tennis Centers Maintenance Specifications. When the courts are renovated, selected proposer will negotiate and mutually agree to Tennis Centers' maintenance specifications for the new courts. The City retains responsibility for the following: 1. Administration of all terms and conditions of the Agreement. 2. Approve all fees and other principal tennis center operating policies prior to implementation. 3. Approval in advance of any alterations to existing facilities. 4. Approval of all tennis tournaments. 5. Approval of time(s) and the number of tennis courts to be used by the tennis professionals for tennis instructions on a daily basis. OTHER SERVICE REQUIREMENTS It is the intent of the City to provide the best possible service to the public. It is the City's further intent to gain revenues. However, the City makes no guarantee that the City will act, promote, approve, assist or cooperate in any manner to assure that this project will be a financial success for the City of Miami Beach or the selected Proposer. Must prioritize utilization of courts for public usage restricting lesson courts to not exceed two (2) courts during peak hours of play (8:00 AM to 11 :00 AM and 4:00 PM to 7:00PM) Must Adhere to City policy at all times re: - Youth Tennis Policy Rates ( hourly and annual) 2.3 TERMS OF AGREEMENT 1. Term of Agreement. The City is seeking to enter into an agreement with the selected Proposer for the for the exclusive right to provide professional tennis management and operations services for the City of Miami Beach Tennis Centers, Pro Shops, and related facilities for an initial term of three (3) years with two (2) one year extensions, renewable at the option of the City. 2. Proposed Payment(s) I Revenue to the City. The selected proposer shall pay the City a rental sum as a percentage ( %) of gross receipts or a minimum annual guarantee in the amount of dollars ($ ), for each tennis center, which ever is greater. Said percentage payments shall be paid to the City by the 15th of each month for the preceding month, and a statement of gross receipts for the preceding month shall accompany said payment. Any adjustment due to the City as a result of the annual rental guarantee shall take place within thirty (30) days after the end of each Agreement year. It is the intention of the City that it receive the rental amount as net, free and clear of all costs and charges arising from or related to said demised premises, and that one-twelfth (1112) of the minimum annual guarantee or percentage rent, whichever is greater be paid monthly. The term "gross receipts" is understood to mean all income collected or accrued, derived by the selected proposer under the privileges granted by this Agreement, or other document entered into with the City, excluding amounts of any Federal, State, or City sales tax, or other tax, collected by the Operator from customers and required by laws to be remitted to the taxing authority. Percentage payments should be based on gross sales including but not limited to all tennis instruction (private, Group or Clinics), Court fees including Permits and Promotional Groups, pro shop, tennis racquet and equipment repairs, sale of food and beverages (if applicable) and the sale of any other tennis related service or product on a monthly basis. It is also understood that all applicable taxes on the payments shall be added to the selected proposer's payment and forwarded to the City as part of the said payment. 3. Local Policies. The selected proposer shall operate and keep the tennis centers open to the public on a daily basis. The selected proposer will provide a level of service at least equal to the standards that exist at surrounding tennis centers of comparable standard and pricing. The tennis centers and all related facilities shall be operated as public facilities in a nondiscriminatory manner. 4. Hours of Operation. The Tennis Centers shall be open for play from 7:00 A.M. to 9:00 P.M. every day of the year, with the exception of closures due to weather conditions, and certain holidays agreed upon by the selected proposer and the City. 5. Tennis Center Fees. The City will establish fees for hourly tennis court play, annual permits and other specialized play. Additionally, the selected proposer must develop a fee schedule for the professional tennis instruction that offers the tennis patron a choice in instructor level and hourly fee commensurate with the instructor's level. Said fee and instructor levels will be negotiated and agreed upon between the City and the selected proposer. SECTION III-PROPOSAL FORMAT Proposals must contain the following documents, each fully completed and signed as required. Proposals which do not include all required documentation or are not submitted in the required format, or which do not have the appropriate signatures on each document, may be deemed to be non-responsive. Non-responsive proposals will receive no further consideration. A. CONTENTS OF PROPOSAL 1. Table of Contents Outline in sequential order the major areas of the proposal, including enclosures. All pages must be consecutively numbered and correspond to the table of contents. 2. Prooosal Points to Address: Proposer must respond to all mlmmum requirements listed below, and provide documentation that demonstrates ability to satisfy all of the minimum qualification requirements. Proposals that do not contain such documentation may be deemed non-responsive. 3. Acknowledgment of Addenda and Proooser Information forms (Section VIII)' 4. Anv other document required by this RFP. such as a Ouestionnaire or Prooosal Guaranty. 5. Pavmentto the City. 6. Alternative Proposal Format. After considering a variety of tennis center management and operations options, it Was determined by the City that the Request for Proposals to provide comprehensive professional tennis management and operations services at the City's Flamingo and/ or North Shore Tennis Park Tennis Centers appears to be the most appropriate format for the City of Miami Beach Tennis Centers. The intent is to obtain proposals from experienced, adequately financed and qualified tennis center management firms and/ or individuals to provide tennis instruction, maintenance and management at the City's two (2) tennis centers and pay the City an agreed upon rental fee for the right to provide said services. Although the comprehensive management and operation model is preferred and expected form of arrangement, the City is open to proposals for other forms and is not implying other formats will not be given the fullest consideration, including but not limited to proposals solely for professional tennis instruction and related tennis instructional services. If demonstrated that the City's objectives can be satisfied under an Alternative Proposal Format the City would consider such proposals. The specific terms and conditions of such alternative proposals should be submitted, in detail, for consideration. The proposer should be cautioned that while the City will consider alternatives to the full management agreement format, the City reserves the right to reject any and all proposals. A proposer offering an alternative format shall submit a separate complete stand-alone proposal in addition to the full management proposal. B. MINIMUM REOUIREMENTS I OUALIFICATIONS: In order to be deemed qualified for consideration, the proposing firm and/ or individuals must: 1. Have a minimum of five (5) years of experience within the last ten (10) years in the following tennis related fields: a. Management and/or operation of a tennis center of similar quality, facilities and amenities of the Flamingo or North Shore Tennis Centers. b. A minimum offive (5) years of experience within the last ten (10) years in the provision of professional tennis lessons (private, group, and clinic) for youth and adults. The City will require the Head Teaching Professional to be certified Tennis Professional by USPT A and/or USPTR. All assistants must demonstrate a knowledge and experience in tennis instruction and related activities. The Head Tennis Professional and/or Center Manager(s) must demonstrate knowledge and experience in tennis instruction and related activities, facility management, tennis court maintenance and related activities, as well as, knowledge of the legal requirements that are involved in this type of operation. c. Pro shop operations, including tennis lessons, equipment repairs, food and beverage and merchandise sales. d. Documented evidence of tennis (hard surface and clay) courts maintenance experience and operations. 2. Possess and demonstrate a record of financial responsibility commensurate with the obligations contemplated under this RFP. 3. Possess a competent record of employment or history of contract service in the operation of a similar tennis facility business as verified and supported by references, letters, and other necessary evidence from all employers and/or public agencies, including but not limited to disclosure of all non contract renewal for management and/or operation oftennis facilities. SECTION IV -EVALUATION/SELECTION PROCESS: CRITERIA FOR EVALUATION The procedure for proposal evaluation and selection is as follows: 1. Request for Proposals issued. 2. Receipt of proposals. 3. Opening and listing of all proposals received. 4. An Evaluation Committee, appointed by the City Manager, shall meet to evaluate each proposal in accordance with the requirements of this RFP. If further information is desired, proposers may be requested to make additional written submissions or oral presentations to the Evaluation Committee. 5. The Evaluation Committee shall recommend to the City Manager the proposal or proposals acceptance of which the Evaluation Committee deems to be in the best interest of the City. The Evaluation Committee shall base its recommendations on the following factors: 1. The proposer's qualifications and experience in the management, operations, and maintenance of a tennis center of similar quality, facilities and amenities of the Flamingo or North Shore Tennis Centers. 20 POINTS 2. The qualifications and experience of the proposer's personnel that will be assigned to the Tennis Centers. 15 POINTS 3. Proposer's references documenting successful prior performance in providing similar services as contained in the Scope of Services Section of this RFP. 15 POINTS 4. Minimum monthly rental and percentage of payments based on gross monthly sales. 20 POINTS 5. Financial Capability.l0 POINTS 6. Proposed operational plan and service delivery approach.20 POINTS 6. After considering the recommendation(s) of the Evaluation Committee, the City Manager shall recommend to the City Commission the proposal or proposals acceptance of which the City Manager deems to be in the best interest of the City. 7. The City Commission shall consider the City Manager's recommendation(s) in light of the recommendation(s) and evaluation of the Evaluation Committee and, if appropriate, approve the City Manager's recommendation(s). The City Commission may reject City Manager's recommendation(s) and select another proposal or proposals. In any case, City Commission shall select the proposal or proposals acceptance of which the City Commission deems to be in the best interest of the City. The City Commission may also reject all proposals. 8. Negotiations between the selected proposer and the City Manager take place to arrive at a contract. If the City Commission has so directed, the City Manager may proceed to negotiate a contract with a proposer other than the top-ranked proposer if the negotiations with the top-ranked proposer fail to produce a mutually acceptable contract within a reasonable period oftime. 9. A proposed contract or contracts are presented to the City Commission for approval, modification and approval, or rejection. 10. If and when a contract or contracts acceptable to the respective parties is approved by the City Commission, the Mayor and City Clerk sign the contract(s) after the selected proposer(s) has (or have) done so. Important Note: By submitting a proposal, all proposers shall be deemed to understand and agree that no property interest or legal right of any kind shall be created at any point during the aforesaid evaluation/selection process until and unless a contract has been agreed to and signed by both parties. GOnZalezA. . ~ City Manager ~v () A RESOLUTION OF HE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, AUTHORIZING THE ADMINISTRATION TO ISSUE A REQUEST FOR PROPOSALS (RFP) TO PROVIDE COMPREHENSIVE PROFESSIONAL TENNIS MANAGEMENT AND OPERATIONS SERVICES AT THE CITY'S FLAMINGO PARK AND/ OR NORTH SHORE PARK TENNIS CENTERS. SUBJECT: ADMINISTRATION RECOMMENDATION Adopt the Resolution. ANALYSIS As per the attached copy of Council Memorandum No. 6052 dated November 19, 1976 and included in the November 24,1976 Council agenda, on February 17, 1976 the Administration issued Bid No. 37-76, for the management and operations of the City's North Shore and Flamingo Tennis Centers. There were seventy-three specification packages mailed out resulting in no responses being submitted. According to this memorandum the reason for the issuance of this bid was because at that time the then current Tennis Professionals, as City employees, received compensation from the City ($21,523 per year) and additional income (amount unknown) from sales and tennis lessons. At the time, the City Attorney had rendered an opinion that the Tennis Professionals may be either a City employee with revenues generated forwarded to the City or, an independent contractor, not on City payroll, who would keep any revenues generated as his compensation. The memorandum concluded with the Administration recommending that, due to no responses the bid be canceled and it be authorized to commence negotiations with the existing Tennis Center Professionals with the objective of establishing a negotiated contact for the operation of the Tennis Centers; and the resultant preliminary agreement, if any, be presented to the Council for approval within thirty days. There is no documentation that can substantiate that the Administration presented the Council with a preliminary agreement as directed. However, as per the attached memorandum dated April 24, 1986, from Ron Rumbaugh, Director of Parks and Recreation to Assistant City Manager Richard L. Fosmoen it is stated in the third paragraph that there was a meeting, terms were negotiated and the present Managers / Pros have been operating under the stated regulations. AGENDA ITEM R7f/- ~ -frO I DATE The current tennis center management structure is a result of the above referenced negotiation. Since that time the tennis centers at Flamingo Park and North Shore Park have been staffed and operated by regular City employees. The tennis centers are managed and operated by the Parks & Recreation Department. On site supervision is provided at each center by a part-time (20 hours per week) Tennis Center Manager, a position that is a regular Classified Civil Service position within the GSA Labor Union Classifications. The current job description for the Tennis Center Manager, includes part-time (20 hours per week) compensation from the City for overall Tennis Center management. Additionally, as per the regulations referenced in the April 24, 1986 memorandum the Tennis Center Managers are providing professional tennis services to facility patrons, including tennis instruction and equipment repairs and sales and retaining this revenue as compensation for the additional 20 or more hours they supervise their particular center per week. On June 19, 1996, the City Commission approved the General Obligation Bond Parks Master Plan for the restoration of the City's Parks System and on November 2, 1999 the citizens of Miami Beach approved the 1999 GO Bond Program. Included in these plans are enhancements for both the North Shore Park and Flamingo Park Tennis Centers. These improvements include but are not limited to the installation of new hydrogrid and hard surface tennis courts, court lighting, landscaping, a new pro shop and locker rooms at North Shore, new fencing, fixtures and furnishings. Recently, a group of resident tennis patrons inquired as to the current management structure for the Tennis Centers and recommended that, since it had been several years since the Request for Proposals (RFP) for the Tennis Center management was issued and in light of the impending substantial improvements to the tennis centers it was time to issue a new RFP. This recommendation was discussed by the members of the Parks and Recreational Facilities Board at their March 7, 2001, meeting and they concurred with this recommendation. At the April 18, 2001, Commission meeting the issuance of this RFP as presented for consideration. It was the direction of the Mayor and Members of the Commission to refer the item for further discussion to a joint meeting of the Community Affairs Committee and the Finance and Citywide Projects Committee. This meeting was held on May 14,2001, resulting in the joint Committees recommending the issuance of the RFP to full Commission. This recommendation was accepted by the Commission on May 16, 2001. The Administration has drafted the RFP to solicit proposals from qualified and experienced Tennis Center Management firms or individuals to respond to this recommendation. Highlights of this RFP include but are not limited to: . The term of this Agreement, including renewal options, shall be for a period of not more than five (5) years, commencing on the date the agreement is executed. . The selected proposer shall pay the City a rental sum as a percentage (%) of gross receipts or a minimum annual guarantee in an amount to be negotiated for each tennis center, which ever is greater. Payment will be based on gross sales including but not limited to: all tennis lessons (private, group or clinics), court fees including permits and promotional groups, pro shop sales, tennis racquet and equipment repairs and the sale of food and beverages (if applicable). . The selected proposer shall be responsible to maintain the tennis courts, building(s), equipment, pay for all utilities, and all appurtenances in conformity with City's specifications and manufacturers' specifications. . Overall Tennis Center Management in accordance with the City's directives and established policies including but not limited to: * Provision of professional tennis instruction (private, group or clinics for all levels and abilities) and related services including ball machine and equipment rentals. Pro shop operations. Tennis court reservation services. Food and beverage service (if applicable). Groundslbuildings and equipment maintenance to City's specifications and manufacturers' specifications. Development of tennis training programs for all ages and abilities. Organizing and booking oflocal, regional and state level tennis tournaments. Marketing, promotion and advertising of the City's tennis centers to residents, day guests and Miami Beach hotels. * * * * * * * Approval of this Resolution will enable the City to proceed with the issuance of this RFP and enable the Administration to move forward, in conjunction with the community, to better serve the recreational needs and interests of our residents.
