Gentlemen:
Subject to the following terms and conditions,we agree to represent you in seeking the above
variances at the administrative level(s)of the City of Miami Beach("City")as well as in connection
with a possible revocable permit before the City commission.
1. The scope of our representation will be limited to securing such variances and
possible revocable permit. We will use our best efforts in this regard,including meetings with City
staff and with your professionals including your architect, George Jenetopulos.
2. We are to immediately receive the sum of$6,500.00 from you,as a non-refundable
fee in connection with this representation. This non-refundable fee shall be deemed earned at this
time, irrespective of the outcome of these proceedings or time expended. Costs will be billed
separately as the matter progresses. This is our minimum fee,but will apply against our final fee.
The final fee will be based upon time expended based upon a minimum hourly rate of$550.00 for
partners, $350.00 for associates and $95.00 for paralegals.
3. It is understood and agreed that you will be responsible for all costs as they are
incurred. By way of illustration and not limitation, expert witness fees, court reporter costs,
messenger services, City lobbyist fees, and the like will be your responsibility. A $750.00 cost
deposit is required at this time.
4. Should matters extend beyond the administrative level or into the Circuit Court of
Miami-Dade County;the District Court of Appeal of Florida,Third District; or the Supreme Court

of Florida,then counsel fees for such services shall be negotiated at that time. An"aggrieved party"
may seek judicial review of the action of an administrative board. For purposes hereof, an
"aggrieved party"shall be considered,by way of an example,an"objector"or"neighboring property
owner" who opposes your request.
5. We enclose Section 4-1.5 of the Rules Regulating the Florida Bar, which explains
fees more fully. In calculating the above-mentioned counsel fees,we have taken into consideration
the various factors as set forth in that Section.
6. You acknowledge that we have made no guarantees as to the disposition of any phase
of this matter or matters for which we have been retained, and any expressions we may have
advanced to you as relative to these proceedings are only our opinions. We will use our best efforts
in representing and assisting you in what you seek.
We wish to thank you for affording us the opportunity to be of service to you in this matter.
If the foregoing accurately reflects our understanding and is acceptable to you,it will be appreciated
if you will sign a copy hereof,where provided at the foot of this letter,indicating your approval and
acceptance of the same,and return the same to us,along with the fee and cost deposit of$7,250.00.

considered as guides in determining a reasonable fee
include:
(1) the time and labor required, the novelty,
complexity, and difficulty of the questions involved,
and the skill requisite to perform the legal service
properly;
(2) the likelihood that the acceptance of the
particular employment will preclude other
employment by the lawyer;
(3)the fee,or rate of fee,customarily charged
in the locality for legal services of a comparable or
similar nature;
(4)the significance of,or amount involved in,
the subject matter of the representation, the
responsibility involved in the representation, and the
results obtained;
(5) the time limitations imposed by the client
or by the circumstances and,as between attorney and
client, any additional or special time demands or
requests of the attorney by the client;

relationship with the client;
(7) the experience, reputation, diligence, and
