96-21882 RESO RESOLUTION NO. 96-21882 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA AUTHORIZING AND DIRECTING THE MAYOR AND CITY CLERK TO EXECUTE A LEASE AGREEMENT BETWEEN THE CITY OF MIAMI BEACH AND THE STATE OF FLORIDA, DEPARTMENT OF TRANSPORTATION FOR A TEMPORARY BRIDGE FOR ACCESS TO AND FROM LA GORCE ISLAND, MIAMI BEACH, FLORIDA. WHEREAS, the La Gorce Island bridge is in a state of serious disrepair and requires replacement on an emergency basis; and WHEREAS, the La Gorce Island bridge is part of the State of Florida, Department of Transportation ("FDOT") Bridge Replacement Program, but was not scheduled to be replaced until fiscal year 1997 - 1998; and WHEREAS, the attached Lease Agreement will provide for the expedited placement of a temporary bridge for access to and from La Gorce Island pending FDOT's beginning of construction of a permanent bridge, at which time FDOT shall provide the temporary bridge at its expense. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA that the Mayor and City Commission approve the attached Lease Agreement for Temporary Bridge for Access to and from La Gorce Island, Miami Beach, Florida, and the Mayor and City Clerk are herein authorized to execute the Lease Agreement. ADMINISTRATION RECOMMENDATION: The Administration recommends that the Mayor and City Commission approve the proposed lease agreement between the City of Miami Beach and the State of Florida, Department of Transportation for a temporary bridge for access to and from La Gorce Island. BACKGROUND: On October 24, 1996, the City of Miami Beach was informed by the Florida Department of Transportation (FOOT) that traffic on the La Gorce Island bridge would need to be restricted immediately due to safety concerns. An inspection conducted by FOOT engineers revealed severe deficiencies in the La Gorce bridge structure and supporting columns. The recommendation by FOOT was to replace the entire bridge structure, support columns and abutments. To accomplish this project, a temporary bridge would need to be installed to allow traffic in and out of La Gorce Island. Replacement of the bridge would commence in June 1996. FOOT proposed to have the temporary bridge installed by June 1996 in connection with demolition of the existing bridge. ANALYSIS The City of Miami Beach, upon restricting the flow of traffic to and from La Gorce Island by reducing the maximum weight limit to 5,000 pounds or one passenger vehicle, severely impacted the construction of several homes on the island which required maximum loads in excess of 30,000 pounds. To allow construction to continue as soon as possible, the City of Miami Beach requested FOOT to accelerate the installation of the temporary bridge. The Florida Department of Transportation agreed to install the temporary bridge at its expense. The Florida Department of Transportation, however, required the City to lease the bridge for its use up to the time when FOOT would begin replacement of the bridge estimated to begin in June 1996. The estimated time for the lease would not exceed four mopths (March 1996 to June 1996). Number: 6123181 & 6123287 Dade County, Florida LEASE AGREEMENT FOR TEMPORARY BRIDGE FOR ACCESS TO AND FROM LA GORCE ISLAND, MIAMI BEACH, FLORIDA This Lease Agreement ("Lease") is made and entered into this ~ day of Jw , 1996 by and between the State of Florida, Department of Transportation, an agency of the State of Florida ("FDOT") and the City of Miami Beach, a municipal corporation of the State of Florida, with offices located at 1700 Convention Center Drive, Miami Beach, Florida 33139 ("City"): WITNESSETH: WHEREAS, the La Gorce Bridge Replacement Project is a part of the Bridge Replacement Program funded by the federal government via the Intermodal Surface Transportation Efficiency Act of 1991 ("ISTEA") Program and this project is scheduled to begin during FDOT's fiscal year of 1997 -1998. However, because of the grave disrepair of the La Gorce Island bridge and the need for immediate emergency repairs, FDOT and the City agree, pursuant to Section 339.121, Florida Statutes (1995), that the following agreement for Lease of a temporary bridge is in the public's best interest. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, FDOT and the City agree as follows: 1. FDOT will install on or before February 22, 1996, a prefabricated single lane sectional bridge superstructure ("temporary bridge"), which will serve as a temporary access to and from La Gorce Island which is located within the geographical boundaries of the City. The temporary bridge is more fully described as specified on Exhibit "A" attached hereto. 2. FDOT, in consideration of the payments, covenants and agreements of the City, herein mentioned, leases the temporary bridge to the City for a term of three (3) months, with an option to renew under the same terms and conditions of this Lease on a month-to-month basis, beginning upon written notice from FDOT that installation of the temporary bridge is complete, and continuing thereafter until commencement of construction by FDOT of a permanent bridge structure connecting La Gorce Island to the mainland of the City ("permanent bridge"), or until termination of this Lease as otherwise provided for herein. 3. FDOT shall bear all costs and responsibilities for installing the temporary bridge in accordance with Exhibit A. Further, FDOT shall bear all costs of maintaining the temporary bridge upon commencement of construction of the permanent bridge and shall install the permanent bridge at its expense. Upon completion of construction of the permanent bridge, FDOT shall bear all costs associated with dismantling and removing the temporary bridge. The City shall pay to FDOT rent of$4,410.00 per month for the temporary bridge. The first rent payment shall be due within five (5) business days after notification of completion of installation ofthe temporary bridge, and shall be a prorated amount equal to the monthly rent divided by thirty (30), and multiplied by the number of days remaining in the month. Subsequent rent payments shall be due and payable in advance on the first day of each month, and shall continue until termination of this Lease. Notwithstanding the foregoing, the total amount to be paid by the City to FDOT under the three month lease period set forth in paragraph 2 herein shall not exceed Thirteen Thousand Two Hundred Thirty Dollars ($13,230.00). All rent payments are to be made by check or money order, payable to the State of Florida Department of Transportation and delivered on or before the due date to: FDOT, Cashier's Office, Attention: Bonnie Rogers, 605 Suwannee Street, MS42, Tallahassee, Florida 32399-0460. The City disclaims all right to the possession of the temporary bridge other than by virtue of this Lease. In the event that this Lease is terminated at any time before the expiration of any period for which the rental shall have been paid in advance, FDOT shall refund to the City any unearned rental on a per diem basis, but it is understood that the rental due up to the last day for use, as fixed by written notice, shall be considered as having been earned. 5. Should FDOT seek to terminate this Lease after the three (3) month lease period, but prior to the commencement of construction of the permanent bridge, the City shall be entitled to enter into a month-to-month lease option with FDOT. If the City exercises its option, FDOT shall accept the City as a month-to-month tenant under the same terms and conditions of this Lease. If the City does not exercise this option at the end of the initial three (3) month lease period, the City shall have thirty (30) daysto find a replacement temporary bridge structure. At the end of the thirty (30) day period, FDOT, at its own discretion, may remove the temporary bridge. Should FDOT remove or regain control over the temporary bridge, the parties herein agree that FDOT will not be responsible for providing a temporary alternative access to La Gorce Island prior to the beginning of construction of the permanent bridge. 6. FDOT shall be responsible for obtaining any and all necessary licenses or easements from private landowners for building the temporary bridge on private property. 7. To the extent provided by Section 768.28 (17), Florida Statutes (1995), during the term of this Lease, the City shall indemnify, defend, save and hold harmless FDOT for all claims, demands, liabilities and suits of any nature whatsoever arising out of, because of or due to the use ofthe temporary bridge structure by any person or entity or by breach of this Lease by the City, its agents or employees or due to any act or occurrences, omissions or commissions of its agents or employees. It is specifically understood and agreed that this indemnification agreement does not indemnify FDOT, its agents or employees for its own negligence or breach of contracts or due to any act or occurrences, omissions or commissions of its agents or employees. The temporary bridge which is the subject of this Lease shall be taken in good and serviceable condition, maintained by the City during the term and continuance of this Lease, and surrendered by the City at the termination of this Lease in substantially the same condition as when received, normal wear and tear excepted. Should the temporary bridge be damaged during the initial three (3) month period or during a month-to-month lease period as provided in this Lease, except as excluded in paragraphs 7 and 10 due to FDOT, its agents or employees, the City agrees to either make all necessary repairs to the temporary bridge at its expense or to reimburse FDOT for all costs associated with making such repairs. 9. The City shall not assign this Lease, nor sublet the temporary bridge or any part of the temporary bridge or appurtenances thereto, without written consent of FDOT. 10. FDOT agrees to adhere to and be governed by all applicable requirements of the laws listed below including, but not limited to, those provisions pertaining to employment, provision of programs and services, transportation, communications, access to facilities, renovations, and new construction. The Americans with Disabilities Act of 1990 (ADA): Pub. L. 101- 336, 104 Stat 327, 42 U.S.C. 12101-12213 and 547 U.S.C. Sections 225 and 611 including Title I, Employment; Title II, Public Services; Title III, Public Accommodations and Services Operated by Private Entities; Title IV, Telecommunications; and Title V, Miscellaneous Provisions. The Rehabilitation Act of 1973: 29 V.S.C. Section 794. The Federal Transit Act, as amended: 49 U.S.c. Section 1612. 11.
