NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and the City Clerk shall execute the Conservation Lighting Conversion Agreement between the City of Miami Beach and F10r Ida Power & Light Company for converting present street lighting systems of incandescent and/or mercury vapor lamps to more efficient, high pressure sodium vapor sources. WITNESSETH and, WHEREAS, the Company now serves the Customer at various locations with Company owned street lighting service WHEREAS, the Company and the Custom.er desire to promote conservation by converting present street lighting sys- tems of Incandescent and/or Mercury Vapor lamps to the more efficient High Pressure Sodium Vapor source, NOW, THEREFORE, in.recognition of the foregoing recitals and in consideration of the mutual covenants and agree- ments contained herein, the parties hereto do agree as follows: TERMS AND CONDITIONS 1. Conversions All conversions pursuant to this agreement will be at existing locations as indicated by the Customer records. All conver- sions shall conform to the replacement proposal marked Exhibit "D" and made a part hereof by this reference, unless designated otherwise by the Customer in writing or recommended otherwise by the Company and accepted by the Customer in writing accord- ing to Exhibits "B" or "C", Original Tariff Sheet Nos. 9.113 and 9.114. 2. Ownership Such conversions will be made at the Company's expense and all poles, wires, fixtures, lamps, and other appliances, supplied and used by the Company in furnishing service herein provided for shall, at all times, be and remain the property of the Company. 3. Conversion Schedules The Customer agrees that all scheduling and completion of designated conversions under the terms of this Agreement will be at the sole discretion and management of the Company. The Company makes no representations as to the expected completion date of the designated conversions. 4. Incorporation The following Street lighting Agreements!:xl is lIlx) expressly incorporated in its (tl:!xk) entirety herein and shall expire on the date that this Conservation lighting Conversion Agreement expires as provided in paragraph five (5) herein. If no such Street lighting Agreement exists, the Customer will execute same simultaneously with the execution of this agreement. s. Term of Contract The Customer and the Company mutually agree that the life of this Agreement shall be for a term of ten (10) years from the date of this Agreement and shall extend thereafter for further successive periods of five (5) years from the expiration of the initial ten (10) year term, or from the expiration of any extension thereof. The Agreement shall be extended automatically unless either party shall have e.iven written notice to the other of its desire to terminate this Agreement. The written notice shall be given not less than ninety (90) days before the date of expiration of the initial ten (10) year term, or any extension thereof. Page 1 of 2 6. Payment The Customer agrees to take electric energy and service supplied to each street light in accordance with the rate schedule set forth in Exhibit "Au, which is attached to and made part of this Agreement, or any successive rate schedule which may be ap- proved from time to time by the appropriate regulatory authority. APPLICATION: For lighting of public ways and areas, with lighting systems. TYPE OF INSTALLATION: Company-owned, fixtures normally will be mounted on poles of Company's existing distribution system and served from overhead wires. On request of the Customer, the Company v!ill provide special poles or underground wires at the charges specified below. . Customer-owned systems will be of a standard type and design, permitting service and lamp replacement at no abnormal cost .to the Company. SERVICE: Service includes lamp renewals, patrol, energy from dusk each day until dawn the following day, and maintenance of Company-owned street lighting systems. Energy will be supplied from Company's series or multiple system, at Company's option. LI:llITATION OF SERVICE: If the Company is required to remove or replace existing high pressure sodium vapor luminaires under this schedule, forcing premature retirement, the Customer shall be required to pay the Company an amount equal to the original installed cost, less any salvage value, depreciated, based on the depreciation rates as approved by the Florida Public Service Commission, plus the cost of removaL For Mercury Vapor, Fluorescent and Incandescent luminaires, no additions or changes in specified lumen output on existing installations will be permitted under this schedule after October 4, 1981 except where such additional lights are required in order to match existing installations. Stand-by or resale service is not permitted hereunder.
