" RESOLUTION NO. 94-21374 " A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING THE BY-LAWS OF THE SOUTH BEACH TRANSPORTATION MANAGEMENT ASSOCIATION, AS AMENDED BY THE TMA EXECUTIVE BOARD. WHEREAS, the South Beach Transportation Management Association (SoBe TMA) has been affiliated as a constituent part of the Miami Beach Development Corporation (MBDC); and WHEREAS, the TMA acts under the auspices of the MBDC Board of Directors as an independent policy making body; and WHEREAS, the MBDC staff serves as the TMA staff under the supervision of the MBDC President; and WHEREAS, on July 27, 1994, the Mayor and City Commission approved the TMA Budget but requested that the By-Laws be amended to structure the TMA as affiliated with MBDC but independent from them at the executive level, as is the Ocean Drive Association; WHEREAS, on October 4, 1994, the TMA Executive Board amended the By-Laws, Article IV _ Affiliation, to include that "The TMA Executive Director shall serve at the pleasure of the TMA Executive Board and under its direction;" and WHEREAS, a copy of the amended By-Laws is attached hereto and incorporated herein as "Exhibit A." II ARTICLE n - pURlOSE The mission of the South Beach Transportation Management Association - SoBe TMA - _ is to actively contribute to the improvement of South Beach's tranSPOrtation systems. The Association win identify problems and propose solutions based upon transportation demand management principles. The Association win plan and implement programs aimed at improving local traffic and parking conditions and win encourage and assist positive actions by others in both the private and public sectors. The Association will undertake its work: in a manner that contributes to the area's economic and community development while sensitive to environmental concerns and the integrity of the historic district. The primary goal of the So& 1MA is to enable the area's businesseS, citizens. community groups and City government to work effectively together with County and State governments in developing and implementing solutions to the unique transportation problems of South Beach. The Association will pursue its mission and goal by pursuing the following objectives: 2.1. Coordinate efforts of the South Beach business and residential community tovwork: cooperatively with State, County and City government in transportation planning, policy development and program implementation. 2.2. Actively seek grant funds and other financial and organizational support for community participation in transportation planning. policy development and pro8f8ID implementation. \ 2.3. Reduce the area's reliance upon private. single occupant vebic:Ies using strategies that more adequately address the area's resident. visitor and business generated traffic patterns. 2.4. Foster attitudes and behaviors that erK:Ourage use of transportation modes that are appropriate for our human scaled urban environment. such as walking, bicycling, ride sharing and public transportation. 2.5. Foster the development ofa greater range of public and private transpOrtation services available to Miami Beach residents (including South, Middle and North Beach areas), visitors and businesses. including but not limited to jitneys, trams and mini-buses. 2.6. Assure that the area's parking management program maximizes the efficiency of parking facilities and reflects the goal of increased use of appropriate transportation alternatives. 2.7. Make appropriate recommendations to local government regarding transportation infrastructure planning and provide policy guidance with regard to real estate development activities that effect the South Beach community. 2.8. Provide support and technical assistance to the private and public sectOrs regarding the design, implementation and administration of transpOrtation management programs. 2.9. Research various fonns of strategies that manage the demand for tranSPOrtation and serve as a local clearinghouse on local and national tranSpOrtation issues and funding initiatives. 2.10. Develop public awareness and community-based support for the long-term success oftheSo& TMA and its mission. goals and objectives. ARTIc.I.E m _ GEOGRAPMC TARGET AR~A The Geographic Target Area includes the portion of Miami Beach lying south of Forty- N"mth Street. ARTICLE IV - AFFD .IATION The association is affiliated as a constituent part of the Miami Beach Development Corporation. The Association acts under the auspices of the MBDe Board of Directors as an independent policy making body. MBDC staff serves as the TMA's staft: under supervision of MBDC's president. The TMA Executive Director shall serve at the pleasure of the TMA Executive Board and under its direction. ARTICLE V - MEMBERSBIl 5. 1 Regular Membership shall be open to all companies. businesses. agencies. and community and resident groups. including both public and private entities. located or conducting business within the area served by this association. Membership dues shall be established by the TMA Executive Board. 5.2 Associate Membership shall be open to those persons and groups not eligible for Regular Membership who shall ascribe to the purposes of the associa1ion. Membership dues shall be established by the TMA Executive Board. 5.3 All Regular Members and Associate Members of the TMA shall also be designated as a special class of members of the Miami Beach Development Corporation. 5.4 The Florida Department of Transportation shall serve as an ex-officio, non- voting member of the association. ARTICLE VI - TMA EXECUTIVE BOARD 6.1 The affairs of the Association shall be managed by or under the authority of the TMA Executive Board. 6.2 The following organizations shall each designate one representative to serve on the TMA Executive Board: Miami Beach Development Corporation Miami Design Preservation League Lincoln Road Task Force Ocean Drive Association Washington Avenue I Espanola Way Association Miami Beach Chamber of Commerce Convention Center I TOPA/SMG Fountainbleau Hilton Hotel Miami Heart Institute Mount Sinai Medical Center City of Miami Beach City of Miami Beach Parking and Transpiration Committee Up to ten additional directors may be elected to the TMA Executive Board by nomination and majority vote of the TMA Executive Board. Directors shall serve for a one year term -- 'or until the election of their replacement. The TMA ExeartM Board shall nc-"t-" and by majority vote shall elect Directors to fill any vacancy. 6.3 Meetings shall be convened at the call of the chainnan and/or the executive director upon written notice to each director at least three working days in advance of the meeting. At any duly called meeting a quorum shall be composed of a majority of directors in office. ARTICLE VB - omCEBS. 7.1 The TMA Executive Board shall annually elect a chairman. a vice-chairman. secretarY, treasurer and such additional officers as shall be determined to be neccssaJ'}' or desirable. 7.2 The duties of the Officers shall be those that are normal for such an Association and those additional duties as may from time to time be specifically desiW'Atfl!d by the TMA Executive Board. ARTICLE vm - "U1i'.ND~NT These Bylaws may be amended by majority vote at any duly convened meeti"8 of the TMA Executive Board. l<~o # '1't-Z-/J7lf EXHIBIT "e" BENEFITS OF A LOCAL TRANSPORTATION MANAGEMENT ASSOCIATION (TMA) I. A summary of benefits: g Private business funding resources and management participation g Federal, State and Metropolitan Planning Organization funding and budget processes that set aside or provide preferential consideration for quick paced TMA project development. g Changes in Florida Statutes that allow for a TMA to execute a Joint Participation Agreement (JPA) directly with the Florida Department of Transportation (FOOT) g Focus on special types of Transportation/Parking projects that deal with Congestion Management (CMAQ funds) in smaller and clearly designated areas that may not readily access regional, county wide or municipal funding. g A provision for selected project technical and planing assistance from FOOT and the MPO not encumbering TMA funding resources. g Assistance in specialized and local project development by Transit Districts (for Dade County and the Metro-Dade Transit Agency (MOTA)) that provide accelerated problem resolution for issues the MOTA may not be able to apply county wide resources. g Provides a focus and process for public consensus and confidence that can be extremely time consuming and difficult for larger area-wide projects. II. Examples of recent South Florida TMA successes and potentials: + Downtown Fort Lauderdale TMA Within a year of TMA incorporation, utilized $75,000 in private start up funds to secure in excess of $800,000 for Transportation/Parking Projects. + City Center Downtown Development TMA (Palm Tran Downtown Shuttle) This is a shuttle service which serves the downtown business core of West Palm Beach for parking and a subsequent shuttle transportation. For 119 days of operation, the cost has been $34.49 per hour and carried 32,071 passengers. This is impressive as the Transit District 1 4G9 ~. (Cotran) operates the shuttle with private and public funding. + The Dade County MPO is completing a "Congestion Mitigation: Public- Private Partnerships Study" that will provide up to fifty (50) vehicles for Transportation Services. The vehicles would be leased for a minimal cost ($1.00 per month per vehicle has been discussed), so that Public-Private Operators will concentrate only on the operating costs for selected projects. III. Two (2) jump start projects for the South Beach TMA are identified as follows: ... A local shuttle circulator service that will connect parking facilities and the attractions from South Pointe, Ocean Drive, Lincoln Road, the Convention Center and Mid-Beach Hotels. This project is to solve traffic congestion problems for tourists, businesses, employees and residents alike. Q" A direct scheduled shuttle service from Miami International Airport to Miami Beach via the McArthur and Julia Tuttle Causeways. This project is already at the top of the priority list for the previouslV mentioned MPO vehicle lease program for our TMA. Private funding, including participating hotels, would provide operational costs. ... IV. Summary of South' Beach TMA benefits. At meetings begun over a year ago there were concerns that a TMA would be another layer of bureaucracy, should be area wide and....wouldn't get anything done. r l.- This summary document of benefits explains that: · There is priority consideration and a streamlined process for obtaining transportation/parking funding for Congestion Management Programs from Federal, State, County and Local Governments for a TMA that utilizes private funding and management resources. r i 1.- · Grass root community consensus can be effective and accelerated for projects with clearly defined areas and with special problems and issues. · Our TMA has the potential for accelerated implementation of Transportation/Parking projects after incorporation, before the end of the year with full cooperation between the Public and Private sectors as demonstrated at Fort Lauderdale and West Palm Beach. ,...- L- 2 470 r- L- ~....;... · The formation of a TMA and access to funding does not legally require City participation other that MPO sign offs. However, City participation is necessary to insure success and coordination of the possibility of TMA formation in other areas of the City to solve special problems. In addition our City is embarking upon a Transportation Development Plan that will require a high degree of consensus, coordination and additional windows of opportunity to improve the Transportation/Parking infrastructure for Miami Beach. Tony Goldman stated It ...that if the TMA can provide a local shuttle service... it will have served its purpose. OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING THE BY-LAWS OF THE SOUTH BEACH TRANSPORTATION MANAGEMENT ASSOCIATION, AS AMENDED BY THE TMA EXECUTIVE BOARD. DATE: October 19. 1994 TO: SUBJECT: ADMINISTRATION RECOMMENDATION The Administration recommends that the City Commission approve the attached Resolution adopting the By-Laws of the South Beach Transportation Management Association (SoBe TMA), as amended by the TMA Executive Board at the City Commission's directive of July 27,1994. BACKGROUND In the last eight months, the proposal for the formation of a TMA for Miami Beach has been presented and acted upon by the City CommissiolJ, as follows: On March 16, 1994, the City Commission approved the creation of the SoBe TMA and committed to provide $50,000 toward matching the $75,000 State grant for the first year operations of the TMA, pending review of the proposed Budget and By-Laws by the Finance Committee. Since the TMA operates under the auspices of the Miami Beach Development Corporation, the MBDC has obtained the $25,000 matching balance from its membership. We have been assured that none of the federal monies allocated to MBDC by the City are used for TMA purposes. On July 7, 1994, the Finance Committee reviewed the TMA Budget and By- Laws and referred the item to the City Commission for final approval. On July 27, 1994, the City Commission approved the TMA Budget, authorized the City Manager to execute the grant contract agreement, but requested that the By-Laws be further amended to structure the TMA, at the executive level, as independent from MBDC as is the Ocean Drive 457 Association. AGENDA ITEM R -1... K DATE~ . . -'," On October 4, 1994, the TMA Executive Board amended the By-Laws, submitted as "Exhibit A.". Article IV - Affiliation, was expanded to read as follows: " The Association is affiliated as a constituent part of the Miami Beach Development Corporation. The Association acts under the auspices of the MBDC Board of Directors as an independent policy making body. MBDC staff serves as the TMA's staff, under supervision of MBDC's President. The TMA Executive Director shall serve at the pleasure of the TMA Executive Board and under its direction. n At the same meeting,..a sub-committee was formed to further screen and process the 18 applications received for the TMA Director's position. The Board feels that the position should be re-advertised and the application process re-opened in search for the best candidate available. TMAs are new in the United States and experienced people in the field are not readily available. ANALYSIS The City and its Transportation and Parking Committee hold two seats on the TMA Executive Board, plus one alternate position. Through these voting members, the Administration proposes to work closely with the TMA Executive Board to promote joint effort and minimize the concerns we have regarding the TMA's proposed First Year Work Program, "Exhibit B." We call your attention to the following concerns: The proposed First Year Work Program will need to be reviewed to avoid duplicating efforts already set forth by the City's Transportation & Parking Committee, East-West Corridor Citizens Advisory Committee, Transportation Coordinator, and Parking Department; plus the Miami Beach Chamber of Commerce's Transportation & Parking Committee and Bikeways Committee. The SoBe TMA proposes to undertake an ambitious and broad work program, including the establishment of a Beach transportation circulator, a South Beach-Downtown express, an Airport to Beach hotel shuttle, a bicycle and pedestrian program, a tourist mobility plan, a neighborhood transportation and parking master plan, membership recruitment and fundraising, and transportation forums, among other activities. ' Most TMAs during their early years limit objectives to membership recruitment/fundraising, and organizing transportation services to a specific clientele generated through employer-employee arrangements, based on matched zip code destinations. 458 Without experienced personnel (beyond the Director to be hired) and abundant sources of funding, such ambitious program may be difficult, at best, to accomplish. CONCLUSION The time has come for the City to make its final decision regarding the SoBe TMA, for the following reasons: There are many advantages in having a well organized, fully functioning TMA (please see "Exhibit C"); The SoBe TMA approval process has taken a great deal of time; Substantial amount of time and resources have been dedicated to the So Be TMA formation process by the Florida Department of Transpotation's (FOOT) Gold Coast Commuter Services (GCCS); The $75,000 grant funding for the first year (FY 1994-95 which began October 1 st) cannot be accessed until the TMA is fully implemented; and No activities can be initiated prior to receiving the grant funding. Approval of the Resolution endorsing the amended TMA By-Laws would be the final step and order to proceed with the TMA effort. As a reminder, the SoBe TMA will be evaluated annualy by GCCS in accordance with FOOT policies. The Mayor and Commissioners have the option of withdrawing financial participation after the first year if GCCS' evaluation of TMA operations is not satisfactory. alj r 459
