INTERIM MANAGEMENT AGREEMENT
BETWEEN THE CITY OF MIAMI BEACH AND PROFESSIONAL COURSE
MANAGEMENT II, LTD., FOR THE GROW-IN AND PRE-OPENING MARKETING OF
THE BA YSHORE GOLF COURSE
THIS AGREEMENT made and entered into this ~th day Of~, 2002, by and
between the CITY OF MIAMI BEACH, FLORIDA (hereinafter referred to as City), having
its principal offices at 1700 Convention Center Drive, Miami Beach, Florida, 33139, and
PROFESSIONAL COURSE MANAGEMENT II, LTD., a corporation of the State of Florida,
(hereinafter referred to as Contractor), whose address is 10000 Biscayne Boulevard, Miami
Shores, Florida 33138.
SECTION 1
DEFINITIONS
Agreement:
This Agreement between the City and Contractor.
City Manager:
The Chief Administrative Officer of the City.
Contractor:
For the purposes of this Agreement, Contractor shall be deemed to be
an independent contractor, and not an agent or employee of the City.
Services:
All services, work and actions by the Contractor performed pursuant
to or undertaken under this Agreement, as described in Section 2.
Fee:
Amount paid to the Contractor to cover the costs of the Services.
Risk Manager:
The Risk Manager of the City, with offices at 1700 Convention Center
Drive, Third Floor, Miami Beach, Florida 33139, telephone number
(305) 673-7000, Ext. 6435, and fax number (305) 673-7023.

SECTION 2
SCOPE OF WORK
The scope of work to be performed by Contractor is set forth in Exhibit "A," entitled
"Scope of Service~" (Services).
SECTION 3
COMPENSATION
3.1 BUDGETED EXPENDITURES
Contractor shall be compensated for the Services to be provided herein, as
delineated in Exhibit "A" and pursuant to the budget established for Services as set forth
in Exhibit "B." In no event shall the maximum expenditures, including the management
fee, personnel and operating expenses paid to the Contractor throughout the term of
this Agreement exceed $ 225,498, comprised of $167,333 for the grow-in and $58,165
fro the pre-opening marketing program, without the prior written approval of the City
Manager or his designee for exceptions, including but not limited, revisions to the grow-
in maintenance specifications by the Golf Course Architect or the project Agronomist,
revisions to the pre-opening marketing plan requested by the City, force majeure, war or
acts of God.
3.2 PAYMENT OF EXPENSES I PAYMENT TO CONTRACTOR
In consideration of the agreed upon scope of services accepted by the Contractor
pursuant to this Agreement, and Contractor's further agreement and acknowledgement
to perform and furnish the management and operational services; professional skills and
qualified personnel; systems; and materials necessary to accomplish the established
scope of services as stipulated, the City and Contractor herein agree that the City shall
establish an imprest account specifically designated for the payment of said services,
expenses and management fee.
The City shall establish an account pursuant to this Agreement, and to be
maintained solely for the purpose of the management, operation and maintenance of
Bayshore Golf Course to pay for all approved budgeted operational expenses arising
from the management or operation of the Golf Course. The City shall deposit an
advance amount equal to the monthly expenses projected in the established operational
budget on the first workingl banking day of each month. The Contractor is authorized to
withdraw from such account amounts necessary to pay, or reimburse Contractor, for the
payment of all budgeted operational expenses arising from the management and
operation of the Golf Course, including its management fee, as set forth in the approved
operating budget, during the term of this Agreement, but, in the case of the
management fee, the Contractor shall withdraw its agreed upon fee on the last regular
work/banking day of the month (except as otherwise approved by the City's Finance
Director).

The Contractor shall submit, within ten (10) days following the close of each
month, original records and reports related to the receipts and expenditures with respect
to all expenses during such month at the Golf Course. Such records and reports shall
support the expenditures made and be in a form satisfactory to the City's Finance
Director. The City shall review all operating expenses to ensure compliance with the
approved line item budget. The City retains the right to make adjustments to the
reimbursement to the Contactor for any unsatisfactorily resolved discrepancies in the
invoices and payments made to Contractor.
SECTION 4
GENERAL PROVISIONS
4.1 RESPONSIBILITY OF THE CITY
The City shall be responsible for providing the services and materials as
delineated in the Scope of Services, Attachment "A" and further itemized in the
attached Expenses Paid Directly By City budget summary provided in
Attachment "B."
4.2 PUBLIC ENTITY CRIMES
A State of Florida Form PUR 7068, Sworn Statement under Section
287.133(3)(a) Florida Statute on Public Entity Crimes shall be filed with the City's
Procurement Division, prior to commencement of the Services herein.
4.3 DURATION AND EXTENT OF AGREEMENT
The term of this Agreement commence on June 1, 2002 (the
"Commencement Date"), and conclude on September 30, 2002. The City shall
have the right, at its sole option and discretion, and provided further that
CONTRACTOR is in good standing under the Agreement to extend the terms of
this Agreement on a month-to-month basis until the Bayshore Golf Course is
opened to the public for play and operating on a daily basis. The City shall
provide CONTRACTOR with written notice of its intent to extend the Agreement
no later than thirty (30) days prior to the expiration of the initial term; extensions
shall be at the City's discretion.
4.4 TIME OF COMPLETION
The Services to be rendered by the Contractor shall be commenced upon
the Commission approval of this Agreement, and Contractor shall adhere to the
schedule as referenced by Exhibit "A" hereto. Any extension of the original term
of the Agreement shall be at the desecration of the City Manager or his designee
and with the same terms and conditions as stipulated in the original term.

4.5 INSURANCE & INDEMNIFICATION
CONTRACTOR shall maintain the following types of insurance coverage at
all times throughout the term of this Agreement.
a. Comprehensive General Liability in the minimum amount of One Million
Dollars ($1,000,000) per occurrence for bodily injury and property
damage. This policy must also contain coverage for Center operations,
products and contractual liability.
b. Workers Compensation Insurance as required under the Laws of the
State of Florida.
c. Automobile Insurance shall be provided covering all owned, leased, and
hired vehicles and non-ownership liability for not less than the following
limits:
Bodily Injury

$1,000,000 per accident
The policies of insurance referred to above shall not be subject to cancellation or
change except upon at least thirty (30) days prior written notice to the City, and then
only subject to the prior written approval of the City Manager or his designee. Prior to
the Commencement Date, CONTRACTOR shall provide City with a Certificate of
Insurance for each such policy. ALL POLICIES SHALL NAME THE CITY OF MIAMI
BEACH FLORIDA AS AN ADDITIONAL NAMED INSURED. All such policies shall be
obtained from companies authorized to do business in the State of Florida with an A.M.
Best Insurance Guide (latest edition) rating acceptable to the City's Risk Manager, and
any replacement or substitute company shall also be subject to the prior written approval
of the City's Risk Manager. The City shall reimburse the Contractor for the cost of this
insurance if deemed acceptable and reasonable by the City's Risk Manager.
Contractor agrees to indemnify and hold harmless the City of Miami Beach and
its officers, employees and agents, from and against any and all actions, claims,
liabilities, losses, and expenses, including, but not limited to, attorneys' fees, for
personal, economic or bodily injury, wrongful death, loss of or damage to property, at
law or in equity, which may arise or be alleged to have arisen from the negligent acts,
errors, omissions or other wrongful conduct of the Contractor, its employees, agents,
sub-consultants, or any other person or entity acting under Contractor's control, in
connection with the Contractor's performance of the Services pursuant to this
Agreement; and to that extent, the Contractor shall pay all such claims and losses and
shall pay all such costs and judgments which may issue from any lawsuit arising from
such claims and losses, and shall pay all costs and attorneys' fees expended by the City
in the defense of such claims and losses, including appeals. The parties agree that one
percent (1 %) of the total compensation to the Contractor for performance of the
Services under this Agreement is the specific consideration from the City to the
Contractor for the Contractor's Indemnity Agreement.

The Contractor's obligation under this Subsection shall not include the obligation
to indemnify the City of Miami Beach and its officers, employees and agents, from and
against any actions or claims which arise or are alleged to have arisen from negligent
acts or omissions or other wrongful conduct of the City and its officers, employees and
agents. The parties each agree to give the other party prompt notice of any claim
coming to its knowledge that in any way directly or indirectly affects the other party.
4.6 TERMINATION. SUSPENSION AND SANCTIONS
4.6.1 Termination for Cause
If the Contractor shall fail to fulfill in a timely manner, or otherwise violate
any of the covenants, agreements, or stipulations material to this Agreement, the City
shall thereupon have the right to terminate the Services then remaining to be
performed. Prior to exercising its option to terminate for cause, the City shall notify the
Contractor of its violation of the particular terms of this Agreement and shall grant
Contractor seven (7) days to cure such default. If such default remains uncured after
seven (7) days, the City, upon three (3) days' notice to Contractor, may terminate this
Agreement and the City shall be fully discharged from any and all liabilities, duties and
terms arising out of/or by virtue of this Agreement.
Notwithstanding the above, the Contractor shall not be relieved of liability
to the City for damages sustained by the City by any breach of the Agreement by the
Contractor. The City, at its sole option and discretion, shall additionally be entitled to
bring any and alllegallequitable actions that it deems to be in its best interest in order
to enforce the City's right and remedies against the defaulting party. The City shall be
entitled to recover all costs of such actions, including reasonable attorneys' fees.
4.6.2 Termination for Convenience of City
THE CITY MAY ALSO, FOR ITS CONVENIENCE AND WITHOUT
CAUSE, TERMINATE THE SERVICES THEN REMAINING TO BE PERFORMED AT
ANY TIME DURING THE TERM HEREOF BY GIVING WRITTEN NOTICE TO
CONTRACTOR OF SUCH TERMINATION, WHICH SHALL BECOME EFFECTIVE
THIRTY (30) DAYS FOLLOWING RECEIPT BY THE CONTRACTOR OF THE
WRITTEN TERMINATION NOTICE. IN THAT EVENT, ALL FINISHED OR
UNFINISHED DOCUMENTS AND OTHER MATERIALS, AS DESCRIBED IN
SECTION 2 AND IN EXHIBIT "A" SHALL BE PROPERLY ASSEMBLED AND
DELIVERED TO THE CITY AT CONTRACTOR'S SOLE COST AND EXPENSE. IF
THE AGREEMENT IS TERMINATED BY THE CITY AS PROVIDED IN THIS
SUBSECTION, CONTRACTOR SHALL BE PAID FOR ANY SERVICES
SATISFACTORILY PERFORMED, AS DETERMINED BY THE CITY AT ITS
DISCERTION, UP TO THE DATE OF TERMINATION.

Termination for Insolvency
The City also reserves the right to terminate the remaining Services to be
performed in the event the Contractor is placed either in voluntary or involuntary
bankruptcy or makes an assignment for the benefit of creditors. In such event, the
right and obligations for the parties shall be the same as provided for in Section 4.6.2.
4.6.4 Sanctions for Noncompliance with Nondiscrimination Provisions
In the event of the Contractor's noncompliance with the nondiscrimination
provisions of this Agreement, the City shall impose such sanctions as the City or the
State of Florida may determine to be appropriate, including but not limited to,
withholding of payments to the Contractor under the Agreement until the Contractor
complies and/or cancellation, termination or suspension of the Services. In the event
the City cancels or terminates the Services pursuant to this Subsection the rights and
obligations of the parties shall be the same as provided in Section 4.6.2.
4.7 Chanaes and Additions
Changes and additions to the Agreement shall be directed by a written
amendment signed by the duly authorized representatives of the City and Consultant. No
alteration, change, or modification of the terms of this Agreement shall be valid unless
amended in writing, signed by both parties hereto, and approved by the City Commission
of the City.
4.8 AUDIT AND INSPECTIONS
At any time during normal business hours and as often as the City may
deem necessary, there shall be made available to the City and/or such
representatives as the City may deem to act on its behalf, to audit, examine and
make audits of all contracts, invoices, materials, payrolls, records of personnel,
conditions of employment and other data relating to all matters covered by this
Agreement. Contractor shall maintain any and all records necessary to document
compliance with the provisions of this Agreement.
4.9 ACCESS TO RECORDS
Contractor agrees to allow access during normal business hours to all
financial records to the City and/or such authorized representatives as it may deem to
act on its behalf, and agrees to provide such assistance as may be necessary to
facilitate financial audit by the City or its representatives when deemed necessary to
insure compliance with applicable accounting and financial standards. Contractor
shall allow access during normal business hours to all other records, forms, files, and
documents which have been generated in performance of this Agreement, to those
personnel as may be designated by the City.

4.10 ASSIGNMENT. TRANSFER OR SUBCONTRACTING
The Contractor shall not subcontract, assign, or transfer any work under
this Agreement without the prior written consent of the City.
4.11 SUB-CONTRACTORS
The Contractor shall be liable for the Consultant's services,
responsibilities and liabilities under this Agreement and the services, responsibilities
and liabilities of sub-contractors, and any other person or entity acting under the
direction or controls of the Contractor. When the term "Contractor" is used in this
Agreement, it shall be deemed to include any sub-contractors and any other person
or entity acting under the direction or control of Contractor. Contractor must gain the
approval of the City for all sub-contractors in writing prior, to their engagement.
4.12 EQUAL EMPLOYMENT OPPORTUNITY
In connection with the performance of this Agreement, the Contractor
shall not discriminate against any employee or applicant for employment because of
race, color, religion, ancestry, sex, age, and national origin, place of birth, marital
status, or physical handicap. The Contractor shall take affirmative action to ensure
that applicants are employed and that employees are treated during their
employment without regard to their race, color, religion, ancestry, sex, age, national
origin, place of birth, marital status, disability, or sexual orientation. Such action shall
include, but not be limited to the following: employment, upgrading, demotion, or
termination; recruitment or recruitment advertising; layoff or termination; rates of pay,
or other forms of compensation; and selection for training, including apprenticeship.
4.13 CONFLICT OF INTEREST
The Contractor agrees to adhere to and be govemed by the Metropolitan
Miami-Dade County Conflict of Interest Ordinance (No. 72-82), as amended; and by
the City of Miami Beach Charter and Code, which are incorporated by reference
herein as if fully set forth herein, in connection with the Agreement conditions
hereunder.
The Contractor covenants that it presently has no interest and shall not
acquire any interest, direct or indirectly which should conflict in any manner or degree
with the performance of the Services. The Contractor further covenants that in the
performance of this Agreement, the Contractor shall knowingly employ no person
having any such interest. No member of or delegate to the Congress of the United
States shall be admitted to any share or part of this Agreement or to any benefits
arising there from.

4.14 PATENT RIGHTS: COPYRIGHTS; CONFIDENTIAL FINDINGS
Any patentable result arising out of this Agreement, as well as all
information, design specifications, processes, data and findings, shall be made
available to the City for public use.
No reports, other documents, articles or devices produced in whole or in
part under this Agreement shall be the subject of any application for copyright or
patent by or on behalf of the Contractor or its employees or subcontractors.
4.15 NOTICES
All notices and communications in writing required or permitted
hereunder may be delivered personally to the representatives of the Contractor and
the City listed below or may be mailed by registered mail, postage prepaid (or
airmailed if addressed to an address outside of the city of dispatch).

shall be addressed as follows:

Notices hereunder shall be effective: If delivered personally, on delivery; if mailed
to an address in the city of dispatch, on the day following the date mailed; and if mailed
to an address outside the city of dispatch on the seventh day following the date mailed.
4.16 LITIGATION JURISDICTIONNENUE
This Agreement shall be enforceable in Miami-Dade County, Florida, and if
legal action is necessary by either party with respect to the enforcement of any or all of
the terms or conditions herein, exclusive venue for the enforcement of same shall lie in
Miami-Dade County, Florida.
4.17 ENTIRETY OF AGREEMENT
This writing and the Services embody the entire Agreement and
understanding between the parties hereto, and there are no other agreements and
understandings, oral or written with reference to the subject matter hereof that are not
merged herein and superceded hereby. The Services and the Proposal Documents
are hereby incorporated by reference into this Agreement.
4.18 LIMITATION OF CITY'S LIABILITY
The City desires to enter into this Agreement only if in so doing the City can place
a limit on the City's liability for any cause of action for money damages due to an
alleged breach by the City of this Agreement, so that its liability for any such breach
never exceeds the sum of $25,000. Contractor hereby expresses its willingness to
enter into this Agreement with Contractor's recovery from the City for any damage
action for breach of contract to be limited to a maximum amount of $25,000.
Accordingly, and notwithstanding any other term or condition of this Agreement,
Contractor hereby agrees that the City shall not be liable to the Contractor for damages
in an amount in excess of $25,000 for any action or claim for breach of contract arising
out of the performance or non-performance of any obligations imposed upon the City
by this Agreement. Nothing contained in this paragraph or elsewhere in this
Agreement is in any way intended to be a waiver ofthe limitation placed upon the City's
liability as set forth in Section 768.28, Florida Statutes.

EXHIBIT "A"
A) Contractor shall provide all professional services necessary to ensure a
healthy grow-in of the newly renovated Bayshore Golf Course. Contractor,
shall provide all management, supervision and labor needed to comply with
the attached general grow-in maintenance standards for the Bayshore Golf
Course as prepared and developed by the Golf Course Architect, Arthur Hills,
Steve Forrest and Associates and specifically the project Agronomist, Terry
Buchen of Golf Agronomy International. Contractor also agrees to modify said
maintenance plan as directed by the Project Architect, Agronomist or the City.
The City shall compensate Contractor, for the agreed upon monthly
management fee and expenses as delineated in the attached monthly
expense projection summary. The total expenditure by the City to
Professional Course Management II, L TD., for the grow-in component of the
Agreement shall not exceed $167,333 for the period of June 1, 2002, to
September 30, 2002. The City reserves the right to extend this Agreement on
a month-to-month basis at an amount to be determined by the City, not to
exceed $45,500 per month, should it be deemed in the best interest of the
City.
B) Contractor shall provide the professional services necessary to market the
Bayshore Golf Course prior to it opening to for play to the general public.
Services shall be substantially as included in the attached scope of services
entitled Bayshore Golf Course Pre-opening Marketing Program. Contractor
shall take direction from the City Manager or his designee and coordinate all
program activities with the full knowledge and with prior approval of the City.
The total expenditure by the City to the Contractor for this component of the
Agreement shall not exceed a total of $58, 165 for the period of July 1, 2002 to
September 30, 2002. The City reserves the right to extend this Agreement on
a month-to-month basis at an amount to be determined by the City, not to
exceed $15,250 per month, should it be deemed in the best interest of the
City.
The City shall provide the maintenance equipment, facilities, as available,
water, electric and assume other expenses as delineated in the attached
summary of grow-in and pre-opening marketing expenses identified as City
expenses currently estimate at $492,002 for the period of May 1 - September
30,2002 (See Attachment "C").

Solid Rollers, and Grass Catchers MUST be used at all times.
. The Salam Seashore Paspalum Sprigs Leaf Blades should be in the "2-3- Leaf Stage" before
the First Mowing Commences. which is nonnalfy 2-3 weeks after they are initially sprigged.
Once Mowing begins during the 2nd_3rd week atterinitial sprigging, it MUST be
accomplished Six to Seven- (6-7) Days per Week from then on.
. The Greens should be Topdressed Weekly. beginning the 3rd week, and the material carefully
dragged-in and then the Mowing Height should be lowered-down two- (2) days later each
week when the schedule states it should be lowered.
. The Sod on the greens surrounds should NQI be mowed during the initial two- (2) to three-
(3) week period offr:equent irrigation cycles on each respective adjacent sprigged area so that
the sprigs do not even remotely dry-out. Once the initial two- (2) to three- (3) week frequent
watering cycle is completed and the watering cycles are reduced. then the sod can be mowed
using Walk-Behind RotaI)' Mowers until such a time that the Sod is well rooted and
established and then RidingUtility Triplex Mowers, or other suitable equipment for the
maintained roughs, may be used. '

Mowers with Solid Rollers & Grass Catchers until they are strong enough for Triplex Greens
Mower usage (the cleanup laps should be mowed with the Walk Behind Greens Mower if a
wear pattern develops). Mowing Frequency is every other day, including weekends if
possible, for the Fairways; three- (3) days per week for the Roughs; and 6-7 days per week
for the Tees. The 5- Plex Mower used for Fairwavs and the Triplex Greens Mower used for
Tees MUST have Solid Rollers. bodi Front and Rear, when they are allowed to be used.
When Mowing of the Tees is permitted with the Triplex Greens Mower. the Grass Catchers
MUST be used at all times.
. All Grow-In Mowing of the Maintained Roul!hs can be mowed with the Utility Triplex
Mower and then with a Rotary Mower being very careful of any wet spots as these type
machines are quite heavy.
. All Mowing of All Tees. Fairwavs and Maintained RoW!hs Must be accomplished in the
afternoons ONLY. when there is no Dew or Surface Moisture on the Grass Blades, so no
accumulation of Grass Clippings will occur.
. Mowing of any possible Sod that is installed around the Bunkers or other miscellaneous areas
should NOT be accomplished until after the initial two- (2) to three- (3) week period of
frequent inigation watering cycles. Once mowing begins, it should be done with Walk-
Behind Rotary Mowers until such a time that the Sod is well rooted and mature and then
Utility Triplex Mowers or larger reel and rotary mowers may then be used.
. Any Weed Activity on All Tees.. Fairways, Maintained and Native Roughs should be

OBSERVATIONS & RECOMMENDATIONS:
IRRIGATION PRACfICES:
Overview:
. All sprinklers on the golf course should be fully tlushed-out and fully tested well before
grassing begins to eliminate the possibility that the sprinklers will stick-on or not rotate
properly.
. After initial sprigging and when the sprinklers are turned on for the first watering, the most
critical time during grow-in is the lint three- (3) weeks! The entire golf course must be
watered, as explained herein, during the first three- (3) weeks and no reduction of watering
the golf course can occur during this critical time period, regardless of how far along the
seashore paspaIum turfgrasses have matured.
. The Computer hrigation System Master ContrQller MUST NOT BE USED FOR
W~~RIN~ ~ ~ COURSE DURING GROW-IN UNLESS THERE IS A
PH; PER ___E_ LOCATION FOR THE COMPUTER IRRIGATION
SYSTEM MASTER CONTROLl.RR. The Master Controller should be used during the
daylight hours ONL Y on each individual golf hole and practice areas to water the new turf
during the first three- (3) week period to guard against a sprinkler head sticking on all night
long and causing significant damage to the new sprigs and sod. A determination of when the
Master Controller and N'.ght T'lDle hrigation should be accomplished togethei should occur
at a later date, but HQI during the first three- (3) week Day Period.
. All watering of the golf course during grow-in MUST be done with the Computer Operated
Irrigation System. MastcrController or, if it is not available. the individual Electrically
Opetated Field Satellites Stations or Two-Way Radio Controls, which have individual
Station T'lDlefS used in a Semi-Automatic Operation.
. All watering of the golf course during grow-in MUST NOT BE DONE MANUALLY
WITH A FLAG KEY. as the only V4Yto p(opcdy .~, the entire golf course is by tully
using the Computer Operated Irrigation System Master Controller; or electrically 6~
Individual Field Satellite Individual Stations or Two-Way Radios in a Semi-Automatic
Operation.

pilot valve to the "Auto" position, thus each respective turf area does not get watered
resulting in significant turf stress or loss. The easiest way to solve this problem is to install
quick coupler valves at each respective area where hoses and roller based sprinklers are
needed for grow-in, if the budget will permit,
. All watering of the new golf course MUST be done during the Davli!!ht Hours ONLY
durinl! the tirst three-' (J} week oeriod as no nil!:ht waterinl! is needed or wanted at
ni!!ht durin!! that initial time period if the .~olf course is watered orooerlv durin!! the
daYtime.
. "Wake-Up the New Turf "with Water the first thing in the morning and "Put It to Bed with
Water at Dusk" which MUST be done for a successful grow~in.
. After the new turf is awakened with a watering the first time at dawn, a good Rule of Thumb
is that each and every sprinkler head should come on a minimum of every 1-2 hours where
each sprinkler makes between 1-3 turns during each cycle during all daylight hours. lust
before Dusk each and every sprinkler must water the golf course for the last time until the
next morning.
. The biggest mistakes that occur during grow-in are with Watering Practices, where the soil
is not kept wet enough because of concerns about causing soil erosion. To properly water a
newly sprigged area, a small amount of erosion on sloped areas could occur.
. Once the sprigs are wet for the first time, it cannot be allowed to dry out even for the
shortest period of time.
. The person(s) watering the golf course, should have a gate valve key and isolation valve key
with them at all times so in the advent of sprinkler sticking-on or if a sprinkler will not rotate
so that they will be able to turn it off as expeditiously as possible so not to cause any
nnn'"("essary soil erosion. If the person(s) watering the golf course are constantly checking
each individual sprinkler on a regular,'short interval basis, this problem(s) should be kept to
a minimum. Two-way radio communication between all persons watering the golf course
will also help tremendously.
. If a sprinlder sticks on from installation and/or sprinkler manufacturerprobIems. then it is
usually the responsibility of the irrilllltion contractor to repair the malfunctioning sprinkler
and repair any soil erosion and possible resee..liw,g of any and all areas as well, under a
Wammty Situation. If soil erosion is being can..... from over-watering or from excessive
,__ 1'lIinfill1, then it usually is the, responsibility of the owner - or owner's
reoresentativelmanagement cnmnanv to repair any and all areas. A detennination should be
made before Grow-In begins as to whom will do any neces~ WarrantY Rf!nlIirll to the
irrigation system, i.e. the contractor or .man.ement company tnaintf!rlanee staff and if the
irrigation contractor will repair them, when will they be repaired. If the mAnagement
company maintenance statf makes any Warranty Reoairs.. they should document their labor
time spent on the repairs and any parts that are needed for later reim~ from the
irrigation contractor, after m.rnw,g prior ammgements with the irrigation contrlICtor. ,
. Quick Coupler Key(s), High ~ Hose(s) and brass rosette nozzles MUST be on-site
well before the Sod is installed around the Greens, Bunkers ,and in other miscellaneous areas
so it can be watered-in immediatelY by the golf course management company mainh!nance
staff after it is installed. The Sod MUST be hand watered daily, being caretW. not to get in

the way of the contractor during any soil/seeding preparation, until the sprinklers are'turned
on for the very first time and subsequently used thereafter. The first watering of the sod must
be so wet that it will be difficult for anyone to walk on the sod. which is the best way to
water so the grass, thatch and soil is fully watered so it will not tum brown.
. A person(s) MUST be scheduled to be at the golf course continuouslv at all times, from
dawn until dusk. seven- (7) days per week, to properly water and monitor the golf course
grow-in and watering practices for the first thirty- (30) day period of each individual golf
hole and practice facility.
