A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING
AND AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE AMENDMENT NO. 1 OF THE CITY'S
AGREEMENT WITH EDAW, INC., FOR THE DESIGN OF
THE FLAMINGO/LUMMUS NEIGHBORHOOD RIGHT OF
WAY IMPROVEMENT PROJECT, BY INCREASING THE
NOT TO EXCEED FEE BY $35,999, TO PROVIDE FOR
ADDITIONAL SERVICES REQUIRED BY THE ADDITION TO
THE PROJECT OF IMPROVEMENTS TO THE BLOCKS OF
MERIDIAN AND EUCLID AVENUES, BETWEEN 16TH
STREET AND LINCOLN LANE SOUTH, WHICH ARE
OUTSIDE THE GEOGRAPHIC BOUNDARY OF THE
ORIGINAL SCOPE OF SERVICES; AND FURTHER
APPROPRIATING $35,999 FROM GENERAL OBLIGATION
BOND FUNDS FOR SAID SERVICES.
WHEREAS, on July 18, 2001, the Mayor and City Commission adopted Resolution
No. 2001-24506, authorizing the execution of an Agreement between the City and EDAW,
Inc. (Consultant), in the not to exceed amount of $1 ,840,000, for Professional Services for
the design of the Flamingo/Lummus Neighborhood Right of Way Improvement Project (the
Project); and
WHEREAS, in the course of planning the Project, City and Consultant identified
additional necessary'improvements on Meridian and Euclid Avenues, between 16th Street
and Lincoln Lane South, which are outside the scope of services ofthe Project, as defined
in the City's Agreement with' Consultant; and
WHEREAS, implementation of these proposed improvements, which include new
sidewalks, lighting, shade trees, and landscaping, will result in these blocks closely
matching the configuration of Meridian and Euclid Avenues, south of 16th Street; and
WHEREAS, these proposed improvements were strongly supported by attendees of
both Community Design Workshops that were held for the Project; and
WHEREAS, the City requested an Additional Services fee proposal from Consultant
for the design and construction administration services needed to implement the additional
aforestated improvements; and
WHEREAS, the City retained the services of Engineering Management Consultants,
Pappas and Associates, to negotiate the fees for the Additional Services; and

AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN CITY OF MIAMI
BEACH, FLORIDA AND EDAW, INC., FOR PROFESSIONAL LANDSCAPE ARCHITECTURAL
AND ENGINEERING SERVICES FOR THE RIGHT-OF-WAY INFRASTRUCTURE
IMPROVEMENTS PROGRAM NEIGHBORHOOD NO.1 0 - FLAMINGO I LUMMUS.
This Amendment No.1, dated as of ~ku&ct- II , 200:: to that certain Agreement, dated July
18,2001, captioned: Agreement Between the City of Miami Beach and EDAW, Inc. for Professional
Landscape Architectural and Engineering Services for the Right-of-Way Infrastructure
Improvements Program Neighborhood NO.1 0 - Flamingo / Lummus by and between the City of
Miami Beach, Florida (CITY) and EDAW, Inc. (CONSULTANT) for Professional Services Associated
with the planning, design, permitting, bidding and award, construction administration and
reimbursables associated with additional project areas consisting of Euclid and Meridian Avenues
from 16th Street to Lincoln Lane South, for a not-to-exceed cost of $35,999.
RECITALS
WHEREAS, the Agreement provides for the planning, design, bidding and award, construction
administration and reimbursables for the Flamingo / Lummus neighborhood (Project); and
WHEREAS, the planning effort for the Flamingo / Lummus neighborhood has been initiated; and
WHEREAS, professional Landscape Architectural and Engineering services for the planning,
design, bidding and award, construction administration and reimbursables for additional project
areas located within the Flamingo/Lummus neighborhood (Euclid and Meridian Avenues from 16th
Street to Lincoln Lane South) that are outside of the existing geographic boundary of the original
scope of services but are required to complement the planning, design and construction efforts
proposed for the entire neighborhood.
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this First Amendment.
2. MODIFICATIONS
The Agreement is amended as follows:
a. The Agreement is amended as follows:
DELETE Article 12.1 in its entirety and REPLACE it with the following Article 12.1:
"Consultant herein agrees to indemnify and hold harmless the City, and its officers and
employees, from liabilities, damages, losses and costs, including, but not limited to,
reasonable attorneys' fees, to the extent caused by the negligence, recklessness, or
intentionally wrongful conduct of the Consultant and other persons employed or utilized
by the Consultant in the performance of the Agreement."

b. Schedule A entitled Scope of Services, is amended as follows:
BACKGROUND, last paragraph, first sentence, DELETE in its entirety and REPLACE it
with the following:
"CONSULTANT shall provide detail design and permitting services for the streetscape,
landscape, storm water, and water main line replacement as identified on the enclosed
Exhibit A - 1. " On Meridian and Euclid Avenues (from 16th Street to Lincoln Lane
South), Consultant shall provide detailed design and permitting services for the
streetscape, landscape and above - ground stormwater improvements.
c. Schedule A entitled Scope of Services, is amended as follows:
Task 1.2 - Infrastructure Planning, first paragraph, second sentence, DELETE in its
entirety and REPLACE itwith the following:
"The approximate locations of these improvements has been identified in Exhibit A -1 ."
d. Schedule A entitled Scope of Services, is amended as follows:
Task 6.3 - Surveying, first paragraph, second sentence, DELETE the second sentence
in its entirety and REPLACE it with the following:
"CONSULTANT's compensation is based upon the lineal footage of 110,600."
e. Schedule A entitled Scope of Services, is amended as follows:
Exhibit "A", DELETE this Exhibit "A" in its entirety and REPLACE it with the attached
Exhibit A -1 .
f. ADD the attached "Flamingo/Lummus Neighborhood, Boundary Extension, Additional
services, Meridian and Euclid Avenues (from 16th Street to Lincoln Lane South)
Proposed Drawing List.
g. Schedule B entitled Consultant Compensation, is amended as follows:
ADD the attached EDAW TEAM Fee Worksheet entitled ADD SERVICES FOR
EXTENSION TO LINCOLN LANE.
3. OTHER PROVISIONS
All other provisions of the Agreement, as amended, are unchanged, and shall remain in force
and effect.
4. RATIFICATION
The CITY and CONSULTANT ratify the terms of the Agreement, as amended, as modified by
this Amendment No.1.

not to exceed amount of $35,999, which they recommend as reasonable.
NOW, THEREFORE BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, that Amendment No. 1 of the City's
Agreement with EDAW,INC., for the design of the Flamingo/Lummus Neighborhood Right
of Way Improvement Project, is hereby approved and authorized, by increasing the not to
exceed fee by $35,999, to provide for Additional Services required by the addition to the
project of improvements to the blocks of Meridian and Euclid Avenues, between 16th Street
and Lincoln Lane South, which are outside the geographic boundary of the original scope
of services; and further appropriating $35,999 from General Obligation Bond funds for said
services.

The City was able to secure an increase in construction funding which will
result in additional water and storm water improvements, and a greater
intensity of landscaping for the South Pointe RDA, City Center RDA and the

Lane South. These additional fees for the additional work are necessary for the
AlE firm to successfully complete the project as desired by the City of Miami
Beach.

Item Summary/Recommendation:
On July 18, 2001, the City executed an agreement with EDAW for the design of the Flamingo
Neighborhood Right of Way Improvement Project with a not to exceed fee of $1,840,000. During the
course of planning the Project, improvements were determined to be necessary for the blocks of Meridian
Avenue and Euclid Avenue between 16th Street and Lincoln Lane South which are outside the geographic
scope of services for the Project. The completion of improvements on these blocks will ensure a
consistent treatment for these two important pedestrian corridors from the southern end of the Flamingo
neighborhood at 5th Street all the way to Lincoln Road. A total of of $564,662 in funding for the design and
construction of these improvements is available from Flamingo Neighborhood G.O. Bond funds that were
originally allocated to the Washington Avenue Improvements Project which was subsequently determined
to be ineligible for G.O. Bond funding. The City retained the services of Engineering Management
Consultants Pappas and Associates to negotiate the fees for the required additional services. Pappas and
Associates negotiated a fee of $35,999 which they recommend as reasonable. The Administration
recommends aooroval of the item.
Adviso Board Recommendation:
The Historic Preservation Board has approved all of the additional proposed improvements. The item was

ANALYSIS
On July 18, 2001, the Mayor and City Commission adopted Resolution 2001-24506
authorizing the execution of an Agreement between the City of Miami Beach and EDAW,
Inc., for Professional Services for the design of the Flamingo/Lummus Neighborhood Right
of Way Improvement Project. EDAW's responsibilities for this project include urban
design, landscape architecture, and engineering services required for the planning and
design of the project as well as assistance with bidding and construction administration.
During the course of planning the project, it was determined that improvements were
necessary for the blocks of Meridian Avenue and Euclid Avenue between 16th Street and
Lincoln Lane South, which are outside the geographic scope of services of the project.
Implementation of these proposed improvements, which include new sidewalks, lighting,
shade trees, and landscaping, will result in these blocks closely matching the configuration

of Meridian and Euclid Avenues south of 16th Street. These proposed improvements were
strongly supported by attendees of both Community Design Workshops that were held for
the Flamingo neighborhood project.
Originally, G.O. Bond funds from the Flamingo neighborhood had been set aside to
enhance the median of Washington Avenue. This area was subsequently determined to
be ineligible for G.O. Bond funding, thus making that funding available for these additional
improvements.
EDAW submitted an additional services proposal for the design and construction services
required to implement these improvements. The City retained the services of Engineering
Management Consultants Pappas and Associates to negotiate the fees for the required
additional services. A not to exceed fee amount of $35,999 was negotiated and
recommended by Pappas and Associates in the attached letter.
