A RESOLUTION AUTHORIZING THE ASSIGNMENT OF THE
CONTRACT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA
AND CONVENIENCE AND SAFETY CORPORATION OF SOUTH
FLORIDA, INC. TO ACKERLEY COMMUNICATIONS , INC.
SUBJECT TO THE CONDITION THAT CONVENIENCE AND
SAFETY CORPORATION OF SOUTH FLORIDA, INC. REMAINS
SECONDARILY LIABLE UNDER THE CONTRACT.
WHEREAS, there exists a contract between the City of Miami
Beach and Convenience and Safety Corporation of South Florida, Inc.
to furnish, install, maintain and operate bus stop shelters, and
WHEREAS , Section 5 of Exhibit A of the contract provides
that Convenience and Safety Corporation of South Florida, Inc. , shall
not assign this contract or transfer its stock without consent of the
City Commission, and
WHEREAS, Convenience and Safety Corporation of South Florida,
Inc. has entered into an agreement with Ackerley Communications, Inc. ,
wherein they have agreed to buy all the assets and liabilities of
Convenience and Safety Corporation of South Florida, Inc. , contingent
upon City Commission approval,
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, that the City Commission authorizes
the assignment of the contract between City of Miami Beach, Florida and
Convenience and Safety Corporation of South Florida, Inc. to Ackerley
1 Communications, Inc. , subject to the condition that Convenience and
Safety Corporation of South Florida, Inc. remains secondarily liable
under the contract.
