RESOLT]TION NO. 6242
WHEREAS, it is deemed to be for the best interest of the
City of Miami Beach to lease certain traffic control equipment
from Automatic ►signal Division Eastern Industries, Incorporated,
and
WHEREAS, a Lease Contract has been prepared and submitted to
the City Council, a copy of which is attached to and made a part
of this Resolution,
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Miami Beach, Florida, that the Mayor and City Clerk be and
they are hereby authorized and directed to execute said contract
in the name of and on behalf of said City.

LEASE CONTRACT
for
TRAFFIC CONTROL
EQUIPMENT
WHEREAS, The City of Miami Beach, Florida
hereinafter called Lessee, desires to lease from Automatic Signal Division,
Eastern Industries, Incorporated, hereinafter called Lessor, Traffic Control
Equipment on the following terms and conditions for use at the location here-
inafter specified in Schedule A-1 attached hereto and made a part hereof.
NOW THEREFORE THE PARTIES
HERETO AGREE AS FOLLOWS:
TERM
1. Lessee hereby agrees to lease Traffic Control Equipment listed in
Schedule A-1 attached hereto and made a part hereof for a period of
five (5) years from the date of commencement of this Lease Contract,
subject to cancellation by Lessee at the end of the first year upon
thirty (30) days written notice to Lessor prior to the end of the
first year, otherwise the Lease Contract is to continue to the end
of the five year period. Date of commencement of this Lease Contract
shall be the date upon which the leased equipment is first placed in
service.
RENTAL
2. As rental for said Equipment, Lessee agrees to pay to Lessor the
amount specified in Schedule A-1 attached, the total rental being
$12.00 per week for the period of this Lease Contract. Lessee agrees
to make payment of said rental every month in the amount of $52.00
said payment to be made within thirty (30) days from the date of in-
voice therefor.
INSTALLATION
3. Installation of the Leased Equipment shall be made by Lessee at no ex-
pense to Lessor. Said Leased Equipment, when installed, shall be sub-
ject to the inspection of Lessor.
MAINTENANCE, PARTS REPLACEMENT, ALTERATION
4. Lessor agrees to furnish as promptly as possible, but not to install,
such parts of the Leased Equipment as may be required as a result of

normal wear and tear or by accidental damage, unless such damage shall
be caused by Lessee, its employees, agents or servants, in which event
the total cost of repairing such damage shall be borne by Lessee.
5. Lessee shall not authorize or permit anyone other than Lessor or its
agent to inspect, adjust, remove or in any manner to alter or repair
any part of the Leased Equipment except such agents or employees of
Lessee as shall have been instructed by Lessor in the care and main-
tenance of said Equipment.
6. Lessee hereby authorizes Lessor or its agent to inspect, test, repair,
replace or improve the Leased Equipment, at all reasonable times, and
shall cause all permits to be issued to Lessor or its agent, without
cost to Lessor or its agent, necessary for the purpose of effecting
these functions.

7. If after the Leased Equipment is installed, any change or alteration
is made in the street or highway or in the pavement, curbing or grad-
ing, or if any cables, mains, pipes, sewers, drains or tracks are
altered, laid or removed, or if any other change is made in the inter-
section, which shall necessitate relocation or alteration of the Leased
Equipment, then all expenses incurred by reason of any of the above
events shall be borne by Lessee.
REMOVAL
8. At the termination of this Lease Contract or any extension thereof,
Lessor shall have the right to remove the Leased Equipment at its own
expense, and shall not be liable for any damages or for any cost of
pavement repair.
PATENTS AND TRADE-MARKS
9. Lessor reserves the right to mark the Leased Equipment with its name
and patent or trade-mark information in accordance with patent law or
otherwise.
CURRENT AND LAMPS
10. Lessee shall pay for electric current consumed and for electric lamps.
TITLE
11. Title to the Leased Equipment, including any additions or alterations
made thereto, shall remain in Lessor.
APPROVAL
12. This Lease Contract is not binding upon Lessor unless approved by an
officer of Automatic Signal Division, Eastern Industries, Incorporated.

Weekly Rental Rate $12.00
It is understood that Super Electro-Matic Model 1033 Three-Phase
Full-Actuated Dispatcher is to be substituted as soon as available
without an increase in the rental rate of this Lease Contract.

IN WITNESS WHEREOF, the parties hereto have caused this agreement to be
signed and their respective corporate seals to be affixed hereto this 28th
