Resolution 7725 RESOLUTION NO. 7725 WIEREAS, on April l3, 1951, the City Council of the City of Yiami Beach, Floridr , passed and adopted Resolution No. 7551, accepting a proposal to sell to the City, on t erms and conditions therein referred to, that certain property, situate, lying and be- ing in Miami Beach, Dade County, Florida, and described as follows : Lots Seventeen (17) , Eighteen ( 18) , Nineteen ( 19) , Twenty (20) and Twenty-one (21), in Block Three (3) of SECOND OCEAN FRONT SUBDI- VISION, according tot he Plat thereof, re- corded in Plat Book 28, at Page 28, of the Public Records of Dade County, Florida, together with the filled lands and bulkhead adjacent thereto on the ,gest ; and WHEREAS, said Resolution was modified on May 2, 1951, in Resolution No. 7594; end WHEREAS, the City Council deems it to be to the best in- terest of the City to modify the terms and conditions set forth in said Resolutions No. 7551 and No. 7594, in the manner and to the extent hereinafter set forth; and WHEREAS, LOUIS MILLIER and DORA MILLER, his wife, and HARRY A. MILLER and JEANNE E. .MILLhR, his wife, and A. ERNEST W00LFE and BETTY WOOLFE, his wife, and GEORGE B. DODGE and HELEN DODGE, his wife, through H. P. FORREST, ,as their agent, as owners of the above- described lands , have authorized the City of iaami Beach to issue, in payment for the aforedescribed property, certificates of indebted- ness, which shall be revenue certificates, in t Y.e total amount of $206,250.OQt hearing �;,interest at the rate of 3 per annum, Payable _ sem -annua y y. The revenue certificates of indebtedness issued hereunder shall not be deemed to constitute a general obligation of the City of Miami Beach and they shall not obligate the City, directly or indirectly, or contingently, to levy or pledge any form of taxation for their payment , either -Principal or interest , but shall be payable solely and exclusively from revenue derived from the following: Fines and Forfeitures; Licenses ; Fermits ; Normandy Isle Golf Course; Bay Shore Golf Course; Playgrounds ; Bathing Beach; Vehicle Inspection; Rents and Leases ; Tapping Service; Waiter Sales ; Bus and Jitney Fran- chise, commonly referred to as "Departmental Revenue" , (unless such certificates are hereafter ratified and approved at anelection held in accordance with Section 6 of Article IX of the Constitution of Florida) , and the City covenants with the seller and the holders of such revenue certificates that it will not create any lien, debt, charge or encumbrance on the property herein authorized to be pur- chased or the revenues of such property having priority over the certificates herein issued, and that it will not sell, mortgage, lien or otherwise dispose of or encumber the property without consent in -1- OFFICE OF CITY ATTORNEY - CITY HALL - MIAMI BEACH 39, FLORIDA writing of the holders of such revenue certificates, and in the event of the sale or lease of any of such pro_;erty, it will, if required, pay the proceeds on account of the principal or interest of any unpaid and outstanding revenue certificates. The conveyance of the above described property from the said owners to said City to be by good and sufficient Warranty Deed and subject only to restrictions of record ; taxes for the year 1951 (which are to be oro-rated as of the date of closinj, and zoning ordinances of the City of Miami Beach, Florida, and also subject to any and all liens, pending, certified or contractual which may be held by the City of Miami Beach on account of filling andbulkheading; and WHEREAS, the said H. P. FORREST, as agent of the owners of said property, has requested from the City of Miami Beach, Florida, that said certificates be issued as follows: A- To GEORGE B. DODGE and HELEN DODGE, Miami Leach, Florida, 20 certificates for p2,062.50 each, in the total amount of ;141,250.00, maturing two each year for 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 years from date, respectively. B- To GEORGE S. COHEN, Houston, Texas, 20 certificates for $7,000.00 each, in the total amount of .440,000.00, maturing two each year for 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 years from date, re- spectively. C- To WILLIAM LEWIN, Miami Beach, Florida, 20 certificates for ,4,250.00 each, in the total amount of ,x25,000.00, maturing two each year for 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 years from date, respectively; and WHEREAS, LOUIS MILLER and DORA MIT=, his wife, and HARRY A. MILLER. and JEANNE E. P,BILLER, his wife, and A. EhNEST WOOLFE and BETTY WOOLFE, his wife, and GEORGE B. DODGE and HELEN DODGE, his wife, through H. P. FORREST, as their agent, as owners of the above- described lands have indicated their willingness to accept such modi- fications in the manner and to the extent hereinafter set forth; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Miami Beach, Florida, that the said sum of ,;;206,250.00, re- presenting the purchase price of said property, shall be payable in the certificates of indebtedness hereinabove described, and that the said certificates be issued as follows : A- To GEORGE B. DODGE and HELEN DODGE, Miami Beach, Florida, 20 certificates for ,x2,062. 50 each, in the total amount of .x41,250.00, maturing two eachyear for 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 years from date, respectively. B- To GEO. S. COHEN, Houston? Texas, 20 certificates for 17,000.00 each, in the total amount of $140,000.00, maturing two each year for 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 years from date, re- spectively. C- To VILLIAM LEWIN, Miami Beach, Florida, 20 certificates for rl,250.00 each, in the total amount of $25,000.00, maturing two each year for 1, 2, 3, 4, 5, 6, 7, 8, 9, and 10 years from date, re- spectively. e- spectively. The City Manager is hereby authorized and directed to consummate said transaction, as hereby modified, upon the approval of title by the City Attorney; and the Mayor and the City Clerk be and they ar^ hereby authorized and directed to execute, in the name -2- OFFICE OF CITY ATTORNEY - CITY HALL - MIAMI BEACH 39, FLORIDA of and in behalf of said City, revenue certificates of indebtedness and any other instruments required to be executed in order to con- summate the transaction. That except as hereby modified, said Resolutions No. 7551 and 7594 shall remain in full force and. effect. PASSED and ADOPTED this 8th day of August, 1951.
