A RESOLUTION AUTHORIZING EXECUTION OF AGREEMENT
WITH CARRIER AIR CONDITIONING COMPANY FOR
PREVENTATIVE MAINTENANCE SERVICE OR INSPECTION
SERVICE TO CENTRIEUGAL AIR CONDITIONING UNITS
LOCATED IN THE CITY OF MIAMI BEACH CONVENTION
CENTER COMPLEX FOR A FIVE-YEAR PERIOD.
WHEREAS , on February 9 , 1976 , after due notice, bids were
opened for the providing of Preventative Maintenance Service or
Inspection Service to the centrifugal air conditioning units
located in the City of Miami Beach Convention Center. Complex for a
five-year period, as set forth in Invitation to Bid No. 24-76, and
WHEREAS , on March 3, 1976 , the City Council of the City
of Miami Beach determined that CARRIER AIR CONDITIONING COMPANY of
Miami, Florida, was the successful bidder for providing a full
Preventative Maintenance Service Contract for the Carrier Units as
listed in the Specifications, as hereinabove mentioned, and
WHEREAS , an appropriate contract has been prepared between
the City of Miami Beach and said Carrier Air. Conditioning Company,
which provides that said Carrier Air Conditioning Company shall
provide a full Preventative Maintenance Service Contract for the
Carrier Units listed in the Specifications, located in the City of
Miami Beach Convention Center Complex, at a lump sum amount of
$33 ,672 . 00 per year, as set forth in the proposal of said Carrier
Air Conditioning Company, to be paid by the City of Miami Beach in
accordance with the Specifications therefor, as amended, a copy of
which is attached hereto and made a part hereof, along with the
notice calling for proposals and the proposal submitted by said
Carrier Air Conditioning Company, copies of which are also attached
hereto and made a part hereof, and
WHEREAS , the City Attorney has approved said contract as
to form, and the City Manager has recommended that the City Council
enter into same, and
WHEREAS , the City Council deems it in the best interests
of said City and its residents to enter into said contract, the
provisions of said contract being familiar to said City Council ;
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COUNCIL
OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and the City
Clerk be and they are hereby authorized and directed to execute
said contract in the name of and on behalf of the City of Miami
Beach, and the financial officers of the City be and they are here-
by authorized and directed to disburse the monies required by the
terms of said contract from funds of the City available for such
purpose.

AGREEMENT
THIS AGREEMENT , made and entered into this 3rd day
of March, 1976, by and between the CITY OF MIAMI BEACH, a Florida
municipal corporation, hereinafter referred to as "CITY" , which M
term includes its successors and assigns, and CARRIER AIR CONDITION-
ING COMPANY, of Miami, Florida, a Florida corporation, hereinafter
referred to as "VENDOR" , which term includes its successors and
assigns;
WITNESSETH :
• 1. That the CITY, as owner of those certain properties
and facilities more particularly described in the Specifications,
as amended, attached hereto and made a part hereof, for and in
consideration of the compensation herein agreed to be paid by the
1 CITY to the VENDOR, andhfor and in consideration of the satis-
factory performance of the mutual covenants hereinkeach to the
other made, does hereby agree to purchase from the VENDOR and the
VENDOR does hereby agree to provide a full Preventative Maintenance
Service Contract for the Carrier Air Conditioning Units, listed in
the Specifications, located in the City of Miami Beach Convention
Center Complex, for a five-year period, in accordance with said
Specifications, as amended, at a lump sum amount of Thirty-three
Thousand Six Hundred Seventy-two Dollars ($33 , 672. 00) per year,
as set forth in the Proposal of said VENDOR, to be paid by the
CITY to the VENDOR in accordance with the said Specifications, as
amended, a copy of which is attached hereto and made a part hereof
by reference as though set forth in haec verba. A copy of the
• notice calling for proposals, being Invitation to Bid No. 24-76 ,
and a copy of the Proposal submitted by said VENDOR are also
attached hereto and by reference made a part hereof.

2. All of the obligations and things to be performed by
the VENDOR under the said Specifications, as amended, are to be
deemed as a material part of the consideration for the award of
. this contract by the CITY to the VENDOR, and all of the obligations
of said VENDOR as to the labor and description and quality of the
materials forming the subject matter of this contract are to be
deemed and intended by the parties as expressed warranties.
IN WITNESS WHEREOF, the said CITY has caused this !
Agreement to be signed by its Mayor, and its corporate seal to be
affixed, and attested by its City Clerk; and the said VENDOR has
caused this Agreement to be executed in its name, by its duly
authorized officers , the day and year first above written.
