RESOLUTION NO . 78-15770
A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF MIAMI BEACH AUTHORIZING EXECUTION OF AN AGREE-
MENT WITH JEWISH VOCATIONAL SERVICE , INC . , FOR
A PROJECT ENTITLED PEOPLE HELPING PEOPLE TO BE
FUNDED BY CETA.
WHEREAS , the City of Miami Beach is , or in thenear
future will be, party to a contract with the Dade/Monroe Counties
Manpower Consortium providing for the performance of certain ser-
vices to be known as People Helping People , and
WHEREAS , the proposal of the City to the Consortium
contemplated that certain services would be performed by Jewish
Vocational Service , Inc. , and
WHEREAS , an _appropriate agreement has been prepared
' which provides for payment to Jewish Vocational Service , Inc . ,
to the extent the City receives funds from the Consortium in
account of said project , and
WHEREAS , the City Manager has recommended that the City
enter into said agreement , and
WHEREAS , the City Attorney has approved same as to form
and legal sufficiency ;
NOW , THEREFORE , BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH that the Mayor and City Clerk be and they
are hereby authorized to execute said agreement , a copy of which
is attached hereto , for and on behalf of the City of Miami Beach .

AGREEMENT
THIS AGREEMENT made and entered into this /, day
of November , 1978 , by and between the CITY OF MIAMI BEACH , herein-
after sometimes called "CITY" and JEWISH VOCATIONAL SERVICE , INC . ,
a Florida corporation not for profit whose address is 318 N . W. 25th

Street , Miami , Florida 33127 hereinafter sometimes referred to as
"JVS " .
WITNESSETH :
WHEREAS , the Dade/Monroe Counties Manpower Consortium ,
hereinafter referred to as "CONSORTIUM" and the CITY are , or will
in the very near future be , parties to an agreement whereby the
CONSORTIUM is the prime sponsor and the CITY is Sub-grantee for
the performance of certain services to be known as JEWISH VOCATIONAL •
SERVICE - People Helping People , pursuant to a written contract..,
copy of which is attached hereto as Exhibit "A" and ; .
WHEREAS , in the proposal of the CITY to the CONSORTIUM ,
it was contemplated that JVS would provide certain services pur-
suant to same .
NOW , THEREFORE , for and in consideration of the mutual
covenants each to the other made , the parties hereby agree as
follows :
1 . JVS will perform all activities outlined in the
attached Agreement between the CONSORTIUM and the CITY with the
exception of those activities funded in the amount of NINE THOUSAND
TWO HUNDRED EIGHTY THREE ( $9 ,283. 00) DOLLARS which are indicated
on Schedules "H" and "B" of Exhibit "A" .

2. JVS agrees to perform all activities taken
pursuant to this Agreement consistent with all laws and regu- -
lations of the United States of America and the Department of
Labor made applicable thereto and in such manner as shall satisfy
all terms of the attached Exhibit "A" with respect to those-
activities .
3. The CITY will pay JVS, within a reasonable time
following invoice, for all expenditures made in connection with
the program which are reimbursable pursuant to Exhibit, "A" ;
provided, however , that in the event the CONSORTIUM determines ;
that any expenditure is not reimbursable JVS shall be liable
to repay the CITY for same , it being expressly agreed that the
CITY ' S liability .on account of this Agreement shall be limited to
the amount actually received from CONSORTIUM.
4. To -the extent that the CONSORTIUM shalltake any
action pursuant toArticle 7 or 8 of the attached Exhibit "A",
the same action shall be deemed to have been taken by the CITY
with respect to this Agreement and take effect at the same time.
5. JVS shall provide the insurance and bonds specified
for a community based organization pursuant to Article 9 of the
attached Exhibit "A" .
6. JVS shall furnish all documentation required by .
Article 10 of the attached Exhibit "A" with respect .to those
undertakings performed by it.
7. In the event JVS wishes to sub-contract any portion
of this Agreement , it shall comply with the requirements of Article
11 of Exhibit "A"; provided that all required notices shall be
given to , and all required approvals obtained from, - both the CITY
and the CONSORTIUM.

8. JVS shall maintain records required by Article 12
of Exhibit "A" and make same available as required therein to
the CITY as well as those entities enumerated in Article 12.
9. Article 13 of Exhibit "A" shall be applicable- 0
the activities of JVS provided that the word "prime sponsor"
therein shall be deemed to include the. CITY and the CONSORTIUM,
and the word "Sub-grantee" therein shall be deemed to refer to
JVS.
10. JVS does hereby acknowledge and agree that it is
an independent contractor and agrees to indemnify and hold the
prime sponsor or Dade County , or the CITY OF MIAMI BEACH, or
any and all harmless from liability of any nature or kind ,
actual or threatened , and from damages or payments including
costs and expenses arising out out of breach of contract or the
acts or omissions of the Sub-grantee, its employees , agents or
'persons under its control .
11 . JVS may request the CITY to take any action per-
mitted pursuant to Exhibit "A" to terminate,, suspend , modify
or amend Exhibit "A" in which event the CITY shall take such
action, unless it appears that such action is not in the CITY ' S
best interest. Upqn such action becomming effective as to
Exhibit "A" , this Agreement shall be deemed modified accordingly.
12. This Agreement shall' not become effective unless
and until the attached Exhibit "A" has been executed by all
parties required to execute same in order for said Exhibit to
become binding upon the CONSORTIUM and the CITY.

IN WITNESS WHEREOF , the CITY OF MIAMI BEACH has caused
these presents to be executed by its Mayor and City Clerk acting
in their official capacities and its seal placed hereon and
JEWISH VOCATIONAL SERVICE , INC . , has caused these presents to
be executed and its seal placed hereon by its duly authorized
officers on the date and year first above written .

SUBJECT: SUB-CONTRACT AGREEMENT BETWEEN CITY OF MIAMI BEACH
AND JEWISH VOCATIONAL SERVI.CES
This memorandum will serve as acknowledgment of the intent of the City of
Miami Beach to enter into an independent contract with Jewish Vocational
Services.
This memorandum also serves as authorization for the expenditure of CETA
Funds in the amount of One Hundred Sixty Thousand Eight Hundred Dollars
$160,800 for services provided to the City of Miami Beach by Jewish Vocational -
Services Inc. consistent with the policiesand procedures of the. South
Florida CETA Consortium, the Sub-Grantee agreement between South Florida
CETA Consortium and the City ofMiamiBeach and the Sub-Contract Agreement
between the City of MiamiBeach and Jewish Vocational Services Inc.
