A RESOLUTION AUTHORIZING EXECUTION OF AGREEMENT
WITH FIRST FEDERAL SAVINGS AND LOAN ASSOCIATION
OF MIAMI FOR USE OF PARKING SPACES IN OFF-STREET
PARKING LOT 24B (71ST STREET AND RUE VENDOME) ,
FROM JANUARY 1, 1979 , TO DECEMBER 31, 1979.
WHEREAS, First Federal Savings and Loan Association of
Miami, Florida, has requested an Agreement with the City of Miami
Beachfor a one-year period beginning January 1, 1979 , and
WHEREAS, the said Agreement provides that said Bank shall
have the use of five (5) off-street parking spaces for the one-year
period from January 1, 1979 , through December 31, 1979 , upon the
terms, conditions and provisions set forth therein, and
WHEREAS, the City Commission deems it to be in the best
interests of the City that such Agreement be entered into by and
between the City and said Bank, and
WHEREAS, the City Attorney has prepared an appropriate
Agreement containing such terms, conditions and provisions with
which the City Commission is familiar;
NOW, THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and the City
Clerk be and they are hereby authorized and directed to execute the
said Agreement for and on behalf of the City of Miami Beach, Florida.

AGREEMENT
THIS AGREEMENT, made and entered into the 17th day of
January , 1979, by and between FIRST FEDERAL SAVINGS AND LOAN
ASSOCIATION OF MIAMI, a United States corporation, party of the
first part, hereinafter referred to as the "BANK" , and THE CITY OF
MIAMI BEACH, a Florida municipal corporation, party of the second
part, hereinafter referred to as the "CITY" ,
WITNESSETH :
1. The Agreement between the parties hereto, shall be
for a. one-year period ending December 31, 1979, upon all- terms,
conditions, and provisions therein set forth, said Agreement to
provide that said BANK shall have the use of five (5) off-street
parking spaces, in Off-Street Parking Area 24B (71st Street and
Rue Vendome) , and that the rental for this term shall be One
Thousand Two Hundred Fifty Dollars ($1, 250. 00) per annum, payable
in lawful money of the United States of America, at the time of
the execution and delivery of this Agreement by said BANK.
2. This Agreement is entered into with express recog-
nition by both parties hereto, that the interest of the public in
and to the parking spaces hereby leased is paramount. The lease of
this space will not be detrimental in any way to either the City or
the Parking System at this time.
' 3. Said Agreement is entered into with provision that
the CITY may cancel coincident with constructionof a Parking Garage
on this site, if one. should be started during this lease period. If,
by reason of a change in circumstances, the public' s paramount right
to the use of these spaces shall conflict with the subject matter of
this lease, the City Commission, in its sole and exclusive judgment,
may so find andishall be authorized and empowered to terminate this
Agreement at its will , and the rights of the BANK hereunder shall
immediately cease and terminate.

5. In the event of the termination of this Agreement,
in accordance with the provisions of the preceding paragraph, the
rent payable hereunder shall be prorated to the date of such
termination.
IN WITNESS WHEREOF, the CITY has caused this Agreement
to be signed by its Mayor, and attested by its City Clerk, and
the BANK has caused the signature of the proper officers to be
affixed hereto, and the respective corporate seals affixed hereto,
the day and year first above written.
