2019-30771 Resolution RESOLUTION NO. 2019-30771 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATION OF THE FINANCE AND CITYWIDE PROJECTS COMMITTEE AT ITS MARCH 22, 2019 MEETING, WITH RESPECT TO THE PROPOSED VACATION OF PORTIONS OF (1) OCEAN TERRACE, BETWEEN 74th STREET AND 75th STREET; (2) 74TH STREET, BETWEEN COLLINS AVENUE AND OCEAN TERRACE; AND (3) 75TH STREET, BETWEEN COLLINS AVENUE AND OCEAN TERRACE, IN FAVOR OF OCEAN TERRACE HOLDINGS, LLC, AND/OR AFFILIATED ENTITIES CONTROLLED BY OCEAN TERRACE HOLDINGS, LLC, THE OWNERS OF THE PROPERTIES LOCATED AT 7409, 7421, 7433, 7435, 7437, 7439, 7441, AND 7449 COLLINS AVENUE, AND 7400, 7410, 7420, 7430, 7436, AND 7450 OCEAN TERRACE (COLLECTIVELY, THE "DEVELOPER"); FURTHER, AUTHORIZING THE ADMINISTATION TO SECURE AN APPRAISAL (TO BE PAID BY DEVELOPER), IN ACCORDANCE WITH THE REQUIREMENTS OF SECTION 82-39 OF THE CITY CODE, AND TO NEGOTIATE A DEVELOPMENT AGREEMENT TO PROVIDE, AMONG OTHER TERMS, FOR THE DEVELOPER TO DEVELOP, DESIGN AND CONSTRUCT, AT ITS SOLE COST AND EXPENSE, CERTAIN PUBLIC STREETSCAPE AND PARK IMPROVEMENTS IN THE VICINITY OF OCEAN TERRACE, FROM 73RD STREET TO 75TH STREET, WITH THE TERMS OF THE PROPOSED DEVELOPMENT AGREEMENT SUBJECT TO PRIOR REVIEW BY THE FINANCE AND CITYWIDE PROJECTS COMMITTEE; AND FURTHER AUTHORIZING A DUAL REFERRAL TO THE PLANNING BOARD AND LAND USE AND DEVELOPMENT COMMITTEE TO CONSIDER APPLICABLE DRAFT ORDINANCES TO EFFECTUATE THE DEVELOPMENT. WHEREAS, Ocean Terrace Holdings, LLC, and/or affiliated entities controlled by Ocean Terrace Holdings, LLC (collectively, the "Developer"), own the properties located at 7409, 7421, 7433, 7435, 7437, 7439, 7441, and 7448 Collins Avenue, and 7400, 7410, 7420, 7430, 7436, and 7450 Ocean Terrace; and WHEREAS, the City of Miami Beach (the "City") holds a right-of-way dedication to a 62- foot-wide right of way known as Ocean Terrace, from 73rd Street to 75th Street, as well as the right-of-way areas located on 74th Street, between Ocean Terrace and Collins Avenue, and on 75th Street, between Ocean Terrace and Collins Avenue (collectively, the "City Parcel"); and WHEREAS, on December 12, 2018, the City Commission unanimously adopted the Ocean Terrace Neighborhood Urban Design Plan (`the Plan"), a concept plan for proposed public improvements to the Ocean Terrace area (streetscape and park improvements), prepared by The Corradino Group and Garcia-Pons + Associates, and referred the Plan to the Finance and Citywide Projects Committee ("FCWPC") for discussion on how to implement the Plan. At its February 20, 2019 meeting. FCWPC directed staff to explore ways to prioritize and fund the Plan; and WHEREAS, at the February 22, 2019 FCWPC meeting, the Administration reported that after review of funding alternatives, approximately $15 million would be required to bring the Plan to fruition, and requested the opportunity to solicit potential public/private partnership options to fund the Plan, for the FCWPC's further consideration; and WHEREAS, at the March 22, 2019 FCWPC meeting, the Administration presented a potential public/private partnership with the Developer, which would include the vacation of certain rights-of-way in the vicinity of Ocean Terrace in favor of the Developer, in exchange for Developer providing public benefits to the City to, at a minimum, cover the $15 million costs of funding the Plan and its associated public streetscape and Park improvements; and WHEREAS, based on the presentation, the FCWPC recommended proceeding with an appraisal, economic development analysis, and negotiations for a development agreement that would include the vacation of portions of Ocean Terrace (between 74th Street and 75th Street), and portions of 74th Street and 75th Street (between Collins Avenue and Ocean Terrace), in exchange for Developer to provide public benefits to the City, which benefits would be negotiated and would include terms for Developer to develop, design and construct the Plan at Developer's sole cost and expense, and with any vacation conditioned upon Developer conveying irrevocable, perpetual easements in favor of the City, for the continued use of Ocean Terrace, 74th Street, and 75th Street for public vehicular and pedestrian travel; and WHEREAS, FCWPC further recommended a dual referral to the Planning Board and Land Use Committee to consider applicable draft ordinances to effectuate the development; and, WHEREAS, FCWPC further recommended that the negotiated terms of the proposed transaction be brought back to the FCWPC for its review and input, prior to City Commission consideration of the final development agreement or associated amendments to the City's Land Development Regulations. NOW THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, hereby accept the recommendation of the FCWPC at its March 22, 2019 meeting, with respect to the proposed vacation of portions of(1) Ocean Terrace, between 74th Street and 75th Street; (2) 74th Street, between Collins Avenue and Ocean Terrace; and (3) 75th Street, between Collins Avenue and Ocean Terrace, in favor of Ocean Terrace Holdings, LLC, and/or affiliated entities controlled by Ocean Terrace Holdings, LLC, the owners of the properties located at 7409, 7421, 7433, 7435, 7437, 7439, 7441, and 7449 Collins Avenue, and 7400, 7410, 7420, 7430, 7436, and 7450 Ocean Terrace (collectively, the "Developer"); further, authorize the Administration to secure an appraisal (to be paid by Developer), in accordance with the requirements of Section 82-39 of the City Code, and to negotiate a development agreement to provide, among other terms, for the Developer to develop, design and construct, at its sole cost and expense, certain public streetscape and park improvements in the vicinity of Ocean Terrace, from 73rd Street to 75th Street, with the terms of the proposed development agreement subject to prior review by the FCWPC; and further authorizing a dual referral to the Planning Board and Land Use and Development Committee to consider applicable draft ordinances to effectuate the development. Date 0olCf-; r1 71 REIMBURSEMENT AND INDEMNITY AGREEMENT THIS REIMBURSEMENT AND INDEMNITY AGREEMENT (this "Agreement"), is dated as of AsPAIL 14 , 2019 (the "Effective Date"), between the City of Miami Beach, a Florida municipal corporation(the"City")and Ocean Terrace Holdings, LLC a Delaware limited liability company("Developer") (each, a"Party"and collectively,the"Parties"). WHEREAS, this Agreement is entered into in connection with the proposed development by the Developer of certain properties owned by Developer along the 7400 Block of Ocean Terrace, between Ocean Terrace and Collins Avenue, which development is intended to include, among other components, the City's vacation of a portion of Ocean Terrace (between 74th Street and 75th Street),and portions of 74th St. and 75th St. (between Ocean Terrace and Collins Ave.)in favor of Developer (the"Ocean Terrace Project"), and with the Developer to develop,design and construct certain public streetscape and park improvements on Ocean Terrace and related areas, from 73`d Street to 75th Street,based on the Ocean Terrace Neighborhood Urban Design Plan; WHEREAS,the City will need to conduct substantial due diligence in connection with its evaluation of the proposed transaction for the Project; and WHEREAS,the City is willing to enter into discussions with the Developer in connection with the proposed transaction for the Project, subject to and on the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the foregoing recitals and the covenants and the agreements set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,the Parties agree as follows: 1. Recitals. The recitals set forth above are true and correct and are incorporated herein by this reference. 2. Reimbursement. In consideration of the City's willingness to enter into negotiations with the Developer in connection with the development of the Project,the Developer hereby agrees to reimburse or make payment to the City within ten (10) days after receipt by the Developer of invoices from the City for all out of pocket costs and expenses incurred by the City in connection with the due diligence and negotiation of the terms of the Development Agreement, easement agreements and any other agreements which may be required to complete the transaction, including, without limitation, costs and expenses incurred in connection with the proposed transaction, including valuations and/or appraisals, if required; traffic studies; fees of any professional negotiators, advisors or consultants engaged by the City; outside counsel and paralegal fees; surveys, environmental assessments, title searches, feasibility studies and other reviews;and other costs that may be incurred with respect to the proposed transaction. In the event that the Developer does not make any such reimbursement or payment within such ten (10) day period, in addition to all other rights and remedies the City may have hereunder or by law or in equity, (a) such failure shall be deemed a default entitling City to terminate discussions with the Developer for the Project. 3. Indemnity. Developer agrees to defend,indemnify and hold harmless the City from and against any and all damage, liability, lien, loss, cost or expense arising or accruing from or resulting by reason of any and all claims of any individual, partnership, corporation, limited liability company, trust or other enterprise relating to the development of the Project, including, without limitation, the making of any claim or challenge or the institution of any action, suit or other proceeding against the City with respect to: modifications to any comprehensive plan, development plan or approvals,or zoning ordinance;authority of the City Commission to approve any element of the proposed transaction in accordance with the City Charter or City Code; diminution in value by any residents of the City, including, without limitation, neighboring property owners; and procurement-related claims. The indemnity set forth in this Section 3 includes all costs and expenses, including reasonable attorneys' and paralegals' fees (including reasonable fees and costs of the City's internal legal staff), at trial, appellate and post judgment proceedings, whether by judgment,settlement or otherwise. 4. City's Proprietary Capacity. The City is entering into this Agreement in its proprietary capacity as the owner of the subject City property where the Project will be developed. Nothing contained herein shall affect or be deemed to affect the City's regulatory authority as a governmental body. In the event that the City exercises its regulatory authority as a governmental body,the exercise of such regulatory authority and the enforcement of any rules,regulations, laws and ordinances (including through the exercise of the City's building, fire, code enforcement, police department or otherwise) shall be deemed to have occurred pursuant to City's regulatory authority as a governmental body and shall not be attributable in any manner to City as a party to this Agreement or in any way be deemed in conflict with,or a default under,the City's obligations hereunder. 5. No Binding Agreements for Development of the Project. The Developer acknowledges that the Parties' discussions are of a preliminary nature only, and that specifically, any agreements relating to the Project shall be subject to and contingent upon City Commission approval in accordance with the City Charter and City Code. The Parties agree that neither Party will be under any legal obligation of any kind whatsoever with respect to any business relationship or transactions by virtue of this Agreement, except for the matters specifically agreed to herein. The Parties further acknowledge and agree that they each reserve the right, in their sole and absolute discretion, to reject any and all proposals and to terminate discussions and negotiations at any time with respect to any aspect of the proposed development of the Project or proposed agreements related thereto. 6. Miscellaneous. (a) Entire Agreement. This Agreement sets forth the entire agreement and understanding between the Parties with respect to the subject matter hereof and merges and supersedes all prior discussions, agreements and understandings of every kind and nature among them as to the subject matter hereof. (b) Amendments and Waivers. This Agreement shall not be amended except by a writing signed by each Party. A waiver of any breach or violation of any term, provision or agreement contained herein shall not be deemed a continuing waiver or a waiver of any future, past, same or other breach or violation. (c) Governing Law. This Agreement shall be governed and construed in all respects by the laws of the State of Florida,without regard to its conflicts of law principles. (d) Successors and Assigns. This Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective successors and permitted assigns. This Agreement may not be assigned by any Party without the prior written consent of the other Party. No Party shall be released of its obligations hereunder without the prior written consent of the other Party. (e) No Third Party Beneficiaries. The agreements contained herein are solely for the benefit of the Parties and do not confer upon any other individual or entity any rights or remedies of any nature whatsoever, as a third party beneficiary or otherwise. (f) Counterparts. This Agreement may be executed in several counterparts, by original, .pdf or facsimile signature, each of which so executed shall be deemed to be an original, and such counterparts together shall be deemed to be one and the same instrument. (g) Further Assurances. The Parties shall sign such further documents and do and perform, and cause to be done and performed, such further and other acts and things as may be necessary or desirable in order to give full effect to this Agreement. (h) Severability. If any provision of this Agreement shall for any reason be finally held illegal, invalid or unenforceable by a court of competent jurisdiction, then such provision shall be modified by such court or the Parties, as the case may be, so as to cause such provision to be legal, valid and enforceable to the maximum extent permitted by Iaw (and to the extent modified, it shall be modified so as to reflect,to the extent possible,the intent of the Parties) and shall in no way affect or impair the legality, validity or enforceability of the remaining provisions of this Agreement, which shall remain in full force and effect. (i) Litigation. In any action, suit or other proceeding brought to enforce this Agreement, in addition to any other relief granted, the Parties agree that prevailing Party shall be entitled to recover its reasonable costs of enforcement, including but without limitation,costs and attorney fees (including, with respect to the City, reasonable fees and costs of the City's internal legal staff). 0) Independent Parties. Nothing in this Agreement shall be deemed to create a partnership or joint venture between the Parties. ANALYSIS On December 12, 2018, the City Commission unanimously adopted the Ocean Terrace Neighborhood Urban Design Plan that was produced by The Corradino Group and Garcia-Pons + Associates. The Finance and Citywide Projects Committee ("FCWPC") then discussed how to implement the plan at its February 20, 2019 meeting. FCWPC directed staff to explore ways to prioritize and fund the proposed public improvement project. During the February 22, 2019 FCWPC, staff reported that after review of funding alternatives for the approximate $15M that would be required to bring the Ocean Terrace Park Plan to fruition, the Administration recommended the City explore entering into a public-private partnership through a development agreement. The Administration requested the opportunity to solicit potential public/private partnership options to fund the Ocean Terrace Neighborhood Urban Design Plan. FCWPC agreed and ask the Administration to return with potential partners. Finance and Citywide Projects Committee At the March 22, 2019 FCWPC meeting, the Administration returned with a potential public/private partnership with the Ocean Terrace Holdings, LLC. FCWPC reviewed the conceptual plans and recommended that the City Commission refer the discussion to consider the vacation of portions of Ocean Terrace, 74TH Street and 75th Street in favor of Ocean Terrace Holding, LLC and to determine whether the City should negotiate a development agreement that provides for a public benefit. The development agreement could generally involve the vacation of certain rights-of-way on and adjacent to Ocean Terrace in exchange for a public benefit to fund and/or construct the Park Plan. FCWPC recommended that the Administration retain a consultant to assess the economic benefits which the proposed project would provide and to proceed with discussions with Ocean Terrace Holding, LLC and to return to FCWPC with the terms and conditions, including the public benefits and economic impact. FCWPC further recommended that the item be referred to the Land Use and Development Committee as well as the Planning Board. CONCLUSION The Administration has retained consultants at the Developer's expense to assess the economic benefits which the proposed project would provide and to conduct an appraisal. The Administration also recommends approval and authorization to negotiate a Development Agreement with Ocean Terrace Holding, LLC (and affiliates/Ocean Terrace property owners), to evaluate the public benefit of such an agreement, including but not limited to the vacation of Page 375 of 1091 portions of the Ocean Terrace including, but not limited to 74th and 75th streets, and to evaluate the impact of such a development agreement will have on the City and the Ocean Terrace/North Beach corridor. Finally the Administration recommends the approval of the recommended referrals to the Land Use and Development Committee as well as the Planning Board to review the actions required to facilitate the Development Agreement.
