A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
MIAMI BEACH AUTHORIZING THE ASSIGNMENT OF THE CABLE
TELEVISION LICENSE AND FRANCHISE FROM ULTRA COM OF
DADE COUNTY, INC., TO RIFKIN/NARRAGANSETT, SOUTH
FLORIDA CATV, LIMITED PARTNERSHIP.
WHEREAS, pursuant to City of Miami Beach Ordinance No. 79-2164, adopted
July 18, 1979, and City of Miami Beach Ordinance No. 79-2172 (as amended), a cable
television license was granted to Ultra Com of Dade County, Inc., for a term of 15 years,
which term expires September 18, 1994 (with one 10-year extension option); and
WHEREAS, pursuant to City Commission Resolution No. 84-17736 adopted
May 16, 1984, the City consented to the transfer of the capital stock of Ultra Com of Dade
County, Inc., from AEL Industries, Inc., the parent company of Ultra Com of Dade County,
Inc., to Harte-Hanks Communications, Inc.; and
WHEREAS, pursuant to City of Miami Beach Ordinance No. 86-2500 adopted on
February 5, 1986, a cable television franchise was granted to All-Rite Satellite, Inc., for a
term of 15 years, which term expires February 4, 2001; and
WHEREAS, in accordance with the provisions of the City of Miami Beach
Ordinance No. 86-2500, Section 22, Transfer of Ownership or Control, the City Manager of
the City of Miami Beach approved the transfer of the franchise granted to All-Rite
Satellite, Inc., to Ultra Com of Dade County, Inc., by correspondence dated August 11, 1987;
and
WHEREAS, Ultra Com of Dade County, Inc., has requested that the City consent
to the assignment of the franchise and license rights under the above ordinance, (i.e., the
franchise rights granted pursuant to Ordinance Nos. 79-2172 and 86-2500), by ULTRA COM
OF DADE COUNTY, INC., to RIFKIN/NARRAGANSETT, SOUTH FLORIDA CATV,
LIMITED PARTNERSHIP, a Florida Limited Partnership ("Rifkin/Narragansett"); and
WHEREAS, the attached assigment provides that Rifkin/Narragansett agrees to
assume and abide by the terms and conditions of the above-described license and franchise;
and
WHEREAS, both the license granted pursuant to Ordinance No. 79-2172, and the
franchise granted pursuant to Ordinance No. 86-2500, are in full force and effect.
NOW THEREFORE, BE IT DULY RESOLVED THAT THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, THAT:
The Mayor and the City Clerk are hereby authorized to execute the attached
Consent to Assignment of the cable television license and franchise from ULTRA COM OF
DADE COUNTY, INC., TO RIFKIN/NAR.RAGANSETT, SOUTH FLORIDA CATV, LIMITED
PARTNERSHIP.
PASSED and ADOPTED this 2nd day of March 1988.
