A RESOLUTION OF THE CITY COMMISSION OF THE l
CITY OF MIAMI BEACH AUTHORIZING THE MAYOR AND
THE CITY CLERK TO EXECUTE AN ASSIGNMENT OF
AGREEMENTS BETWEEN THE CITY OF MIAMI BEACH AND
GOLF CAR ACCEPTANCE CORPORATION DATED NOVEMBER
1, 1982 AND OCTOBER 11, 1982 TO AMERICAN GOLF
CORPORATION FOR THE RENTAL AND MAINTENANCE OF
GOLF CARTS.
WHEREAS, the City of Miami Beach, on December 9, 1985, under
Request for Proposal ( "RFP" ) 232-85/00 solicited proposals for the
management of the City' s municipal golf courses, and
WHEREAS, American Golf Corporation submitted its proposal pur-
suant to the RFP, and on March 5 , 1986 the City Commission
authorized negotiations with American Golf Corporations for a firm
agreement, and
WHEREAS, a Management Agreement has been negotiated and
prepared, and the Management Agreement provides that the existing
agreements between the City of Miami Beach and Golf Car Acceptance
Corporation dated November 1, 1982 and October 11, 1982 be as-
signed to American Golf Corporation, and
WHEREAS, an Assignment has been prepared and the City Manager
has recommended its execution and the City Attorney has approved
it as to form.
NOW THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and the City
Clerk are authorized and directed to execute the Assignment of
Agreement from the City of Miami Beach to American Golf Corpora-
tion for the Agreements dated November 1, 1982 and October 11,
1982 with Golf Car Acceptance Corporation for the rental and
maintenance of golf carts.
PASSED and ADOPTED this 21st day of May, 1986.

ASSIGNMENT OF AGREEMENTS
In consideration of Ten Dollars (10.00) and other good and
valuable consideration, the receipt of which is hereby
acknowledged, CITY OF MIAMI BEACH, a Municipal Corporation, does
hereby assign, transfer, convey and set over unto AMERICAN GOLF
CORPORATION, a California Corporation, all of its right, title
and interest in that certain "Golf Car Lease Agreement" dated
November 1, 1982 and that certain "Golf Car Maintenance Agreement"
dated October 11, 1982 both by and between the CITY OF MIAMI BEACH
and GOLF CAR ACCEPTANCE CORPORATION.

ACCEPTANCE OF ASSIGNMENT
AMERICAN GOLF CORPORATION does hereby accept the foregoing
Assignment and agrees to assume and abide by the terms and condi-
tions of the above described Agreements.

CONSENT TO ASSIGNMENT
GOLF CAR ACCEPTANCE CORPORATION hereby consents to the As-
signment of the foregoing Agreements to AMERICAN GOLF CORPORATION
and hereby releases the CITY OF MIAMI BEACH from any and all
liability relating to such Agreements.
