RESOLUTION NO. 86-18449
A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF MIAMI BEACH AUTHORIZING THE MAYOR AND
THE CITY CLERK TO EXECUTE A CONSENT TO ASSIGN-
MENT OF LEASE FROM ANDY FRAIN FLORIDA, INC. TO
AMERICAN GOLF CORPORATION FOR THE CONCESSIONS
AT BAYSHORE AND NORMANDY SHORES GOLF COURSES.
WHEREAS, the City of Miami Beach, on December 9, 1985, under
Request for Proposal ( "RFP" ) 232-85/00 solicited proposals for the
management of the City ' s municipal golf courses, and
WHEREAS, American Golf Corporation submitted its proposal pur-
suant to the RFP, and on March 5, 1986 the City Commission
authorized negotiations with American Golf Corporations for a firm
agreement, and
WHEREAS, a Management Agreement has been negotiated and
prepared, and the Management Agreement provides that the existing
lease between the City of Miami Beach and Andy Frain Florida, Inc.
dated September 30, 1983 be assigned to American Golf Corporation,
and
WHEREAS, as Assignment with a Consent contained therein has
been prepared and the City Manager has recommended execution of
the Consent and the City Attorney has approved it as to form.
NOW THEREFORE, BE IT DULY RESOLVED BY THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and the City
Clerk are authorized and directed to execute the Consent to the
Assignment from Andy Frain, Florida, Inc. to American Golf Cor-
poration of the Concession lease between the City of Miami Beach
and Andy Frain Florida, Inc. dated September 30, 1983 for the Con-
cessions at Bayshore and Normandy Shores Golf Courses.
PASSED and ADOPTED this 21st day of May, 1986.

ASSIGNMENT OF LEASE
In consideration of Ten Dollars (10 .00) and other good and
valuable consideration, the receipt of which is hereby
acknowledged, ANDY-FRAIN FLORIDA, INC. , a Florida Corporation,
does hereby assign, transfer , convey and set over unto AMERICAN
GOLF CORPORATION, a California Corporation, all of its right,
title and interest in that certain Lease dated September 30, 1983
by and between the CITY OF MIAMI BEACH, Lessor , and ANDY-FRAIN
FLORIDA, INC. , Lessee, for the restaurant and other concessions at
the Bayshore and Normandy Shores municipal golf courses in the
City of Miami Beach.

ACCEPTANCE OF ASSIGNMENT
AMERICAN GOLF CORPORATION does hereby accept the foregoing
Assignment and agrees to assume and abide by the terms and
conditions of the above described lease.

CONSENT TO ASSIGNMENT
THE CITY OF MIAMI BEACH, Lessor , hereby consents to the
foregoing Assignment, but specifically does not release Andy-Frain
Florida, Inc. from any claim or liability under the above lease
relating to activity of Andy-Frain Florida, Inc. prior to the date
hereof.
