Re: Lease Agreement between the City of Miami Beach ("City") and Little Havana
Activities and Nutrition Centers of Dade County, Inc. ("Tenant") dated
September 9,2009("Lease Agreement"),for approximately 2,919 square feet of
leasable space on the first floor of South Shore Community Center located 833
Sixth Street,Miami Beach,FL 33139 and Use Agreement memorialized in a letter
dated July 15, 2009 for the use of an adjacent Playground Area having
approximately 7,000 square feet ("Collectively the Premises"); and Letter
Agreement memorializing Extended Term under the Lease Agreement and Use
Agreement.
Dear Mr. Iglesias:
The above referenced Lease Agreement and Use Agreement have expired. As you are aware, due
to the anticipated construction of the new fire station, the City must reclaim the Demised Premises
in the near future. Since you would like to remain in the Premises in the interim, on January 13,2021
the City's Mayor and Commission adopted Resolution No. 2021-31545, authorizing the extension of
the term of the Lease Agreement and Use Agreement commencing retroactively on October 1,2019
and expiring on December 31, 2021 ("Extended Term"). Additionally, on December 8, 2021, the
City's Mayor and Commission adopted Resolution No. 2021-31928, approving a month-to-month
extension for the tenants currently occupying the Center, based upon the current financial terms,
commencing on January 1, 2022 and ending on December 31, 2022, ("Second Extended Term")in
order to provide the City with additional time to identify suitable relocation options for the tenants.
During the Second Extended Term, the City, through its City Manager, for its convenience and
without cause,may terminate the Lease Agreement and Use Agreement at any time by giving written
notice to Tenant of such termination, which shall become effective within thirty (30) days following
receipt by Tenant, or refusal to accept by Tenant,of such notice. Additionally, in the event of a public
health, welfare or safety concern, as determined by the City Manager, in the City Manager's sole
discretion, the City Manager, pursuant to a verbal or written notification to Tenant, may immediately
suspend the use of the Premises for a time certain, or in the alternative, terminate the Lease
Agreement and Use Agreement on a given date. If the Lease Agreement and Use Agreement are
terminated for Convenience by the City, the City shall be discharged from any and all liabilities,
duties, and terms arising out of, or by virtue of, the Lease Agreement and Use Agreement.
