Resolution 2022-32356 RESOLUTION NO. 2022-32356 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING AND AUTHORIZING AMENDMENT NO. 1 TO THE AGREEMENT, DATED JUNE 16,2021, BETWEEN THE CITY OF MIAMI BEACH AND TYLER TECHNOLOGIES, INC., FOR THE TYLER MAINTENANCE AND SUPPORT AGREEMENT (MSA), TO INCLUDE MUNIS' COMPLETE API BUNDLE AND HARRIS PUBLIC SAFETY RADIO INTEGRATION TECHNOLOGY; AND FURTHER AUTHORIZING THE CITY MANAGER AND CITY CLERK TO EXECUTE ANY AND ALL DOCUMENTS OR AGREEMENTS WHICH MAY BE REQUIRED TO IMPLEMENT THIS RESOLUTION. WHEREAS, on April 29, 2021, the Mayor and City Commission adopted Resolution No. 2021-31666, which approved and authorized the City to consolidate the following agreements under the Tyler Maintenance and Support Agreement (MSA): Eden License and Services Agreement, New World Public Safety License and Services Agreement, Munis, Energov and Eden Access Maintenance License and Services Agreement, and New World Maintenance and Support Agreement; and WHEREAS, MUNIS Provides Enterprise Resource Planning (ERP) functionality across many of the City' s core business processes, including finance, budget, procurement and human resources; and WHEREAS, the API toolkit will add value to Munis by enabling the City to create our own integrations to share data between Tyler and non-Tyler applications and contains resources available for Tyler application modules such as Enterprise ERP General Ledger, Enterprise Accounts Receivable, and Enterprise Asset Management; and WHEREAS, New World provides the City's Public Safety Departments with software maintenance, technical support, and software updates for the Computer Aided Dispatch System (911), Fire Records Management System, Police Records Management System, Mobile Computing, Real-Time Messaging and other components required to meet life safety services for the general public. These systems are critical to the operational and planning activities of the Police Department, Fire Department and Emergency Management; and WHEREAS, the Compliant Public Safety Radio System provides enhanced interoperability capabilities, and reaches the farthest corners of a radio system, giving first responders the advanced features they require to perform their duties. ANALYSIS The Information Technology Department continues the assessment and modernization of the City's technology systems and ensure maximum value for current investments.This assessment has identified additional cost-effective tools from Tyler Technologies that can fill gaps,improve services,and ensure future integrations with critical systems. Dedicated Project Management services,if any,will be invoiced monthly in arrears,beginning on the first day of the month immediately following initiation of project planning. • If Client has purchased any change management services,those services will be invoiced in accordance with the Agreement. • Notwithstanding anything to the contrary stated above,the following payment terms shall apply to services fees specifically for migrations:Tyler will invoice Client 50%of any Migration Fees listed above upon Client approval of the product suite migration schedule.The remaining 50%,by line item,will be billed upon the go-live of the applicable product suite.Tyler will invoice Client for any Project Management Fees listed above upon the go-live of the first product suite.Unless otherwise indicated on this Sales quotation, annual services will be invoiced in advance,for annual terms commencing on the date this sales quotation is signed by the Client.If listed annual service(s)is an addition to the same service presently existing under the Agreement,the first term of the added annual service will be prorated to expire coterminous with the existing annual term for the service,with renewals to occur as indicated in the Agreement. • Expenses associated with onsite services are invoiced as incurred. The Implementation Hours included in this quote assume a work split effort of 70%Client and 30%Tyler. Implementation Hours are scheduled and delivered in four(4)or eight(8)hour increments. Tyler's GIS implementation services are to assist the Client in preparing the required GIS data for use with the Licensed New World Software. Depending upon the Licensed Software the Client at a minimum will be required to provide an accurate street centerline layer and the appropriate polygon layers needed for Unit Recommendations and Run Cards in an industry standard Esri file format(Personal Geodatabase,File Geodatabase, Shape Files).Client is responsible for having clearly defined boundaries for Police Beats,EMS Districts and Fire Quadrants.If necessary Tyler will assist Client in creating the necessary polygon layers(Police Beats,EMS Districts and Fire Quadrants)for Unit Recommendations and Run Cards. Tyler is not responsible for the accuracy of or any ongoing maintenance of the GIS data used within the Licensed New World Software. Client is responsible for any ongoing annual maintenance on third-party products,and is advised to contact the third-party vendor to ensure understanding of and compliance with all maintenance requirements. All Tyler Clients are required to use Esri's ArcGlS Suite to maintain GIS data All maintenance,training and ongoing support of this product will be contracted with and conducted by Esri. Maintenance for Esri's ArcGIS suite of products that are used for maintaining Client's GIS data will be contracted by Client separately with Esri. Page 351 of 1166 • ••::•• tyler • • AMENDMENT This amendment("Amendment") is effective as of the date of signature of the last party to sign as indicated below("Amendment Effective Date"), by and between Tyler Technologies, Inc. ("Tyler")and the Tyler client identified in the signature block below("Client"). WHEREAS,Tyler and the Client are parties to an agreement through which Tyler licenses the New World Dashboard Software indicated below("Agreement"); WHEREAS,Tyler and Client now desire to amend the Agreement to replace the New World Dashboard Software with Tyler's Performance Dashboard software as further detailed herein; NOW THEREFORE, in consideration of the mutual promises hereinafter contained,Tyler and the Client agree as follows: 1. Add Performance Dashboard.The Performance Dashboard software set forth in the sales quotation attached as Exhibit 1 to this Amendment(the"Amendment investment Summary") is hereby added to the Agreement as of the first date the Performance Dashboard environment is made available to you. Your Year one SaaS fees for the Tyler Performance Dashboard will be invoiced on the first day following your current annual maintenance term for Tyler New World Dashboard Software in a lump sum amount together with your then-current annual fees.On an annual basis thereafter, we will invoice you the SaaS fees at our then-current rates. Notwithstanding language to the contrary in the below-linked Socrata Terms and Conditions,your first annual SaaS Term for Performance Dashboard commences on the first day following expiration of your current annual maintenance term for Tyler New World Dashboard Software. 2. Remove Tyler New World Dashboard Software.Tyler New World Dashboard Software listed below is hereby removed from the Agreement as of the first date the Performance Dashboard environment is made available to you. Upon such date,Client's license to use such software is terminated,as are Tyler's obligations to support, maintain and update such software. Tyler and Client agree to perform and be bound by all covenants,terms,and conditions of the Socrata Terms and Conditions available here: https://www.tylertech.com/terms'socrata-saas-services-terms-of-service with respect to the Performance Dashboard software as more particularly described in Exhibit 1 attached hereto,and all such covenants,terms,and conditions are incorporated by reference as if set forth at length herein. 4. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement and if the Agreement terminates so does Client's access to the Performance Dashboard software.
