PROVIDED FOR THE RESPECTIVE PURPOSES IN THE FISCAL YEAR 1999-2000
ELECTROW A VE OPERATING BUDGET.
WHEREAS, Resolution No. 97-22595, dated November 19,1997, approved a two-year contract with Red Top
Transportation, Inc., a.k.a. American Bus Lines, Inc., to provide management and operations of transit services for the
Electrowave Shuttle Service Project (the Contract); and
WHEREAS, the contract includes an option to renew for two additional one-year periods, for a total of four
years of service, subject to funding availability, and also provides for pass-through costs for vehicle insurance coverage,
and County-required vehicle permits and fees, above and beyond the contract cost; and
WHEREAS, at the City's request, Red Top submitted a proposal to operate the Electrowave'se enhanced route
service, utilizing eleven (11) shuttle vehicles in Fiscal Year 1999-2000, in the amount of$903,296; and
WHEREAS, the City and the Miami Beach Transportation Management Association (MBTMA) are pleased
with Red Top's performance, and wish to amend the existing contract.
NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE
CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission approve and hereby authorize the Mayor
and City Clerk to execute the attached First Amendment to the contract with Red Top Transportation, Inc., a.k.a.
American Bus Lines, Inc., dated November 19, 1997; said Amendment in an amount not to exceed $903,296, to provide
Management and Operation of Shuttle Service in Fiscal Year 1999-2000; exercise the first year option to renew the
contract,subject to funding availability; approve and authorize pass-through costs, above and beyond the contract cost,
in the amount of $87,000, for insurance coverage for eleven City-owned shuttle vehicles, and approximately $4,950 in
County-required vehicle permits and fees; and further utilizing funds provided for the respective purposes in the Fiscal
Year 1999-2000 Electrowave Operating Budget.

ADMINISTRATION RECOMMENDATION
Adopt the Resolution.
BACKGROUND
City Resolution No. 97-22595, dated November 19, 1997, approved a two-year contract with Red
Top Transportation, Inc., a.k.a. American Bus Lines, Inc., to provide management and operation of
shuttle services for the Electrowave Project. The existing contract carries an option to renew for two
additional one-year periods, or a total of four (4) years of service, subject to funding availability.
The first contract term was from January 20,1998 to December 31, 1999, and the second was for
nine (9) months, January-September 1999, to bring the contract in line with the City's fiscal year.
A First Amendment to the existing Red Top contract is herein proposed and attached, as the third
(3rd) term of a potential four-year contract.

ANALYSIS
Red Top's FY 1999-2000 Contract Cost Proposal is herein attached as Exhibit A, Pages 1 and 2.
In the amount of $903,296, this proposed third-year contract term includes the following new
elements:
1. The implementation of an "Enhanced" Electrowave shuttle route, which maintains the
existing service from 17th Street to South Pointe, and extends service to the area bounded
by Collins Avenue (16th-23rd Streets), the Cultural Campus, the Convention Center, the
Garden Center, and the Holocaust Memorial. The Enhanced Route map is herein attached
as Exhibit B; "
2. The operation of 11 shuttle vehicles, instead of the original 7 vehicles; and
3. A $0.25 per-hour increase in shuttle driver wages, as provided by the existing contract.

I@' It is important to notice that there is a cost advantage in operating 11 instead of7 vehicles:
the contract's variable costs have increased but fixed costs remained essentially the same.
The Administration believes it is beneficial to the City and the Electrowave Service to remain with
Red Top for this third year term, for the following reasons:
1. Both the City and the Miami Beach Transportation Management Association (MBTMA) are
pleased with the quality of service delivered by Red Top drivers, dispatchers, supervisory
personnel, and administrative staff.
2. Red Top is the only transit company in Florida (among a few nationwide) which has
experience operating an all-electric-battery bus fleet. Specific driver training and on-the-job
experience are essential to the longevity of individual battery charges and of the batteries
themselves.

3. The contract cost would inevitably increase due to the fact a new transit operator would
incur start-up, hiring, and training costs that Red Top no longer has.
Recommended Additional Costs Above and Beyond the Contract Cost
Insurance on Shuttle Vehicles: The Electrowave shuttle vehicles are owned by the City and
operated by Red Top employees. The City's Risk Management Division has ruled that, under these
conditions, the shuttle vehicles cannot be covered by the City's Self-Insured Program. Historically,
the City has leased the shuttle vehicles to Red Top, which purchases annual insurance coverage for
these vehicles, with a pass-through cost to the City. This is provided for by Article 21, Page 20 of
the existing contract, hereby amended to read 11 vehicles instead of the original 7. The Red Top-
proposed insurance cost/pass through for FY 1999-2000 totals $87,000 as follows:
* Automobile Liability coverage for 11 shuttle vehicles, at a pass-through cost of $59,320; and
* Physical Damage coverage for 11 shuttle vehicles, at a pass-through cost of$27,680.
County-Required Shuttle Permits and Fees: Red Top will have the 11 City-owned shuttle
vehicles annually inspected and permitted by the Miami-Dade County Transit Agency (MDT A), as
required by County Code. The approximate pass-through cost to the City will be $4,950, as follows:
* 11 shuttle inspections at $25.00 each
* 11 shuttle permits at $425.00 each =
$ 275.00

Funding Available for the Above-Mentioned Purposes:
o The Red Top Contract at $903,296 is funded by code #343 ofthe proposed FY 1999-2000
Electrowave Operating Budget.
o The $87,000 in pass-through cost for insurance on 11 City-owned shuttle vehicles is funded
by code #371 of the proposed FY 1999-2000 Electrowave Budget; and
o The County-required permits and fees for the 11 shuttle vehicles, at approximately $4,950,
are provided for by Code #312 ofthe same budget.
CONCLUSION
Red Top Transportation is a local company that has been in business in Miami since 1985, providing
transportation services for local government agencies, such as: MDTA, Dade County Aviation
Department/Miami International Airport, Royal Caribbean Cruise Lines, and, of course, Miami
Beach. Red Top affiliated companies, Coach USA, Inc., and American Bus Lines have been in
business in the Greater Miami area since 1929.
Additionally, the City and MBTMA are pleased with Red Top's performance. The contractor is
willing and able to deliver increased transit service as the operator of the Electrowave. The
Administration recommends this contract amendment for approval.

FIRST AMENDMENT TO CONTRACT
BETWEEN THE CITY OF MIAMI BEACH
AND RED TOP TRANSPORTATION, INC.
FOR MANAGEMENT AND OPERATION OF ELECTROW A VE SHUTTLE SERVICES
IN FISCAL YEAR 1999-2000
THIS FIRST AMENDMENT to Contract dated November 19, 1997, is made this 22nd day of
September, 1999, by and between the CITY OF MIAMI BEACH, FLORIDA (City), which term
shall include its officials, successors, legal representatives, and assigns, and RED TOP
TRANSPORTATION, INC., a.k.a. American Bus Lines, Inc. (Contractor).
NOW, THEREFORE, in consideration of mutual covenants and mutual promIses hereafter
exchanged, the parties hereto agree as follows:
1. ARTICLE 3. of the Contract, entitled Scope of Work, and Exhibit A thereto, are herein
amended to incorporate the proposal attached to this First Amendment as Exhibit A-I, to provide
the following:
a) Management and operation oftransit services for the Electrowave Shuttle project, during
FY 1999-2000.
b) Continue operating the existing route service in South Beach, plus its "enhanced"
portion, using eleven (11) Electrowave shuttle vehicles, as soon as they are available for
service. A map of the" enhanced" Electrowave route is herein attached as Exhibit B-1.
2. ARTICLE 6. Insurance, Sections c. and d. shall read as follows:
c. Automobile Liability Insurance on eleven (11) electric shuttle vehicles (leased to
Contractor by City, as set forth in Article 3.4). Contractor is required to produce
proof of coverage... The City agrees to compensate the Contractor the amount of
$59,320, such compensation being in addition to, and not a part ofthe Contract Price,
as set forth in Article 21. of this Amended Contract.
d. Physical Damage Insurance on eleven (11) electric shuttle vehicles, leased to
Contractor by City. ... The City agrees to compensate the Contractor the amount of
$27,680; such compensation being in addition to, and not a part ofthe Contract Price
(Article 21., herein).

the same eleven vehicles. The City shall have no obligation to pay the Contractor any sum in excess
