A RESOLUTION OF THE MAYOR AND CITY
COMMISSION APPROVING AND AUTHORIZING THE
MAYOR AND CITY CLERK TO EXECUTE AN
INTERLOCAL AGREEMENT AMONG THE CITY, DADE
COUNTY, THE CITY OF MIAMI AND THE DADE COUNTY
VISITOR INDUSTRY VOLUNTARY EDUCATIONAL
SERVICE TRAINING TRUST (VESTT) FOR CREATION
AND ADMINISTRATION OF A QUALITY SERVICES
TRAINING PROGRAM FOR VISITOR INDUSTRY
PERSONNEL IN THE DADE COUNTY AREA.
WHEREAS, the Voluntary Educational Service Training Trust (VESTT) was established
on October 7, 1994, for the purpose of creating and maintaining a public/private partnership for
sponsoring a quality service training program for personnel in the visitor industry in the Dade
County area; and
WHEREAS, the impetus for the VESTT program is in response to the desire of community
and business leaders to enhance services provided by the visitor industry in Dade County, in order
to foster tourism within the County; and
WHEREAS, the attached Interlocal Agreement (Agreement) has been created between
VESTT and its public partners, the City of Miami Beach, Dade County, and the City of Miami and
specifically sets forth the respective parties' contribution of funds, collection of fees, and
administrative support; and
WHEREAS, pursuant to the Agreement, the City of Miami Beach, commencing on October
1, 1995, will contribute an amount equal to the total funds contributed by tourist accommodations
located within its municipal boundary, said amount not exceeding the sum of fifty thousand dollars
($50,000);
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND THE CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA that the Mayor and the City
Commission herein approve and authorize the Mayor and City Clerk to execute the attached
Interlocal Agreement among the City, Dade County, the City of Miami and the Dade County Visitor
Industry Voluntary Educational Service Training Trust (VESTT) for creation and administration of
a quality services training program for visitor industry personnel in the Dade County area.

The Administration recommends that the City Commission approve the
Interlocal Agreement among Dade County, the City of Miami, the Dade
County Visitor Industry Voluntary Educational Service Training
Trust, and the City of Miami Beach. This Agreement relates to the
Dade County Visitor Industry Voluntary Educational Service Training
Trust (VESTT).
BACKGROUND:
VESTT is a county-wide, quality service, behavioral-training
program. It was specifically designed for visitor industry
personnel in the Dade County area. The instructors are
experienced, and qualified vendors are obtained through national
searches. This service will enhance the visitor industry and will
also foster tourism in Miami Beach.
VESTT was established as the principal monitoring body of the
program and is responsible for the following:
1. Implementing, monitoring, and using budgeted funds.
2. Submitting to the Board of County Commissioners the
annual budget, and planning the use of trust funds.

5. Awarding the Annual Certificate of Training Award for
each tourist accommodation participating in the Trust
program.
Each participating public agency and tourist accommodation will
provide financial support. The participating tourist accommodation
shall contribute $5.00 per room per year to the VESTT fund. The
City of Miami Beach, commencing on October 1, 1995, will contribute
an amount equal to the total funds contributed by tourist
accommodations located within its municipal boundaries. This
amount shall not exceed Fifty Thousand dollars ($50,000) per year.
This amount has been provided for in the 1995/1996 budget. The
City of Miami, commencing on October 1, 1995, shall contribute an
amount equal to the funds contributed by the tourist accommodations
located within its municipal boundaries for an amount not to exceed
Fifty Thousand dollars ($50,000) per year. Dade County, commencing
on October 1, 1995, shall contribute an amount equal to the sum of
the total contributions from tourist accommodations located within
its boundaries. This amount shall not exceed One Hundred Fifty
Thousand dollars ($150,000) per year.
All funds will be collected by Dade County and deposited in a trust
fund held and administered by Dade County. Dade County will retain
a three percent (3 % ) administrative support fee from all funds
collected.
The staff and administrative support for VESTT will be provided by
the four participating entities:
1. Participating tourist accommodations shall provide all
necessary meeting rooms for conducting on-site training
programs and meetings.

2. Dade County, the City of Miami, and the City of Miami
Beach will contribute an amount not to exceed Five
Thousand dollars ($5,000) per year.
3. The Greater Miami and Beaches Hotel Association shall
contribute an amount not to exceed Five Thousand dollars
($5,000) per year.
4. Dade County shall provide the necessary staff to fulfill
the functions of VESTT and shall be reimbursed by VESTT
for all expenses paid.
The terms of this Agreement will be from October 1, 1995 through
September 30, 1996. The Agreement shall automatically renew at the
end of each term for a period of one year, unless a participating
public agency submits a written notice stating otherwise.
On February 15, 1995, the City Commission approved the appointments
to VESTT. Attached for your information is the current list of all
VESTT appointments.

CONCLUSION:

DADE COUNTY VISITOR INDUSTRY VOLUNTARY EDUCATIONAL
SERVICE TRAINING TRUST
THIS INTERLOCAL AGREEMENT is made and executed as of this day
of ,1995, by and among DADE COUNTY, a political subdivision ofthe State of
Florida (the "County"), the CITY OF MIAMI BEACH, a municipal corporation organized
and existing under the laws ofthe State of Florida ("Miami Beach"), the CITY OF
MIAMI, a municipal corporation organized and existing under the laws of the State of
Florida ("Miami"), and the DADE COUNTY VISITOR INDUSTRY VOLUNTARY
EDUCATIONAL SERVICE TRAINING TRUST, ("the "Trust):
SECTION 1
Contract with the Trust.
SECTION 1.01
Trust mission statement.
The Dade County Visitor Industry Voluntary Educational Service Training Trust
shall have as its mission the enhancement of services provided by the visitor industry in
Dade County, in order to foster tourism within the County. Its foremost role shall be to
implement a permanent County-wide quality service behavioral training program for
personnel in the visitor industry designed specifically for the Dade County area and
conducted by experienced and qualified vendors obtained through a national search. In
addition, the overall plan of the Trust may include other programs that complement the

functions of the Trust as established by Dade County Ordinance 94-187, as it may be
amended from time to time.
SECTION 1.02 Trust Functions. Dade County, Miami Beach, and Miami (together
the "Participating Public Agencies" or individually the "Participating Public Agency")
hereby contract with the Trust for the performance by the Trust of the following visitor
industry training functions:
a) To serve in an advisory capacity to the Board of County
Commissioners with respect to all issues affecting or relating to
voluntary educational service training programs for personnel
in the visitor service industry;
b) To submit to the Board of County Commissioners an annual
budget and plan for use of the Voluntary Educational Service
Training Fund. The Trust Fund shall consist of all funds
collected from whatever sources for the purpose of creating
and administering educational service training programs for
personnel in the visitor industry and shall be administered by
the Trust pursuant to an adopted annual budget and plan.
The annual plan shall include specific annual goals and
objectives of the Trust and establish standards and criteria for
evaluating performance.
c) To design and implement a County-wide quality service
behavioral training program, including an annual Certificate

of Training award for each tourist accommodation
participating in the Trust's training program.
(d) To enter into contracts and grants from the Trust Fund to
organizations, entities and agencies pursuant to the approved
plan and to receive other such funds, grants and donations as
may be given to the Trust.
SECTION 1.03 Reports, Records. and Evaluation. The Trust agrees: (1) to provide
to each of the participating public agencies, within ninety (90) days after the end of each
fiscal year of the Trust, which shall be from October 1 through September 30, an annual
audited report covering the expenditure of public and private funds, prepared by an
independent certified public accountant, in accordance with generally accepted accounting
principles and practices consistently applied, such Accountant to be paid from Trust
Funds; (2) to prepare and submit to all participating public agencies, by October 31 of each
year of this Agreement, a copy of the Trust's budget for that fiscal year; (3) to permit any
participating public agency, at its own expense, to carry out monitoring and evaluation
activities of the performance of the Trust's functions in such manner as will effectively
ensure the cooperation of the Trust and its Board of Directors, including a review of the
Trust's success in meeting the goals, objectives and performance standards established by
the Trust's annual plan. Such inspection and monitoring shall not unreasonably impede or
interfere with the functions of the Trust, and such monitoring and evaluation activities may
include inspection of records of all expenditures from public and private funds; (4) to

provide to participating public agencies such reports as may be reasonably requested by
them; (5) to permit each participating public agency to conduct, at its own expense, a full
and detailed annual audit of the Trust's records to determine how the Trust utilized public
money contributed under this Agreement and to permit each Agency to conduct, at its own
expense, quarterly inspections of the Trust's records. Any such audits or inspections shall
be conducted in such manner and at such times so as not to interfere unreasonably with
the day-to-day operations of the Trust.
SECTION 1.04 Status of Trust as Independent Contractor: Indemnification. The
parties hereto understand and agree that the relationship of the Trust to each participating
public agency is that of an independent contractor. In carrying out its functions under this
Agreement, the Trust is not, nor shall it ever be construed as, the agent or representative of
any participating public agency, and this Agreement is not intended to establish a
partnership, a joint venture, or the relationship of principal and agent. The Trust shall
indemnify and hold harmless each participating public agency from any claims, suits,
demands of liability, of whatever nature, brought by others wherein any participating
public agency is made a party, through suit, claims, demands or otherwise, arising out of
any activity of the Trust under this Agreement. The Trust shall maintain the following
insurance:
A. Worker's Compensation Insurance for all employees of the Trust as required
by Florida Statute 440.

B. Public Liability Insurance on a comprehensive basis in an amount not less
than $300,000 combined single limit per occurrence for bodily injury and
property damage. Metropolitan Dade County, the City of Miami Beach and
the City of Miami shall be named as additional insureds with respect to this
coverage.
C. Automobile Liability Insurance covering all owned, non-owned, and hired
vehicles used in connection with the agreement, in an amount not less than
$300,000 combined single limit per occurrence for bodily injury and
property damage.
Policies or certificates of such insurance shall be available to any Participating Public
Agency if and when required and shall be paid fron Trust Funds.
SECTION 2 Funding
SECTION 2.01
Contributions from participating tourist accommodations
and from each participating public agency. The manner in which each participating
tourist accommodation and each participating public agency will provide financial support
for the purposes set forth in this Interlocal Agreement shall be as follows:

a) Each participating tourist accommodation shall contribute five
dollars ($5.00) per room per year to the Trust Fund. Such
contributions must be paid annually in full to the Trust by
January 1, or July 1, with a 30-day grace period.
b) The City of Miami Beach shall, commencing on October 1,
1995, contribute an amount equal to the total funds
contributed by tourist accommodations located within its
municipal boundaries; however, this amount shall not exceed
fifty thousand dollars ($50,000) per year.
c) The City of Miami shall, commencing on October 1, 1995,
contribute an amount equal to the total funds contributed by
tourist accommodations located within its municipal
boundaries; however, this amount shall not exceed fifty
thousand dollars ($50,000) per year.
d) Dade County shall, commencing on October 1, 1995,
contribute an amount equal to the sum of (i) the total
contributions by the other participating public agencies; (ii)
contributions from tourist accommodations located within the
boundaries of non- participating public agencies; and (iii)
contributions from tourist accommodations located within the
areas of unincorporated Dade County; however, this amount

shall not exceed one hundred and fifty thousand dollars
($150,000) per year.
e) Each participating jurisdiction and any other jurisdiction
joining in the future pursuant to the terms of this Agreement
shall deposit its share ofthe Trust Fund by October 1, 1995.
t) Upon execution of this Agreement by any local jurisdiction
other than the jurisdictions specifically named herein, the local
jurisdiction will contribute to the Trust Fund in the same
manner and upon the same terms as those mentioned herein
and subject to a $50,000 maximum contribution. Any
jurisdiction wishing to join the Trust subsequent to the initial
execution of this Agreement shall execute the Agreement and
shall deposit its contribution to the Trust Fund upon City
Commission approval. All parties expressly consent to the
addition of other jurisdictions to this Agreement upon these
terms.
SECTION 2.02 Collection of Funds. All funds from whatever source shall be
collected by Dade County and deposited in a Trust Fund held and administered by Dade
County. Dade County shall retain a three percent (3%) administrative support fee from all
funds collected, excluding funds contributed as listed in Section 2.03 of this Agreement.

SECTION 2.03 Staff and administrative support from the Trust and from
participating public agencies. The manner in which the Trust and each participating
public agency shall provide staff and administrative support for the purposes set forth in
this Agreement shall be as follows:
a) Participating tourist accommodations shall provide all
necessary meeting rooms and ancillary services and facilities
necessary for conducting on-site training programs.
b) The City Miami Beach shall contribute an amount not to
exceed $5,000 per year.
c) The City of Miami shall contribute an amount not to exceed
$5,000 per year.
d) Dade County shall contribute an amount not to exceed $5,000
per year.
e) Greater Miami and The Beaches Hotel Association shall
contribute an amount not to exceed $5,000 per year.
t) Dade County shall provide the staff necessary to fulfill the
functions of the Trust, for which expenses it shall be
reimbursed by the Trust from the funds provided for in
paragraphs b, c, d, and e above.
SECTION 3 Duration of This Agreement. The initial term of this Interlocal
Agreement shall be for a period commencing on the date first written above and

terminating on September 30, 1996. This Agreement shall thereafter stand automatically
renewed at the end of such term (and each successive term thereafter) for a period of one
year (October 1 - September 30), unless a participating public agency delivers to the Trust,
at least ninety days before the date such term expires, a written notice stating that said
party does not wish to renew the Agreement, with or without cause, in which event the
Agreement will terminate as of the end of the then current fiscal year, but this Agreement
shall remain in effect among the remaining parties, provided that any remaining agency
may exercise the termination provisions of this section within thirty days after receipt of
notice that one or more other parties have exercised the right to terminate.
SECTION 4 Goods and Services. The Trust shall procure goods and services on a
competitive basis and shall provide opportunities for African-American,
Hispanic-American, and women-owned businesses and services. The participating public
agencies acknowledge the Trust's full authority to spend funds according to the annual
budget and plan approved by the Board of County Commissioners.
SECTION 5 Notices. All notices, demands and requests which are given by the
parties shall be in writing and shall be deemed to be properly given if sent by United States
mail, postage prepaid, addressed as follows:

RECOMMENDATION
It is recommended that the Board approve the attached budget and plan of the Voluntary
Educational Service Training Trust, subject to subsequent fmal approval and execution of an
interlocal agreement for creation and administration of a quality service training program for
hotel employees.
BACKGROUND
At its July 18, 1995, meeting, the Voluntary Educational Service Training Trust (VESTT)
recommended approval of its plan (Attachment A) and budget (Attachment B), which is a
requirement of Ordinance 94-187.
VESTT was established on October 7, 1994, through the adoption of Dade County Ordinance
94-187 as an agency and instrumentality of Metropolitan Dade County (Attachment C). The
purpose of the Trust is to create and maintain a public/private partnership for sponsoring a
quality service training program for hotel employees. This governing body serves in an advisory
capacity to the Board of County Commissioners with respect to all issues affecting or relating to
service training programs for personnel in the visitor service industry. The impetus for the
program is in response to the desire of community and business leaders to change behavior and
enhance the visitor experience in Dade County.
Section 1, Subsection 3, Paragraph B of Ordinance 94-187 states in part that the Trust shall be
responsible for submitting to the Board of County Commissioners an annual budget and plan for
use of the Voluntary Educational Service Training Funds. Once the Trust's plan and budget are
approved and all agreements signed, the Trust will be able to issue a Request for Proposals to
establish the quality service training program for hotel employees.
An interlocal agreement has been created between the Trust and public partners, Metropolitan
Dade County, the City of Miami Beach, and the City of Miami. The agreement describes the

Trust's mission and objectives, and its responsibility to the public and private partners. It
discusses Metropolitan Dade County's contribution of funds, collection of fees, and
administrative support. Also, the agreement discusses the contributions and responsibilities of
the City of Miami, City of Miami Beach, and the Greater Miami and the Beaches Hotel
Association.
The interlocal agreement is scheduled for review by the City of Miami Beach's Commission at its
September meeting. After being approved by Miami Beach, the interlocal agreement will be
reviewed by the City of Miami Commission and finally by the Board of County Commissioners
for approval. The VESTI anticipates that other municipalities will participate in the partnership
as the program reaches out to all areas of the Greater Miami community.
Funding for the VESTT training program will come from the public and private sectors. The
hotel community has agreed to contribute $5 per room per year to the VESTT. Metropolitan
Dade County will match that contribution up to $150,000 per year with funding coming from the
general fund. The City of Miami Beach and the City of Miami will each match the contributions
up to $50,000 for hotels contributing within their municipalities. Hotels contributing to VESTT
in Metropolitan Dade County and participating municipalities will be matched twice up to their
government entity's self-imposed cap. Interested municipalities that participate at a later date
will match hotel'contributions in their respected municipalities up to their self-imposed cap. In
addition, the Trust partners (Dade County, the City of Miami Beach, and the City of Miami) and
the Greater Miami and the Beaches Hotel Association have agreed to each contribute $5,000 to
cover the annual expenses for the staff provided by the County, such as, support staff, finance
assistants, administrators, and attorneys.
In fiscal year 1995-96, the VESTI anticipates 15,000 out of a possible 50,000 hotel rooms
participating in the program. With public and private grants, corporate contributions, hotel
contributions, and public sector contributions, the VESTI projects $234,000 for a quality service
training program.

Voluntary Educational Service Training Trust (VESTT)
The Need
Enhancing the visitor experience in Dade County is a priority for the whole community. And
while that experience involves a wide variety of options, clearly "service" is the core issue that
has the most profound and lasting effect on the visitor, the industry and, consequently, the whole
community. Service is the tourism product and success is measured by the quality ofthe service
delivered. Industry leaders agree that the quality of service in Greater Miami needs to be greatly
enhanced and the perceptions changed.
The challenge is how to collectively make the Greater Miami area the most hospitable
destination--one that people talk about like Hawaii and other top service-friendly vacation
destinations.
That is why a group Qf tourism leaders, spearheaded by the Greater Miami and the Beaches Hotel
Association, created the impetus for a continuous and permanent community-wide quality
service training program that would change behavior and enhance the visitor experience. The
Voluntary Educational Service Training Trust (VESTT) was established to create and administer
this permanent training program for the visitor industry. While it is agreed that the effort should
be as broad as possible to effect all aspects of the industry including attractions, transportation,
retailers and others, the program begins with hotels since their service providers come in contact
with the most guests.

Organizational Structure
VESTT was created and established as an agency and instrumentality of Metropolitan Dade
County on October 7, 1994, through the adoption of Dade County Ordinance 94-187. The
purpose of the Trust is to establish and administer a permanent quality service, behavioral
training program for the hospitality industry throughout Dade County in partnership with the
private industry. This governing body serves in an advisory capacity to the Board of County
Commissioners (BOCC) with respect to all issues affecting or relating to service training
programs for personnel in the visitor service industry. The Trust must submit to the BOCC an
annual budget and plan for use of the VESIT fund. Once the plan is approved, the Trust is
permitted to enter into contracts and grants.
An interlocal agreement has been created between the Trust and public partners, Dade County,
the City of Miami Beach, and City of Miami. Other local governments will join the partnership
as the program reaches out to all areas of the Greater Miami community.
Composition
The Trust is made up of twenty-eight voting members and three nonvoting members. Fifteen
Trustees must be members of the visitor industry, all of whom must be owners or operators of
tourist accommodations in the Dade County. This group is nominated by the Greater Miami and
the Beaches Hotel Association and appointed by the BOCC. Eight Trustees, at least one of
whom is a member of organized labor and at least four of whom are othern-ise involved in the
tourist industry but not owners or operators of accommodations, are appointed by the BOCC.
Three Trustees are appointed by the City of Miami Beach and two by the City of Miami. Each of

the three ex officio, nonvoting Trustees are appointed by Metro Dade County, the City of\1iami
Beach, and the City of Miami.
Officers of the Trust
The offices of the Trust are Chairperson, Vice Chairperson, Secretaryrrreasurer, Partnership
Committee Chairperson, Partnership Committee Vice Chairperson, Proposal Committee
Chairperson, Proposal Committee Vice Chairperson, Finance Committee Chairperson, and
Finance Committee Vice Chairperson.
Committees
The Trust is made up of three committees: Proposal Committee, Partnership Committee, and
Finance Committee. Each committee has their own functions and responsibilities.
The function of the Proposal Committee is to develop ideas, processes, criteria, and Request for
Proposals (RFP). Also, the committee will work closely with the training vendor and the project
manager.
The Partnership Committee's function is to create a market strategy to increase hotel and other
municipality participation in the program. Also, the committee is responsible for public relations
between the participants, media, and community.
The Finance Committee prepares and oversees the budget process, selects audits, develops
bylaws and amendments to the ordinance, and develops additional funding sources in the private
and public sectors.

Staffing
The Trust will not operate with any full time staff. Funds contributed by the partners will go
directly into the training program to achieve maximum value. Metropolitan Dade County has
agreed to assign certain staff members on a part time basis to assist in the effort, as well as, act as
the "office" of the Trust. This includes attorneys, finance assistants and support staff as required.
The Trust partners (Dade County, the City of Miami Beach and the City of Miami) and the
Greater Miami and the Beaches Hotel Association have agreed to each contribute $5,000 to cover
the annual expenses for the staff provided by the County. In addition, the Hotel Association
president has volunteered to act as the program project manager under the supervision of the
Trust. He will be responsible for the coordination of the program with the selected training
company.
Financial and Corporate Partnerships
Financial Partnership
Core funding for the Trust comes from a partnership between the hotel industry and government.
The hotel community has agreed to contribute $5 per room per year to the Trust. Metropolitan
Dade County will match that contribution, dollar for dollar, up to $150,000 per year with funding
coming from the general fund. The City of Miami Beach and the City of Miami will each match
the hotel room contributions up to $50,000 for hotels contributing within their municipalities.
Hotels contributing to VESTT in Metropolitan Dade County and participating municipalities will
be matched twice up to their government entity's self-imposed cap.

During the organizational phase, 15,000 hotel rooms agreed to participate in the program. The
Partnership Committee of the Trust is actively contacting each of those properties and others to
secure commitments. The Trust adopted a budget targeting the initial 15,000 rooms citing the
need to be conservative at the outset. However, the Trust believes that the participation \\i11
reach 20,000 to 25,000, which represents approximately 50% of the total rooms in the COtmty.
The Trust will award a contract to the training company for $234,000 for the first year \\'ith
increments of $5,000 added as soon as additional funds are obtained. The 20,000 room
participation level would result in a $300,000 annual training contract. A third element of the
Trust's budget is income from public and private grants. It is believed that $25,000 can be
obtained annually although it requires additional time and expertise. Grant officials at the
County are researching the specifics.
Corporate Partnership
The American Society of Travel Agents (ASTA) has agreed to become a lead partner with the
Trust. AST A will issue official certification for each of the properties that successfully
participate in the training program. That certification will be included in correspondence and
printed materials that travel agents use to book business into Dade County. The Trust will print a
directory of certified properties that will be distributed to AST A members and others.
American Express has expressed a desire to offer employee incentives tied into the training, as
well as, participate in other ways. The Trust is seeking other partners to participate in sponsoring
the training program components that are not now included. This includes diversity training and
other possible modules of specific focus that are relevant to better serving visitors.

Progress
The final members of the Trust were appointed in March 1995. Since that time, the Trust has
had five (5) monthly meetings and:
o established the Finance, Proposal and Partnership Committee;
o adopted a budget;
o approved an interlocal agreement to be executed between the Trust, the
County, the City of Miami Beach and the City of Miami;
o approved a plan of action for the selection of a training vendor and the
beginning of the training program, and
o approved the Requests for Proposals that will be distributed to potential
training vendors.
The Training plan calls for:
o the issuance of a nationwide Request for Proposal by October 1, 1995 for a
training vendor;
o a pre-bid conference in mid October 1995;
o the selection of a vendor by mid November 1995, and
o training to begin mid February 1996.
In seeking a training company, the Trust has agreed to essentially state the challenge and
expectations and allow vendors to offer creative solutions on how to change behavior and
enhance service in our multicultural, multiethnic work force. This open approach will result in
more exciting, innovative and effective ideas instead of some of the more traditional ways of
addressing this issue and implementing a program.
National Impact
The Trust has received inquiries from many parts of the United States. Comments have been
made that this could be a unique partnership established as a model for other communities to
adopt. At the White House Conference on Tourism in October, the VESTT Program will be

Section 1.
Section ____of the Code of Metropolitan Dade
County, Florida, is hereby created to read as follows:
Sec. 1. Creation of the Dade County Visitor Industry
Voluntary Educational Service Training T~st.
There is hereby created and established as an agency and
instrumentality of Dade County a revocable trust which
shall be named and known as the Dade County Visitor
Industry Voluntary Educational Service Training Trust
"the Trust-). The Trust shall be a public body through
which its governing body may exercise all those powers
either specifically granted herein or necessary in the
exercise of the powers herein enumerated.
Sec. 2.
Governing Body.
A. The governing body of the Trust shall be a Board of
Trustees composed of twenty-eight (28) voting
members and three (3) non-voting ex officio members.
Upon execution by a local jurisdiction other th~n
the jurisdictions specifically named herein of the
intertocal agreement hereinafter described, one (1)
voting member from that jurisdiction shall be added
to the Trust. Upon the withdrawal of a local
jurisdiction from participation in such interlocal
agreement, the voting member representing that local
jurisdiction shall be removed from the Trust.
Trustees shall serve without compensation but shall
be entitled to reimbursement for necessary expenses
incurred in the discharge of their duties.
B. Composition. The voting membership of the Board of
Trustees shall ~ ethnically, racially and gender

County Commissioners;
(2) Eight (8) members, at least one of who. is a
member of orqanized labor and at least four of
,:,hom are otherwise involved in the tourist
1ndustry, and who have demonstrated an interest in
~ourist development, but who are not directly
1nvolved in the ownership or operation of tourist
accommodations, and who are not County
Commissioners, who shall be appointed by the Board
of County Commissioners;
(3) Three (3) mempers to be appointed by the City of
Miami Beach, and two (2) members to be appointed by
the City of Miami, all of whom shall be nominaced
and selected by their respective city commissions,
and who shall have demonstrated an interest in
tourist development, but who are not directly
involved in the ownership or operation of tourist
accommodations and who are not employees or Commis-
sioners of their respective municipalities; and
(4) One representative each from the professional
staff with responsibility for tourism issues from
each of the following:
a. City of Miami Beach;
b. City of Miami;
c. Metropolitan Dade County;
all of whom shall be ex officio, non-voting members.
(5) Members who fill positions created pursuant to
subsection (A) shall be nominated and selected by
the governing body of the local jurisdiction that
has executed the inter local agreement described
below.
Vacancies on the Board of Trustees shall be filled
in the same manner by which the original Trustees
were appointed.
The requirements of Section 2-11.38 of the Code ~f
Metropolitan Dade County, with respect to membershlp
on more than one County Board, shall not apply to
the Trust.

C. Tenure and removal of trustees. All voting
Trustees shall serve staggered terms of three (3)
years each; provided, however, of the original Board
of Trustees, the Trust shall select nine (9) for a
term of one (1) year. nine (9) for a term of two (2)
years, and ten (10) for a term of three (3) years.
No Trustees, with the exception of non-voting ex
officio Trustees, shall be permitted to serve more
than two (2) consecutive and complete terms of
three (3) years each unless so authorized by two-
thirds (2/3) vote of the full membership of the
Board of County Commissioners.
Trustees may be removed in accordance
provisions of Chapter 2-11.38 of the
Metropolitan Dade. County.
D. Qualifications. Except as provided by subsectiQ.n
(B) (5) above, each member of the Board of Trustees
must comply with requirements of Chapter 2-11.38 of
the Code of Metropolitan Dade County.

E. Organization and procedure.
1. Officers. The Board of Trustees sha~.l
organize after the members thereof have
qualified to serve and shall elect one (1) of
its members as chairperson and such other
officers as the Board of Trustees may
determine to be necessary. In addition, the
Board of Trustees shall make, adopt and amend
bylaws, rules and regulations for its own
governance.
2. Meetings. The Board of Trustees shall hold
regular meetings at least quarterly and such
other meetings as it deems necessary. A
majority of the voting members of the Trust
shall constitute a quorum. Minutes shall be
kept of all meetings of the Trust and all
.meetings shall be public.
3. Committees. The Trust shall appoint any
committees it deems necessary.
F. Applicability of County rules and procedures. The
Trust shall at all times operate under the Florida
Open Government laws, including the .Sunshine Law",
public meeting laws and public records laws and
shall be governed by all State and County conflict
of interest laws, as applicable, including the
Metropolitan Daq~oCounty Conflict of Interest and
Code of Ethics drQinance, Sec. 2-11.1 of the Code of
Metropolitan Dade County.

G. Voting requirements. Only those members specifi-
cally appointed and selected to serve as voting
Trustees may vote. Trustees may not designate or
appoint alternates to serve or vote on their behalf.
Sec. 3. Powers and duties of the Trust.
The Trust shall have the following powers, duties,
functions and responsibilities:
A. To serve in an advisory capacity to the Board of
County Commissioners with respect to all issues
affecting or relating to service training programs
for personnel in the visitor service industry;
B. To submit to the Board of County Commissioners an
annual budget and plan for use of the Voluntary
Educational Service Training Fund. The Trust ~ld
shall consist of all funds collected from whatever
sources for the purpose of creating and administer-
ing educational service training programs for
personnel in the visitor industry, and shall be
administered by the Trust pursuant to an adopted
annual budget and plan.
C. To enter into contracts and grants from the Trust
Fund to organizations, entities and agencies
providing services pursuant to the approved plan,
and to receive other such funds, grants and
donations as may be given to the Trust.
D. To submit annually to all participating
jurisdictions a report summarizing and evaluating
all programs and activities undertaken by the Trust
during the previous fiscal year. The report shall
include an audit and accounting, in accordance with
generally accepted accounting principles, of all
funds received and expended.
Sec. 4. Staff support.
The participating jurisdictions shall provide appro-
priate staff support to enable the Trust to carry
out its duties and responsibilities, in accordance
with interlocal agreements. The Visitor Industry
shall also provide appropriate support in accordance
with the interlocal agreement.
Sec. 5. Funding sources of the Trust Fund.
Initially the Trust Fund shall be established as

Section 2.
If any section, subsection, sentence, clause or
provision of this ordinance is held invalid, the remainder of this
ordinance shall not be affected by such invalidity.
Section 3.
It is the intention of the Board of County
Commissioners, and is hereby ordained that the provisions of this
ordinance shall become and be made a part of the code of
Metropolitan Dade County, Florida. The sections of this ordinance
may be renumbered or relettered to accomplish such intention, and
the word "ordinance. may be changed to .section,. "article"; or
other appropriate word.
Section 4.
This ordinance shall become effective then (lO)
days after the date of enactment.
