RESOLUTION NO. 83~17369
RESOLUTION OF THE CITY COMMISSION OF
THE CITY OF MIAMI BEACH, FLORIDA,
AUTHORIZING AND DIRECTING BOND COUNSEL
AND THE FINANCIAL ADVISOR TO PREPARE FOR
ISSUANCE AND SALE OF PARKING REVENUE BONDS;
AUTHORIZING PREPARATION AND DISTRIBUTION OF
OFFICIAL STATEMENT; AUTHORIZING PREPARATION
AND PUBLICATION OF NOTICE OF SALE OF BONDS;
AUTHORIZING RELATED ACTION; AND PROVIDING
AND EFFECTIVE DATE.
WHEREAS" the duly registered and qualified voters of
the City of Miami Beach, Florida (the "City"), have heretofore
authorized the issuance and sale by the City of $6,000,000
aggregate principal amount of Parking Revenue Bonds (the
"Bonds"); and
WHEREAS, the City Commission (the '''Commission") of
the City deems it in the best interest of the City that the
Bonds be issued for the purposes authorized.
NOW, THEREFORE, BE IT RESOLVED by the City Commission
of the City of Miami Beach, Florida:
Section 1: Morgan, Lewis & Bockius, Bond Counsel and
Dean, Witter, Reynolds, Inc., Financial Advisor, are hereby
authorized and directed to prepare all documents necessary for
the offering, issuance and sale of the Bonds.
Section 2: The Financial Advisor is authorized and
directed to prepare an Official Statement (the "Official
Statement") such statement to be in such form as may be
satisfactory to Bond Counsel, the City Manager, the Finance
Director and the City Attorney.
Section 3: The distribution and use of the Official
Statement in connection with the issuance and sale of the
Bonds, subject to the approvals hereinabove set forth, is
hereby authorized and approved.
Section 4: Bond Counsel and the Financial Advisor
are hereby authorized and directed to prepare, subject to the
approval of the City Attorney, a Notice of Sale for the Bonds
and the publication thereof in accordance with the applicable

provisions of the laws of the State of Florida and the City
Charter.
Section 5: The Financial Advisor, Bond Counsel and
the City Attorney are hereby authorized and directed to take
all such further action as may be necessary, including, inter
alia, the preparation of resolutions to be presented to the
Commission at the time of receipt of proposals for the purchase
of the Bonds; provided, however, that the final commitment of
the City in respect of the issuance and sale of the Bonds shall
not be deemed to have been given until approval of the terms of
the Bonds, by resolution, has been given by the Commission.
Section 6: This resolution shall ~ake effect
immediately.
PASSED AND ADOPTED THIS 1st day of June, 1983.
