A RESOLUTION OF THE MA YORAND CITY COMMISSION OF THE CITY OF MIAMI
BEACH, FLORIDA, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN
AGREEMENT WITH SIEMENS BUSINESS COMMUNICATIONS, IN THE AMOUNT OF
$208,993.01, FOR AN UPGRADE OF THE TWO (2) SIEMENS TELEPHONE SWITCHES
AT CITY HALL, 1700 CONVENTION CENTER DRIVE, AND THE POLICE FACILITY,
1100 WASHINGTON AVENUE; AND AUTHORIZING THE PURCHASE AND
INST ALLA TION OF A HICOM DOMAIN MODULAR SERVER (HDMS) MODULAR
SERVER TO INTEGRATE WITH THE SIEMENS TELEHONE SWITCHES WITHIN THE
POLICE DEPARTMENT.
WHEREAS, the City's Siemens telephone switches in the City Hall and Police Facility
require upgrading of both their hardware and software as well as a new server to integrate with the
server at Police Department; and
WHEREAS, the City considered a solution from the State of Florida telephone vendor,
Siemens Business Communications, which was found to be the best suited to the City's needs; and
WHEREAS, the proposal from Siemens Business Communications incorporates all the
specifications required by the City to facilitate a seamless upgrade for the telephone switches,
NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission herein approve and authorize the Mayor and City Clerk to execute an Agreement with
Siemens Business Communications, in the amount of $208,993,01, for upgrade ofthe City Hall and
Police Facility telephone switches, and purchase and installation of a new HDMS Modular Server
to integrate with the existing Siemens telephone switches at City Hall.

$208,993.01 Funding is available from the Internal Service Fund of the Information
Technology Department (Budget Account 550.1750.000674).
ANALYSIS
In November, 1995, the City purchased telephone switches from Siemens Business Communications
utilizing Florida State Contract # 730-650-90-1. The first phase of the implementation was a new
telephone system that serviced City Hall, 1700 Convention Center Drive. Subsequently, in
September, 1996, the City installed a second Siemens system at the Police Facility, HOO
Washington Avenue. After the initial installation, several remote shelves were installed throughout
the City to service Parks, Parking and Arts, Culture and Entertainment. Recently, the Convention
Center purchased a new Siemens telephone switch due to their being the lowest bidder. This brings
the total telephone switches in the City to three (3). In addition, a new remote shelf has been
approved for Fleet Management and Sanitation Departments.

Due to increases in City personnel, additional ity facilities requiring remote shelves, and software
enhancements, the two older switches at City all and the Police Facility now require upgrading,
The upgrade will bring the City Hall and Pol ce Facility switches to the same platform taking the
communication servers to the next generati n V6.6 software release level. This upgrade will
facilitate the seamless management of the switches with HDMS, enabling our Information
Technology Technicians to manage all Remote Shelves, City Hall and Police Facility communication
servers from one central location. Maintena e of the switches from one location will reduce the
amount of time Information Technology Te nicians travel from site to site to implement daily
changes. Since we have various communic tion tools, HDMS offers the city a single-point of
administration for the lllCOM Communic tion Servers along with PhoneMail and the Call
Accounting software.

The Information Technology Department so icited the assistance of the City's telephone switch
vendor, Siemens Business Communications, t upgrade the switches and to provide a cost-effective
solution. The Siemens Business Communica ons submitted a proposal to provide call management
capabilities and expansion of the Call Center t 150 Automated Call Distribution (ACD) Agents at
each facility. The telephone system upgrade ill efficiently facilitate answering external calls made
by our citizens. Various departments can e tablish ACD Groups that will match calls with an
available phone agent.

With this upgrade, the City of Miami Beach w 11 be positioned for Internet Protocol (IP) convergence
(voice over IP) while at the same time prot cting current infrastructure investments. The next
generation lllCOM 300 V6.6 utilizes external servers and client/server computing to allow the City
of Miami Beach to proceed at the pace that is best suited for its business needs. Solutions that are
consistent will be deployed within the City's me frame while adding incremental application value
and upgrades where necessary.
Future capabilities will focus on commun cation applications that are transInlSSlOn protocol
independent and utilize industry standard lient/server architectures. The City can optimize
duplicate voice and data networks, resulting in streamlined network management and significant cost
savings.
HiPath ProCenter Suite
The HiPath ProCenter Suite is comprised of t e Standard Suite and Advanced Suite. These software
products will allow the City's Contact Cen ers to leverage citizen interactions while increasing
employee and citizen loyalty and decreasing . ning and retention costs. HiPath ProCenter Standard
Suite and Advanced Suite are skill-based r uting applications that enable citizen interactions to
shape the enterprise. Unlike group-based applications, HiPath ProCenter Standard Suite and
Advanced Suite takes advantage of each agen 's unique skill set in order to put citizens in touch with
the most qualified representative immediatel , regardless of media type.

Utilizing the HiPath ProCenter Standard Suite and Advanced Suite will allow the City of Miami
Beach departments to establish ACD Groups which will match calls with an available phone agent.
The ACD will place calls into a sophisticated queuing system when all agents are busy. While
callers are waiting, information and instructional announcements encourage them to hold and
provide information that can improve processing of call efficiently. We can also give callers the
option to leave a Phone Mail message requesting call back. The ACD provides a sophisticated
method of call handling, reporting, and administration for the demanding requirements of today's
call centers. This ACD system is a state-of-the-art Microsoft Windows-based Graphical User
Interface (GUI) that provides a simple and intuitive way for performing ACD system administration
and historical reporting.
Enternrise- Wide Svstem Manal:ement
HDMS provides the ability to manage a network of HICOM 300 H communication servers from a
central location with a fast and easy-to-use GUI in a multi-user environment, and offers simultaneous
access to all HICOM Communications Servers from several client PCs. HDMS offers the City a
single point of administration for the HICOM Communication Servers located at City Hall and the
Police facility along with PhoneMail and Call Accounting software. All components are connected
via high performance Ethemetffoken Ring Local Area Network (LAN) connections.

CONCLUSION
It is recommended that a Purchase Order be issued to Siemens Business Communications, in the
amount of $208,993.01, for the City Hall and Police Facility Telephone Switch Upgrades and the
purchase and installation of the mCOM Domain Modular Server (HDMS) at City Hall. The
upgrades will enable the City to optimize and utilize industry standard client/server voice
architectures, resulting in streamlined network management and cost savings.

SITE SPECIFIC TERMS
For: City of Miami Beach - Police
This Schedule A, which contains proprietary Product, Services and pricing information, has been prepared for
the express purpose of allowing you to evaluate the information contained herein relating to the Product and
Services offerings of Siemens. Except as otherwise required by law, it may not be reproduced, used by or disclosed
to persons not employed or retained by you for the evaluation and implementation of this Schedule A without Siemens'
prior written consent.
The payment terms for this Schedule A are as follows: 75% of the Purchase Price, plus ali taxes and governmental
fees applicable to the total Purchase Price, are due on the delivery of the MAC Products to the Premises, and
the remaining 25% of the Purchase Price, pius transportation charges, are due within 30 days after the Instaliation
Date.
Should you elect to lease-finance the Products set forth on this Schedule A, Siemens must receive the fOliowing
paperwork no later than 30 days prior to the Cutover or Instaliation Date of the Products: (1) a Purchase Order
or similar document and a valid, properly executed Resale Exemption Certificate from your leasing company, and
(2) a properly executed Siemens Assignment of On-Order Products document. Siemens will not invoice you the applicable
taxes upon receipt of the aforementioned documents provided it receives them prior to the time frame specified
in the previous sentence. If Siemens does not receive the aforementioned leasing documentation by the time it
is required by contract to invoice you the applicable taxes, the order will be considered a "sales" transaction,
and you will be liable for such taxes to Siemens as Siemens is liable to pay such taxes to the applicable State.
Notwithstanding the foregoing, you are stili required to make the applicable progress payments to Siemens, or
arrange to have your leasing company to make such progress payments to Siemens, in accordance with the time frames
in the Schedule A (excludes leases transacted through the Siemens Equipment Finance Division of Siemens Financial
Services, Inc., formerly Siemens Credit Corporation).
In the event you fail to make any payments when due under the Schedule A or subsequent orders relating to the
Products, Siemens may immediately suspend performance until payment is received. If any amount due is not paid
in accordance with the specified terms, you agree to pay Siemens on demand, as a late charge, 1.5% per month,
limited by the maximum rate permitted by law, on such overdue amount. The late charge wili accrue from such
due date until such amount is paid.
Notwithstanding anything to the contrary in the Agreement, you are responsible for Product transportation charges
to your Premises for which Siemens wili invoice you at $.30 per pound based on the weight of the Product(s) shipped
to you.
The basic CS Software license charge set forth on this Schedule A is based on the "'Mred For Ports" capacity
referenced therein. Any increase in the "'Mred For Ports" capacity will require an additional licensing charge.

SITE SPECIFIC TERMS
For: City of Miami Beach Police
This Schedule A, which contains proprietary Product, Services and pricing information, has been prepared for
the express purpose of allowing you to evaluate the information contained herein relating to the Product and
Services offerings of Siemens. Except as otherwise required by law, it may not be reproduced, used by or disclosed
to persons not employed or retained by you for the evaluation and implementation of this Schedule A without Siemens'
prior written consent.
Should you elect to lease-finance the Products set forth on this Schedule A, Siemens must receive the following
paperwork no later than 30 days prior to the Cutover or Installation Date of the Products: (1) a Purchase Order
or similar document and a valid, properly executed Resale Exemption Certificate from your leasing company, and
(2) a properly executed Siemens Assignment of On-Order Products document. Siemens will not invoice you the applicable
taxes upon receipt of the aforementioned documents provided it receives them prior to the time frame specified
in the previous sentence. If Si?mens does not receive the aforementioned leasing documentation by the time it
is required by contract to invoice you the applicable taxes, the order will be considered a "sales" transaction,
and you will be iiable for such taxes to Siemens as Siemens is liable to pay such taxes to the applicable State.
Notwithstanding the foregoing, you are still required to make the applicable progress payments to Siemens, or
arrange to have your leasing company to make such progress payments to Siemens, in accordance with the time frames
in the Schedule A (excludes ieases transacted throu9h the Siemens Equipment Finance Division of Siemens Financial
Services, Inc., formerly Siemens Credit Corporation).
The payment terms for this Schedule A are as follows: 75% of the Purchase Price including, if applicable, the
Prepaid Maintenance Support Services Purchase Price, is due on or before the delivery of Products to the Premises,
and the remaining 25% of the Purchase Price is due within 30 days of the Cutover/lnstallationllmplementation
Date. Taxes and governmental fees applicable on 100% of the Purchase Price are due with the first payment, and
all transportation charges are due with the second payment.
In the event you fail to make any payments when due under the Schedule A or subsequent orders relating to the
Products, Siemens may immediately suspend performance until payment is received. If any amount due is not paid
in accordance with the specified terms, you agree to pay Siemens on demand, as a late charge, 1.5% per month,
limited by the maximum rate permitted by taw, on such overdue amount. The late charge will accrue from such
due date until such amount is paid.
Notwithstanding anything to the contrary in the Agreement, you are responsible for Product transportation charges
to your Premises for which Siemens will invoice you at $.30 per pound based on the weight of the Product(s) shipped
to you.
This contract only includes support services during the warranty period of the Products sold hereunder inasmuch
as you have elected not to enter into an agreement with Siemens for Maintenance Support Services beyond the warranty
period.
The prices in this Schedule A are preliminary prices pending a full site survey of the Premises. Final prices
will be provided only after completion of such a survey.

"Siemens Hicom 300 H CS".Wherever the name "FLEX" appears on a Schedule A, ICO or Supplement, it wiil be deemed
