2008-26858 ResoRESOLUTION NO. 2008-26858 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, ACCEPTING THE RECOMMENDATION OF THE CITY MANAGER, PURSUANT TO REQUEST FOR PROPOSALS (RFP) NO. 19-07/08, FOR THE LEASE OF THE FACILITY KNOWN AS "COLONY THEATRE CAFE" LOCATED AT 1040 LINCOLN ROAD; AUTHORIZING THE ADMINISTRATION TO ENTER INTO NEGOTIATIONS WITH COLONY THEATRE CAFE INC., D/B/A SEGAFREDO, AND SHOULD THE ADMINISTRATION NOT BE ABLE TO NEGOTIATE AN AGREEMENT WITH COLONY THEATRE CAFE, INC, AUTHORIZING THE ADMINISTRATION TO NEGOTIATE WITH THE SOUTH BEACH CAFE, LLC D/B/A TOUCH. WHEREAS, on February 13, 2008, the Mayor and City Commission approved the issuance of RFP No. 19-07/08, for the lease of the facility known as the "Colony Theatre Cafe" located at 1040 Lincoln Road, Miami Beach (the "RFP"); and WHEREAS, on February 14, 2008, the RFP was issued, and Bidnet and RFP Depot sent notices to more than 300 vendors; and WHEREAS, the Procurement Division also sent notices to more than 600 vendors who hold a City occupational license to operate as a restaurant and/or cafe, which resulted in the receipt of the following (5) proposals: • Colony Theatre Cafe, Inc., D/B/A Segafredo; • Apety Group, Inc., D/B/A Lavazza; • PF Management, Inc., D/B/A Olympia; • Jafar Shabani, D/B/A Fresh on Fifth; and • South Beach Cafe, LLC., D/B/A Touch; and WHEREAS, on May 13, 2008, the City Manager via Letter to Commission No. 054-2008, appointed an Evaluation Committee (the "Committee"); and WHEREAS, on May 15, 2008, the Administration was provided with a Fair Market Rent (FMR) Appraisal by Integra Realty Resources, for the proposed lease premises, consisting of the cafe/bar/storage and cafe concession/storage area within the Colony Theatre; and WHEREAS, based on Integra's appraisal analysis, the FMR, as of May 15, 2008, is as follows: Leasehold's Minimum Rent: Percentage Rent of Gross Income: Break even Point: (Natural Break) $106,900 per year ($100/SF); 5%; $2,138,000 of annual sales income $106,900 _ .05) = $2,138,000; and WHEREAS, the Committee convened on May 21, 2008, and was provided with background information by Ana Cecilia Velasco, Asset Manager; Max Sklar, Director of Tourism and Cultural Development; and Gary Farmer, Cultural Affairs Program Manager; and WHEREAS, Gus Lopez, Procurement Director, instructed the Committee to score and rank each proposal pursuant to the evaluation criteria established in the RFP; and WHEREAS, the Committee unanimously agreed to recommend South Beach Cafe, LLC., D/B/A Touch, as the top-ranked proposer, and Colony Theatre Cafe, Inc., D/B/A Segafredo, as the second -ranked proposer; and WHEREAS, the City Manager has conducted his own due diligence review of the proposals under the RFP and, based upon the conclusions, as further set forth in the City Manager's recommendation in the Commission Memorandum accompanying this item, hereby recommends that the Administration be authorized to negotiate with the Colony Theatre Cafe, inc. and, should negotiations with the Colony Theatre Cafe be unsuccessful, then authorizing the Administration to negotiate with South Beach Cafe, LLC, D/B.A Touch. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission hereby accept the recommendation of the City Manager, pursuant to Request for Proposals (RFP) No. 19-07/08, for the lease of the facility known as "Colony Theatre Cafe," located at 1040 Lincoln Road, and authorize the Administration to enter negotiations with the Colony Theatre Cafe Inc., D/B/A Segafredo; and should the Administration not be able to negotiate an agreement with the Colony Theatre Cafe Inc., D/B/A Segafredo, authorizing the Administration to negotiate with South Beach Cafe, LLC, D/B/A Touch. Item Summary/Recommendation: The current lease agreement with the Colony Theatre Cafe, originally a sublease to the South Florida Concert Association, expires on October 19, 2008, and does not provide for any renewal options. Therefore, on February 13, 2008, the Mayor and City Commission approved the issuance RFP No. 19-07/08, for the lease of the facility known as the "Colony Theatre Cafe" located at 1040 Lincoln Road, Miami Beach (the "RFP"). On May 13, 2008, the City Manager via Letter to Commission No. 054-2008, appointed an Evaluation Committee (the "Committee"). The Committee after listening to presentations from the six (6) proposers, and reviewing the scoring and the individual ranking for each proposer, voted unanimously and agreed to recommend Touch as the top-ranked proposer, and Segafredo as the second -ranked proposer. As part of the City Manager's Due Diligence, a review of the experience and past performance demonstrated a steady growth in revenues by Segafredo as opposed to a steady decline in Touch revenues, both being on Lincoln Road. Taking all things into consideration, including Experience, Operational Expertise, and Methodology and Approach as well as Financial strength and offer of the proposer, considerable weight should be given to the existing operation with proven experience The City Manager's recommendation is to set aside the recommendation of the Evaluation Committee and recommend that the Commission accept Segafredo as the top-ranked proposer and authorize the Administration to enter into negotiations with Segafredo. A May 2008 appraisal of the Colony Theatre Cafe for Fair Market Rent (FMR) and Fair Market Percentage of Gross Income (PG) demonstrated a value of $100 sq ft FMR and 5% PG. ANALYSIS On October 19, 1999, the Mayor and City Commission approved a sublease between the Concert Association and the Colony Cafe, Inc. for an initial period of six (6) years, a term which extended beyond the Concert Association's remaining Lease term. The initial term expired on October 19, 2005. On April 4, 2005, pursuant to Paragraph 43 of the sublease with Colony Cafe, Inc., the Colony Cafe notified the City of its intention to exercise its extension option and renew the Lease for an additional term of three (3) years under the same terms and conditions, with the exception of rent; rent was adjusted pursuant to Paragraph 5.1 of the Lease which provides for a sliding scale based on number of performances monthly and increased annually by CPI as follows: 1. 8 or more performances $4,000, currently $4,848.71; 2. 5 to 7 performances $2,500, currently $3,030.44; and 3. 0 to 5 performances $1,500, currently $1,818.27. In Fiscal Year 2007/2008, there was a minimum of 8 performances per month scheduled with the City consistently receiving the highest rent noted per scale (with the exception of 4 performances in August). RFP PROCESS At the January 10, 2008 meeting of the Finance and Citywide Projects Committee, the members voted positively to recommend that an RFP for the Cafe at the Colony Theatre be moved to the City Commission for consideration. On February 13, 2008, the Mayor and City Commission approved the issuance of RFP No. 19- 07/08, for the lease of the facility known as the "Colony Theatre Cafe" located at 1040 Lincoln Road, Miami Beach (the "RFP"). On February 14, 2008, the RFP was issued, and Bidnet and RFP Depot sent notices to more than 300 vendors. Lopez, Miami Beach Resident and President of South Florida Hispanic Chamber of Commerce; • Jim Nourse, Food and Beverage Director at Miami Beach Golf Club; • Carlos Seguera, Director of Food and Beverage for Centerplate; • Robert Wennett, Miami Beach Resident and President of UTA Management; and • Katie Yanke, CPA, Financial Analyst III, Finance Department. Mr. Wennett's disclosure questionnaire indicated that he and a principal of one of the proposers were on the Board of the Lincoln Road Marketing Association. In consultation with the City Attorney's Office, it was decided that Mr. Wennett should recuse himself from serving as Committee Member. FAIR MARKET RENT APPRAISAL On May 15, 2008, the Administration was provided with a Fair Market Rent (FMR) Appraisal by Integra Realty Resources, for the Cafe Bar/Storage and Cafe Concession/Storage Area within the Colony Theatre. Based on Integra's appraisal analysis, the Market Rent, as of May 15, 2008, is as follows: Commission Memo Re Colony Theatre Cafe RFP July 16, 2008 Page 3 of 8 Leasehold's Minimum Rent: $106,900 per year ($100/SF); Percentage Rent of Gross Income: Breakeven Point: (Natural Break) 5%; $2,138,000 of annual sales income $106,900 = .05) = $2,138,000 The concluded Market Rent for the subject space would be a minimum of $100 per square foot or $106,900 annually for the 1,069 square feet. EVALUATION PROCESS The Committee convened on May 21, 2008, and was provided with background information by Ana Cecilia Velasco, Asset Manager, Max Sklar, Director of Tourism and Cultural Development, and Gary Farmer, Cultural Affairs Program Manager. Gus Lopez, Procurement Director, instructed the Committee to score and rank each proposal pursuant to the evaluation criteria established in the RFP (as approved by the City Commission at its February 13 Commission meeting), which was as follows: A) Experience and qualifications: (percentage = 30%) • Experience and qualifications of the Proposer in high-quality food/beverage operations pertaining to concessions, bar services, cafes, including other similar services; • Experience and qualifications of the Proposer; • Management team's experience and qualifications; and • Past performance. B) Operational expertise and procedures: (percentage = 20%) • Staff training/manual procedures; • Approach to customer service and maintenance of quality standards; • Ability to provide back-up management expertise on short notice; • Cash control computer system and interfaces to be provided; and • Service Plan(s). C) Financial: (percentage = 25%) • Financial capability to perform the services outlined in the RFP, • Proposed rent by square footage paid to the City; and • Percentage of Gross (PG). D) Methodology and Approach: (percentage = 25%) • Methodology and approach relative to ensuring successful Cafe operations; • Business and Marketing plans as presented for both Cafe and concession services; and • Type of concept proposed. SEGAFREDO'S PROPOSAL Financial $100 per square foot, or four (4%) percent of gross sales, whichever is greater. The proposed rent is consistent with the appraisal for Fair Market Rent, and totals $106,900 annually. However the most recent financials for Segafredo, which is actual experience for the specific site, shows $4,525,000 in sales. This would equate to an annual payment to the City of $181,000 at their offer of 4% of percentage of gross. Experience Segafredo has been operating the Colony Theatre Cafe since June of 2000. The principals of Segafredo, Graziano Sbroggio and Mark Soyka, also currently own and operate several other successful restaurants and cafes throughout the City of Miami Beach and Miami -Dade County, including, but not limited to: Van Dyke Cafe, News Cafe, Tiramisu, Le Bon, Spris, Soykas and Andiamo. For more detailed information as to the past experience and qualifications of Segafedo and its principals, please see attached resumes. Segafredo has shown annual increases in sales at this location since 2004. Concept The Segafredo Zanetti Espresso brand became synonymous with Italian coffee shops. Segafredo at the Colony Theatre opened its doors in June 2000, as a new concept that which included an Italian "bar". Unlike the "bars" in the United States, an Italian bar features coffee as its main attribute. Segafredo opened as a coffee bar with light flare and few signature cocktails and boomed into an exciting location offering much more. Segafredo has proposed, food, beverages and an overall authentic Italian ambiance from European house music to the drink creations and light fare. Segafredo has proposed an "outdoor living room" which allows all of the comforts of home, while enjoying the outdoors and taking in the sights of Lincoln Road while sipping on a cocktail. Commission Memo Re Colony Theatre Cafe RFP July 16, 2008 Page 5 of 8 Segafredo's proposed menus are attached. The cocktail list includes familiar favorites as well as exotic concoctions. There are over one hundred alcoholic as well as non-alcoholic drinks to choose from. References Segafredo's received 8 favorable performance evaluation surveys, which rated their ability to provide high quality food and beverage operations; quality of menu items; level of satisfaction with customer service; and overall customer satisfaction and comfort level in hiring the vendor again. See attached survey results. TOUCH'S PROPOSAL Financial Touch proposed a monthly rent of $120 per square foot which is 20% higher than the Fair Market Rent (FMR) appraisal for the Colony Theatre Cafe. The total minimum rent, utilizing the $120 per square foot, is $128,2801 annually, which is $21,300 more than the FMR appraisal of $106,900/annually. Touch's percentage of gross sales (5%) is at the same FMR value. The City will determine at the end of each year if the percentage of the gross sales is greater than the minimum rent with any balance over minimum rent remitted to the City. Based on the sales projections provided by Touch to the City, the projected sales are $3.9 million annually, which would make their annual payment to the City at least $195,000. Scholarship Fund Contribution Touch has proposed a $20,000 scholarship contribution each year to students attending Miami Beach Schools. The annual Scholarship distribution will be at the sole discretion of the Mayor and City Commissioners. Experience Concessions: Touch has successfully operated numerous Concessions for such events as Fashion Week, Art Basel and the Sony Erickson Tennis Tournament. The concessions varied from just grab and go food concession to full sit down menus. Cafe: Touch's Management team has owned and operated the Boiler Room which was a Sports Bar/ Cafe on the campus of University of Colorado Denver for five (5) years. This establishment catered to the students of the University as well as the patrons of the movie theatre which was next door. Touch had indoor as well as outdoor seating (season permitting) and had very limited kitchen. The establishment did not have a hood in the kitchen so Touch had to create a menu that had extensive variety but could be accomplished in volume in spite of the limitations, which is similar to the existing conditions at the Colony Theatre Cafe. Additionally, Touch's management team was involved with the design, opening and operation of Illios Greek Cafe in Denver for three (3) years. This entity was a local cafe with indoor and outdoor seating (seasonal). The menu consisted of Tapas, regular entrees and wood oven pizzas, with a full alcohol and coffee and espresso bar. Catering: As a Catering company, Touch is geared towards the high market and has been responsible for numerous Green Room setups at special events where VIP's and/ or Actors/Entertainers were to be fed and catered to while awaiting to perform, or speak. Some of these individuals included: Commission Memo Re Colony Theatre Caf6 RFP July 16, 2008 Page 6 of 8 • Colin Powell • Vanessa Williams • Governor Crist • Various Senators and Congressman • Mikhail Barishnikov • Ludacris • Creed • Blondie Glatt Kosher Touch Caterina Touch has also proposed a kosher menu with the creation of Glatt Kosher Touch Catering, under supervision of the Kosher Miami. Included in Touch's response are proposed menus featuring a variety of items from local specialties to traditional favorites. For clients requiring customized solutions (i.e., kosher meals) Touch's chefs will design a menu specifically for their event requirements and personal preferences. David Tornek, Owner brings over 25 years of restaurant/catering company experience. His background covers restaurant and cafe ownership in a number of cities across the country. See attached resume. Sean Brasel, Executive Chef/Owner, background and experience makes the vision a reality in the quality of the food and catering services. His innovative menus also maintain the integrity of kosher dietary laws. See attached resume. Concept Touch has proposed to continue with the same Casual Cafe Lounge concept that currently exists at the Colony Theatre Cafe, and integrate the same principles from other successful operations. Touch's concept is a Euro -South Beach trend lounge with casual cafe environment. Specifically, a relaxed atmosphere which embraces Miami Beach's vibe. They propose to upgrade the food and ambiance, maintain mid-level pricing to promote high volume of sales, lounge music, a welcoming environment, and integrate fashion and art at the Colony Theatre. A sales staff from the Touch catering would assist the Colony Theatre to book events and shows. It the cafe is proposed to accommodate multiple markets of South Beach including local residents who would enjoy sitting and relaxing while taking a walk or ending work, and to tourists who look for venue to further fulfill their South Beach experience. Touch's menus are attached. References Touch received 21 favorable performance evaluation surveys, which rated their ability to provide high quality food and beverage operations; quality of menu items; level of satisfaction with customer service; and overall customer satisfaction and comfort level in hiring the vendor again. Commission Memo Re Colony Theatre Cafe RFP July 16, 2008 Page 7 of 8 CITY MANAGER'S DUE DILIGENCE Although the Evaluation Committee assessed each proposal based on the information provided, as part of the City Manager's due diligence additional information, in addition to the provided information, was requested from the proposers and reviewed yielding the following analysis: The pro -forma calculations for the premises as submitted by Touch Restaurant of annual gross revenues by the cafe under their management are projected to be between $3,900,000 and $4,680,000 which calculated at the proposed 5% percentage of gross would yield to the city $195,000 to $234,000 annually. A minimum rent of $120 per square foot was proposed however, the proposal was unclear as Touch also guaranteed the amount of $192,000 annually to the City. The calculation of $120 by the square footage of 1,069 square feet equals only $128,280, and thus the $192,000 figure appeared to be based on a different square footage number. The governing amount in their submitted proposal of $120 per square foot is the guaranteed minimum return which equals $128,280 annually. The actual proposal regarding rent and percentage of gross sales was written as follows: "We propose a comprehensive program that will result in a total guarantee return to the city of $576, 000 over the initial term of the contract — first 3 years. That's $192,000 per year or $120 per square foot. We are confident that our commission (5% of gross sales), and capital investment program (at least $200,000), for the City of Miami Beach, offers an aggressive and proactive approach to our financial partnership that will increase participation, drive profitability and enhance revenues beyond the minimum guarantee of $576,000." By comparison, Segafredo's financial offer of $100 per square foot or 4% of gross sales would equate to $181,000 annually utilizing Segafredo's current sales volume (although the minimum of $100 per square foot equates to $106,900). It is significant that this proposal is based on actual experience at the site as this represents true numbers. Since this is the current tenant, and a proven concept, I have a greater level of comfort that these numbers can be achieved versus projected numbers from other proposers. A review of the past three years of financial reports from Segafredo depicts a consistent economic gain from $3,401,428.07 in 2005 to $3,673,662.58 in 2006 and then a significant increase to $4,524,966.99 in 2007. By comparison, the financial indicators from Touch restaurant (also on Lincoln Road) demonstrate a consistent economic reduction from $6,224,253.00 in 2005 to $5,908,703.00 in 2006 and then to $5,716,305.00 in 2007. It is my practice to review the point ranking of any evaluation committee for point ratings that may inordinately skew the rankings or seem inconstant. In reviewing the results of the evaluation committee the point ranking between Segafredo and Touch were within a few points in all cases but one. By eliminating those evaluation results a more consistent evaluation was obtained which resulted in Touch at 478 points and Segafredo at 474 points. In taking all things into consideration, I am reminded that the Request for Proposals criteria approved by the City Commission directed us to consider a number of different aspects of a business in the evaluation of the best tenant. The dimensions of Experience, Operational Expertise, and Methodology and Approach all carried significant weight in the selection — as did the Financial strength and offer of the proposer. It is important that all of these dimensions be taken into consideration. Commission Memo Re Colony Theatre Caf6 RFP July 16, 2008 Page 8 of 8 As these are difficult economic times, considerable weight needs to be given to an existing operator with proven experience at the specific site, in this case the Colony Theatre Cafe. When I consider the evaluation criteria, the past and current performance of the current operation, in my evaluation, puts their proposal higher than the competitors. While I am reluctant to set aside the recommendation of the Evaluation Committee, I am more reluctant to recommend to the Commission that the City should put a thriving and proven viable business out of business and take a chance on an unproven concept of others. Given the proven performance of Segafredo, as demonstrated in their Proposal, I believe they are the most qualified proposer with the best Proposal. Notwithstanding the foregoing, the RFP states that the City has the right to negotiate the base rent and rent increase terms. Given the breadth of proposals seen, as well as the appraisal, I am recommending that the Commission accept Segafredo as the top-ranked proposer and authorize the Administration to enter into negotiations with Segafredo. One of Graziano's customers, Romano Fregonese, owner of Frizerga, an interior design and furnishing company in Italy, asked Graziano if he would consider moving to Miami Beach to operate a restaurant that the Fregonese family was looking to open. Out of the partnership of friends in Treviso, Italy, TiramesU Restaurant was born. TiramesU opened in 1988 on Ocean Drive in an area on the verge of renovation back to the original art deco architecture. TiramesU's is known for its dedication to quality and authentic Italian cuisine a trademark that set it apart from other Italian restaurants in America. TiramesU hires its chefs from one of the foremost culinary schools in Northern Italy, all pasta are made on the premises, and all sauces are not only traditional, but made from ingredients purchased fresh from the local markets. After nine years of operating at their Ocean Drive address, TiramesU closed for 7 months while their new location on Lincoln Road was renovated for it's re -opening in December 1997. The move allowed for a larger kitchen to be built, allowing Graziano to add a variety of main courses not possible at their former location due to space restrictions. In October 1998, after the renewed success of TiramesU, Graziano decided to open SPRIS "La Pizzeria del TiramesU" at 731 Lincoln Road, just two doors down from TiramesU. Although the two restaurants share the same ownership, there are distinct differences between the two. TiramesU is more formal with white tablecloths, fully licensed, expansive menu and subtle lighting. SPRIS' offers a large variety of pizzas and specialty sandwiches along with a selection of beers and wines. The atmosphere at SPRIS is casual, the service efficient and SPRIS all at very reasonable prices. SPRIS recently was nominated as the "Best Pizza" in the Best of Miami contest conducted by "The New Times", as well as "Best Pizza" in the Best of South Florida contest by Miami Metro Magazine, and took 3rd place for "Best Cuisine" in one of the recent running of Taste of the Beach. Along with the catering of many events, TiramesU was awarded the catering contract for the Italian Marble and Tile Show held in the Italian Pavilion in Orlando, FL, which serves about two thousand people daily and runs for four days. TiramesU has catered this event for the past 8 years. Because of the success of the catering business mostly at the Design District store openings and different kinds of events, in 2003 Graziano created a new entity called Spuntino that caters to small functions as well as major events such as the New Alliance Art Show that was part of Art Basel in 2004. Graziano was the first to offer Segafredo coffee in the Miami area. Due to the close business relationship with Segafredo's owner Massimo Zanetti, Graziano approached them with the idea of opening a Segafredo Boutique in Miami Beach. Teaming his efforts with co-owner Mark Soyka, of News Cafe fame, Segafredo Espresso opened on June 10`h, 2000. The cafe is located adjacent to the Colony Theater.
