96-22058 RESO RESOLUTION NO. 96-22058 A RESOLUTION OF THE MAYOR AND THE CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, REJECTING THE ONE PROPOSAL RECEIVED PURSUANT TO RFP NO. 103-95/96; WAIVING THE COMPETITIVE BIDDING REQUIREMENT BY A 517THS VOTE AND AUTHORIZING THE MAYOR AND THE CITY CLERK TO EXECUTE A FIRST AMENDMENT TO THE CONTRACT BETWEEN THE CITY OF MIAMI BEACH AND BURROUGHS AND ROCKHILL, INC. PROVIDING FOR ASSESSMENT CENTER DEVELOPMENT AND VALIDATION FOR SERGEANT OF POLICE AND LIEUTENANT OF POLICE; SAID AMENDMENT EXPANDING THE CONTRACT TO INCLUDE ASSESSMENT CENTER-TYPE TEST DEVELOPMENT AND VALIDATION FOR POLICE OFFICER/TRAINEE FOR $37,000. WHEREAS, the final Consent Decree, entered by the Federal District Court between the Department of Justice (DOJ) and the City of Miami Beach, prohibits continued use of the City's previous test for Police Officer/Trainee and allows the City to develop alternative validated selection procedures; and WHEREAS, the Consent Decree requires that new selection procedures for Police Officer/Trainee must be developed in conjunction with the DOJ and are subject to DOJ approval; and WHEREAS, the DOl had no objections to the City's Request For Proposals (RFP) for examination development and validation; and WHEREAS, the City retains the ultimate responsibility for the development and administration of lawful examinations for entry-level Police Officer/Trainees; and WHEREAS, the City issued RFP NO.1 03-95/96 to solicit proposals for Assessment Center development and validation for Police Officer/Trainee; and WHEREAS, there was only one proposal submitted in response to the RFP; and WHEREAS, the one and only response received has been rejected as not being in the best interest of the City because the Proposer would not give the City the copyrights for the products of the project contrary to requirements in the RFP; Proposer did not submit the required "Proposal Page" and "Declaration" page; Proposer did not give required price breakdown and discounts if the City performed some of the tasks covered by the RFP; and WHEREAS, the Administration would recommend that the Mayor and the City Commission reject the aforestated proposal; and WHEREAS, Burroughs & Rockhill, Inc. (Consultant) has agreed to develop and validate an Assessment Center-type test for the City of Miami Beach Police Officer/Trainee; and WHEREAS, the Consultant is considered to be an expert and has extensive experience in developing, and validating Assessment Centers for uniformed positions, including Police; and WHEREAS, through a separate competitive bidding processes, the Consultant was the top- ranked proposer and the Mayor and the City Commission authorized the execution of a Professional Service Agreement with the Consultant, on October 25, 1995, for Assessment Center development and validation for Sergeant and Lieutenant of Police, and on June 19, 1996, for Fire Lieutenant and Captain; and WHEREAS, the Consultant is therefore familiar with City procedures and the Police Department; and WHEREAS, the performance of job analysis and test development and validation will be in accordance with the Consent Decree and will help insure the administration of fair job-related selection procedures, to select a diverse group of the most qualified Police Officer/Trainees and help protect the City against litigation under Title VII of the Civil Rights Act; and WHEREAS, the Mayor and the City Commission wish to expedite the development, administration, and validation of the Permanent Hiring Procedures for Police Officer/Trainee, of which an Assessment Center-type test is an integral part; and WHEREAS, the Administration would therefore recommend that the Mayor and City Commission herein waive the competitive bidding requirement finding such waiver to be in the best interest of the City and authorize the Mayor and City Clerk to execute the attached First Amendment to the existing contract between the City and the Consultant. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and the City Commission hereby reject the one proposal received pursuant to RFP NO. 103-95/96; waive the competitive bidding requirement by a 517ths vote, finding such waiver to be in the best interest of the City; and authorize the Mayor and City Clerk to execute the attached First Amendment to the Contract between the City and Burroughs & Rockhill, Inc.; said Amendment expanding the Contract to include development and validation of an Assessment Center-type test for Police Officer/ Trainee, in consideration for an amount not to exceed $37,000. CONTRACT AMOUNT AND FUNDING: $37,000 for Assessment Center-type test development and validation. Funds are available from the Police Department's Professional Services budget. BACKGROUND: The final Consent Decree, entered by the Federal District Court between the City of Miami Beach and the United States Department of Justice (DOJ), prohibits continued use of the City's previous test for Police Officer/Trainee and allows the City to develop alternative validated selection procedures. The Consent Decree requires that new selection procedures be developed in conjunction with DOJ, and they must approve the method of validation used. On May 20, 1996, the City issued notices [Request For Proposals ("RFP") No. 103-95/96] to 16 professional test development fIrms to develop, administer, and validate an Assessment Center under the Consent Decree for Police Officer/Trainee. By the June 11, 1996-deadline, there was one proposal submitted in response to the RFP, that of Morris & McDaniel, Inc. ("Proposer"). AGENDA ITEM~ DATE l-Il-q t.o PAGE TWO It is recommended that the proposal submitted by the Proposer be rejected for reasons that include, but are not limited to, the following: 1. RFP stated the successful proposer would "give title of Assessment Center and all exercises to be used by the City in any manner without any additional charge". ---- Proposer states, "The copyrights for all training program material and all selection procedures developed . . . report forms, etc., will be retained by Morris & McDaniel, Inc. ... Any and all changes to these materials must be approved in advance by Morris & McDaniel, Inc." 2. Proposer did not complete and submit the required "Proposal Page" and the required "Declaration" page included in the RFP (a routine part of all RFPs) 3. RFP required proposer to itemize the discounts the City would receive ifit performed any combination of tasks from a specific list of tasks covered by the RFP. ---- Proposer did not give any discounts if the City decides to perform any or all ofthe specified tasks. Proposer also did not include a per candidate price in addition to the base price. ANALYSIS: Rather than delay this crucial project by taking the time to prepare and issue another RFP to solicit more proposals, it is recommended that the City expand the contract of a previous successfully used consultant to provide these services. Through competitive bidding procedures, the City has previously entered into Professional Service Agreements with Burroughs and Rockhill as top-ranked proposer. On October 25, 1995, the City contracted with Burroughs and Rockhill for Assessment Center Development and Validation for the Sergeant and Lieutenant of Police classifications and, on June 19, 1996, for the Fire Lieutenant and Captain classifications. Per the attached Agreement, between the City and Burroughs and Rockhill, Inc., the work to be completed under this Agreement will be conducted in accordance with the provisions of the Consent Decree and will help insure the administration of fair job-related selection procedures to select a diverse group of the most qualified Police Officer/Trainees, and help protect the City against litigation under Federal law, especially Title VII of the Civil Rights Act. All work will be performed in compliance with all Federal, state, and local laws, regulations, and guidelines, including, but not limited to, the EEO Uniform Guidelines on Employee Selection Procedures and the Americans with Disabilities Act (ADA). As noted above, Burroughs and Rockhill, Inc. has completed significant projects for the City of Miami Beach in the past. This Consultant has extensive experience in this field and as well as experience with the City of Miami Beach and its Police Department. In order to contain the costs of test administration, the City will be working with the Consultant to develop the most cost effective quality test possible. PAGE THREE CONCLUSION: It is recommended that the Mayor and the City Commission reject the one proposal response to RFP No. 103-95/96, waive the competitive bidding process, and authorize the Mayor and the City Clerk to execute the attached First Amendment to the Professional Services Agreement with Burroughs and Rockhill, Inc. This Amendment will expand the Contract to include Police Officer/Trainee Assessment Center-type test development and validation for $37,000. GOAL The purpose of the project is to comply with terms of the Consent Decree (Attachment A) entered into with the Department of Justice by performing the following functions: develop and administer a fair, valid, defensible, customized assessment center; provide and train role players and assessors; score and analyze the results of the selection procedure; respond to applicant challenges; establish cutting points; produce an ordered register of results; and validate the selection process. These services will be conducted in a valid, reliable manner consistent with sound, currently accepted professional and legal methodologies. The above services will be provided for the entry-level sworn Police Officer/Trainee classification. The experience of the firm and of the individuals shall include performing such selection device services for entry-level professional sworn law enforcement classifications. All aspects of the project will be completed in a manner which complies with the terms of the Consent Decree and which meet with the approval of the Department of Justice and the court and in coordination with the City's primary consultant. The results of this process will be utilized in conjunction with other selection procedures by the City to select the most qualified and suitable individuals for entry level Police Officer/Trainees. Currently the City is budgeted for approximately 300 Police Officer/Trainees. Since the City entered into the Consent Decree, it has been working with the Department of Justice (DOJ) to perform a job analysis and develop and validate a permanent selection process for the Police Officer/Traineet classification. During this time, the DOJ has approved three interim hiring programs so that the City can fill its Police Officer/Trainee hiring needs in the meantime. Attachment C is a brief outline of these three programs. The number of applicants are for the proposer's guidance only and no guarantee is given or implied as to the actual number of individuals to whom services may be provided. Research and investigate to insure that all assessment exercises, procedures, results, and interpretations are valid, reliable, cross- cultural, and legally defensible for the purposes used 6. Submit a report summarizing and evaluating Assessment Center results through descriptive statistics, including an analysis by ethnicity/race, gender, and age showing adverse impact, if any, of each exercise and of entire Assessment Center and giving recommendations for future reduction of any adverse impact 7. Provide written material and training to City personnel to facilitate use of the assessment center, its results, and its reports 8. Coordinate work in a cooperative effort with the primary consultant to ensure a legally defensible, technically sound final product 9. Conduct meetings with City at times and places convenient to the City (especially Police Department employees) which may include late at night (for midnight shift) and weekends. Task F - Work with primary co'nsultant to document that the procedure used to combine Written Test and Assessment Center scores is valid and meets all required criteria IV. COORDINA TION WITH OTHER PROJECTS The City has already contracted with a primary consultant to perform job analysis, revise the job specifications, develop all fair, valid, defensible, customized selection procedures for the evaluation of Police Officer/Trainee candidates including but not limited to minimum qualifications; any written, physical, or other testes) (except assessment center); interview process; background process; psychological; etc. The successful proposer under this RFP will coordinate and cooperate with the primary consultant to ensure a valid, legally defensible, technically sound overall product. Provide copies of the job analysis upon completion and other information needed to complete this project B. At the Consultant's request, coordinate subject matter expert and other meetings involving City employees, coordinate distribution and return of employee questionnaires, and contact candidates regarding scheduling. II. FROPOSAL SUBMISSION REOUIREMENTS Qualified firms interested in providing the services described above are invited to submit a complete proposal for consideration. The proposal shall address how the proposer intends to meet the requirements of all items listed under "Description of Services", those listed in the Proposal Questionnaire, and those listed below. Non-compliance with the list of requested items will be sufficient cause for non-acceptance of the proposal. The City also reserves the right to reject any and all proposals. Awards will be based upon the criteria provided in this entire request and will be made to respondents whose proposals are deemed by the City to be the most beneficial to the City and to its employees after all factors are considered. I. GENERAL REOUIREMENTS A. Identification of all staff members of the firm who will perform any work related to the proposed services, the tasks each will perform, and the experience, qualifications, and licenses of each; include any other data which would be pertinent in meeting the City's need for the proposed services B. Identification of all sub-consultants and other assistants who are to participate in the services including the respective tasks they are to perform and their experience, qualifications, and licenses C. Supporting statements indicating the firm is an Equal Opportunity Employer D. Each proposer is required to provide a lump sum fee, subject to negotiation by the City, which includes all fees, expenses, and/or payments to the firm during the contract for requested services including, but not limited to, the cost of all individuals to participate in or support the services; typing; printing; copying; phone calls; and all other costs and out-of-pocket expenses incidental to providing these services. E. Ability and plan to coordinate services with the City, primary consultant, and Department of Justice to assure effectiveness of services and efficiency of project completion. F. Identification of Federal, state, and local laws, regulations, and guidelines and professional industry standards which will be taken into consideration in performing the services and what procedures will be employed to ensure adherence G. A V AILABILITY OF FUNDS The obligations of the City of Miami Beach under this award are subject to the availability of funds lawfully appropriated for its purpose by the State of Florida and the City Commission. A WARD CHALLENGE All costs accruing from a proposal or an award challenged as to quality, (tests, etc.) shall be assumed by the challenger. All proposal challenges are to be in writing and filed with the Purchasing Agent. The Purchasing Agent will notify challenger of the cost and time necessary for a written reply to the challenger. CONFLICT OF INTEREST The award hereunder is subject to Provisions of State Statutes and City Ordinances. EXPENSES INCURRED IN PREPARING PROPOSAL The City accepts no responsibility for any expenses incurred in the proposal, preparation, and presentation, such expenses to be borne exclusively by the bidders. INDEMNIFICA TION The successful proposer shall agree to indemnify and hold harmless, the City of Miami Beach and its officers, employees and agents, from and against any and all actions, claims, liabilities, losses and expenses, including but not limited to, attorneys' fees, for personal, economic or bodily injury, wrongful death, loss of or damage to property, in law or in equity, which may arise or be alleged to have arisen from the negligent acts or omission or other wrongful conduct of the Consultant, employees, or agents in connection with the Consultant's performance of service pursuant to the Agreement; and to that extent, the Consultant shall pay all such claims and losses and shall pay all such costs and judgements which may issue from any lawsuit arising from such claims and losses, and shall pay all costs and attorneys' fees expended by the City in the defense of such claims and losses, including appeals. The parties shall agree that one percent (1 %) of the total Compensation to the Consultant for performance of this Agreement is the specific consideration from the City to the Consultant for the Consultant's Indemnity Agreement. The Consultant's obligation shall not include the obligation to indemnify the City of Miami Beach and its officers, employees and agents, from and against any actions or claims which arise or are alleged to have arisen from negligent acts or omissions or other wrongful conduct of the City and its officers, employees and agents. The parties shall agree to give the other party prompt notice of any claim coming to its knowledge that in any way directly or indirectly affects the other party. '-IN~1Jl<A"Nt""E RE'OUlREMENTS The successful bidder/contractor will be required to maintain in full force and effect for the duration olUle contract a policy of professional liability covering the services and activities required in this contract. The Consultant shall not commence any work pursuant to this Agreement until all insurance required has been obtained and such insurance has been approved by the City's Risk Manager. The Consultant shall maintain and carry in full force during the term of the Agreement and throughout the duration of this project the following insurance: 1. Consultant Professional Liability in the amount of $1,000,000.00 per occurrence with a deductible not to exceed $25,000 per occurrence. For a claims made policy, the Consultant agrees to carry four (4) years tail coverage after work is completed, or maintain a comparable policy for four (4) years, provided that such comparable policy shall include coverage for prior acts effective from the date of execution of the Agreement. A certified copy of the Consultant's (and any subconsultants') Insurance Policy must be filed and approved by the Risk Manager prior to commencement. 2. Workers Compensation & Employers Liability as required per Florida statutes. 3. Thirty (30) days written notice of cancellation or substantial modification in the insurance coverage must be given to the City by the Consultant and his insurance company. 4. The insurance must be furnished by insurance companies authorized to do business in the State of Florida and approved by the City's Risk Manager. 5. Original certificates of insurance for the above coverage must be submitted to the City's Risk Manager for approval prior to any work commencing. These certificates will be kept on file in the office of the Risk Manager. Upon each anniversary or expiration of the policy, a new certification and policy must be presented to the Risk Manager. 6. The Consultant is responsible for obtaining and submitting all insurance certificates for their Consultants. All insurance policies must be issued by companies authorized to do business under the laws of the State of Florida. The companies must be rated no less than "B+" as to management and not less than "Class VI" as to strength by the latest edition of Best's Insurance Guide, published in the latest edition of AM. Best Company, Oldwick, New Jersey, or its equivalent, subject to the approval of the City's Risk Manager. Compliance with the foregoing requirements shall not relieve the Consultant of the liabilities and obligations under any portion of the Agreement, and the City shall have the right to obtain from the RFP NO: 103-95/96 DATE: 5/17/96 CITY OF MIAMI BEACH 22 Consultant specimen copies of the insurance policies in the event that submitted certificates "of insurance are inadequate to ascertain compliance with required coverage. All of Consultant's certificates, above, shall contain endorsements providing that written notice shall be given to the City at least thirty (30) days prior to termination, cancellation or reduction in coverage in the policy. Unless directed by the City otherwise, the Consultant shall not commence any services pursuant to this Agreement until the City has received and approved, in writing, certificates of insurance showing that these requirements (in their entirety) have been met and provided for. Alternate coverage or any changes to these requirements which may be necessary will be determined by and are subject to prior approval of the City Manager and/or his/her designee. Insurance requirements are subject to change. LATE PROPOSAL REJECTION The City of Miami Beach or the Purchasing Agent is not responsible for the delivery of any bid proposal. All bid proposals received by the Purchasing Agent after the time stated in the Request for Proposals, shall be returned unopened and will not be considered for award. LAWS AND REGULATIONS It shall be understood and agreed that any and all services, materials and equipment shall comply fully with all local, state and Federal laws, ordinances, codes, and regulations and acceptable professional industry standards applicable to the services contemplated herein. This shall include, but not be limited to, the Americans with Disabilities Act, Title VII of the Civil Rights Act, the EEOC Uniform Guidelines, all other EEO regulations and guidelines, and American Psychological Association guidelines. Proposers are expected to be familiar with all local, state, and F ederallaws, ordinances, codes, rules, and regulations that may in any way affect the services contemplated herein. Ignorance on the part of the proposer will in no way relieve it from responsibility. The successful proposer shall remain up to date regarding the above regulatory information and shall advise the City of any modification or additions needed in the services provided. The successful proposer shall exercise that degree of skill, care, efficiency, and diligence normally exercised by recognized professionals with respect to the performance of comparable services. PROJECT MANAGEMENT The Consultant shall appoint a qualified individual acceptable to the City to serve as Project Manager for the services who shall be fully responsible for the day-to-day activities under this Agreement, and who shall serve as the primary contact for the City's Project Coordinator. PROPOSAL CERTIFICATION Submission of a signed proposal is proposer's certification that the proposer will accept any awards made as a result of said submission at the prices and terms contained therein. The prices quoted in the proposal shall remain in effect for at least 120 days. PROPOSER RESPONSIBILITY Before submitting proposal, each proposer shal) make all investigations and examinations necessary to ascertain all conditions and requirements affecting the full performance of the contract. Before submitting his proposal each proposer shall make all investigations and examinations necessary to ascertain and verify any and all representations made by the City that the proposer will rely upon. No pleas of ignorance of such conditions and requirements resulting from failure to make such investigations and examinations will relieve the successful firm from any obligation to comply in every detail with all provisions and requirements of the contract documents or will be accepted as a basis for any claim whatsoever for any monetary consideration on the part of the contractor. PUBLIC ENTITY CRIMES Proposers shall complete State of Florida Form PUR 7068, Sworn Statement under Section 287.133(3) (a) Florida Statute on Public Entity Crimes. RELATION OF CITY It is the intent of the parties hereto that the successful firm shall be legally considered as an independent contractor and that neither he/she nor his/her employees shall, under any circumstances, be considered servants or agents of the City, and that the City shall be at no time legally responsible for any negligence on the part of said successful bidder, his/her servants, or agents, resulting in either bodily or personal injury or property damage to any individual, firm, or corporation. However, in submitting their proposals, proposers are representing that the personnel described in their proposals shall be available to perform the services described, barring illness, accident, or other unforeseeable events of a similar nature. Any changes in the personnel to be performing the proposed services and any changes in the specific tasks each individual will perform must be approved by the City in writing. This requirement is in effect upon submission of proposal and shall remain in effect during term of contract SANCTIONS FOR NONCOMPLIANCE WITH NONDISCRIMINATION PROVISIONS In the event of the Consultant's noncompliance with the nondiscrimination provisions of the Agreement, the City shall impose such Agreement Sanctions as the City or the State of Florida may determine to be appropriate, including but not li~ited to withholding of payments to the Consultant under the Agreement until the Consultant complies and/or cancellation, termination or suspension of the Services, in whole or in part. SOLE PROPERTY The successful proposer will be prohibited from publishing or releasing any information related to the requested services without the prior written permission of the City. TERMINATION The City may cancel the ensuing contract at any time without stated cause by giving the other party thirty (30) days prior written notice. TERMINATION FOR DEFAULT If through any cause within the reasonable control of the Consultant, the Consultant shall fail to fulfill in a timely manner, or otherwise violate any of the covenants, agreements, or stipulations material to the Agreement, the City shall thereupon have the right to terminate the Services then remaining to be performed by giving written notice to the Consultant of such termination which shall become effective upon receipt by the Consultant of the written termination notice. In that event, all finished and unfinished documents, data, studies, surveys, drawings, maps, models, photographs, reports and other work products prepared by the Consultant and its subcontractors shall be properly delivered to the City and the City shall compensate the Consultant in accordance with the Agreement for all Services performed by the Consultant prior to Termination. Notwithstanding the above, the Consultant shall not be relieved of liability to the City for damages sustained by the City by virtue of any breach of the Agreemept by the Consultant and the City may reasonably withhold payments to the Consultant for the pulposes of set off until such time as the exact amount of damages due the City from the Consultant is determined. TERMINATION FOR CONVENIENCE OF CITY The City may, for its convenience, terminate the Services then remaining to be performed at any time without stated cause by giving written notice to Consultant of such termination, which shall become effective seven (7) days following receipt by Consultant of the written termination notice. In that event, all finished or unfinished documents and other materials shall be properly delivered to the City. If the Agreement is terminated by the City as provided in this Section, the City shall compensate the Consultant in accordance with the Agreement for all services actually performed by the Consultant and reasonable direct costs of Consultant for assembling and delivering to City all documents. Job AnaIJsIs and Development of the ~ent Center It is understood that no person other than those designated by the City Manager will have access to any information regarding the assessment process. Furthennore) it is agreed that all exercises have not been and will not be used in whole or in part by any other client or agency without written agreement between the City and BRI. It is anticipated that the assessment center will consist of three completely different exercises. The job analysis infonnation, the City, and the Department of Justice will detennine the nature and content of all exercises. Each exercise will be accompanied by detailed lists of behaviors to be used in the process of evaluating' candidates responses. All materials will be reviewed and edited to ensure freedom from errors, etlmic, gender or other bias. 1b.e assessment center will be validated by using SME panel judgments wherever possible. All candidates will have the opportunity to receive detailed, thorough infonnation regarding the assessment process. Our experience tells us that rigorous orientation sessions alert candidates to the important skills to be measured, allay fears of the unknown, reduce error variance in their responses thus providing more accurate measures and reducing the number of misunderstandings and challenges to the process. This is a very important activity and it must be done well. The orientation will involve a thorough review of the skills list, the scheduled activities, and information about the simulations to be used. Burroughs & Rockhill, Inc. will conduct a pilot test of the assessment center, and BRI assumes the responsibility for providing all exercise materials) video equipment (and backup) as necessmy and will coordinate and administer the entire assessment center process. We will also select assessors and provide thorough training for all assessors for the customized Miami Beach process. BRI will determine the passing score in consultation with the City. We will also provide written feedback to every candidate. This methodology requires extensive planning and caution on the part of the designer and also leads to high quality exercises that clearly measure the intended target behaviors. Passing scores will be determined by consideration of performance relative to standards of acceptability and consideration of practical infonnation. In tenns of scoringJ BRl personnel will supervise team meetings of assessors to ensure consistency of standards and all assessors on a team must be within 1 scale point for (,0J'l.~ to be reached. Project Costs This proposal is based on the following assumptions: · that two of the three exercises will be of the structured response variety and the third will be a video-based, assessor-scored interactive exercise · testing will occur once per year with the eligibility list lasting two years from the date the first eligibility list is approved · a minimum of 100 candidates will be tested in each administration of the assessment center · the City will provide at no cost to BRI the sites for the orientation session(s) and the administration of the exercises · BRI will provide the site for the assessment of the exercise(s) · BRI will pay all travel, lodging, and per di~ expenses for BRI principals, employees, and associates for test plan development meetings in August and September, 1996, a pilot test admin;!l:tration in Februaryt 1997, the test admini!iltration(s) in May, 1997, and one other trip to present/discuss with the 0.0..1. BRI will be reimbUl'Sed by the City for reasonable travel, lodging, and per diem for additional trips to Miami Beach requested by the City and/or D.O.J. BRI assumes in this cost proposal that the City will agree to provide reciprocal assessoxs to those agencies fIOm which we recruit assessors for this project. In other words, we plan to reimburse our assessors for travel and per diem expenses while their agencies pay their normal salary. The City of Miami Beach would reciprocate assessors in the future. If this assumption cannot be mett then the cost would increase. It is also understood that portions of the fees for the project are subject to re- negotiation for additional payment if the Department of Justice should deem some or all of the work performed by BRI and approved by the City as not meeting the consent decree criteria. Additional time for legal preparation/testimony, D.O.J. meetings or presentations or explanations (other than that specified above and if necessary) would be billed at $150.00 per hour.
