A RESOLUTION OF THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH,
FLORIDA, APPROVING AMENDMENT NO. 4 TO THE
AGREEMENT BETWEEN THE CITY OF MIAMI BEACH
AND CAMP DRESSER & MCKEE, INC., FOR
PROFESSIONAL ENGINEERING SERVICES FOR WATER
SYSTEM MASTER PLAN AND PROGRAM MANAGEMENT
OF CITYWIDE IMPROVEMENT PROJECTS AND
AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE THE AMENDMENT.
WHEREAS, on December 1, 1993, the Mayor and City Commission approved
Resolution No. 93-20981, authorizing the Mayor and City Clerk to execute an Agreement between
the City of Miami Beach and Camp Dresser & McKee, Inc., providing for engineering services
for the development of a water system master plan and to provide overall program management
of citywide infrastructure improvements (Agreement); and
WHEREAS, the existing Agreement provides for three phases of work to be added
for Water System Improvements as follows: Phase I, Water System Master Plan Development;
Phase II, Final Design; and Phase III, Services During Construction; and
WHEREAS, on July 13, 1994, the Mayor and City Commission approved
Resolution No. 94-21221, authorizing the Mayor and City Clerk to execute Amendment No.1 to
the Agreement adding Task 2, "Coordination of the Series "A" Bond Issue & Priority Projects"
to the scope of work; and
WHEREAS, on September 8, 1994, the Mayor and City Commission adopted
Resolution No. 94-21289, which authorized the execution of Amendment No. 2 to the
Agreement, adding the Stormwater Rate Study under Task 2, "Coordination of the Series "A"
Bond Issue & Priority Projects" to the scope of work; and
WHEREAS, on July 26, 1995, the Mayor and City Commission adopted
Resolution No. 95-21672 which authorized Amendment No.3 to the Agreement for Phase II,
Final Design for replacement of the four steel plate tanks with four prestressed concrete tanks at
a cost of $120,528 and for Task 3- "Bidding and Construction Phase: Coordination of Projects
Bidding and Construction Schedules, Review of Construction Bids, Cash Draw Projections,
Monitoring Monthly Expenditures, Coordination of Active Construction Projects" of the Program
Management for Infrastructure Projects with a budget of $500,000; and

WHEREAS, the Water System Master Plan which has been completed in
accordance with contract specifications details the required drinking water line improvement
projects; and
WHEREAS, it is necessary to proceed with Phase II, Final Design, and Phase III,
Services During Construction, for the required drinking water line improvement projects; and
WHEREAS, prior to commencement of same, the Administration, through its
Public Works Department, has reviewed the scope of work; and
WHEREAS, said scope of work has resulted in Amendment NO.4 to the
Agreement, attached as Exhibit "A" hereto, at a budgeted amount not to exceed $858,000.
NOW, THEREFORE, BE IT DUL Y RESOLVED BY THE MAYOR AND
CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and
City Clerk are authorized to execute the attached Amendment No.4 to the Agreement between
the City of Miami Beach and Camp Dresser & McKee, Inc. for Professional Engineering Services
for Water System Master Plan and Program Management of Citywide Improvement projects.

ENGINEERING SERVICES FOR WATER SYSTEM MASTER PLAN AND
PROGRAM MANAGEMENT OF CITYWIDE IMPROVEMENT PROJECTS.

ADMINISTRATION RECOMMENDATION
It is recommended that the City Commission approve a resolution authorizing the Mayor and the
City Clerk to execute Amendment Number Four to the Professional Services Agreement for the
Water System Master Plan and Program Management of Citywide Improvement Projects between
the City of Miami Beach and Camp Dresser & McKee, Inc.
BACKGROUND
On December 1, 1993, the City Commission passed Resolution No. 93-20981 authorizing the
Mayor and City Clerk to execute an agreement between the City of Miami Beach and Camp
Dresser & McKee, Inc. to provide engineering services for 1) the development of a water system
master plan; and, 2) overall program management for the coordination of upcoming water,
wastewater and stormwater system improvement projects with future State, County and City of
Miami Beach roadway improvements. The existing Agreement provides for three phases of work
to be added for Water System Improvements as follows: Phase I - Water System Master Plan
Development; Phase II - Final Design; and, Phase III - Services During Construction.
Phase I - Water System Master Plan was authorized at a lump sum fee of $289,775. Engineering
services for Program Management were authorized on a negotiated task basis, based on scheduled
rates. Task 1 - Overall Program Mobilization and Data Collection was approved at a fee not to
exceed $50,000.

On July 13, 1994, the City Commission adopted Resolution No. 94-21221 which authorized Task
2 - "Coordination of the Series A Bond Issue & Priority Projects" at a fee not to exceed the sum
of $85,000 and on September 8, 1994, the City Commission adopted Resolution No. 94-21289
which, under Task 2, authorized the Stormwater Rate Study at a cost of $29,858.
The scope of work for Task 2 was primarily related to the preparation of financial and technical
data and information for the Series A bond program which included a more accurate definition
and scheduling of priority projects and their related costs. As an integral part of Task 2, CDM
worked closely with the City's financial advisor and members of the financing team and provided
necessary financial and technical input to the financing team. CDM, as overall Program Manager,
prepared the consulting engineer's report for the Official Statement on the issuance of Water, and
Sewer Revenue Bonds.
Concurrent with the above Program Management efforts, the Water System Master Plan was
completed in accordance with contract specifications. On July 26, 1995, the City Commission
adopted Resolution No. 95-21672 which authorized Amendment No.3 to the Agreement for the
following:
1. Phase II - Final Design for replacement of the four steel plate tanks with four prestressed
concrete tanks at a cost of $120,528
2. Task 3- "Bidding and Construction Phase: Coordination of Projects Bidding and
Construction Schedules, Review of Construction Bids, Cash Draw Projections, Monitoring
Monthly Expenditures, Coordination of Active Construction Projects" of the Program
Management for Infrastructure Projects with a budget of $500,000.
The consultant has submitted a proposal for Phase II-Final Design and Phase ID- Services During
Construction for the Drinking Water Line Projects detailed in the Master Plan.
ANALYSIS
It is estimated, at this time, that design and construction engineering services will be required for
an approximate period of two years, as described in the Series "A" Water and Wastewater Bond
Issue Report. The level of effort required for these services in the course of implementing the
design and construction of the water system improvements will be carefully reviewed and service
orders will be issued on a negotiated task basis. Payment for required services will be based on
the schedule of hourly billing rates included within the proposed amendment to the existing
Agreement, and not to exceed a budget amount of $858,000.

CONCLUSION
It is recommended that the City Commission approve a resolution authorizing the Mayor and City
Clerk to execute Amendment Number Four to the Professional Services Agreement for the Water
System Master Plan and Program Management of Citywide Improvement Projects between the
City of Miami Beach and Camp Dresser & McKee, Inc. with funding to be obtained from the
Series A water and sewer bond funds.

AND PROGRAM MANAGEMENT OF CITYWIDE
INFRASTRUCTURE IMPROVEMENTS.
WHEREAS Phase I (Master Plan) of Part I (Water System Improvements) has been
completed, and;
WHEREAS the financial program for the sale of revenue bonds was developed and the
Series 1995 Bonds were sold in June 1995 to cover the costs of the first two years of a
five-year program for infrastructure improvements; and;
WHEREAS the City of Miami Beach wishes to proceed with Phase II (Final Design)
and later with Phase III (Services During Construction), of the Water System
Improvements with regard to various improvements listed in the Engineer's Report for
the bond issue; and
WHEREAS the City wishes to have Phase II and Phase III services carried out
expeditiously and in concert with other infrastructure improvements to be implemented
throughout the City,
NOW THEREFORE, the aforementioned Agreement dated December 1,1993 between
the City of Miami Beach (CITY) and Camp Dresser & McKee Inc. (CONSULTANT)
(the "Agreement") is hereby amended as follows:
1. Schedule A (Scope of Services, Compensation and Schedule), Part 1 (Water System
Improvements), Phase II (Final Design), Page A-8 (immediately above the heading
Phase III-Services During Construction), add the following sentences: "The
CONSUL T ANT will provide final design services for various water projects
(described below) as the needs arise, upon execution by the CITY and the
CONSUL T ANT of a "City of Miami Beach Consultant Service Order", sample
provided as Schedule A-I attached herewith.
. Miscellaneous water main replacement and extension projects throughout
the City;

. Replacement of undersized galvanized iron water mains;
. Cleaning and cement lining, or replacement, of tuberculated and
otherwise corroded cast iron water mains.
The first category is scheduled to be completed, in its entirety, within a two-year period
and is to be funded from the proceeds of the Series 1995 Bond Issue. The other two
categories are contemplated to be completed in a 5-year period in equal annual segments
with the first two years of each project being funded from the proceeds of the Series
1995 Bond Issue. The remaining three years of these two projects are to be funded from
a second infrastructure improvements bond issue to be sold at a later date.
There are other water projects which do not involve transmission lines, namely:
. New water booster pump station on Terminal Island; and
. Replacement of four existing ground storage tanks
Design services for these two projects are ongoing and their next phase will be Services
During Construction.
DESIGN SERVICES
The Design Services (Phase II) for the water transmission main projects will consist of
the following tasks (described below):
. Surveying
. Site Visit and Review of Design Surveys
. Preliminary Design Memorandum
. Final Design
. Project Permitting
. Opinion of Probable Construction Coat
. Coordination with Program Management Activities
. Services During Bidding
Field Reconnaissance and Data Collection
1. CONSUL T ANT staff will visit the project site. A surveyor to be provided by the
CONSULTANT will provide the CONSULTANT (utilizing the protocol established
by the City's Program Management Consultant) plan and profile sheets that reflect
new survey information and available CITY record drawings. The utility data to be

shown by the surveyor includes the following facilities:
. Gas
. Electric
. Water
. Sanitary Sewer
. Cable
2. Project design criteria will be developed based on City standards, and FDEP criteria.
3. New survey information will be provided in a format consistent with the CITY's
incorporation into a GIS system.
Preliminary Design Memorandum
CONSUL T ANT will present in a memorandum the preliminary layout and preliminary
estimates of probable construction cost and a meeting will be held to discuss the results.
The layout determined at this meeting will be used for final design.
Final Design
CONSUL T ANT will prepare design drawings providing the following construction
details:
. Horizontal and vertical alignment
. Pipe size
. Trench details
. Valves, Hydrants and System Interconnections
. Standard details
CONSUL T ANT will prepare Construction Drawings and Technical Specifications.
Project Permitting
CONSUL T ANT will provide the City with assistance in obtaining necessary permits
from regulatory agencies.
CONSULTANT'S services will be as follows:
. Attend pre-application meeting.
. Prepare permit application package including appropriate quantities of sealed
plans and submit to the required agencies.
. Up to one response to requests for additional information for each permit

application.
Permit fees are the responsibility of the CITY.
Opinion of Probable Construction Cost
CONSUL T ANT will develop an opinion of probable construction cost for the Final
Design, in a manner consistent with the Agreement.
Coordination with Program Management Activities
CONSUL T ANT will coordinate with the Program Management Activities to maintain
consistency with the other infrastructure improvements program. This coordination will
entail a design engineer attending meetings on Program Management. CONSULTANT
will provide to the Program Management effort his plan and profile sheets in a electronic
form and format consistent with CITY requirements for CITY's incorporation into a GIS
System.
Services During Bidding
Following the review and revision of the Contract Documents by the City and the receipt
of the construction permits, CONSULTANT will prepare sufficient copies of the final
Contract Documents (contract agreement form, general conditions, supplementary
conditions, bid forms, invitations to bid, and instructions to bidders) for subsequent
bidding by interested Contractors. CONSULTANT will assist the City with the
solicitation of local qualified potential bidders. During the bidding process,
CONSUL T ANT will provide the following services during bidding:
o Conduct pre-bid conference (if required)
o Prepare pre-bid conference meeting minutes.
o Respond to Contractor inquiries (preparing addenda as needed).
o Attend bid opening.
o Tabulate bids of responsive Contractors and provide certified bid
tabulations.
o Assess responsiveness of bidders.
o Provide the City a recommendation for Contractor selection.
Also under Schedule A, Part 1, Phase III (Services During Construction), page A-I 0
immediately above the heading "Resident Engineering Services", add the following
sentence: "The CONSULTANT will provide services during construction (as described
below) for various water projects as the needs arise upon execution by the CITY and the
CONSUL T ANT of a "City of Miami Beach Consultant Service Order", sample provided

SERVICES DURING CONSTRUCTION
The Services During Construction (Phase III) for the water transmission main projects
and, as needed, for the water storage tanks and for the new water booster station on
Terminal Island, will consist of the following elements:
Preconstruction Conference
CONSUL T ANT will attend one pre-construction conference for the construction project.
Shop Drawing and Technical Submittals
CONSUL T ANT will receive and log in shop drawings and technical submittals required
to be submitted by the construction Contractor. CONSULTANT will review and return
submittals to Contractor within two weeks from receipt, following CITY approval. The
review will be for conformance with the design concept and be in compliance with the
construction contract documents.
Request for Information/Plan Clarification
CONSUL T ANT will issue necessary technical interpretations and clarifications of the
construction contract documents, along with associated support materials, requested by
the CITY. These interpretations will be rendered and a complete response prepared and
submitted to CITY within one (1) week of CITY's request for information. Non-
technical administrative interpretations will be issued directly to the Contractor by the
CITY.
Change Orders
CONSUL T ANT will prepare change order documentation as requested by CITY.
Site Visit
CONSUL T ANT will examine the project at intervals appropriate to the various stages of
construction to observe the progress and quality of work. CONSULTANT shall provide
a written report of each site visit. Frequency of CONSULTANT site visits during the
construction period will be as dictated by the scope of work.

Special Inspection
The CONSULTANT will witness, as deemed necessary, major off-site and on-site
equipment testing and other special tests.
Resident Project Representative
At CITY's request, CONSULTANT will furnish part-time or full-time resident project
representative( s), to assist the CONSULTANT in observing performance of the work of
the Contractor. The resident project representative will act as directed by and under the
supervision ofthe CONSULTANT, and will confer with the CONSULTANT staff
regarding his actions. The resident project representative's dealings in matters
pertaining to the on-site work shall in general be only with the Contractor, and dealings
with Subcontractors shall only be through or with the full knowledge of the Contractor.
Written communication with the CITY will be only through or as directed by the
CONSUL T ANT. Duties, responsibilities and limitations of authority of the resident
project representative are described in Schedule C of the Agreement.
Record Drawings
The CONSULTANT will prepare and submit to CITY within thirty (30) days of date of
final completion of the project, two (2) sets of 11" x 17" and full size record drawings,
and one full size set of Mylar reproducible record drawings showing those changes made
during the construction process. The information will also be provided by
CONSUL T ANT in an electronic form and format consistent with CITY requirements for
CITY's incorporation into a GIS System. CITY will provide to the CONSULTANT the
Contractor's marked up drawing and other data within one (1) week of completion of the
Project(s)."

2. Schedule A, Compensation Section (page A-12): Add the sentences:
"Compensation for Phase II (Final Design) and Phase III (Services During
Construction) shall be an amount not to exceed $858,000 (eight hundred and fifty-
eight thousand dollars). Compensation for individual Service Orders shall be, by
mutual agreement of CITY and CONSULTANT, either (1) a percent of construction
cost, (2) a fee estimated by applying manhours to the billing rates by labor category
provided in Schedule A-2, or (3) a fee based on an alternate method found to be
mutually acceptable.

3. Schedule A, Schedule Section: (page A-12): Add the sentence "Completion of
Phase II (Final Design) and Phase III (Services During Construction) projects shall
be as specified in the respective Service Orders."
4. All other terms and conditions of the Agreement shall remain the same.
