TO THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
STA ARCHITECTURAL GROUP,
DATED JULY 17, 1996
FOR THE PROVISION OF PROFESSIONAL SERVICES ASSOCIATED WITH
CONSTRUCTION ADMINISTRATION AND ARCHITECTURAL DESIGN SERVICES IN
AN AMOUNT NOT-TO-EXCEED $40,000 FOR THE FIRE STATION N0.2 AND THE
HOSE TOWER REFURBISHMENT PROJECTS.
his Amendment No. 7 to the Agreement made and entered this ! 7~ day of
ww~ 2008, by and between the CITY OF MIAMI BEACH, a Municipal
Corporation existing under the laws of the State of Florida (hereinafter referred to as CITY),
having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139,
and STA Architectural Group, Inc., a Florida corporation, having its offices at 3526 North
Miami Avenue, Miami Florida, 33127 (hereinafter referred to as Consultant).
RECITALS
WHEREAS, pursuant to Request for Letters of Interest (RFLI) No. 133-94/95, the
Mayor and City Commission adopted Resolution No. 96-22068 on July 17,1996, approving
and authorizing the Mayor and City Clerk to execute an Agreement with Consultant for
Professional Services for the Renovation and Expansion of Fire Station No. 2 and a Master
Plan for the Site at 451 Dade Boulevard Project (the Project); and
WHEREAS, the Agreement provides for the detailed planning, design and
construction administration services for the Project; and
WHEREAS, the planning and design effort forthe Project has been completed and
construction activities are underway; and
WHEREAS, on June 28, 2000, the Mayor and City Commission adopted Resolution
No. 2000-23975, approving Amendment No. 1 to the Agreement, for schematic design,
design development, construction documents, permitting & bidding, and construction
administration services for the rehabilitation of the historic structure and the new
construction of a dormitory and apparatus structure improvements within the Project, for a
not-to-exceed amount of $318,020; and
WHEREAS, on October 17, 2001, the Mayor and City Commission adopted
Resolution No. 2001-24624, approving Amendment No. 2 to the Agreement for addition of
an Emergency Operations Center (EOC), site drainage system, and dedicated driveway
serving the Public Works portion of the site, for anot-to-exceed amount of $117,000; and
WHEREAS, on December 10, 2003, the Mayor and City Commission adopted
Resolution No. 2003-25439, approving Amendment No. 3 to the Agreement for
construction administration services for the Project, for anot-to-exceed amount of
$192,000; and
WHEREAS, on March 15, 2007, Amendment No. 4 to the Agreement was executed,
approving additional construction administration services for the Project, for anot-to-
exceed amount of $24,500; and
WHEREAS, on October 27, 2007, Amendment No. 5 to the Agreement was
executed, approving additional construction administration services for the Project, to be
rendered on a monthly basis for the period from September 2006, through March 2007, for
a not-to-exceed amount of $24,500; and
WHEREAS, on June 20, 2008, Amendment No. 6 to the Agreement was executed,
approving additional construction administration services forthe Project, to be rendered on
a monthly basis for the period from January 2007, through August 2007, for anot-to-
exceed amount of $24,447; and
WHEREAS, the completion of the Building B portion of the Project has exceeded
the amount of time budgeted for construction and requires additional construction
administration services to complete this phase of the Project; and
WHEREAS, the aforestated work is set forth in the following Amendment No. 7 to
the Agreement, for a not to exceed amount of $40,000.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises,
covenants, agreements, terms, and conditions herein contained, and other good and
valuable consideration, the respect and adequacy are hereby acknowledged, do agree as
follows:
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this
Amendment No. 7.
2. MODIFICATIONS
The Agreement is amended to include Schedule "A-7", which is attached and
incorporated herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this
Amendment No. 7.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 7 to be
executed in their names by their duly authorized officials as of the date first set forth above.

1. SCOPE OF SERVICES
A. Exhibit "1" of the Agreement, entitled, "Scope of Services", is amended as follows:
Phase V -Construction Administration:
The original construction administration services scope is expanded to cover the
additional time period from September 1, 2007 through December 31, 2008.
B. Consultant shall provide the additional architectural design services, as set forth in
Exhibit 1 to this schedule.
2. TIME OF COMPLETION
Construction administration services contemplated in Exhibit 1 are anticipated to be
completed for Building B by December 31, 2008.
3. PAYMENT AND COMPENSATION
The total fee proposed for the scope of work pursuant to this Amendment No. 7
shall be on anot-to-exceed basis, in the amount of $40,000. Invoicing will be
monthly and based on hourly rates as defined in the Agreement between the City
and Consultant, as defined in Exhibit 2 to this Schedule.
Compensation:
• Original Agreement amount $78,000.00.
• Amendment No. 1 (Schematic design, design development, construction documents,
permitting & bidding, and construction administration services) amount $318,020.00.
• Amendment No. 2 (For addition of an Emergency Operations Center (EOC), site
drainage system and dedicated driveway serving the Public Works portion for the
site) amount $117,000.00.
• Amendment No. 3 (For construction administration services) amount $192,000.00.
• Amendment No. 4 (Additional construction administration services) amount
$24,500.00.
