HomeMy WebLinkAboutAmendment 2 w/ EAC Consulting Inc.aoas-- as-~%3 7/ r~o s- /t' 7E AMENDMENT N0.2 TO THE PROFESSIONAL ARCHITECTURAL AND ENGINEERING (A / E) SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND EAC CONSULTING, INC., DATED MARCH 8, 2006 FOR THE PROVISION OF ADDITIONAL PROFESSIONAL SERVICES NECESSARY FOR ADDITIONAL STORMWATER SYSTEM MODELING SERVICES FOR THE RIGHT-OF-WAY INFRASTRUCTURE IMPROVEMENTS PROGRAM NEIGHBORHOOD NO. 1 - BISCAYNE POINT SAID AMENDMENT IN AN AMOUNT NOT-TO-EXCE~E`D $24,924 This Amendment No. 2 to the Agreement made and entered thisday of fA~A~ 200~by and between the CITY OF MIAMI BEACH, a Municipal Corporation existing under the laws of the State of Florida (hereinafter referred to as City), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139, and EAC CONSULTING, INC a Florida corporation, having its offices at 815 N.W. 57th Avenue, Suite 402, Miami, Florida 33126 (hereinafter referred to as Consultant). RECITALS WHEREAS, pursuant to Request for Qualifications (RFQ) No. 42-03/04-99/00, the Mayor and City Commission adopted Resolution No. 2005-25973, on July 27, 2005, approving and authorizing the Mayor and City Clerk to execute an Agreement Consultant for Professional Services for the Biscayne Point Neighborhood Right of Way Improvement Project (Project); and WHEREAS, the Agreement provides for the planning, design, bidding and award, construction administration and reimbursables for the Project; and WHEREAS, the Agreement was executed for anot-to-exceed amount of $1,186,807.00; and WHEREAS, on March 8, 2006, the Mayor and the City Commission adopted Resolution No. 2006-26133, approving and authorizing the Mayor and City Clerk to execute Amendment No.1 to the existing Agreement with EAC for the inclusion of water main replacements required by the City's Public Works Department, in the amount of $129,325, for a total Agreement fee of $1,316,132; and WHEREAS, at this time the City has negotiated Amendment No. 2 for additional stormwater system modeling services. WHEREAS, The Consultant met with the City and Hazen and Sawyer, the City's Program Manager, and it has been established that this additional service recjuest is fair and reasonable; and WHEREAS, this Amendment No. 2 increases the total contract fee by $24,924.00 for a total fee of $1,341,056. NOW, THEREFORE, the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: SCHEDULE "A- 2" SCOPE OF SERVICES CITY OF MIAMI BEACH RIGHT-OF-WAY INFRASTRUCTURE IMPROVEMENTS PROGRAM NEIGHBORHOOD NO. 1 - BISCAYNE POINT AMENDMENT N0.2 Schedule "A" entitled, "Scope of Services", is amended as follows: ADD the following under Task 5 -ADDITIONAL SERVICES, after the language added for Amendment No.2: Task 5.5 -Additional Stormwater Design Services: The original design concept for the Biscayne Point neighborhood was based on the Biscayne Point Neighbofiood Basis of Design Report (BODR) dated June 13, 2003, and City of Miami Beach Comprehensive Stormwater Master Plan (SWMP), dated March 1997. Recommendations (the design criteria) Improvements recommended by these documents were targeted to Priority Basin No. 142 only, which generally consists of Stillwater Drive and the area between 83`~ and 86th Streets in the Biscayne Beach sub-neighbofiood. As a result of final topographic survey data, the Consultant determined that the maximum available head within portions of the Priority Basin, were generally insufficient for the successful operation of a gravity based stormwater treatment and disposal system. As the base scope of services included hydraulic modeling efforts for the BODR and SWMP system, which have been completed by the Consultant, this amendment addresses additional services for the stormwater system modeling work that is required to identify a pump based system that will meet design criteria as requested by CMB PWD, and also comply with regulatory permitting agency treatment and disposal requirements. The new modeling efforts shall attempt to utilize existing outfalls to the extent practical, minimize the use of pump stations, and generally attempt to result in a proposed system that meets the CITY budget parameters. TIME OF COMPLETION Modeling & Design revisions contemplated by this Amendment are to be included with the 90% design completion stage document submittal. PAYMENT AND COMPENSATION The method of calculating the fees for the aforementioned proposed additional professional architectural and engineering services is established in Exhibit "Schedule B-2" attached, based on estimated labor plus direct costs. The total fee proposed for this Scope of Work shall be snot-to-exceed amount of $24,924.00. Invoicing will be monthly and based on hourly rates as defined in the current agreement between EAC and the City of Miami Beach. COMPENSATION • Original Agreement amount: $1,186,807.00 • Amendment No. 1 (Design and Construction Administration of "P3.2" Classified Watermains) amount: $129,325.00 • Amendment No. 2 (for additional stormwater system modeling services) amount: $24,924.00 • Revised Agreement amount 1 341 056 1. ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 2. 2. MODIFICATIONS The Agreement is amended as defined in Schedule "A-2", attached therein. 3. OTHER PROVISIONS All other provisions of the Agreement, as amended, are unchanged. 4. RATIFICATION The CITY and CONSULTANT ratify the terms of the Agreement, as amended by this Amendment No. 2. IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 2 to be executed in their names by their duly authorized officials as of the date first set forth above.
