AMENDMENT NO. 12
TO THE PROFESSIONAL LANDSCAPE ARCHITECTURAL
AND ENGINEERING SERVICES AGREEMENT
BETWEEN
THE CITY OF MIAMI BEACH, FLORIDA
AND
REYNOLDS, SMITH AND HILLS, INC,
DATED SEPTEMBER 5, 2001,
FOR THE PROVISION OF PROFESSIONAL SERVICES
NECESSARY TO UPDATE THE 100% PLAN SET, COST ESTIMATE, AND
COMPLETE PERMITTING
$23,980.00 FOR
NEIGHBORHOOD NO. 5 - LA GORCE PROJECT.
This Amendment No. 12 to the Agreement made and entered this~day of
JH~~~;rN~?~~_.__, 200, by and between the CITY OF MIAMI BEACH, a Municipal
Corporation existing under the laws of the State of Florida (hereinafter referred to as
CITY), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida
33139, and Reynolds, Smith and Hills, Inc. (RS&H), having its offices at 6161 Blue
Lagoon Drive, Suite 200, Miami Florida, 33126 (hereinafter referred to as
CONSULTANT).
RECITALS
WHEREAS, pursuant to Request for Qualifications (RFQ) No. 10-0001, the Mayor
and City Commission adopted Resolution No. 2001-24551, on September 5, 2001,
approving and authorizing the Mayor and City Clerk to execute an Agreement with
Reynolds, Smith and Hills, Inc, for Professional Services for the La Gorce Streetscape
Right-of-Way Neighborhood Project (the Project); and
WHEREAS, the Agreement provides for the detailed planning services for various
streetscape /landscape /utility improvements within the La Gorce neighborhood; and
WHEREAS, the Agreement was executed for anot-to-exceed amount of
$185,291.00; and
WHEREAS, the planning effort for the La Gorce neighborhood has been
completed and detail design activities are underway; and
WHEREAS, on May 29, 2002, the Mayor and City Commission adopted
Resolution No. 2002-24857, approving additional design services as Amendment No. 1 to
the Agreement, for planning, design, permitting, bidding /award and construction
administrative services for the Cherokee Avenue Seawall improvements within the La
Gorce neighborhood for snot-to-exceed amount of $45,000; and
WHEREAS, on January 8, 2003, the Mayor and City Commission adopted
Resolution No. 2003-25096, approving additional design services as Amendment No. 2 to
the Agreement, for design, permitting, bidding /award and construction administrative
services for various streetscape /landscape /utility improvements within the La Gorce
neighborhood and includes Cherokee Avenue Seawall rehabilitation/replacement for a
not-to-exceed amount of $333,932.00; and
WHEREAS, on October 15, 2003, the Mayor and City Commission adopted
Resolution No. 2003-25362, approving additional design services as Amendment No. 3
to the Agreement, for design, permitting, bidding /award services for the relocation of
existing utility improvements currently located along reareasements of approximately 153
properties, for an amount of $35,999.00; and
WHEREAS, on June 21, 2004, Amendment No. 4 to the Agreement was executed,
to perform percolation tests and collect additional survey data, to proceed with the design
of stormwater improvements within the La Gorce neighborhood, for anot-to-exceed
amount of $8,709.00; and
WHEREAS, on November 18, 2004, Amendment No. 5 to the Agreement was
executed, to include the development of sketches for alternative traffic flow improvement
within the La Gorce Park area, for anot-to-exceed amount of $3,604.00; and
WHEREAS, on February 23, 2005, the City Commission adopted Resolution No.
2005-25813 authorizing the execution of Amendment No. 6 to the Agreement, to include
a Scope of Work which consists of additional design services for stormwater
improvements for the La Gorce neighborhood, for anot-to-exceed amount of $42,000.00;
and
WHEREAS, on June 8, 2005, Amendment No. 7 to the Agreement was executed,
to include the verification of additional underground utilities to avoid conflicts in 90 boring
sites, for anot-to-exceed amount of $27,150.00, inclusive of $5,000.00 from the original
contract agreement and $22,150.00 as approved by this Amendment No. 7; and
WHEREAS, on August 3, 2005, Amendment No. 8 to the Agreement was
executed to include design of various streetscape improvements and a traffic study in the
La Gorce Neighborhood, for anot-to-exceed amount of $22,829.00; and
WHEREAS, on July 29, 2005, Amendment No. 9 to the Agreement was executed
to include the verification of additional underground utilities to avoid conflicts in 50 boring
sites, for anot-to-exceed amount of $13,750.00; and
WHEREAS, on August 10, 2006, Amendment No. 10 to the Agreement was
executed to include additional landscape revisions in La Gorce Park area, for anot-to-
exceed amount of $9,199.00; and
WHEREAS, on May 2, 2007, Amendment No. 11 to the Agreement was executed
to include the detailed design and installation of "P3.2" classified water main
replacements required by the City's Public Works Department, for a not to exceed
amount of $20,333.00; and
WHEREAS, this Amendment No. 12 to the Agreement in the amount of
$23,980.00 to update the 100% plan set, cost estimate, and complete the permitting task;
and
WHEREAS, this proposal has been evaluated by Hazen & Sawyer, the City's
Program Manager, and the CIP Office.
NOW, THEREFORE, the parties hereto, and in consideration of the mutual
promises, covenants, agreements, terms, and conditions herein contained, and other
good and valuable consideration, the respect and adequacy are hereby acknowledged,
do agree as follows:
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this
Amendment No. 12.
2. MODIFICATIONS
The Agreement is amended as defined in Schedule "A-12", attached herein.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratify the terms of the Agreement, as amended by this
Amendment No. 12.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 12 to be
executed in their names by their duly authorized officials as of the date first set forth

SCOPE OF SERVICES
Schedule "A" entitled, "Scope of Services", is amended as follows:
ADD the following under Task 5 -ADDITIONAL SERVICES, after the language added for
Amendment No. 11:
Task 5.8 -Update of the 100% plan set, cost estimate, and complete permittins~:
In the sub-task efforts below, the Consultant shall be bound by the requirements stipulated
in TASK 2 -DESIGN SERVICES as adopted via Resolution No.2003-25096, on January 8,
2003, approving and authorizing the Mayor and City Clerk to execute an Agreement with
Reynolds, Smith and Hills, Inc for Professional Services for the La Gorce Neighborhood
Right of Way Improvement Project.
Sub-Task 5.8.1 -Identification and Illustration of P3.2 Watermains
The Consultant shall provide an updated 100% plan set whereas the detailed design of
an estimated 2,320 linear feet of "P3.2" Water Mains, added to the Consultant scope of
service under Amendment No. 11, are identified as an alternate bid item. The
Consultant shall verify that all proposed watermains are concurrent with the approved
City of Miami Beach Public Works Department Watermain Prioritization.
CONSULTANT shall maintain an in house Quality Assurance /Quality Control
(QA/QC) program designed to verily and ensure the quality, clarity, completeness,
constructabilityand biddability of its contract documents as stipulated under Task 2.8,
Consultant QA/OC of Design Documents, of the original scope of services. The CITY
and/or PROGRAM MANAGER, at its discretion may require that CONSULTANT
attend meetings to review the status and present results of its QA/OC efforts.
Sub-Task 5.8.2 -Updated 100% design stage Probable Construction Cost Estimate
The Consultant shall provided an updated 100% design stage Probable Construction
Cost Estimate based on watermain priorities and alternate bid items.
Sub-Task 5.8.3 -Permits and Permit Applications
The Consultant shall provide an updated permit schedule, permit applications, and
supporting documentation for submittal to all permitting agencies required for the
completion of this project. Consultant shall stay involved in permitting until all required
are procured acceptably. Failure to identify governmental authorities that have
jurisdiction over Project at the time of permitting scope preparation does not relieve
Consultant from responsibility to pursue the permits and procure all approvals.
In this effort, the Consultant shall coordinate and attend meetings with permitting
agencies and revise the drawings as needed. The consultant shall adhere to the
milestones for the permitting process found with schedule "B-12", attached herein.
Deliverables:
• The CONSULTANT shall provide electronic files of the watermain drawings
(pdf and CAD formats) for review of denoted P3.2 mains.

• The CONSULTANT shall deliver ten (10) sets of Final (100 percent)
documents; including electronic copies of all specifications and drawings to
the PROGRAM MANAGER. These Final Documents will be signed and
sealed and used for CMB PWD ROW Permit review purposes.
TIME OF COMPLETION
Updated 100% watermain drawings and revised permit applications shall be
completed within 60 days from Notice-to-proceed.
Completion of Final 100% Documents, inclusive of all permit reviews and
revisions, within 120 calendar days after Notice to Proceed.
PAYMENT AND COMPENSATION
The Consultant shall be reimbursed at the usual and customary rate for reproduction of
reports, contract documents and miscellaneous items, as may be requested by the CITY
as stipulated in TASK 6.1 -REPRODUCTION SERVICES of the original scope of
service. Unused amounts in this allowance shall be credited back to the CITY at the
completion of the project.
The method of calculating fees for the aforementioned proposed additional professional
architectural and engineering services is established in Exhibit 'A-12' attached, based on
estimated labor plus direct costs. The total fee proposed for this Scope of Work shall be
on snot-to-exceed basis in the amount of $23,980.00. Invoicing will be monthly and
based on hourly rates as defined in the current Agreement between Reynolds, Smith and
Hills, Inc and the City of Miami Beach.
CONSULTANT's request for additional services is attached for reference purposes.
COMPENSATION
• Original Agreement amount $185,291.00.
• Amendment No. 1 Null and Void.
• Amendment No. 2 (Design services for the La Gorce Neighborhood and includes
Cherokee Avenue seawall rehabilitation/replacement) amount $333,932.00.
• Amendment No. 3 (Relocation of existing utility improvements) amount $35,999.00.

Asper your request, we are pleased to submit our fee proposal for additional services required to update the
100% plans submitted to the City of Miami Beach on October 7, 2007 for the improvements to the La Gorse
Neighborhood. The fee associated with this request is §23,980, as shown in the attached Summary Sheet.
The services to be provided are as follows:
o Review and update 100°/n plan set;
^ Review and revise watermain sheets to indentify CIP, P3.1 and P3.2 watermain priorities;
^ Update Probable Construction Cost based on watermain priorities and develop Base and Alternate
Bids.
^ Develop permittiny schedule;
