A RESOLUTION OF THE MAYOR AND CITY COMMISSION
OF THE CITY OF MIAMI BEACH, FLORIDA, APPROVING
AND AUTHORIZING THE MAYOR AND CITY CLERK TO
EXECUTE AMENDMENT NO.3 TO THE AGREEMENT
WITH BROWN AND BROWN ARCHITECTS, IN THE
AMOUNT OF $35,000, FOR ADDITIONAL SERVICES TO
EVALUATE TWENTY-THREE (23) AIR CONDITIONING
UNITS AND ADVISE WHETHER THESE SHOULD BE
REPLACED AT THE MIAMI BEACH CONVENTION
CENTER AND THE JACKIE GLEASON THEATER OF THE
PERFORMING ARTS.
WHEREAS, on Apri117, 1996, the Mayor and City Commission authorized Phase I of a
Professional Services Agreement (the Agreement) with Brown and Brown Architects, formerly
known as The Architects Partnership of Brown & Brown (Brown & Brown), for the testing and
evaluation of the roofs at the Miami Beach Convention Center (MBCC) and the Jackie Gleason
Theater of the Performing Arts (TaPA); and
WHEREAS, on July 8, 1996, the Agreement was executed to develop construction
documents for the repair/replacement of the said roofs; and
WHEREAS, the findings of the Phase I report were presented to the Mayor and City
Commission on June 18, 1997, at which time Brown & Brown was authorized to proceed with Phase
11 of the Agreement and prepare bidding documents for the repair and/or replacement ofthe roofs;
and
WHEREAS, construction bids were obtained and a recommendation for award to Weiss &
Woolrich Southern Enterprises Inc, (Weiss & Woolrich), in the amount of $7,245,000, was presented
to the Mayor and City Commission on July 15, 1998; and
WHEREAS, on November 4, 1998, the Mayor and City Commission, as recommended by
a Blue Ribbon Committee, awarded a contract to Weiss & Woolrich, in the amount of $7,245,000,
pursuant to Bid, No. 44-97/98, for the complete roofreplacement at the Miami Beach Convention
Center and the Jackie Gleason Theater of the Performing Arts; and
WHEREAS, on July 21, 1999, the Mayor and City Commission approved Amendment No.
2 to the Agreement, in the total amount of$34,142; and
WHEREAS, the Mayor and City Commission adopted Resolution No. 99-23374 on October
20, 1999, authorizing and appropriating funding necessary for capital projects at the Convention
Center for FY 1999/2000; included in this approval was air conditioning units replacement for
MBCC & TaPA; and
WHEREAS, the Administration recommends the installation of the replacement air
conditioning units as a part of the roofing replacement contract, to assure that the City's interests
are maintained under the warranty issued by the roofing contractor; and
WHEREAS, the Administration now requests approval of Amendment No, 3 to the
Agreement, in the total amount of $35,000, for professional services to evaluate the requirement for
the units, and to prepare bid and construction documents for the procurement of the replacement
units,
NOW, THEREFORE BE IT DULY RESOLVED BY THE MAYOR AND CITY
COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City
Commission approve and authorize the Mayor and City Clerk to execute Amendment No,3 to the
Agreement with Brown and Brown Architects, in the amount of $35,000, for additional services to
evaluate twenty-three (23) air conditioning units and advise whether these should be replaced at the
Miami Beach Convention Center and the Jackie Gleason Theater of the Performing Arts,

Funds were authorized and appropriated by Commission Memorandum No, 790-99, adopted on
October 20,1999,
ANALYSIS
On July 8, 1996 an Agreement for Professional Services was executed between the City and The
Architects Partnership of Brown & Brown (Brown & Brown), to evaluate the roofs of the Miami
Beach Convention Center (MBCC) and the Jackie Gleason Theater of the Performing Arts (TaPA),
subsequently Brown and Brown was requested to develop construction and bidding documents for
the repair/replacement of the roofs at MBCC and TapA.
On November 4, 1998, the Mayor and City Commission awarded a contract to Weiss and Woolrich
Southern Enterprises, Inc, (Weiss & Woolrich), in the amount of $7,245,000, pursuant to bid no.
44-97/98, for the replacement of the roofs at MBCC and TapA.
During the roof replacement project, the Chief Engineer for MBCC has advised that a number of the
existing air conditioning units mounted on the roof of the Convention Center and TOP A have been
seriously weakened structurally by corrosion from exposure to salt-laden air. In the Chief Engineer's

opinion, removing these units from their existing mounting bases, and re-installing them on new
bases in accordance with the new South Florida Building Code requirement, is likely to cause some
of the units to suffer structural damage or to fall apart. He has recommended that we replace a
number of the seriously corroded units.
In previous years, the City had portions of the MBCC and TOP A roofs replaced and repaired at
various times by a number of contractors, this led to a situation where warranty claims were virtually
impossible to pursue due to the diffusion of responsibility. One of the goals of the current roofing
replacement contract was to have the entire roof done by one contractor using one manufacturer's
materials, so that warranty claims could be successfully pursued and enforced.
In order to avoid the possibility of having an inexperienced contractor on the roof who may damage
the newly installed roofmg and thereby void or impair the City's roofing warranty, it is recommended
by Convention Center Management that the City arrange to purchase the replacement air
conditioning units and arrange for the roofing contractor to install them in conjunction with the roof
replacement. Ibis assures that any damage done to the roof during the installation process will be
repaired by the company most qualified to undertake this work. Furthermore, the City's warranty
will be unimpaired, with the same firm doing all the work. The roofing installer, Weiss and
W oolrich is a state licensed General Contractor with experience in the removal and installation of
large air conditioning units such as those at MBCC and TOP A, in addition to their qualifications in
roofing installation.
The technology in air conditioning equipment has changed in recent years, it is reconunended that
an engineering evaluation of the proposed replacement units be made to properly size the new units
for the various tasks. Brown and Brown Architects, along with sub-consultants, performed the
detailed study for the roof replacement project and as a result, they have extensive experience with
the details ofthe Convention Center and TOPA. Hufsey, Nicoliades, Garcia and Suarez (HNGS)
a consulting firm with a strong reputation in mechanical work (i.e. heating, ventilating and air
conditioning) served as sub-consultant for the Mechanical, Electrical and Plumbing elements of the
project under Brown and Brown's supervision. A sheet is attached briefly outlining this firm's
history and qualifications.
HNGS conducted design studies and prepared specifications and drawings under the roofing
evaluation contract for the design of the new steel support stands for all the air conditioning units
at both buildings, as well as replacement of two air conditioning units and eight smoke exhaust fans
for TOPA, and the replacement of fifteen exhaust fans atMBCC. As a result of this prior work, this
team is well qualified to quickly evaluate the air conditioning system requirements and the extent
of corrosion on the existing units, then convert their findings into specifications, bidding and
construction documents to permit the City to promptly order the required replacement units.
Brown and Brown Architects submitted a proposal to undertake the following work on the 23 air
conditioning units at MBCC and TOPA, in association with HNGS:
Confirm the extent of corrosion of each unit. Evaluate the need for replacement of each unit.
Confirm the Heating/Cooling requirements at each location and determine the required size
and specifications of each replacement unit.
Prepare bidding documents for the purchase and replacement of the air conditioning units.
Prepare construction documents for the installation of the required new units, as well as
required electrical and duct work.
Review the shop drawings submitted by the installer. Respond to any requests for
information.
Conduct periodic site visits during the construction period.
For these services Brown and Brown has requested a fee of $35,000. The budget estimate is
$600,000 for this work. The fee represents 5.8% of the budget amount.
The Administration is now requesting approval and execution of Amendment No. 3 to the
Agreement with Brown & Brown in the amount of $35,000 for the proposed work summarized
above.
It is reconunended that the Mayor and City Commission adopt the Resolution authorizing the Mayor
and City Clerk to execute Amendment No.3 to the Agreement with Brown and Brown Architects,
for additional professional services.

WHEREAS, the Agreement provides for the preparation of a Phase I, Evaluation and Scope
of Work Definition for the Roof Repairs/Replacement at the MBCC and TOP A; and
WHEREAS, the Agreement also provides for a Phase II, preparation of Construction
Documents, Specifications, Bidding and Construction Administration upon completion of Phase 1:
and
WHEREAS, Phase I and Phase II have been completed, and the Project was bid and
awarded, and is now in construction; and
WHEREAS, the Administration desires to have twenty-three (23) air conditioning units
evaluated to determine: the extent of corrosion; the need for replacement; the adequacy of heating
and cooling capacity; in addition, for the units determined in need of replacement, preparation of
bidding and construction documents, and the provision of construction administration services; and
1. ABOVE RECITALS
The above recitals are true and correct and are incorporated as a part of this First
Amendment.
2. MODIFICA TIONS
The Agreement is amended to add the following additional services:
a. Exhibit "A-I," entitled Scope of Services/Compensation for Additional Services.
3. OTHER PROVISIONS.
All other provisions of the Agreement, as amended, are unchanged.
4. RATIFICATION.
The City and Consultant ratifY the terms of the Agreement, as amended, as modified by this
Third Amendment.
IN WITNESS WHEREOF, the parties hereto have caused this Third Amendment to be
executed in their names by their duly authorized officials as of the date first set forth above.

Scope of Services/Compensation
Scope of Services:
Brown and Brown Architects propose to undertake the following work on the 23 air conditioning
units at MBCC and TOPA:
Prepare an inventory of the units with the assistance of the Building Engineer.
Confirm the extent of corrosion of each unit.
Confirm the need for replacement of each unit.
Confirm the existing heating/cooling capacity of each unit to determine the size and
specifications of new units to be installed.
Prepare bidding documents for the purchase and replacement of the air conditioning units
and related electrical and mechanical work.
Prepare construction documents for the installation of the required new units, as well as
required electrical and mechanical work.
Review the shop drawings submitted by the installer.
Respond to any requests for information.
Conduct periodic site visits during the construction period.
Review and approve Certifications for Payment during the construction process.
Compensation:
Total fee for the above described work: $35,000.
Phase I:
80% of total fee payable for Aoalysis, Scope Definition, Construction Documents
and Basic Specifications.
Phase II:
20% of total fee payable for construction administration.
