HART ackno+vledges that it has inspected the Premises and hereby accepts the Yrcmises in thou- "as is" condition and agrees that the Cily shall have no obligation to unprove, repair. restoro, refurbish, or othewise incur atty expense in improving or changing the condition of the Premises at am' time durhtg the terms of this :~greemenL except as specifically provided hereto. No other business shall he conducted on the Yretniscs +a~ithout dtc prior specitlc +aritten authority of the City R4anagcr or his designee. 2.2 Prohibited Activities HART shall not ttsc the Premises for any unlawful purpose and shall comply with all laws, and permitting requireanents note in force or hereat3cr adopted, applicable to the Premises or the businesses conducted on the Premises. IIAK'l' agrees not to use the Premises for, or to permit the operation of any of('ensive, noisy or dangerous acclivity, nuisance or anything against public policy, fhcre shall be no living yuarters on the Premises nor shall anyone he permitted to live on the Prentiscs. Except as may result from acts of lorcc rnajeure. HART agrees that it will not allow the Premises to becomo tmcx:cupicd or vacant. HART shall take appropriate precautions to prevent ftrc on the Premises, maintaining existing lire detection devices and cxlineuishing equipment at all times. HART will not permit the outside use of vty musical instrument or noise makute device on the Pretniscs. HART will not remove or destroy or permit others to remove ur destroy any trees on tltc Premises with a diameter greater than tour inches without the prior consent of the City \Qanager or his designee. HART shall make diligent efforts kt prevent the infestation of noxious plants. htsccts or animals. 3. I' ~1 The Term of this Agreement shall be for azt initial term of two (2) years, beginning on October ], 1999, and onding on September 30, 2001. i1t its sole discretion, and provided that HART is not in defaul[ ol'the Agreement, the City shall have the option of renewing the Agrreemcnt for three (3) additional one year terms, by providing six~• (60) days written notice to HART, prior to the expiration of the initial tens, or the expiration of the renewal terns then in cllect, as the case may be. 4. D~1t11N•1'liN.~VCL :~Nl) li~X:11v11NA11O1y OF RECORDS HART shall maintain current, accurate, and complete financial t'ecords on an accrual basis of accountung related to its activities on the Premises. Systoms and procedures used to maintain these records shall include a s, stem ol• inlemal controls and all accounting records shall be maintained in accordance with generally accepted accounting principles and shall be open to inspection audit by the City upon reasonable prior request. Such records and accounts shall include a breakdown of gross receipts, expenses, and profit and loss statements. I1.1ItT shall maintain accurate roceipt-printing cash rogistcrs nn the Premises which will record and show the payntcnt for even sale made or sct•vice provided on the Premises; and such other records shall be maintained as would be required by art independent CY:1 iu order to audit a statement of annual ~-oss receipts and profit and loss statement pursuant to generally accepted accounting principles. f lAR"1' shall maintain its financial records pertaining to the operation of the Premises for a period of avo (2) years after the conclusion of any conu•act year (a "contract year" being hereinafter defined as that certain period lion October 1st to September 30th of the following year), turd [urlher agrees that such records shall be open and available to the City, as deemed necessary by the City. H;\RT shall maintain all such records on the Premises or, if moved to ;mother location, all such records shall be relocated, at ILART's expense, back to the Premise's within ten (10) days' notice from the City. The Cit<• shall be entitled to audit I LART's records pertaining to the operation of the Premises as often as once each contract year, and once within the two year period followutg terntittation of the Agrcctncnt, regardless of whether such termination results lion the natural expiration oY'the teen or for any other reason. The Cih shall he responsible for paying all costs associated with such audits. unless the audit(s) reveals a deficiency of three percent (,%) or more in IIAK'1"s statctucut of gross receipts for any year or years audited, in which case the firm shall pay to the City, within thirty (30) days. the cost of the audit, a sum equal to the amount of the deficiency revealed by the audit, plus interest. 11:1RT shall submit al the end of cash contract year, an audited armu:al report and a prolit attd loss statement of operations, in a fomt consistent with generally accepted accounting principles. 8. TAX1~S. ASSGSSit~ GNTS AND I'1'II iTllsS 8.1 }(4K'I' to Pav HART agrees to, and shall pay befirre dcJinqucncy, all ttLtCS and assessments of any kind assessed or levied upon T LAR•f or the Premises by reason of this ilgreentcnt or by reason of the; business or other activities of HART upon or in connection with the Premises. H.4R"f shall also pay any fees imposed by law for licenses or permits for any business or activities of II:1RT upon the Yromiscs or under this tlgreemcnt and shall pay, before deliuquency, any and all charges for utilities at or on the Premises (includinc, but not limited tu, water. electricit}•, gas. heating, cooling, sewer and telephone, Irash collection, etc.). T'hc applicable Fkrrida Slate Sales and L!se Tax on rental payments shall be added to I1:1RT's rent and fonvardcd to the City as Part of said payntcnt (pursuant to Scctiat 5 herein). 8.2 Procedure If 7'~t .es %lssessed Vohvithstanding, Subsection 8. I above, the parties agree that the operation of the Premises and lhoso operations convenient and necessan~ therefore, arc tier public purposes and, [hereforc, no ad valorem taxes should be assessed by the Dadc County Property'I'ax Appraiser. if, however, said taxes are assessed by said Property Tat i\ppraiscr, the City shall be respottible for payment for same. `~. 9YERAT'lON nP'I'HF 'U[ F Ol'RCT' 9.1 Davs vtd Hours of Service IIAKT will keep the courses and related facilities open and will otter those services attendant to the operation of the courses even day of the year, during daylight hours, weather or events of Ibrce majeurc pemtitting. Changes to the hours of operations shall only Lie made with the prior written approval of the City b[anager or his designee. 9.2 _Fees and Charees Prices charged tier pre-paid greens Pecs, driving range lees, merchandise, riding cart rentals, pall cart rental, vtd Ibod and bevertge sales will L><posted on the Premises at those locations where such fees are normally paid. All fees and charges shall be competitive 4vith those charged by comparable public courses in llade and Broward C'ouuties. and shall be subject to the prior written approval of the ~4ayor and City Commission. The cutTent fees arc set forth in Lxhibii 13. attached trod incorporated herein. In the event of any increase in fees from those cun•ently set firth in Exhibit R, the City shall have prior written approval of same, except that for mty fee set ti~rtlt i^ Exhibit R, or any successor schedule. HAK'f shall have the right to increase fees in an amount cyual to the amount of an}'sales and use tax increase enacted after the effective date of such schedule. 9.3 Retention of Reccints The cash register receipts showing the date issued and amount paid shall he issued to every person pa}'ing any fee or charge on [}te Premises. HART shall post a sign advising golfers to keep greens fees receipts in their possession during play, HAR f, xt its discretion, may ask golfers to display their greens fees receipts and may remove from the Premises anq person t~ho does not have a valid receipt for current pla}'. Any such pcrsan shall be courteously removed. 9.4 Food and Bevertgc Service All food and beverages sold on the Yremiscs will lx; properly prepared and served itt compliance with all applicable health and sanitary standards. The quality of food, lood costs. and sen•ice will be comparable to that available at such public golf courses as 13ilunorc Goli; hiiatni Shores Country Club and Golf, and Logo Iviar Country Club and (}olf (also roanaecd by 11:1RT}. All litod and beverage concessionaires selected by IL\RT shall be approved in writing by the City Manager or his designee. :111 dining facilities in adjacont areas will be maintained in a clean and sanitar} matmer. All Ibod and betrorages sold by H!\RT will be intended fix consumption on the Yremiscs and shall he dispensed Ihmt inside the clubhouse restaur;uu, bar. heverage cart, and that certain outside cook-out area located al the Bayshore Golf Course. unless otherwise approved by the City. 14tod and beverage containers fur items penniticd to be taken outside the clubhouse rest<•turant or bar twill he subject to regulation by HART for the purpose of controlling and preventing litter. LAiPT"OYI~FS 10.1 In comtection with the perlimnance ofits respcrosibilitics hereunder, HART may hire its own employees who will be employees of IIAKT and not of the City. ILART shall select the number, function, qualilicstions, compensation, including benefits, and may at its discretion, periodically adjust or revise the terms vtd conditions relating to such cmplo}'ces. 10.? fhe parties herein acknota•ledge that 11!\RT's inclusion of the lirm of"Professional 'Turf Management (PTM) to its management learn, as set litrth iu HAR'1"s response to the original RFP (Vo.l lfi-95%9G), was an integral consideration in the selection of ILART as the lirst-ranked proptner to the Rl~Y and in the Cit}•'s incentive and decision to negotiate ,ntd execute this i\greentent. 'fhe continuing participation of PT19 as part of the H:1RT team throughout the duration of this Acrcement is thereby required. In the event that PTb1 is no longer associated with HART'. or otherwise ceases to participate in the day to day operation. ntaintenauce, and management of the Premises pursuant to this .Agreement, then the City. at its sole option, may terminate this Acrcement for cause pursuant to subsection 15. ] herein. Ai.TL•'RATIONS MAINTTl\ ~T\ '1: A~1ll RFP:IIRS 12.1 Alterations HART may not make alterations or additions to the Premises unless made on an emergency basis to prevent injury to persons or property. In That event, HART will submit plans for any alteration or addition with a value of more than 'I'two Thousand Piwc Hundred llollars ($2,00.00) to the City for the prior written approval ol• the City Manager or his designee. Such alterations or additions shall lie made at ILARI''s sole cost and expense and shall become the property of the Cih' upon terntination of this Agreement unless othenvisc agreed to by the City in writing. HAR 1• shall not have tttc light to create or permit the creation of any lien attachine to Cites interest in the Premises as a result of any such alterations or additions. 1'? A~laintenancc H.AR'f assumes sole respottsibility for mainteniutcc wtd repair of all properties, facilities. improvements imd equipment on the Premises and herein accepts same in their present "as is" condition from the City. Hi1RT shall, at its sole cost and expense, make all repairs necessary to maintain all City-owned cyuipmcnt, buildings, and structures. and has the sole responsibility for building ntaintenvtcc to include but not be limited to the repair and replacement of all tltc respcctic•e City-owned golfcuurse properties, fixtures, plantings, tumiturc, and related cyuipmcnt, including heating, utility and plumbing systems. The parties herein acknotwledge. and HART herein agrees to be bound by the lillowing minimum maintenance standards its delineated in Gxhibit C - including Golf \taintenancc Standards, Ciolf Maintenance Staff and HART's plan for use of chemicals on the Premises. (The afbrcmenlioncd documents arc collectively attached and incoiporatcd herein as L•'xhibit C). It is further understood that HART shall provide the City with a monthly ntiuwgcment report in a I'orntat approved by the City. that shall include, but not be limited to, maintenance to greens, tees, lainvays, roughs, building maintenance, levels ol•irrieation, fertilization, [teed control, etc. Nottvithstvtding the foregoing maintenance obligations, HART' shall not he responsible liw major structural repairs to roofs, exterior galls, air-rnnditionin~~. or foundations, which exceed a threshold amount of $2,SOOAU. The City. at its option, may reyuirc HART to pay the initial 52,600.00 for any such major structural repair. with the City la be responsible fitr those costs in excess of said initial S2,SOU.00. 13.3 _Personal Pronerh A list ofCity-cx+ned golf course eyuipmcnt and other personal propem included in the Agreement for use by ILAKT during the term hereof; is attached and incorporated herein as F.xltibit 17. HAR"f hereby accepts such eyuipmcnt in its "as is" condition. HART shall maintain all City-owned eyuipmcnt and, at its sole cost and expense, acquire and maintain all replacement eyuipmcnt and such other eyuipmcnt as may be necessary Io maintain the Yremiscs in a condition which satisfies those maintenance suntdards set li>rtlt in F,xhibit C. The City shall have the right to periodically take an inventory of any or all eyuipmcnt on the Premises. the parties acknowledge that HART will be supplementing the Cih~ cyuipntent set [brth in Cxhibit U, through either the direct lease or purchase by 11:1RT of additional equipment to be used litr the operation and maintenance ol'the Yremiscs. T}:1KT shall be required to submit a list of all equipment either leased or purchased directly by H.AR'f and shall provide t}te Cih with copies of any applicable lease%purchase agreements. and all invoices and validation of payments related to such lease purchase agreements, in order for the City to properly maintain and account for such newly acquired itn~enlory against the original list set forth in Exhibit D. It shall also be H.AK'1"s responsibility to supplement such list periodically in the event of an}' new cyuipntent leases or purchases. lluring the temt of the first ?,danagement .Agreement behvccn the C-ity and TU\RT, (O)ctober 1, ]99G -September 30, 1999) HART also entered into a five (5) year Icase.•''purchasc agreement for maintenance equipment. A clause in the lust J4anaecment :\greentent provided that in the event that a lease: purchase agreement acquired by H:1RT extended beyond the duration of the first >t4anagentcnt Agreement, the City, at its sole option, would have the right to either purchase such eyuipmcnt (in the event of a lcase:'purchase agreement), or asswnc the lease on the same terms and conditions as originally made available to IIAR'f. The Cil~• herein acknotaledecs that it is providing HART' with a maximum allowance for the purchase and!or Icase%purchasc of equipment Ibr opertion and maintenance of the Yremiscs in the amount of Ninety 'thousand llollars ($90A00.00) per year throughout the term of the eyuipmcnt Icase~purchasc agreement. Said maximum allowance shall be deducted from the rental amounts set Ibrth in F.x(tibit A hereto. Said annual maximum credit shall conclude on September 311, 2001. All such equipment acquired by H.AR"1' during the temt ol'this Agreement, which results in a rent adjustment pursuant to Exhibit r\. shall hecome the property of the City should the City decide to exercise this option. 13. 1T~SURANCE H.AR'f shall maintain, at l IART's sole cost and expense, the following types of insurance coverage at all times throughout the term of this Agreement. a. The policies of insurance referred to above shall not be subject to cancellation or changing coverage, except upon at least thirty (30) days written notice to City and then only subject to the prior written approval of City. H 1RT shall provide City tvilh a C'crtilicate of Insurance for each such policy, which shall name the City as an additional Warned insured.:111 such policies shall tie obtained from companies authorized to do business in the State of Florida with an A.M. Best's Insurance Guide (latest edition) rating acceptable to the City's Risk I4tanagetnent. and any replacement ar substitute company shall also be subject to the approval of the City's Risk Manager. Should TI:1RT fail fo obtain, maintain or renew the policies of insurance referred to above, iu the required anutunis. the Cih Wray, at its sole discretion, ohtain such insurance, vtd any sums expended by Cin' in obtaining said insurance, shall be repaid by H.aR"f to City. plus ten percent (l0%~) of the antaunl of premiums paid ut compensate Oily for its administrative costs. For example, the City tray undertake a capital improvement plan of the Bayshore Golf Course, necessitating the closure of that closure, while leaving the 1\'omt<vttly Shores and the Par 3 Golf Courses open. In tltc event that the Cii` closes dotwn all of the Premises Rtr the propose of undertaking a capital improvements plan thereon, then the parties agree. that the Agreement shall be tcmtinated for convenienec, .+~thout cause and without penalty to either party. Ovcralh the golf course was rated fair to average, although some areas that. are specifically detailed in the following report, were deemed to be in poor condition. 'I•hc main litetors that lowers the rating of this golf course are: 1) The presence of both grassy and broadleaf' weeds throughout man}• areas of the course, particularly around the perimeter of the bwtker areas and fairways. The hwo grassy ++•eeds that +were commonly li~und in most of the areas are Goosegrass and Nutsedgc. improvements in weed control have been obscured since the time of the last inspection. At the time of the inspection, many areas were seen sprayed .with selective herbicides and a marker dye. Nevertheless, tweed control and re-scedutg;`re-sodding of affected areas must be a continuing process in order to improve the overall rating of this golf course. All of the large bare areas should be resodded to prevent fi~rther +vecd growth in those areas. 2) Inadequate management of high trailic areas (golf carts) resulting in bare, damaged areas. Roputg-oll'such areas to implement restoration procedures will eventually improve overall appearance. 3) Poor transition from annual ryegrass to bentutdagrass in Cirecn areas. Several of the Greens have large brown areas where the rvegrass declined or "burnt-out'' due to the lack of proper irrigation. The breakage of one of the main irrigation lines (beyond the control of the Golfcourse Contractor) resulted ht the irrigation system not tvorkine for 3 davs, which in turn rculted in the Rycerass declining too quickly lx;forc the existing Bcrmudagrass was able to take over. The affected areas have been aerilied, topdressed and fertilized with micronutricnts by the Contractor in order ut accelerate the recovery process. 4) Pnming of all the trees and palms throughout the golf course is now necessary. Deadideclining lTOnds and seed heads need to be removed from all the palm species, a~td some of the trees require removal of suckers and lotviundesirablc branches. The Golfcourse has an "abandoned look" due to the poor aesthetic appearance of the palms. Since the last inspection report, a large percentage of exotic weed tree seedlings have been rcmoced from the base of the trees and palms. Also since the time of the last inspection, there has been considerable work in herbiciding the area ~ !tom ATTACH?~tLN'f F -' arowtd trees acrd palms in order to remove unwanted +vecds oral overgrown htrfgt<tss. these areas have been mulched with pine needles.l'hc application of herbicide li>r the control of +~•ceds around the base of trees and palms needs to be done on a continuing basis. As reyuestcd in our previous report, the Contractor-s Horticulritrist did accompvty the Citv's Inspectors ;uui advised of problctn areas and the work that is currenth being douc in order to correct them. I Iis cooperation and tccltnical input was veq' helpful. Overall. there is an effort. by the Contractor to decrease the atnount of weeds throuehaut the golicoursc, wfiich is apparent from the time of the last inspection. Also, fertilization has been increased in order to promote grow4lt and appcat•ance. F.vcn though ~+ater is a limiting factor, mostly due to inadeyuate sprinkler coverage, the ritrfcrass is actively c>ro+a•ing and has good color.
