the sum of $10.00 and other good and valuable consideration paid by CITY OF D'IIAA~II BEACH, a
municipal corporation having an address at 1700 Convenfion Center Drive, Miami Beach, FI. 33131
("City") as to an undi~~ided 65% interest and BAY ROAD PARTL\'EILS, LLC, a Florida limited
bargains, sells, transfers,
chattels and
situate, lying and being in Miami-Dade County, Florida, and legally described on Extubit "A"
attached hereto.
List of Personalty and Intangible Property:
i) All Fencing and Gates;
2) all assignable consents, authorizations, variances, waivers, certificates of occupancy, permits,
governmental approvals, orders, licenses or other governmental or private authorizations
with respect to the Property; and
3) all assignable architectural, mechanical, engineering and other plans and specifications,
including final as built plans and specifications, and surveys, percolation, environmental soil,
topographical and traffic studies and tests relating to the Property or otherwise prepared iul
connection with the construction thereof.
TO HAVE AND TO HOLD the same forever.
A.ND Seller covenants with Buyer, Buyer's heirs, personal represen~.atives, successors and
assigns, that: Seller is the lawful owner of the Personalty and Intangible Property; the Personalty and
Intangible Property is free from all encumbrances; Seller has good right to sell the Personalty and
Intangible Property; and Seller wrill warrant and defend the sate of the Personalty and Intangible
Property to Buy er, Buyer's heirs, personal representatives, successors and assigns, against the lawful
claims and demands of all persons whomsoever.
