POST CLOSING AGREEMENT RE OPEN PERMCTS
(Main Parcel)
EDWIN F. GONZALE'L and GRACE GONZALEZ, husband and wife having an address at
10295 Collins Avenue, [:nit 702, Bal Harbour, Florida 33154 ("Seller"), for and in consideration of
the sum of $10.00 and other good and valuable consideration paid by BA'Sr ROAD PARTI\ERS,
LLC, a Florida limited liability company having an address at 230 5'" Street, Miami Beach, FL
33139 ("Purchaser" as assignee of the rights of Scott Robins Companies, Inc.) under that certain
Oprion Agreement and Addendum for Commercial Contract dated June 28, 2007 ("Contract")
executed by and bctwcen Edwin F. Gonzalez and Grace Gonzalez, as seller, and Scott Robins
Companies, Inc., as purchasez, relating to premises described in Exhibit "A" located at 1850-1916
Bay Road, Miami Beach, FL 33139, hereby agrees that following the Closing they will use
reasonable efforts to, and be responsible for, the closing out of the Open permits set forth on the
attached Schedule at their sole cost and expense. Seller shall initiate such closure promptly after
closing and shall diligently pursue same to completion.
Purchaser shall have the right to elect to take over the closure of such permits directly with notice to
Seller, and Purchaser shall reimburse Purchaser for the reasonablecos~t~s thereof.
Seller has executed this instntment, as of the3~ ss day of~'~ 2009
