DIRECTION' 1~-STRtiCTIONS TO SELLER
RF. DEEDING OF MAI_V PARCEL
BAY ROAD PARTNERS, LLC, having an address at 230 5`h Street, Miami Beach,
Florida 33139 ("Purchaser") as Assignee of the rights of Purchaser under that certain Option
Agreement and Addendum for Commercial Contzacst dated June 28, 2007 ("Contract") executed
by and between Edwin F. Gonzalez and Gracc Gonzalez, as "Seller", and Scott Robins
Companies, Inc., as purchaser, relating to premises described in the attached Exhibit "A" (the
Mail Pazcel") and Exhibit "B" {the "Building Parcel"), hereby directs and instructs Seller to
deed and convey at Closing under the Contract the Maui Parcel to itself, BAX ROAD
PART'N'ERS, LLC, having an address at 230 5`" Street, Miami Beach, Florida 33139, as to an
undivided 35% interest, and to the CITY OF MIAhII BEACH ("City") having an address at
1700 Convention Center Drve, J4iami Beach, PL 33131, as to an undivided 6~% iaterest, as
Tenants in Common.
Purchaser, as Assignor, has simultaneously also partially assigned the Contract with
respect to the Building Parcel (including the Deposit under the Contract's to its wholly owned
subsidiary, Bay Road Outparcel Partners, LLC. Purchaser and the City shad] have no interest in
the Building Pazce] nor the Contract as it relates to solely the Building Parcel.
Phis instrument is not intended to be an assignment of the Contract nor any portion
thereof to the City; nor an assumption, implied or otherwise, by the City of any obligafions of the
Purchaser tinder the Contract. All such obligations shall remain vnth Purchaser, and as
applicable, Bay Road Outpazcel Partners; LLC, respectively.
The Purchase Price under the Contract allocated to the Main Parcel is S6,800,000.W
