2001-24559 RESO RESOLUTION NO. 2001-24559 A RESOLUTION OF THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA WAIVING, BY 5!7fHS VOTE, THE COMPETITIVE BIDDING REQUIREMENT, FINDING SUCH WAIVER TO BE IN THE BEST INTEREST OF THE CITY, AND HEREIN APPROVING AND AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AN INTERIM MANAGEMENT AGREEMENT WITH PROFESSIONAL COURSE MANAGEMENT II, LTD., SUBSTANTIALLY IN THE FORM ATTACHED, TO PROVIDE PROFESSIONAL SERVICES FOR THE MANAGEMENT OF THE CITY'S NORMANDY SHORES AND PAR 3 GOLF COURSES; SAID AGREEMENT TO COMMENCE ON OCTOBER 1, 2001, AND CONCLUDE ON SEPTEMBER 30,2003, OR IMMEDIATELY UPON THE CLOSURE OF THE NORMANDY SHORES GOLF COURSE FOR PLANNED CONSTRUCTIONI RENOVATIONS, wmCHEVER OCCURS FIRST; SAID AGREEMENT TO INCLUDE A 60-DA Y CANCELLATION CLAUSE. WHEREAS, on November 29, 2000, the Mayor and City Commission accepted the recommendation of the City Manager and authorized the Administration to enter into negotiations with the most qualified firm of Professional Course Management Beach Limited, for the management of the City's golf courses, clubhouses and related faciIilies, pursuant to RFQ No. 125-99/00 (the RFQ); and WHEREAS, it is anticipated thaI the Bayshore Golf Course will be closed on October 1, 2001 for capital renovations, and the construction bid will be awarded in October, with the actual construction beginning approximalely 30 - 45 days after bid award; and WHEREAS, il is projected thaI the Bayshore Golf Course Project will take approximately twelve (12) months to complete and, upon the reopening of the Bayshore Course, the Normandy Shores Course will close to undergo capital renovations; and WHEREAS, while the Bayshore Golf Course Project is under construction, the Normandy Shores Golf Course will remain open for play by residents, tourists and day guests; and WHEREAS, the current agreement for management of the City's golf courses with Chuck Hart Management Group, Inc. concludes on September 30, 2001; and WHEREAS, in accordance with the City Commission's directive, given on September 13, 2000, the Administration is recommending that Professional Course Management II, Ltd., as the successful proposer in response 10 the RFQ, be awarded an Inlerim Agreement, in the form substantially attached, to manage the Normandy Shores and Par 3 Golf Courses; and WHEREAS, the Administration recommends that the Mayor and City Commission herein waive the competitive bidding process, finding such waiver to be in the best interest of the City, and authorize the Mayor and City Clerk to execule the Interim Agreement, commencing on October 1, 2001, and concluding on September 30, 2003, or immediately upon the closure of the Normandy Shores Golf Course for the planned construction / renovations, whichever occurs first; with a sixty (60) day cancellalion clause for convenience and without cause, to be exercised at the discretion of the City. NOW, THEREFORE, BE IT DULY RESOLVED BY THE MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, that the Mayor and City Commission herein waive, by 517ths vote, the competitive bidding requirement, finding such waiver to be in the best interest of the City, and herein approve and authorize the Mayor and City Clerk to execute an Interim Management Agreement with Professional Course Management II, Ltd., substantially in the form attached hereto, to provide professional services for the management of the City's Normandy Shores and Par 3 Golf Courses; said Agreement to commence on October 1,2001, and conclude on September 30, 2003, or immediately upon the closure ofthe Normandy Shores Golf Course for planned construction/renovations, whichever occurs first; said Agreement also to include a 60-day cancellation clause, at the City's discretion. ADMINISTRATION RECOMMENDATION: Adopt the Resolution. BACKGROUND: On October 1, 1986, pursuant to Resolution No. 86-18464, the City of Miami Beach and the American Golf Corporation entered into a Management Agreement for the operations of the City's golf courses. In 1996, when the City's agreement with the American Golf Corporation was scheduled for renewal, the City Commission and the Administration determined that the level of maintenance and service being provided did not meet the contractually required standards, As a result, the City exercised its option not to renew the agreement. The following milestones transpired after the decision not to renew this agreement was made. AGENDA ITEM C 1 L DATE '1--S-0( ~ On June 14, 1996, a Requesl For Proposals (RFP No. 116-95/96) was issued seeking professional services for an operator to manage and maintain the Golf Courses. The RFP with specifications was mailed to fifty (50) prospective proposers and on July 5, 1996, three (3) proposals were received. On July 11, 1996, an evaluation committee, comprised of representatives from the Golf Course Ad Hoc Committee, Golf Advisory Board and the Administration, recommended the Chuck Hart Management Group, Inc. as the first-ranked proposer to the City Manager. On September 11, 1996, the City Commission authorized the administration to enter into a contract with the Chuck Hart Management Group, Inc. for the professional management services ofthe City's golf courses for a three-(3) year term thaI concluded on September 30, 1999. On May 12, 1999, the Mayor and City Commission authorized the Administration to enter into an Agreement with the Chuck Hart Management Group, Inc. for professional management services of the City's golf courses, for the period of October 1, 1999, to September 30, 2000, with the understanding the City would in this period issue a Request for Proposals for the management of the Golf Courses, Clubhouses and Related Facilities upon their renovations. On July 26, 2000, the Mayor and City Commission authorized the Administration to issue a Request for Proposals for the comprehensive managemenl and operations of the City's Golf Courses, Clubhouses and Related Facilities following the completion of the proposed renovations. In accordance with the Commission directive this RFP was amended to give the City the option of having the successful proposer assume responsibility for the management and operations of the City's Golf Courses, Clubhouses and Related Facilities no later thaI sixty (60) days following after the execution of an Agreement. The RFP was issued on August 14, 2000, with Bid notices being sent to 227 firms, which included 85 members of the National Golf Foundation (NGF) that were Iisled under the heading "Management/Owner" of Golf courses. In September of 2000, six firms responded to the RFP. Following the receipt of the Request for Proposal an Evaluation Committee was developed and presentations from each of the six respondents were made. Pending the selection of a new management firm for the City's golf courses, on September 13,2000, the Mayor and City Commission authorized the Administration to enter into an Agreement with the Chuck Hart Management Group, Inc. for professional management services of the City's golf courses, commencing on October 1, 2000, and concluding September 30, 2001, with a sixty (60) day cancellation clause for convenience and without cause, to be exercised at the will of the City. Consideration was given at the time of this authorization that the firm awarded the Management Agreement could! would also assume the operations from the existing management firm (Chuck Hart Management Group, Inc., should it be in the best interest of the City. On November 29, 2000, the Mayor and City Commission accepled the recommendation of the City Manager and authorized the Administration to enter into negotiations with the firm deemed to be mosl qualified, Professional Course Management Beach, Limited, for the management of the Cily's golf courses, clubhouses and related facilities. The Adminislration has negotiated the terms of this Agreemenl and will be presenting it for Commission approval at a future meeting. The documents for the Bayshore golf course, clubhouse and related facilities are projected to be out for bid at this time. It is anticipaled thaI the construclion bid will be awarded in October with the actual construction beginning approximately 30 - 45 days after award. It is also planned that the Bayshore Golf Course will be closed on October 1, 2001, in anticipation of the impending construction and to eliminate the substantial expense of having to operate and maintain the golf course with a new operator. It is projected that the Bayshore Golf Course project construction will take approximalely twelve (12) months 10 complete and upon the reopening of the Bayshore course the Normandy Shores course will undergo renovations. While the Bayshore Golf Course is under construction the Normandy Shores Golf Course will remain open for play by residents, lourists and day guests. The current Agreement with Chuck Hart Management Group, Inc. concludes on September 30, 2001, In accordance with the Commission directive given on September 13, 2000, the Administralion is recommending that Professional Course Management II, LId., be awarded an interim management Agreement, in a form substantially attached, as the likely contractor for future golf course management and to manage the Normandy Shores and Par 3 Golf Courses until Normandy Shores Golf Course is closed for renovations. It should also be noted that the terms and condilions for the proposed interim Agreement are to remain substantially Ihe same as in the Agreement currently in effecl with the Hart Management Group. The salient points ofthis Agreement include but are not limited to: o A payment to the City of $6,000 per month, a lotal of $72,000 annually. If due to the closure of the Bayshore Golf Course there is a 20% increase in the number of rounds of golf played at the Normandy Shores Golf Course over a base annual number of 45,000 rounds and a monthly allocalion as stipulated in the Agreement the monthly payment will increase from $6,000 to $9,000 for the month (same terms as stipulated in the Chuck Hart Management Agreement). o The City will purchase or lease the necessary golf course maintenance equipment and PCM II will pay the City for approximately 75% of the annual cost of this maintenance equipment expense. PCM II will be responsible for the maintenance and proper operalions of this equipment to ensure all warrantees and guarantees remain in effect (same terms as in the Chuck Hart Management Agreement). It is further understood that this golf course maintenance equipment will be relocated to the Bayshore Course when it reopens and al that time the total cost for the lease/purchase will be the responsibility of the City. PCM II will comply with the City's golf course mainlenance standards as stipulated in the Agreement. o The fees (including green fees and cart) shall be charged as stipulated in the Agreement. Accordingly, the Administration recommends that the Mayor and City Commission herein waive the competitive bidding process, finding such waiver to be in the best interest of the City, and authorize the Mayor and City Clerk to execute an interim Agreement between the City and Professional Course Management II, Ltd., commencing on October 1, 2001, and conclude on September 30, 2003, or immediately upon the closure of the Normandy Shores Golf Course for the planned construction / renovations, which ever occurs first, with a sixty (60) day cancellation clause for convenience and without cause, to be exercised at the will :~ o Attachments: F:\rcpa\$ALLlKEVINIGOLFCOUIPCM_ NORMANDY _ MEM0905IJ1.doc
