Amendment No. 8 with STA Architectural GroupAMENDMENT N0.8 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI BEACH, FLORIDA AND STA ARCHITECTURAL GROUP, DATED JULY 17, 1996 FOR THE PROVISION OF PROFESSIONAL SERVICES ASSOCIATED WITH RE- DESIGN, BIDDING AND CONSTRUCTION ADMINISTRATION SERVICES FOR EXPANSION, RENOVATION AND REHABILITATION OF THE FIRE STATION N0.2 HISTORIC BUILDING, HOSE TOWER AND NEW ADDITION TWO STORY CONNECTORS FOR A NOT TO EXCEED AMOUNT OF$183,000. This Amendment No. 8 to the Agreement made and entered this day of ~~-~1136~'L 2009, by and between the CITY OF MIAMI BEACH, a Municipal Corporation existing under the laws of the State of Florida (hereinafter referred to as CITY), having its principal offices at 1700 Convention Center Drive, Miami Beach, Florida 33139, and STA Architectural Group, Inc., a Florida corporation, having its offices at 3526 North Miami Avenue, Miami Florida, 33127 (hereinafter referred to as Consultant). RECITALS WHEREAS, pursuant to Request for Letters of Interest No. 133-94/95, the Mayor and City Commission adopted Resolution No. 96-22068 on July 17, 1996, approving and authorizing the Mayor and City Clerk to execute an Agreement with STA Architectural Group, Inc. for Professional Services for the Renovation and Expansion of Fire Station No. 2 and a Master Plan for the Site at 451 Dade Boulevard (Project); and WHEREAS, on June 28, 2000, the Mayor and City Commission adopted Resolution No. 2000-23975, approving Amendment No. 1 to the Agreement, for schematic design, design development, construction documents, permitting & bidding, and construction administration services for the rehabilitation of the historic structure and the new construction of a dormitory and apparatus structure improvements within the Project, for anot-to-exceed amount of $318,020; and WHEREAS, on October 17, 2001, the Mayor and City Commission adopted Resolution No. 2001-24624, approving Amendment No. 2 to the Agreement for the design of an Emergency Operations Center, a site drainage system, and a dedicated driveway serving the Public Works Yard, for snot-to-exceed amount of $117,000; and WHEREAS, on December 10, 2003, the Mayor and City Commission adopted Resolution No. 2003-25439, approving Amendment No. 3 to the Agreement for construction administrative services for the Project, for anot-to-exceed amount of $192,000; and WHEREAS, on March 15, 2007, Amendment No. 4 to the Agreement was executed approving additional construction administration services forthe Project, fora not-to-exceed amount of $24,500; and WHEREAS, on October 27, 2007, Amendment No. 5 to the Agreement was executed approving additional construction administration services for the Project, to be rendered on a monthly basis, for anot-to-exceed amount of $24,500; and WHEREAS, on June 20, 2008, Amendment No. 6 to the Agreementwas executed approving additional construction administration services for the Project, to be rendered on a monthly basis, for a not-to-exceed amount of $24,447; and WHEREAS, on July 10, 2008, Amendment No. 7 to the Agreementwas executed approving additional design and construction administration services for the Project, to be rendered on a monthly basis, for anot-to-exceed amount of $40,000; and WHEREAS, the first phase of the Fire Station No. 2 Project, the construction of Building B and its Emergency Operations Center, is substantially complete, and the Fire Department moved into the building and put it into service; and WHEREAS, Building A has now been more thoroughly inspected and several additional items have been identified that require modifications to the construction documents; and WHEREAS, the hose tower was also evaluated and, despite recent repairs, structural deficiencies were found. As a result, the hose tower, which had not been a part of the original scope of work, will now be included in the renovation project; and WHEREAS, staff has negotiated a fee of $183,000 with STA for an in-depth preconstruction review, HPB presentation, re-drawing and development of construction documents (per current codes), and bid and construction administration services forthe rehabilitation of the historic building, Hose Tower, and new addition two-story connectors. NOW. THEREFORE the parties hereto, and in consideration of the mutual promises, covenants, agreements, terms, and conditions herein contained, and other good and valuable consideration, the respect and adequacy are hereby acknowledged, do agree as follows: ABOVE RECITALS The above recitals are true and correct and are incorporated as a part of this Amendment No. 8. 2. MODIFICATIONS The Agreement is amended to include Schedule "A-8", which is attached and incorporated herein. 3. OTHER PROVISIONS. All other provisions of the Agreement, as amended, are unchanged. 4. RATIFICATION. The City and Consultant ratify the terms of the Agreement, as amended by this Amendment No. 8. SCOPE OF WORK AND SERVICES REQUIRED Exhibit "A" of the Agreement, entitled, "Scope of Services", is amended as follows and attached as exhibit A-8: Phase III -Construction Documents: The scope of services is expanded to include the Historic Preservation Board presentation, redevelopment of construction documents per current code, revised program and preconstruction review, and development of the hose tower drawings to be submitted to CMB/CIP no later than January 15th, 2010. Phase IV - Re-Permit and Bid Services: The scope of services is expanded to include submittal of all documents necessary to obtain all required permits, the preparation of electronic files for reproduction and distribution, attendance at pre bid conference(s); and review and responses to RFI's. Phase V -Construction Administration: The scope of services is expanded to include an anticipated construction period of 14 months for the historic renovation/ addition of the original Fire Station No. 2 and the hose tower, site meetings; processing and review of submittals, project data and material samples; field observations; preparation of supplemental drawings and specifications; render initial decisions on claims and disputes; project communication and coordination; reviews and certification of payment applications; RFI /contract documentation clarifications; maintenance of project records; substantial and final punch out; final completion; and submittal of as-built drawings. 2. TIME OF COMPLETION The duration of the Design services contemplated by this Amendment No. 8 is 12 weeks from notice to proceed plus permit timeframe. The duration for the Construction administration services contemplated by this Amendment No. 8 is 14 months (13 months to reach substantial completion and 1 month for punch out and project final completion) 3. PAYMENT AND COMPENSATION The total fee proposed for the scope of work pursuant to this Amendment No. 8shall be anot- to-exceed in the amount of $183,000. Invoicing will be monthly and based on hourly rates as defined in the Agreement between the City and Consultant, as defined in Schedule "B", attached therein.
