THIS MEMORANDUM OF UNDERSTANDING (MOU) is made this 22 day of
October, 2010, by and between the undersigned representatives of the City of Miami Beach,
Florida, a municipal corporation organized and existing under the laws of the State of Florida
(the City), and UNIDAD of Miami Beach, Inc., a Florida not - for - profit corporation, whose
principal office is located at 1701 Normandy Drive, Miami Beach, Florida, 33141 (UNIDAD).
WHEREAS, the City is the owner of that certain facility currently referred to as the North
Shore Community Center, located at 7251 Collins Avenue, Miami Beach, Florida 33139 (the
Premises); and
WHEREAS, pursuant to that certain Management Agreement between the City and
UNIDAD, dated September 6, 2006 (Management Agreement), the City granted to UNIDAD the
exclusive use, management, coordination, and operation of the Premises; and
WHEREAS, pursuant to the Management Agreement, UNIDAD will improve and
renovate the Premises and expand it by adding substantial additional square footage, which will
house public restrooms (Construction); and
WHEREAS, pursuant to the Management Agreement, the City agrees to fund a
minimum of $500,000, in addition to previously allocated Community Development Block Grant
funds, for Construction of the Premises.
NOW, THEREFORE, in consideration of the mutual benefits contained herein, the City
and UNIDAD agree as follows:
Section 1. The City will fund Five Hundred Thousand ($500,000) Dollars as follows:
Two Hundred Fifty Thousand ($250,000) Dollars, representing fifty (50 %) percent of the
funds will be disbursed upon execution of this MOU;
One Hundred Twenty-Five Thousand ($125,000) Dollars, representing twenty-five (25 %)
percent of the funds will be disbursed at seventy-five (75 %) percent completion of
Construction, which will be determined by the City;
One Hundred Twenty-Five Thousand ($125,000) Dollars, representing twenty -five (25 %)
and the balance of the funds, will be disbursed at 100% completion of Construction,
which will be at the time that UNIDAD obtains a Temporary Certificate of Occupancy or a
Certificate of Occupancy for the Premises.
IN WITNESS WHEREOF, the City of Miami Beach, Florida, a municipal corporation
organized and existing under the Taws of the State of Florida, and UNIDAD of Miami Beach, Inc., a

and year first written above.
